SOLICITATION NOTES

1. System for Award Management (SAM): In accordance with FAR 4.1102 Policy, Offerors shall be registered in the SAM database in order to be eligible for contract award. No award will be made to an Offeror not registered.

Registration can be accomplished at https://sam.gov/content/entity-registration. Registration in this database shall remain active. There has been a recent SAM requirement for submission of notarized letters for all new vendor registrants, and for renewals of existing registrations. 2. Annual Representations and Certifications: In accordance with FAR 4.1201 Policy, Offerors shall complete electronic annual representations and certifications within SAM as part of required registration. 3. Questions: Questions regarding this solicitation shall be submitted to the Contracting Officer, in writing, at least 10 calendar days prior to the closing date. Questions submitted after this time will be answered at the discretion of the Contracting Officer. 4. Award without Discussions: The Government intends to award without discussions, offerors should submit their best prices in their initial offer. If FAR Provision 52.212-2 Evaluation-Commercial Products and Commercial Services, is included, Offerors must submit all information requested therein in order for the Government to determine technical acceptability.

5. Amendments: The Offeror shall submit to the Contracting Officer signed copies of all amendments issued to this solicitation. Failure to comply may cause your proposal to be rejected.

6. Payment: Payment for this action will be made by Electronic Funds Transfer (EFT) through the Defense Finance and Accounting Services (DFAS) utilizing Wide Area Work Flow (WAWF). See DFARS 252.232-7006 Wide Area WorkFlow Payment Instructions for more information.

7. Period for Acceptance of Offers: The Offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers

8. Set- Aside: The proposed contract is 100% set-aside for small business concerns.

9. FOB Destination: Unless otherwise stated in the solicitation, Offerors shall provide FOB Destination prices.

10. Contact Information: A Technical Point of Contact (TPOC) will be appointed at the time of award. The successful Offeror will be furnished the COR name and contact information at the time of contract award.

11. Insurance (Fixed Price): Pursuant to the requirements of FAR clause 52.228-5 Insurance-Work on a Government Installation, the contractor shall obtain and maintain at least the following kinds of insurance and minimum liability coverage during any period of contract performance:

a. Workmen's Compensation and occupational disease coverage as required by law except that, if this contract is to be performed in a state which does not require or permit private insurance, then compliance with the statutory or administrative requirements in any such state will be satisfactory. The required Workmen's Compensation Insurance shall extend to cover employers' liability for accidental bodily injury or death and for occupational disease with a minimum liability limit of $100,000.

b. Comprehensive General Liability Insurance in the minimum limit of $500,000 per occurrence for bodily injury liability.

c. Comprehensive Automotive Liability Insurance with minimum limits of $200,000 per person and $500,000 per occurrence for bodily injury, and a minimum limit of $200,000 per occurrence for property damage.

12. Site Visit: A site visit is scheduled for 3 May 2023 at 10:30 AM Eastern Time. Site visit attendance is urged but is not mandatory; however, failure to attend a site visit shall not be a reason for price increases to the contract after contract award. Submit the names of all attendees to Velma White, velma.e.white2.civ@army.mil. In order to obtain access, attendees must provide the following information – Name, date of birth and social security number.

Submit this information no later than 1 May 2023 by 3:00 PM Eastern Time. Offerors who do not submit this information will not be given access to the site. All attendees will meet at Building 2S, Directorate of Contracting, 1 Overcash Avenue, Letterkenny Army Depot, Chambersburg, PA. Offerors are required to obtain a visitor’s pass from the Badge Office, Building 2 South, located beside the Contracting Office, prior to arriving at the Contracting Office. Please allow at least 45 minutes for this process. You must provide a current picture identification, vehicle registration and proof of insurance to obtain a pass. The documentation you receive with your visitor pass must remain with you during the site visit and returned after the site visit and prior to departure of the Depot. **NOTE:

PURCHASE DESCRIPTION

VERTICAL LIFT MODULE

1.0 GENERAL

1.1 Scope: This specification will apply to one each vertical lift module (VLM) to be located at Letterkenny Army Depot, Chambersburg, PA. The contractor will install the new VLM as described herein in its entirety (turnkey operation), including connection to the provided utilities. The equipment and installation will comply with all specifications, standards, and requirements listed in this document.

1.2 General Information

1.2.1 Hours of Work: All work will be performed during Letterkenny’s tour of duty which is a compressed work schedule with eight days that are nine hours in duration, one day that is eight hours in duration and one standard day off within a two week pay period (80 hours). Monday through Thursday will be nine hour days scheduled from 0600 through 1530. The first Friday of the pay period will be an eight hour day scheduled from 0600 through 1430. The second Friday of the pay period will be the standard day off. Other hours, weekend, and holiday work will be considered separately as requested by the contractor and approved by the Contracting Officer.

1.2.2 Safety, and Fire Protection:

1.2.2.1 The contractor is reminded that LEAD maintains a Safety Management System (SMS) and is either OHSAS 18001 or ISO 45001 certified.

1.2.2.3 Any and all on site work at LEAD shall be completed in accordance with applicable OSHA, DoD, DOT, Army, and LEAD Safety requirements. As a federal installation, additional requirements other than OSHA apply to contractors performing work at LEAD. Examples include full conformance to all applicable NFPA standards, ANSI standards, and other consensus standards for the industry covered by the subject contract. It is the responsibility of the contractor to be familiar with all applicable standards/requirements.

1.2.2.4 In order to document electrical panel ARC Flash rating deficiencies at Letterkenny Army Depot IAW (NFPA 70E Article 130.5), the contractor shall be so advised that all electrical panels require ARC Flash labels IAW NFPA 70E and are considered to be non-representative of the actual ARC Flash hazard contained within the panel or system circuits at Letterkenny Army Depot.

1.2.2.5 The lack of maintenance to depot electrical panels have caused the previous labeled ARC Flash ratings to become invalid. It shall be advised that since the incident energy cannot be properly evaluated by utilization of the label, the contractor shall conduct a field study at the panel and don the appropriate PPE prior to validating de-energization. Don ARC Flash PPE IAW NFPA 70E [Table 130.7 (C) (15) (c)] to verify energy at the source. The ARC Flash PPE requirement will be followed at all times until the contractor can validate that the electrical system has been de-energized. Additionally, the contractor shall make themselves familiar with and comply with LEAD's local safety regulation LEAD-R 385-1 prior to the start of any work at LEAD.

1.2.2.6 If contractor personnel determine a procedure is unsafe, they shall discontinue work immediately and contact their Program Manager who shall notify safety personnel and the COR. As soon as LEAD Safety Office personnel determine that the unsafe conditions have been corrected, the COR will notify the contractor Program Manager that personnel may resume work.

1.2.2.7 All contractor supervisors and employees shall read and be knowledgeable of the governing SOP(s) prior to signing the SOP(s) and starting the operation.

1.2.2.8 All contractor personnel shall wear the appropriate PPE when in the following work areas: industrial buildings, at construction sites, test sites and test facilities. Failure to wear/use PPE may cause removal from the job site and/or seizure of non-compliant equipment/items.

1.2.2.9 The contractor shall comply with reporting requirements of 29 CFR Part 1904, AR 385-40 and APGR 385- 4, and shall report accidents resulting in injury or death and accidents resulting in damage to Government property, supplies, and equipment to the COR promptly of the occurrence.

1.2.2.10 In case of an injury/accident, the contractor shall a complete safety Investigation of injury/accident report and submit it to the COR Office with a copy to the LEAD Safety Office.

1.2.2.11 All shipped material shall include a current product Safety Data Sheet (SDS) for any chemical products being shipped other than residue. This includes items like engine oil.

1.2.2.12 All safety messages or recalls related to the safe use of products produced by the contractor will be provided to the COR for the Contract with 5 days of contractor’s awareness of the message or notice.

1.2.2.13 It is the contractor’s responsibility to be familiar with these documents and to comply with their contents.

1.2.2.14 If the requirements of the contract change, the proponent of the contract must submit all changes to the LEAD Safety Office for review.

1.2.3 Security Requirements: The contractor will be responsible to ensure that all employees and subcontractor employees that will visit the depot will comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative). The contractor will also provide all information required for background checks to meet installation access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office.

Contractor workforce will comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. Should the Force Protection Condition (FPCON) change, the Government may require changes in contractor security matters or processes.

1.2.4 OPSEC Training: Per AR 530-1 Operations Security, the contractor employees must complete Level I OPSEC Awareness training. New employees must be trained within 30 calendar days of their reporting for duty and annually thereafter. 1.2.5 iWATCH Training: The contractor and all associated sub-contractors shall brief all employees on the local iWATCH program (training standards provided by the requiring activity ATO). This local developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the COR. This training shall be completed within 30 calendar days of contract award and within 30 calendar days of new employees commencing performance with the results reported to the COR NLT 30 calendar days after contract award. iWATCH training is available at the following website:

1.2.6 AT Level I Training: All contractor employees, including subcontractor employees, requiring access to Army installations, facilities, and controlled-access areas shall complete AT Level I awareness training within 30 calendar days after the contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee, to the COR or to the contracting officer, if a COR is not assigned, within 30 calendar days after completion of training by all employees and subcontractor personnel. 1.2.7 Badges: Identification badges will be issued for admittance of personnel before performing work or service on this contract. The identification badge is the property of the US Government and must be returned upon termination or demand. The contractor/vendor agrees that he will ensure all badges issued to employees are returned to the Badge and Identification Section, Security Division, Letterkenny Army Depot promptly on termination of need or on expiration, which occurs first. The badge room is located in Bldg 2, phone # 717-267- 8003. Hours of operation are 7:30 AM to 3:30 PM, Monday thru Friday, exclusive of Federal Holidays.

1.2.8 Information Assurance Requirements: This system will operate in stand-alone mode only (no network connection of any kind). If there becomes such a time where this system requires the use of another PC (laptop, tablet, etc.) or network connection it will conform to all requisite DoD and Army cybersecurity requirements. Additionally, since this system operates in stand-alone mode there will be no ability to connect via either wireless (e.g Bluetooth) or wired (e.g. Ethernet cable), to a network. If these parameters change then the system will be subject to Change Configuration Board (CCB) approval for operation.

2.0 GOVERNMENT RESPONSIBILITIES: LEAD will be responsible for the following:

a. Provide access to the installation site during the hours specified.

b. Provide electricity for vendor hand tools.

c. Provide the appropriate fused electrical disconnect within 20’ of the machine installation.

3.0 CONTRACTOR RESPONSIBILITIES: the contractor will be responsible for the following:

3.1 Upon award of the contract, the contractor will perform an in depth inspection of the installation site to ensure that their equipment will fit in the space provided. Any required facilities modifications will be made known to the LEAD POC at this time.

3.2 Provide all utility requirements and expected arrival date of equipment 60 days prior to equipment delivery. At this time the contractor will also provide a firm installation start date.

3.3 Ensure the electrical installation is performed in accordance with the National Electrical Code and National Electrical Manufacturer's Association. All electrical work will be subject to inspection by LEAD electricians.

3.4 Supply all equipment, parts, labor and materials necessary for the shipping, off-loading, storage, positioning, installation, and proper operation of the equipment.

3.5 Installation of the equipment will be performed by technicians familiar with/certified to perform this type of work.

3.6 Onsite training will be provided following equipment installation (4 hrs each for up to 4 operator personnel and 2 hrs each for 2 maintenance personnel).

4. SPECIFICATIONS:

4.1 Design Specifications:

4.1.1 The new VLM will have 50 each 750 lb minimum capacity trays.

4.1.2 Each tray will be a minimum of 96” wide with a 32” minimum depth of clear storage and with a potential vertical storage on each tray of 26” minimum.

4.1.3 The overall height of the unit will be no greater than 24’-6”. The unit width will be 100” wide maximum.

The overall depth of the unit will be no greater than 125”.

4.1.4 The maximum footprint of the unit will be no more than 90 square ft.

4.1.5 Maximum vertical lifting speed with an unloaded tray will be no less than 145 ft/min.

4.1.6 Forty each of the trays will feature a “Flexcon” partition and divider kit which provides 48 cells with a 4” height.

4.1.7 A full light curtain will be located immediately in front of the access opening. The light curtain will prevent an operator from coming into contact with any moving parts of the machine. The light curtain scans the entire operating area and is only active when a tray is transported to the access opening or returned to the extractor.

4.1.8 The operator panel will be centrally located at the access opening.

4.1.9 The accessible area will be provided with fluorescent lighting. Power for the lighting will be provided through a contractor supplied step down transformer utilizing existing power.

4.1.10 The VLM will be modular in design to allow the height to increase in the future in the event that the unit is moved to an area with more headroom.

4.1.11 The required power for the VLM will be 480V, 60 cycle, 3 phase.

4.1.12 An automatic shutter door will be provided that ensures the operator area and extractor shaft are completely separated.

4.1.13 A means will be incorporated into the design of the VLM which will detect a dislodged tray within the vertical shaft of the unit. In the event that a tray is dislodged, the extractor motion will stop and an error message will be displayed.

4.1.14 A series of doors and/or hinged panels will be provided on the side of the machine for easy access to the equipment for servicing purposes.

4.1.15 The unit will be provided with positive engaged tray guidance.

4.1.16 Tray locking devices will be provided that ensures no movement of the tray when either loading or unloading.

4.1.17 A belted tooth drive will be provided with the unit.

4.2 Electronic Controller

4.2.1 The controller will provide for automatic storage of the trays based on actual height. The height of the tray will be automatically measured and the tray will be stored to the closest 1” increment (example: 4.75” actual height will be stored in a 5” space).

4.2.2 The controller will allow the operator to compress open space when necessary. The controller will automatically maximize the storage space within the device.

4.2.3 The controller will provide the capability of staging a minimum of 2 trays within the access area opening at one time.

4.2.4 The controller will allow the operator to enter a tray number on the control panel and the tray will be delivered to the access area.

4.2.5 The controller will provide for variable speeds for both the vertical and horizontal movements for sensitive components that might be stored in the unit.

4.2.6 The controller will automatically open and close the shutter door allowing trays to be presented to the operator. The door will automatically open/close before a tray passes through the access area.

4.2.7 The control panel will display the weight of each tray in real time. The controller prevent trays from being overloaded.

4.2.8 Access to the control panel/trays will be password protected.

5 DRAWINGS AND MANUALS: Two sets of the manufacturers clearance diagrams will be submitted for approval. Three sets of operator instruction manuals, maintenance service manuals and parts listing manuals will be provided for the unit. These manuals will be written in the English language.

6. WARRANTY: A one year minimum warranty will be furnished with the provided equipment. The warranty will cover all components. The warranty period begins when the LEAD Contracting Officer provides official confirmation that the equipment has satisfied all operational provisions of the contract.

7. PRESERVATION, PACKAGING AND DELIVERY: The contractor will utilize standard commercial methods for preservation and packaging appropriate for the provided equipment and acceptable to commercial carriers. As a minimum, all areas susceptible to damage from exposure to the elements will be preserved and/or packed to prevent damage. The contractor will be responsible for ensuring the equipment is delivered to LEAD in good condition.

8. INSPECTION AND ACCEPTANCE: The VLM and associated equipment will be examined for design, construction, materials, components, and workmanship to determine compliance with the contract and this specification. Any deviation from these requirements will be cause for rejection.

9. OFFEROR'S PROPOSAL AND COMPLIANCE: The offeror’s proposal will clearly demonstrate that the proposed equipment meets the detailed performance and equipment specifications described in this document. All information required to verify compliance with this specification will be provided, (i.e. manufacturers specifications, drawings, brochures, etc.).

52.211-8 TIME OF DELIVERY (JUN 1997)

(a) The Government requires delivery to be made according to the following schedule:

The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. If the offeror proposes no other delivery schedule, the required delivery schedule above will apply.

(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.

Paragraph (c) is changed to read: Period for acceptance of offers. The Offeror agree to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO FAR 52.212-2, BASIS OF AWARD:

A. General Information:

1. The basis of award will be the Lowest Priced, Technically Acceptable offer. Offerors must receive a rating of Technically Acceptable in all factors/subfactors in order for their overall proposal to be determined Technically Acceptable.

2. By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, and technical requirements.

3. The Government intends to make award without discussions, unless the Contracting Officer determines that discussions are necessary. Offerors should provide their most favorable prices in their initial offers.

B. Non-Price Evaluation Factors and Subfactors:

1. Factor 1- Technical:

(a) Subfactor 1 Equivalence: The offerer shall provide all information possible for the Government POC to evaluate possible equivalents. Information includes, but is not limited to: brochures, videos, drawings, and testimonials.

C. Price Evaluation Factor: Offerors shall complete the Schedule B with pricing for each Contract Line Item Number (CLIN).

D. Proposals will be evaluated initially independently of the price to determine the Offerors’ ability to meet the Government’s requirement set forth in the solicitation. The Government may make a final rating determination based on the proposal as submitted without requesting any further information. For all proposals determined to be Technically Acceptable, the offer providing the lowest price will receive the contract award.

1. Offerors’ technical proposals will receive an overall rating based on the following:

(a) Technically Acceptable: Offeror meets all requirements or technical specifications or has submitted all documentation requested in any technical evaluation criteria and all documentation meets the standard set forth in the solicitation.

(b) Technically Unacceptable: Offerer fails to meet all requirements or technical specifications or has failed to comply in submitting requested documentation in any technical evaluation criteria or the submitted documentation fails to meet the standard set forth in the solicitation.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(Contracting Officer shall insert the significant evaluation factors, such as (i) technical capability of the item offered to meet the Government requirement; (ii) price; (iii) past performance (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (DEC 2022) ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business concern"--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1002", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.

(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications--Commercial Products and Commercial Services, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this…
