(End of provision)

ADDENDUM TO 52.212-2

Para (a): The following is added:

A. BASIS FOR CONTRACT AWARD

1. The Government will make the award to based on price and other factors. The award procedures shall be IAW FAR 13.106. The evaluation criteria consist of three (3) evaluation factors: Technical - Key Personnel, Past Performance, and Price. To receive consideration for award, a rating of "Acceptable" must be achieved for the Technical - Key Personnel factor and a rating of "Acceptable" for the Past Performance Factor. For each proposal found to be eligible for award, Price will become the determining factor for making the award.

2. This is a commercial contract using both Firm-Fixed-Price (FFP) and Time and Material (T&M) pricing under the Base Year and Option Year CLINs as follows:

Scheduled Maintenance: FFP Unscheduled Maintenance: Time (T&M) Unscheduled Maintenance Repair Parts: Materials (T&M)

B. FACTORS TO BE EVALUATED

The Government will award a single contract resulting from this solicitation to the responsible offeror that is rated acceptable for technical and past performance, and offers the lowest price. The following factors shall be used to evaluate offers:

Factor 1 - Technical - Key Personnel

Factor 2 - Past Performance

Factor 3 - Price

C. EVALUATION APPROACH

Factor 1 - Technical - Key Personnel For this Factor the Government will evaluate whether the Offeror has met the language, experience, and certification requirements identified in the Addendum to FAR 52.212-1.

A Offeror's proposal is Acceptable if it contains all required information set forth in the Addendum to FAR

52.212-1 for this factor to assess the Offeror's Technical - Key Personnel.

Factor 2 - Past Performance

a. Past Performance shall be used as an evaluation factor in accordance with FAR 13.106. It shall be evaluated in accordance with FAR 13.106-2(b). Past Performance will be rated on an "acceptable" or "unacceptable" basis using the ratings in Table A-2.

Table A-2. Past Performance Evaluation Ratings

Rating Description

Acceptable Based on the offeror's performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror's performance record is unknown. (See note below.)

Unacceptable Based on the offeror's performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance.

Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, "unknown" shall be considered "acceptable."

b. Past Performance Information:

Past performance information may be provided by the offeror, as solicited.

Past performance information shall be obtained from any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; interviews with Program Managers, Contracting Officers, and Fee Determining Officials; and the Defense Contract Management Agency.

c. Past Performance Evaluation: The Government will consider the offeror's previous and current record of contractual performance. The Government assessment will focus on recent contracts that are relevant to the effort required by this solicitation and the quality of the performance on those contracts. The offeror's past performance must be both recent and relevant to receive an acceptable rating. Recent is defined for this action to be contracts that were awarded and performed within the last five (5) calendar years, from the date of RFP issuance. Past performance information will be evaluated to determine the quality and usefulness as it applies to the past performance competence assessment. Relevant to this effort is defined in the following Table A-3:

Table A-3. Relevancy Criteria Table

RATING DESCRIPTION

Relevant (R)

Relevant means contracts of a similar scope and magnitude for maintenance and repairs of mechanical equipment.

Similar in scope means that the work must have been for maintenance and repairs services of mechanical equipment.

Similar magnitude means contracts with an annual value equal to or greater than

$350,000.00.

Not Relevant

(NR)

Present/past performance was not of a similar scope and/or did not involve any of the magnitude of effort that this solicitation requires.

d. The Government may reject a proposal if it is found that any information that has a negative impact on the offeror's past performance record has been deleted, misrepresented, or withheld.

e. It is at the Government's discretion to determine whether past performance information furnished is or is not considered similar to the size and scope of the present requirement. Should the offeror have no past performance information the Government will assign an "Acceptable" rating.

f. Offerors are cautioned that, in conducting the past performance assessment, the Government may use data provided in the offeror's proposal and data obtained from other sources. Since the Government may not necessarily interview all of the sources provided by the offeror, it is incumbent upon the offeror to explain the relevance of the data provided. Offerors are reminded that while the Government may elect to consider data obtained from other sources, the burden of proving an "Acceptable" past performance rests with the offeror.

g. Offerors may provide information on problems encountered on the contracts identified in their past performance submissions and the offeror's corrective actions (FAR 15.305).

FACTOR 3: Price Evaluation: Prices will be evaluated for reasonableness IAW FAR 13.106-3. Offerors shall propose amounts for ALL CLINs except CLINs 0003, 1003 and 2003. The Government will evaluate offers by adding the total price for all options to the total price for the basic requirement. This amount will be the total evaluated price. Evaluation of options shall not obligate the Government to exercise the option(s).

Each offeror's proposal is presumed to represent its best effort to respond to the solicitation. The Government will evaluate offers for the purpose of award by considering the total price of all line items. The Government may determine that an offer is unacceptable if the prices are significantly unbalanced.

(4) [ ___ ] Have, [ ___ ] have not, within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.

(i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
