1) The purpose of this Firm-Fixed Price (FFP) Purchase Order is to procure Anark software license renewals and maintenance in accordance with the Statement of Work (SOW).
2) This Purchase Order consists of a base year and four (4) option years.
The Period of Performance is as follows:
Base Period: Twelve (12) months after contract award.
Option Period 1: Twelve (12) months after exercise of option.
Option Period 2: Twelve (12) months after exercise of option.
Option Period 3: Twelve (12) months after exercise of option.

3) If at any time during the performance of this contract a contractor commercial EULA Term is found in conflict with U.S. Code, FAR, DFARS, AFARS, this contract, or Addenda, the Government's terms will take precedence.

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT
Software License Renewals and Maintenance for Enterprise Level Anark
1.0 Background:
The U.S. Army Armament Research, Development and Engineering Center (ARDEC) has been working with the Anark Corporation since 2009 to develop the technology to create 3Di pdfs from the many Creo 3D CAD files it owns. The 3Di pdf is a part of ARDECs strategy to develop the technology towards a Model Based Enterprise system. The 3Di pdf allows a better method to convey design intent to its many contractors in the form of a Technical Data Package.
The Anark software allows the ability to add annotations such as dimensions, geometric tolerances, notes, symbols, etc. to a 3D CAD model, all in the form a pdf document viewable using standard Adobe Acrobat Reader. This capability was brought in-line with ARDEC 3D modeling standards and MIL-STD-31000 for Technical Data Packages. Market research has concluded no other software has the ability to achieve this level of technology.
ARDEC currently receives the Anark Core Server base software, accessed via ARDEC EDGE Windchill system, and two standalone licenses for administrative support. This procurement will extend the licensing of this software.
2.0 Scope:
ARDEC intends to award a contract with a twelve (12) month base year plus four (4) twelve (12) month option periods for the purpose of acquiring the necessary software maintenance support for previously procured software licenses of Anark software. Anark is a software product developed for creating 3Di pdfs from the numerous Creo CAD files owned by ARDEC, and will be accessed via EDGE by ARDEC engineers and technicians.

(a) Definitions. As used in this clause--
"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.
"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.
(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall--
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov ; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this
Web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice
Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the "Web Based Training" link on the
WAWF home page at https://wawf.eb.mil/ .
(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data Interchange, or File Transfer
Protocol.
(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:
(1) Document type. The Contractor shall use the following document type(s).

(2) Inspection/acceptance location. The Contractor shall select the following inspection/acceptance location(s) in WAWF, as specified by the contracting officer.

(4) Payment request and supporting documentation. The Contractor shall ensure a payment request includes appropriate contract line item and subline item descriptions of the work performed or supplies delivered, unit price/cost per unit, fee (if applicable), and all relevant back-up documentation, as defined in DFARS Appendix F, (e.g. timesheets) in support of each payment request.

SPECIAL CONTRACT REQUIREMENTS
ADDENDA
1. This addendum (Addendum) modifies the UGL (hereinafter Software License) attached hereto as Appendix A, by deleting and making unenforceable any conflicting or inconsistent terms or conditions in the Software License that violate federal law and regulations.
This Addendum shall be identified as the Addenda to W15QKN-18-R-0195 issued by ACC-NJ (the Contract), and must be attached in full text to the Contract.
2. By incorporating this Addenda to the Contract, the parties agree that the terms, conditions and provisions of the Addenda will form a part of the Contract and will be applicable with respect to the software and services provided in connection with the Contract. In the event of any conflicts or inconsistencies under the documents and provisions referenced and incorporated under the Contract, the following order of precedence shall take effect; the Contract terms shall prevail over the Addenda, and the Addenda terms shall prevail over the Software License.
3. The provisions of the FAR 52.212-4, Contract Terms and Conditions Commercial Items, specified in FAR 12.302, as required by Federal law, shall apply to the Contract with the exception of FAR 52.212-4(n) Title which is hereby deleted in its entirety. The governments rights to use, duplicate, or disclose any commercial computer software delivered under this contract shall be in accordance with FAR clause 52.227-19.
4. Breach: Liability for any breach or claim shall be determined under the Federal Tort Claims Act (28 U.S.C. 1346, 2401-2402, 2671-72, 2674-2680), Contract Disputes Act (41 U.S.C 601-613), Anti-Deficiency Act (31 U.S.C. 1341, 31 U.S.C 1517), or other governing federal authority.
5. Modification, Suspension and Termination of Service: provisions permitting unilateral termination that violate Contract Disputes Act
(41 U.S.C 601-613), Anti-Deficiency Act (31 U.S.C. 1341, 31 U.S.C 1517), or other governing federal authority are hereby deleted.
6. Governing Law: Any arbitration, mediation or similar dispute resolution provision, or provisions relating to equitable remedies, or injunctions that are inconsistent with federal laws and regulations are hereby deleted. Provisions for any future fees such as attorneys fees, costs or interests are deleted. The Contract and this Addenda shall be governed by and interpreted and enforced in accordance with the laws of the United States of America without reference to conflict of laws, as applied by the Federal Courts.
7. Audits: Audit clauses permitting network access to government systems is hereby deleted. No access will be allowed into government networks without prior notice, consent and individual(s) cleared. The government will provide a yearly audit report. Any discrepancies found during an audit must comply with the invoicing procedures consistent with federal law. Disputed charges must comply with the
Contract Disputes Act (41 U.S.C 601-613) or any other governing federal authority.
8. Control of Defense: Any provision acceding legal representation of the government to the Contractor in violation of 28 U.S.C. 516 is hereby deleted. Such representation when the government is a party is reserved, by statute, for the U.S. Department of Justice.
9. No Endorsement: The contractor shall not represent or imply that use of the product or services by the government is an endorsement of the product, company or service. Any action construed as an advertisement or any other type of publicity identifying the Government as a customer must obtain the Contracting Officers approval prior to such action.
10. Payment Terms: Any payment or invoicing term in conflict with Federal Appropriations Law, the Anti-deficiency Act, the
Misappropriation Act and the Bona-fide Need Rule is unenforceable and is hereby deleted.
11. Late Fee Interest Payments: Any late fees or interest payments for late payment shall be governed in accordance with the Contracts
Disputes Act 41 U.S.C. 601-603 and 31 U.S.C. 3902 et seq.
12. Automatic Third Party Terms: Automatic renewal clauses and automatic third party terms incorporated by reference are unenforceable.
Incorporation of such terms may only be made by bilateral contract modification with the approval of an authorized Contracting Officer.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractors directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR
Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

21 52.217-8 OPTION TO EXTEND SERVICES NOV/1999
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within thirty (30) days.

22 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT MAR/2000
(a) The Government may extend the term of this contract by written notice to the Contractor within thirty (30) days; provided that the
Government gives the Contractor a preliminary written notice of its intent to extend at least thirty (30) days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed sixty (60) months.

24 52.204-21 BASIC SAFEGUARDING OF COVERED CONTRACTOR INFORMATION SYSTEMS JUN/2016
(a) Definitions. As used in this clause--
"Covered contractor information system" means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
"Federal contract information" means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.
"Information" means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

"Information system" means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
"Safeguarding" means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures.
(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.
(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by
Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.
(c) Subcontracts.
