Commercial Warranty
Warranty During the Warranty Period, Parata warrants that the Parata Products purchased by Customer (specifically excluding, without limitation, any Third Party Software or other third party peripherals or components) will be capable of performing in all material respects in accordance with their Functional Specifications, Customer Is responsible for (a) all data archival, including the back up of any data stored on any hard drive before servicing; (b) performing nightly backup procedures; and (c) the integrity 0f all media and archived data. Parata expressly disclaims any and all responsibility for any damages to or loss of any programs, data, or other information s to red on any media or any part of any Parata Product serviced by Parata, its suppliers or its third party subcontractors. Customer acknowledges and agrees (and covenants with Parata) that no Hazardous Drugs shall be used with the Parata Product.
EXCEPT AS EXPRESSLY SET FORTH HEREIN, PARATA MAKES NO OTHER WARRANTY OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, IN CONNECTION WITH THE PARATA PRODUCTS, ANY THIRD PARTY PRODUCTS, OR SOFTWARE, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES WITH RESPECT TO COMPLIANCE WITH LAW, OR IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WHICH ARE HEREBY DISCLAIMED BY PARATA AND EXCLUDED. CUSTOMER AGREES THAT IT SHALL AT ALL TIMES USE THE PARATA PRODUCT IN A MANNER THAT IS CONSISTENT WITH ALL APPLICABLE PROFESSIONAL AND ETHICAL STANDARDS AND REQUIREMENTS, AND ALL LOCAL, STATE, AND FEDERAL LAWS AND REGULATIONS, INCLUDING BUT NOT LIMITED TO, THE POISON PREVENTION PACKAGING
ACT, 15 U.S.C. § 1471 ET SEQ., AND THE FEDERAL FOOD, DRUG AND COSMETIC ACT, 21 U.S.C. § 301 ET SEQ.
Return Goods Policy. If shipping errors occurs due to Contractor’s error, the Contractor will pay freight both ways for return/exchange of goods. If an ordering facility error occurs, the ordering facility will pay return freight. No restocking fee will apply either way. Please call Parata Supply for a Return Material Authorization number (RMA#) at 1-877-472-7282.
Final Responsible Party. Customer acknowledges and agrees that it is the final responsible party for handling, storing, dispensing, packaging and administering medications and supplies to patients or other third parties through or related to the use of the Products.
Drug Image Library. Customer acknowledges that information contained in any Drug Image Library provided to Customer (the “Drug Information”) is intended to supplement the knowledge of pharmacists and other health care professionals regarding prescription medications. This Drug Information is advisory only and is not intended to replace sound clinical judgment in the delivery of health care services. Customer’s use of such Drug Image Library shall be subject to any third party terms applicable to such Drug Image Library. PARATA AND/OR ANY THIRD PARTY SUPPLIERS (OR THEIR RESPECTIVE SUCCESSORS AND ASSIGNS) DISCLAIM ALL WARRANTIES WITH RESPECT TO THE DRUG INFORMATION, EXPRESSED OR IMPLIED, INCLUDING ANY WARRANTY AS TO THE QUALITY, ACCURACY, OR SUITABILITY OF THE DRUG INFORMATION FOR ANY PARTICULAR PURPOSE.
WHILE MAKING ALL REASONABLE EFFORTS TO ENSURE ACCURACY, PARATA ASSUMES NO RESPONSIBILITY FOR ERRORS THAT MAY APPEAR IN THE DRUG IMAGE LIBRARY. CUSTOMER ACKNOWLEDGES THAT THE DRUG IMAGE LIBRARY IS NOT TO BE REGARDED OR RELIED UPON AS A SUBSTITUTE FOR THE SKILL, JUDGMENT, AND CARE OF A PHARMACIST OR OTHER HEALTH CARE PROFESSIONAL IN DISPENSING PHARMACEUTICAL PRODUCTS. PARATA SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE OR RESPONSIBLE FOR PRODUCT DISPENSED OR DISTRIBUTED BY ANY PERSON OR ENTITY USING THE PARATA PRODUCT FOR ANY PURPOSE, OR FOR ANY SIDE EFFECTS OR OTHER DIRECT, INDIRECT, PUNITIVE, CONSEQUENTIAL OR INCIDENTAL DAMAGES OF ANY KIND OR DESCRIPTION WHATSOEVER FROM THE USE OF ANY SUCH PARATA PRODUCT; IT SHALL BE EXPRESSLY UNDERSTOOD THAT SUCH LIABILITY AND RESPONSIBILITY REST ENTIRELY UPON THE PHARMACIST OR OTHER PROFESSIONAL. THE PROVISIONS OF THIS SECTION WILL SURVIVE ANY CANCELLATION OR TERMINATION OF THE
AGREEMENT OR TERMINATION OF THE RIGHT TO USE THE PARATA PRODUCT.

FUNCTIONAL SPECIFICATIONS
Customer acknowledges and agrees that Parata’s warranty for the Parata Products is based on the Functional Specifications of the applicable Parata Products. The Functional Specifications for the Parata Product(s) are set forth below:
Pharmacy 2000™ Software
The P2000 Software performs the following functions:
General:
Pharmacy 2000™ consists of six modules (Imaging Module, Filling Module, Packing Box, Checking Module, Maintenance Module and Reporting Module) configurable to the Customer’s needs based on several factors such as business volume and available personnel. In order to operate the Pharmacy 2000™ Software, the user must have an account with an assigned security access level that will pre-determine what tasks they can and cannot do. The following summarizes the functionality of each module:
Imaging Module:
To gain access to the Imaging Module, the user selects the “Imaging” button on the “Main Menu”. The Imaging Module is utilized to capture an image of the original prescriptions. For every new prescription sent by the Pharmacy Management System for dispensing, the Imaging Module prints a barcode that represents that prescription’s internal identifier (Rx Number and 2 digit refill code) created by the host system. The barcode is placed on the back of the hard copy prescription and scanned, initiating the scanning of the original prescription. The hard copy prescription is filled while the image file is stored in Pharmacy 2000™ Software for use later in the checking process.
Filling Module:
To gain access to the Filling Module, the user selects the “Filling” button on the “Main Menu”. The Filling Module manages manual and automated process of filling prescriptions. The filling process can either be initiated by scanning the prescript ion identifier barcode found on the label sheet or by selecting the prescription in the filling queue located on the Filling Module’s home page. Once initiated, the user will be directed to the location of the medication for retrieval. If the drug is located in automation, the Filling Module will communicate the dispensing request automatically to the appropriate automation device where the user picks up the medication. For drugs located on the shelf, the user will be directed where to pick up the stock bottle and prompted to scan the stock bottle barcode to ensure the correct drug was retrieved. At this point, if the Packing Box is in use, the Filling Module directs the user to the correct bin location for staging the prescription prior to checking. For multiple prescriptions of the same order, each prescription will be placed in the same bin location.
Packing Box (as applicable, based on Customer’s decision as to whether to purchase a Packing Box or not):
The Packing Box provides bins for staging filled prescriptions awaiting a pharmacist’s review. Through the use of LED’s and a visual notification on the Checking Module home page, the pharmacist is informed of all completed orders awaiting their review.
Checking Module:
To gain access to the Checking Module, the user selects the “Checking” button on the “Main Menu” screen. To initiate the checking function, the user highlights the prescription information found in the checking queue and selects the Check button or scans the prescription internal identifier barcode found on the vial label. The user is then visually presented with the drug information and image, patient data, and an image of the original written prescription. If the Pharmacist deems the prescription correct and security is enabled, he/she simply scans his/her personnel ID barcode. Pharmacy 2000™ Software tracks the time and Pharmacist responsible for approving all prescriptions checked at the Checking Module. If the Pharmacist doesn’t approve the fill, he/she presses the “Reject” button on the checking screen and enters the reason for auditing purposes.
Maintenance Module:
The Pharmacy 2000™ Software will allow personnel that have been so authorized within the system to perform maintenance. To access the Maintenance Module, the user selects the “Maintenance” button from the “Main Menu” screen.
The software then displays the Maintenance Menu, from which authorized users can perform the following functions: Define users and assign permissions to system functions; configure Pharmacy 2000™, including hardware, zone and station setup;
map drugs to shelves and cabinets; view drug substitutes; create/edit stock bottle associations; create/edit script-rejection messages; and perform script maintenance.
Reporting Module:
The Pharmacy 2000™ Software will run reports for pharmacy personnel that have been so authorized within the system.
The user selects the “Reporting” button on the “Main Menu” screen. The user logs on and the system displays the Pharmacy 2000™ Software Reporting screen. The user chooses the desired report and enters the range of dates or other appropriate filter criteria to create the report. The Software displays the report for on-screen viewing; the user can also print the report or save the report to a file. The following reports are available: Average Processing Time, Checking Status, Device Activity, Dispensed Drug Substitution, Dispensing Quantity by Location, Dispensing Quantity by Drug Number, Drug Locations, Drug Policy, Filling Status, Packing Box Reference, Partial Fill, Personnel Activity, Pharmacy-Defined Drug Substitution Details, Pharmacy-Defined Drug Substitutions, Pharmacy-Defined Stock Bottle Association, Prescription Volume Chart, Prescription Volume, Rejection Summary, Replenishment Summary, Rx Information, and Stock Bottle Verification Audits.

ACCUCOUNT SCALE PERFORMS THE FOLLOWING FUNCTIONS:
Counting in Non RxCheck Mode:
The user places the scoop on the pan and scans the stock bottle. The user places the prescription in a vial. If the drug’s piece weight is not found in the library, the display will read “Item Not in Library.” The user presses “Y” to add the item to the library. The display prompts the user to pour the sample in the scoop and select the appropriate sample size. The user selects the appropriate sample size, the display will read “Pour Rx in Scoop” and the user pours the remainder of the prescription into the scoop. The user places the prescription into the vial.
Counting in RxCheck Mode:
The user places the scoop on the pan and scans the NDC barcode on the prescription and the stock bottle barcode. If the barcodes match and the piece weight is found in the library, the display will read “Pour Rx In Scoop”. If the barcodes do not match, the user can create a cross-reference. The user pours the prescription into the scoop until the desired amount is displayed. The user places the prescription into the vial. If the drug’s piece weight is not in the library, the display will read “Item Not in Library”. The user presses “Y” to add the item to the library. The display prompts the user to pour the sample in the scoop and select the appropriate sample size. The display will read “Pour Rx in Scoop” and the user pours the remainder of the prescription into the scoop. The user places the prescription into the vial.
Counting in Manual Mode:
The user sets the scoop or vial on the AccuCount™ scale pan. The user presses the Mode key to change to Manual Count. The AccuCount™ scale automatically tares the scale. The user pours a sample quantity in the scoop or vial. The user selects the correct sample size to calculate the piece weight. The scale display will display the number of pills selected. The user continues to pour the capsules/tablets into the scoop or vial until the desired quantity is displayed. The AccuCount™ scale will retain this reference weight until the user changes to a different pill.
Weighing Mode:
The user removes any item from the pan and selects the weighing function. In weighing mode, the AccuCount™ scale will perform two functions: Re-Zero or Tare. The Re-Zero function allows the user to zero the scale at up to 5.99 grams. In this mode, taring is not possible. To Tare the scale, the user places the weighing tray (or scoop or vial if applicable) on the pan and presses the T button until the display reads 0.00g. The user then adds each ingredient for the compound individually taring after each one. The user continues this until all ingredients are weighed. If the weight exceeds 620g, the user must remove the excess weight.
Max Units
General:
The Parata Max (Robotic Dispensing System) delivers high-speed, high accuracy prescription processing in a compact, low-maintenance machine with the capability of automating more than half of a pharmacy’s prescription volume. A standard configuration Max Unit contains 140 standard cells and 48 super cells. All cells are adjustable and can count nearly all sizes and shapes of tablets and capsules. The Max Unit provides a means for storage of prescription label stock, specific prescription vials and accompanying vial caps.
THE FUNCTIONALITY OF THE MAX UNIT INCLUDES THE FOLLOWING:
Filling Prescriptions:
The Max Unit is an automated robotic pharmaceutical dispensing system for use by pharmacies to fill oral solid medications into plastic vials as a mechanized device. Upon notification, the prescribed medication is automatically counted and dispensed into a labeled and capped vial and is then placed into a collection bin allocated by patient last name. The operator then scans the completed prescription to confirm retrieval from the system.
Methods of Receiving Prescriptions for Filling:
The Max Unit connects directly to the pharmacy network and interacts with the pharmacy host software to provide pharmacists and technicians with a seamless interface. Most major vendors of Pharmacy Management Systems have an electronic interface for the Max Unit. To compensate for an event in which the user’s host system does not offer an electronic interface, the Max Unit Host Interface software has a modular design to support the rapid development of new custom interfaces. The Max Unit also has the ability to operate in a stand-alone environment and can receive prescriptions to fill through manual entry, utilizing the system’s Graphic User Interface.
Providing Medication Safety:
The Max Unit incorporates multiple levels of protection against the potential for prescription dispensing error and pill contamination.
By relying on NDC bar coding to match the medication to the appropriate machine dispensing cell, the potential for cross contamination and erroneous distribution is substantially reduced. The unit requires the operator to scan both the cell and the stock bottle’s barcodes to ensure that the barcode label on the cell matches the label on the stock bottle barcode. If the barcodes do not match, a failure sound will result alerting the operator of the need for a quality control check.
Upon initial setup of a dispensing cell, the newly calibrated cell is forced to perform a “Calibration Test” to ensure the cell is counting correctly. The Max Unit will not dispense from a non-calibrated drug cell. The Max Unit’s cells also have the capability of being replenished without interrupting operation. This efficiency promotes user compliance with safety processes. The prescription vial is filled directly from the dispensing cell, so no common chutes or other transport mechanisms introduce cross contamination risk. Finally, the Max Unit caps the completed script, providing protection from spills and contamination.

Filling Prescriptions:
The Mini Unit is a semi-automated pharmaceutical dispensing system for use by pharmacies to fill oral solid medications into plastic vials as a mechanized device. The operator then scans a prepared/labeled vial at the front of the unit, the Mini system flashes the location of the prescription below the chute and the user retrieves the medication from the chute using the vial to open the chute door.

Implementation/Site Requirements/Installation Instructions
Customer agrees to be bound by the following terms (i.e., requirements for installation):
Parata will provide a dedicated Project Manager to assist with the Implementation process for all of our Products (with exception of individual purchase Account scales). Depending on the complexity of the project, the Project Manager may or may not do a formal site visit. The Project Manager will coordinate site visit with our local Field Service Engineer and Carrier during the site preparation process. Site requirements and preparation varies by Parata Product. A detailed site preparation guide will be provided for each Parata Product and used throughout the implementation process to insure site preparation and expectations for installation are covered prior to the Installation Date. Customer must comply with all Site Requirements (and other terms set forth in this Product Packet for each Parata Product prior to installation and training). The Project Manager will provide a project plan documenting Pre-Installation Critical Tasks to be completed prior to install. If the site is not in compliance with all requirements prior to install it can impact Parata’s ability to complete all installation procedures in time and may result in a non-planed secondary visit to complete installation or training. Please insure that the pharmacy point of contact responsible for overseeing the project is familiar with the site preparation guide.
ACCUCOUNT SCALES
The AccuCount scale must be placed on a solid, vibration-proof base and kept away from drafts (open door, windows, air vents, etc.). Excessive vibration or air current may slow the device’s operations and cause inaccuracies. The scale must be protected from direct sunlight and excessive temperature fluctuations.

The RxCheck operating mode requires a barcode be placed on each Customer prescription label representing the Drug Number (NDC or DIN) being dispensed.
Customer further agrees to promptly comply with any additional reasonable requirements of Parata to prepare the Facility for the Parata Product, including without limitation, providing the necessary interface, network platform and data wiring necessary to properly install and operate the Parata Product.
MAX UNITS
Environmental Conditions:
The temperature where the Max Unit will operate should remain between 55 to 80 degrees Fahrenheit with humidity up to 70% RH (non-condensing). The ambient lights should be normal, indoor and indirect.
Space Requirements:
The area where the Max Unit is to be installed must have proper structural support and adequate space for installation and service. The location where the Max Unit is installed must accommodate a footprint of approximately 13 square feet and 1700-2000 lbs. of weight resting on four leveling feet.
Electrical Requirements:
The Max Unit requires a 120 V, 20A, 60Hz dedicated circuit terminating in NEMA 520 T-slot receptacle. A dedicated supply circuit must be provided as well. Parata will provide an uninterruptible power supply to protect against power surges and power failures.
Data Requirements:
In order for the Max Unit to communicate with the Pharmacy Management System, the pharmacy must provide one category 5, RJ-45 cable and network jack. In addition, the pharmacy must make arrangements with the host software vendor to obtain the appropriate interface to allow for seamless communications between the Max Unit and the Pharmacy Management System. Two IP addresses are required (i.e., one for Parata Max and one for label printer).
Installation requirements:
The Customer is responsible for making all changes to cabinetry, furniture, or other architectural and design modifications required to deliver, install and implement the Max Unit. In addition, the Customer is required to prepare the pharmacy as specified in Parata’s Installation Requirements Documentation. Upon completion of the installation, the Max Unit shall be considered successfully installed and the Customer will be required to sign an “installation authorization form”, confirming successful implementation of the Max Unit.
Support Requirements:
To facilitate technical support, the Facility must provide external connectivity via a broadband connection or a dedicated analog phone line.
MINI UNITS

Backup software The Pharmacy 2000 application includes a built-in utility that allows you to automate daily backups of the Pharmacy 2000 databases. You can direct backups to the Pharmacy 2000 server or to a destination elsewhere on your pharmacy network.
Parata does not test third-party backup software for use with Pharmacy 2000 (whether such third-party software is installed directly on the Pharmacy 2000 server or workstations, or whether it accesses those devices over your network). If you choose to use third-party software to back up the Pharmacy 2000 application and/or database files, or to back up any other files residing on the Pharmacy 2000 server or workstations, Parata recommends that you perform such backups outside of normal business hours. Parata is not responsible for complications resulting from the installation or maintenance of third-party backup software.
Terminal server Client Access Licenses (CALs) Pharmacy 2000 workstations configured as Fill and/or Check stations run the Pharmacy 2000 application via remote-desktop connection to the Pharmacy 2000 server. In order to enable Pharmacy 2000 Fill/Check stations to connect to the server, the Pharmacy 2000 server must be configured as a Terminal Service License Server (or you must have another server functioning in this role). Terminal server CALs are not required for workstations on which the Pharmacy 2000 client application is installed.

Installation
Customer agrees to be bound by the following terms related to initial installation and implementation of the Parata Products:
With a reasonable time after delivery of each Parata Product on the floor of Customer's Facility, provided the Customer has complied with the Site Requirements, Parata shall commence installation of the Parata Product at the specific location within Customer’s Facility, pursue installation to completion (utilizing Parata’s standard configuration) and test each Parata Product to assure that the same is operating in accordance with the Functional Specifications. The Installation Services requirements set forth herein shall not apply if the Parata Products leased/rented or purchased by Customer do not require installation by Parata technicians. Upon completion of the above procedures, each Parata Product shall be considered successfully installed (“Successful Installation”). Parata’s technician shall present to the owner or store manager or such other person on-site as has been designated by Customer with a completed authorization form showing all requirements complied with and indicating the date and time of Successful Installation. At the time of Successful Installation, Customer shall acknowledge in writing the position of the Parata Product, and will be responsible for the costs of engaging Parata to move the Parata Product to a different position at a subsequent date.
Customer acknowledges that the installation and implementation of the Parata Product may require Parata or a third party to drill holes into the floors and walls of the Facility to properly mount the Parata Product. If such drilling is required at Customer’s Facility to properly mount the Parata Product, as determined by Parata, Customer agrees that it will supervise the drilling activity at all times, that it shall be solely responsible for any damage that occurs as a result of such drilling, and that it shall indemnify and hold Parata and its affiliates harmless from any suits, fines, or other actions arising from such drilling. Such indemnity shall survive termination or expiration of the applicable Contract.
Customer agrees to permit Parata to install the Parata Product at Customer’s Facility in accordance with the terms and conditions of the Contract and information in the Product Packet (e.g., Customer must comply with the Site Requirements) on a date mutually agreed to and scheduled by the parties, such date to occur no more than one hundred twenty (120) (and in the case of PASS or Check PASS, one hundred eighty (180)) calendar days following the Contract Effective Date (such mutually agreed upon date, the “First Install Date”). Customer shall have a one time right to reschedule the First Install Date, provided Customer reschedules the First Install Date no more than two (2) months after the original First Install Date and provides Parata at least forty-five (45) days prior written notice from the original First Install Date of its intent to reschedule. In addition, if Parata representatives arrive at Customer’s Facility and are reasonably not able to install the Parata Product due to Customer’s failure to comply with its obligations hereunder (e.g., Site Requirements, facility readiness, etc.), Customer agrees to pay to reimburse Parata’s expenses associated with such delay (i.e., lodging and food expenses for personnel on-location, etc.). Notwithstanding the foregoing, should the First Install Date be rescheduled due to the fault of Parata, the parties agree to reschedule such First Install Date to a mutually agreed upon new date which such new date shall then be deemed the First Install Date.
Within the cell configuration limits of the Parata Max and Mini, and prior to the Installation Date, Parata agrees to work with Customer to achieve Customer’s optimal cell configuration for the Parata Max and/or Parata Mini, as applicable.
