PART I – INSTRUCTIONS TO OFFERORS
1. General Instructions This Request for Proposal (RFP) will result in a purchase order for the Department of Commerce, Economics and Statistics Administration to acquire Audio Visual support on a firm fixed and time and material (for travel) price arrangements.
This acquisition is being conducted in accordance with FAR Part 13, Simplified Acquisition Procedures.
The Department of Commerce intends to establish a standalone contract/order for the services described in the attached Performance Work Statement (PWS). Offerors shall provide pricing for all items included in this RFP. Award will be based on the offeror(s) that provides the best value proposal. By submitting an offer, the offeror accepts DOC’s terms and conditions and has provided pricing for all items listed.
This is a Small Business set-aside reserved for participation as Prime Contractors by either HUBZone or SDVOSB concerns only under NAICS 541611. The size standard is $15 million.
Offers shall be submitted in electronic format via email to the Contracting Officer. The following information is provided:

Proposal Due Date: Proposals are due by 9:00 pm ET, Thursday August 11, 2016.
Proposals shall be valid for a minimum of 60 calendar days.
Extension requests will not be granted.
Hard copies will not be accepted.
In response to this RFP, the Offeror shall prepare a detailed proposal sufficient for meeting all stated requirements and comply with the following general limitations and characteristics:
· Do not include marketing materials
· Submission shall be provided in electronic format
· Readable size font i.e. 10-12 font
· Offers shall be submitted in a format readable by Microsoft (MS) Word 2007, MS Excel 2007, or in text searchable PDF format, as applicable.
2. Communications and Questions Communications shall be conducted electronically by e-mail to Contract Specialist with a copy to the Contracting Officer identified in paragraph 1 above.
The due date for communications and questions concerning this RFP is any time prior to 48 hours before proposals are due. Questions received after the cutoff date will generally not be considered.
Any information given to one Offeror concerning this requirement will be furnished at the same time to other prospective Offerors, if that information is necessary in submitting a proposal, or if lack distributing the answer would be prejudicial to the other prospective Offerors.
3. Proposal Preparation Proposal materials shall be organized with a Technical, Past Performance and a Price proposal. All Sections are to be clearly separated from the other (i.e, page break, blank page divider, etc). Page breaks, dividers, cover pages and table of contents do not count towards page limits. Pricing information shall only be provided in the Price proposal.
4. Technical Proposal
This volume addresses the technical and non-priced aspects of the requirement. It shall indicate the firm’s capabilities and the means used to satisfy the requirements stated in the attached Performance Work Statement. The Offeror is encouraged to propose innovative solutions that meet DOC’s performance requirements for this procurement.

The Offeror shall describe and provide in sufficient detail to understand the following about their offered support services:
· Technical:
· Describe the qualifications and experience of the individual(s) proposed to perform the requirements.
· Describe the capabilities to meet the PWS, specifically paragraphs 3 and 14.
· Past Performance:
· Provide not more than 3 past performance references that are recent (within the past 36 months) and relevant to this requirement. The following information is required for each reference:
· Contract Number, Award Date and Contract type,
· Cost/Price – original awarded AND final (or projected final, if contract is active),
· Delivery Schedule – original AND final (or projected final, if the contract is active),
· Name, telephone number, fax number and e-mail address for the following:
· Contracting Officer (CO)
· Government Technical Representative (COR/COTR)
· Identify in specific detail for each contract listed, why or how that effort is considered relevant or similar to the effort required by this solicitation. In determining relevancy, consideration should be given to such things as product/service similarity, size and complexity, contract type, contract environment, division of company proposing, and subcontractor interaction,
· Description of any Cure Notices, Show Cause Notices issued and/or Termination or Termination proceedings for contracts that required work similar to that required by this solicitation. Detail circumstances leading to Termination proceedings and final outcome.
5. Price Proposal Page Limits: No limits
The Offeror shall provide a price proposal that reflects the fixed price to meet the requirements of the PWS. The pricing proposal consists of the cover-page and schedule of services.
The cover page shall include at a minimum:
(1) Company Name
(2) Company Address
(3) DUNS
(4) CAGE
(5) Small Business Qualifications: List all Small Business Qualifications Company Certifies (i.e. SDB, SDVOSB, WOSB, etc)
(6) Point of Contact(s) For This Proposal
(7) Point of Contact(s) Phone Number(s)
(8) Point of Contact(s) Email Address(es)
6. Evaluation Factors The Government will issue a fixed price contract/purchase order for the services required in the RFP to the responsible Offeror whose proposal results in the best value to the Government, considering both price and non-price factors.
Best value will be determined by an integrated trade-off assessment between price and non-price factors. Technical is more important than past performance and when the two are combined, they are approximately equal to price.
Based upon the results of the integrated assessment of the technical, past performance and price the Government may make an award to other than the lowest-priced offeror or the offeror with the highest technical rating if the source selection official determines that to do so would result in the best value to the Government.
A proposal receiving an “Unsatisfactory” “No/Go” or “Fail” rating in one or more factors may be removed from further consideration for award or continued evaluation.
(1) Technical
The Services offered will be evaluated as follows:
· The qualifications and experience of the individual(s) proposed to perform the requirements.
· The offeror’s capabilities to meet the PWS requirements, specifically paragraphs 3 and 14.
(2) Past Performance The Government will evaluate the relevant merits of the offeror's past performance on the basis on its record with its current and former customers. The Government will review the following areas regarding past performance:
· Timeliness – Delivery or Performance
· Management - Responsiveness
· Quality of products or services provided
· Cost control
The Government will use its discretion to determine the sources of past performance information used in the evaluation, and the information may be obtained from references provided by the offeror, the agency’s knowledge of contractor performance, other government agencies or commercial entities, or past performance databases.
(3) Price.
Proposed prices will be evaluated but not scored. The price evaluation will determine whether the proposed prices are complete, fair and reasonable.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

52.217-8 Option to Extend Services.
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within the task order period.
52.217-9 Option to Extend the Term of the Contract.
(a) The Government may extend the term of this contract by written notice to the Contractor any time prior to contract expiration, provided that the Government gives the Contractor a preliminary written notice of its intent to extend any time before the contract expires. The preliminary notice does not commit the Government to an extension
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 12 months.
SSO-52.219-1 Notice of Service-Disabled Veteran Owned or HUBZone Set-Aside (Local - JUL 2016)
(a) General.
(1) Offers are solicited only from service-disabled veteran-owned or HUBZone small business concerns. Offers received from concerns that are not service-disabled veteran-owned small business or HUBZone concerns shall not be considered.
(2) Any award resulting from this solicitation will be made to a service-disabled veteran-owned or HUBZone small business concern.
(b) Agreement. A service-disabled veteran-owned small business concern or HUBZone small business concern agrees that in the performance of the contract, in the case of a contract for—
(1) Services (except construction), at least 50 percent of the cost of personnel for contract performance will be spent for employees of the concern or employees of other service-disabled veteran-owned or HUBZone small business concerns respectively;
(2) Supplies (other than acquisition from a nonmanufacturer of the supplies), at least 50 percent of the cost of manufacturing, excluding the cost of materials, will be performed by the concern or other service-disabled veteran-owned or HUBZone small business concerns respectively;
10. Payment – (Firm Fixed Price) Payment of the prices delineated in this contract will be made after DOC’s inspection and acceptance of the deliverables and receipt of a proper invoice.
Milestone invoices may be submitted on a monthly basis for services performed.
11. Payment – (Time and Material) Time and Material payments will be made on a monthly basis after acceptance of work and receipt of a proper invoice. The Contractor shall provide sufficient detail, including fully burdened labor rates, hours worked, and receipts for material, to include travel to support the invoice.
The Contractor shall not accrue costs in excess of the amount funded under this Time and Material contract. Any work performed in excess of the amount funded is at the Contractor’s own risk.
12. Submittal of Invoices Submit invoices and required supporting documents, electronically via e-mail to the following e-mail address:
Email a copy of the invoice to the Contracting Officer and the Contracting Officer’s Representative.
Invoices shall be prepared as follows:
(a) A separate invoice shall be submitted for each billing period under this contract.
(b) Invoices shall be submitted within 10 days after delivery or performance of work, but not more frequently than monthly
(c) Include the invoice and supporting documents as an attached PDF document.
