SUPPLIES OR SERVICES AND PRICES/COSTS

This action will result in a three-year Pricing Matrix to be placed against the Northrop Grumman (NG) Indefinite Delivery/Indefinite Quantity (IDIQ) Long Term Contract, (LTC) SPE4AX-15-D-9414 for the supplies specified herein. All Terms and Conditions of SPE4AX-18-D-9443 apply.

Quantity: The exact required quantity is not known at this time. The quantities reflected in the Schedule and Pricing Matrix represent the Government’s Best Estimated Quantities (BEQs) based on the actual history and projected requirements. These BEQs do not represent a minimum or a maximum quantity. Failure of the Government to order the BEQ quantity shall not entitle the contractor to an equitable adjustment in price under the contract.

Note 1: The Government intends to award a single Indefinite Delivery /Requirements Contract for the supplies specified herein. The total period of performance for the Indefinite Delivery/Requirements Contract will not exceed three (3) years and the resultant contract will have one (1) three year ordering period. The Government anticipates a BEQ of 450 for CLIN 0001 over the entire 3 year period.

Note 2: Pricing periods will be established under a “Pricing Matrix”, included under Section J – List of Attachments, identifying kinds, quantities and unit prices for each Contract Line Item Number (CLIN) for the three year ordering period. CLINs within the solicitation may contain quantity ranges but are not limited to the quantity breakouts. Unit prices for quantity ranges should be established based on the "most economical range" falling in the particular quantity range and under the appropriate Pricing Period. The Pricing Matrix purpose is to be the Ordering Menu for all orders placed/issued over the life of the contract. The contractor is encouraged to provide economic price breaks that are considered advantageous to both the contractor and the Government. (See Pricing Matrix, Attachment 1)

Note 3: Estimated contract value is determined based on the maximum quantity under each Pricing Period extended by the applicable unit price for that period as shown on the Pricing Matrix. For purposes of proposal submission and evaluation, supporting documentation will be provided for the BEQ of each Quantity Range for each Pricing Period and will follow the parameters set forth in FAR 15.4035(b)(1) unless stated to be otherwise made available upon request.

Period of Contract Performance will begin upon date of award of contract action. Specific delivery dates shall be established upon contract award.

Note 4: Contractor shall include the following with their proposal as applicable in order to expedite processing time upon proposal receipt:

- Cost models in excel with live formulas -Actual costs from the last three years or last three completed lots Actual rate history from the last three years -Subcontract proposals/supporting data/costprice analysis reports

Note 5: Cost Model request Contractor shall submit a working Cost Model in Excel by Calendar Year and Program Year by Cost Element by CLIN that links each Work Breakdown Structure (WBS) to the applicable CLINS with a total summary by Cost Element for each Program Year and a total summary for all years by Cost Element. This Excel Cost model shall include all formulas necessary to calculate the various elements of costs shown i.e. appropriate base(s) and rate(s) and amounts. All information supporting each CLIN should be visible and verifiable in the Excel Model.

Materials: When providing a Consolidated Bill of Material (CBOM), the Cost Model should include all vendors/suppliers/subcontractors and should be able to sort by vendor. The Government requests this same information be provided by/flow down to your subcontractors and Interdivisional Work Orders (IWO).

Labor: The contractor shall provide a labor hour matrix by WBS/Task ID/Year/CLIN to include skill disciplines in Excel with live formulas.

Note 6: Transportation of items delivered hereunder shall be in accordance with DD Form 1653 attached to each delivery order issued hereunder.

Note 7: Items delivered hereunder shall be packaged in accordance with AFMC Form 158 attached to each delivery order issued hereunder.

Note 8: FAR clause(s) 52.21619, 52.21621, and 252.2167006 shall be updated at time of award to show actual dollar amounts, quantities, or dates reflective contractual terms and conditions at the time of award.

(a) Definitions. As used in this clause—

(c) Unique item identifier.

(1) The Contractor shall provide a unique item identifier for the following:

(5) Computing penalty amount. The Government will compute the interest penalty in accordance with the Office of Management and Budget prompt payment regulations at 5 CFR part 1315.

(a) Definitions. As used in this clause—

(1) “Contract financing payment” and “invoice payment” have the meanings given in section 32.001 of the Federal Acquisition Regulation.

(2) “Electronic form” means any automated system that transmits information electronically from the initiating system to all affected systems. Facsimile, e-mail, and scanned documents are not acceptable electronic forms for submission of payment requests. However, scanned documents are acceptable when they are part of a submission of a payment request made using Wide Area WorkFlow (WAWF) or another electronic form authorized by the Contracting Officer.

(3) “Payment request” means any request for contract financing payment or invoice payment submitted by the Contractor under this contract.

(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests and receiving reports using WAWF, in one of the following electronic formats that WAWF accepts: Electronic Data Interchange, Secure File Transfer Protocol, or World Wide Web input. Information regarding WAWF is available on the Internet at https://wawf.eb.mil/ .

(c) The Contractor may submit a payment request and receiving report using other than WAWF only when—

(1) The Contracting Officer authorizes use of another electronic form. With such an authorization, the Contractor and the Contracting Officer shall agree to a plan, which shall include a timeline, specifying when the Contractor will transfer to WAWF;

(2) DoD is unable to receive a payment request or provide acceptance in electronic form;

(3) The Contracting Officer administering the contract for payment has determined, in writing, that electronic submission would be unduly burdensome to the Contractor. In such cases, the Contractor shall include a copy of the Contracting Officer’s determination with each request for payment; or

(4) DoD makes a payment for commercial transportation services provided under a Government rate tender or a contract for transportation services using a DoD-approved electronic third party payment system or other exempted vendor payment/invoicing system (e.g., PowerTrack, Transportation Financial Management System, and Cargo and Billing System).

(d) The Contractor shall submit any non-electronic payment requests using the method or methods specified in Section G of the contract.

(e) In addition to the requirements of this clause, the Contractor shall meet the requirements of the appropriate payment clauses in this contract when submitting payment requests.
