Lockheed Martin’s approved comprehensive subcontracting plan is hereby incorporated by reference and made a part of this award/contract. The effective period of this plan is 1 Oct 22 to 30 Sep 23.

The following terms and conditions are taken from Lockheed Proposal/Document # Y22U0056, dated 9/13/2022 (as revised below) are hereby incorporated and made a part hereof:

3. EARLY DELIVERY

Contractor is authorized to deliver and the Customer is obligated to accept hardware delivered in conformance with the terms of this contract before the specified delivery date(s) for the item(s).

4. FINAL ACCEPTANCE

Acceptance shall be by current Band 4 Authorized Test Procedure (ATP) and documented by DD250.

5. PARTS OBSOLESCENCE / END OF LIFE (EOL) PARTS

Should components become unavailable during the period of time between proposal submission and contract award, RMS shall notify the Customer and procurement of any EOL part will be the Customer’s responsibility. However, should parts go EOL after contract award, the following process shall apply.

RMS shall notify the Customer and if possible will offer a Last Time Buy (LTB). Once a part has been identified as EOL after contract award and the parts have not already been procured, the Customer shall have the following options: a) purchase a LTB of the existing part, if available, b) have RMS perform a redesign and use a substitute part, c) Customer to redesign for a substitute part or d) terminate for convenience the requirement that uses the EOL part. Options a), b) and c) would be handled as additional scope to the contract and option d) will be handled in accordance with the termination for convenience clause of the contract.

6. NONSTANDARD PART APPROVAL REQUESTS (NSPARS)

RMS has assumed in its price that there will be no submission for Nonstandard Part Approval Requests (NSPARS). If NSPARS must be submitted, RMS shall be entitled to an equitable adjustment to price and/or schedule, as appropriate.

7. EXCUSABLE DELAYS

RMS shall not be liable for any default or non-performance caused by any occurrence beyond the reasonable control of RMS and without its fault or negligence, including but not limited to, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers.

RMS shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, and shall promptly give notice to the Contracting Officer of the cessation of such occurrence.

8. RENT FREE NON-INTERFERENCE USE (RFNIU)

Government Furnished Equipment (GFE) including Special Test Equipment (STE) is required to complete this effort. RMS will require the use of GFE on a rent free non-interference basis that is currently accountable under the following contracts during the contractual period of performance:

a) USAF Contract – B2 Digital Receiver DMS Overhaul: FA8119-18-D-0004

b) USAF Contract – B2 IPU Repairs: FA8119-20-D-0011

c) USAF Contract – B2 Legacy/Analog DMS Overhaul: FA8119-21-D-0012

The current list of GFP accountable to the contract listed above is included with this proposal under Section 1.4; however, this list is a living document and is subject to change under the accountable contract. RMS requires that the GFP listed in the living document, as it may be amended, at any particular point in time will be provided on a RFNIU basis and made available at the time of award.

RMS reserves the right to an equitable adjustment should the identified Rent Free Non-Interference Use (RFNIU) assets become unusable or unavailable

9. GOVERNMENT SOURCE OF SUPPLY / GFM PIECE PART TRANSFER

End of Life (EOL) parts have been identified on our Bill of Material (BOM). However, these parts exist in sufficient supply in the B2 Digital Receiver Overhaul: FA8119-18-D-0004 bond room.

The following quantities of GFM are required for the build of Qty four Band 4 Spares. These quantities have been bid at zero cost, and it is assumed the transfer of these parts is granted upon contract award.

10. GOVERNMENT FURNISHED INFORMATION

The software configuration of the Band 4 Line Replaceable Unit will be identified from the software developed under the Baseband/Band 4 Development contract H94003-04-D-0001 D.O. 0036.

Government identification of the software configuration shall occur in sufficient time to allow delivery per the contract schedule. Any required changes to any configuration of the previously developed software shall be handled in accordance with the changes clause of this contract.

11. DATA RIGHTS

RMS provided, as an attachment, a list of Data Rights Assertions. The assertions are contained in an attachment to this contract, and are labeled as “Rights in Technical Data Assertion.”

12. WARRANTY

There is no warranty offered, ALL OTHER WARRANTIES, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES EXPRESSED OR IMPLIED, INCLUDING THE WARRANTIES OF

MERCHANTABILITY and “FITNESS FOR A PARTICULAR PURPOSE”, ARE HERE BY DISCLAIMED.

13. OTHER TERMS AND CONDITIONS

In accordance with clause 52.249-8, Default (Fixed-Price Supply and Service) – The Contracting Officer has agreed to allow Lockheed Martin RMS to submit a plan to cure any specified failure within 30 days of notification, instead of 10 days to cure as originally defined in the clause.

(a) Definitions. As used in this clause— “Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.

“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow

(WAWF).

“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall—

(1) Have a designated electronic business point of contact in the Central Contractor Registration at https://www.acquisition.gov ; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/ .

(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern.

The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.

(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).

(c) The Competition Advocate (CA) at each contracting activity/office (as defined in DLAD 2.101) shall act as the ombudsman and attempt to resolve contractor complaints. DLA AVIATION/AOCA’s CA/ombudsman can be reached at (405) 855-3556, facsimile (405) 734-8129. Complaints which cannot be so resolved shall be forwarded to the HQ through J-72 for resolution by the DLA competition advocate. Each activity is responsible for developing procedures for executing the duties and responsibilities of its local ombudsman.

(d) The ombudsman has no authority to render a decision that binds the agency.

(e) Do not contact the ombudsman to request copies of the solicitation, verify offer due date, or clarify technical requirements.

(a) Definitions. As used in this clause—

(a) Definitions. As used in this clause-- “Global warming potential” means how much a given mass of a chemical contributes to global warming over a given time period compared to the same mass of carbon dioxide. Carbon Dioxide’s global warming potential is defined as 1.0.

“High global warming potential hydrofluorocarbons” means any hydrofluorocarbons in a particular end use for which EPA’s Significant New Alternatives Policy (SNAP) program has identified other acceptable alternatives that have lower global warming potential. The SNAP list of alternatives is found at 40 CFR part 82, subpart G, with supplemental tables of alternatives available at (http://www.epa.gov/snap/ ).

“Hydrofluorocarbons” means compounds that only contain hydrogen, fluorine, and carbon.

“Ozone-depleting substance” means any substance the Environmental Protection Agency designates in 40 CFR Part 82 as--

(1) Class I, including, but not limited to, chlorofluorocarbons, halons, carbon tetrachloride, and methyl chloroform; or

(2) Class II including, but not limited to hydrochlorofluorocarbons.

(b) The Contractor shall label products which contain or are manufactured with ozone-depleting substances in the manner and to the extent required by 42 U.S.C. 7671j (b), (c), (d), and (e) and 40 CFR Part 82, Subpart E, as follows:

(a) Definition. As used in this clause – United States or its outlying areas means—

(1) The fifty States;

(2) The District of Columbia;

(3) The commonwealths of Puerto Rico and the Northern Mariana Islands;

(4) The territories of American Samoa, Guam, and the United States Virgin Islands; and

(5) The minor outlying islands of Baker Island, Howland Island, Jarvis Island, Johnston Atoll, Kingman

Reef, Midway Islands, Navassa Island, Palmyra Atoll, and Wake Atoll.

(b) Authority. This clause implements Executive Order 14042, Ensuring Adequate COVID Safety Protocols for Federal Contractors, dated September 9, 2021 (published in the Federal Register on September 14, 2021, 86 FR 50985).

(c) Compliance. The Contractor shall comply with all guidance, including guidance conveyed through Frequently Asked Questions, as amended during the performance of this contract, for contractor or subcontractor workplace locations published by the Safer Federal Workforce Task Force (Task Force Guidance) at https:/www.saferfederalworkforce.gov/contractors/.

(d) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (d), in subcontracts at any tier that exceed the simplified acquisition threshold, as defined in Federal Acquisition Regulation 2.101 on the date of subcontract award, and are for services, including construction, performed in whole or in part within the United States or its outlying areas.

5352.223-9000 ELIMINATION OF USE OF CLASS I OZONE DEPLETING SUBSTANCES (ODS)

(a) Contractors shall not:

(1) Provide any service or product with any specification, standard, drawing, or other document that requires the use of a Class I ODS in the test, operation, or maintenance of any system, subsystem, item, component, or process; or

(2) Provide any specification, standard, drawing, or other document that establishes a test, operation, or maintenance requirement that can only be met by use of a Class I ODS as part of this contract/order.

[Note: This prohibition does not apply to manufacturing.]

(b) For the purposes of Air Force policy, the following products that are pure (i.e., they meet the relevant product specification identified in AFI 32-7086) are Class I ODSs:

(1) Halons: 1011, 1202, 1211, 1301, and 2402;

(2) Chlorofluorocarbons (CFCs): CFC-11, CFC-12, CFC-13, CFC-111, CFC-112, CFC-113, CFC-114, CFC-115, CFC-211, CFC-212, CFC-213, CFC-214, CFC-215, CFC-216, and CFC-217, and the blends R-500, R-501, R-502, and R-503; and

(3) Carbon Tetrachloride, Methyl Chloroform, and Methyl Bromide.

[NOTE: Material that uses one or more of these Class I ODSs as minor constituents do not meet the Air Force definition of a Class I ODS.]

2. Definitions. As used in this clause—

“Component,” means any item supplied to the Government as part of an end product or of another component

“Customs territory of the United States” means the 50 States, the District of Columbia, and Puerto Rico.

“Eligible product” means—

13. “Designated country end product,” as defined in the Trade Agreements (either basic or alternate) clause of this contract;

14. “Free Trade Agreement country end product,” other than a “Bahrainian end product,” a “Moroccan end product,” a “Panamanian end product,” or a “Peruvian end product,” as defined in the Buy American—Free Trade Agreements—Balance of Payments Program (either basic or alternate II) clause of this contract, basic or its Alternate II;

15. “Free Trade Agreement country end product” other than a “Bahrainian end product, “ “Korean end product,” “Moroccan end product,” “Panamanian end product,” or “Peruvian end product,” as defined in of the Buy American –Free Trade Agreements—Balance of Payments Program (either alternate IV or alternate V) clause of this contract.

“Qualifying country” and “qualifying country end product” have the meanings given in the Trade Agreements clause, the Buy American and Balance of Payments Program clause, or the Buy American--Free Trade Agreements Balance of Payments Program clause of this contract, basic or alternate.

(b) Except as provided in paragraph (i) of this clause, or unless supplies were imported into the customs territory of the United States before the date of this contract or the applicable subcontract, the price of this contract shall not include any amount for duty on--

(1) End items that are eligible products or qualifying country end products;

(2) Components (including, without limitation, raw materials and intermediate assemblies) produced or made in qualifying countries, that are to be incorporated in U.S.- made end products to be delivered under this contract; or

(3) Other supplies for which the Contractor estimates that duty will exceed $300 per shipment into the customs territory of the United States.

(c) The Contractor shall--

(1) Claim duty-free entry only for supplies that the Contractor intends to deliver to the Government under this contract, either as end items or components of end items; and

(2) Pay duty on supplies, or any portion thereof, that are diverted to nongovernmental use, other than--

(i) Scrap or salvage; or

(ii) Competitive sale made, directed, or authorized by the Contracting Officer.

(d) Except as the Contractor may otherwise agree, the Government will execute duty-free entry certificates and will afford such assistance as appropriate to obtain the duty-free entry of supplies--

(1) For which no duty is included in the contract price in accordance with paragraph (b) of this clause; and

(2) For which shipping documents bear the notation specified in paragraph (e) of this clause.

(e) For foreign supplies for which the Government will issue duty-free entry certificates in accordance with this clause, shipping documents submitted to Customs shall--
