JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

I. CONTRACTING ACTIVITY

This Justification and Approval to request authority for Other Than Full and Open Competition, Unusual and Compelling Urgency, supports requirements generated from the PEO Missiles and Space (PEOMS) Tactical Aviation and Ground Munitions (TAGM) Advanced Technology Integration (ATI) Program Office. The contracting authority for this requirement is Defense Logistics Agency � Aviation, Huntsville, Alabama, DLA-AHCA. The TAGM ATI office and DLA-A Huntsville contracting division identified the need for unusual and compelling one-time buy (OTB) contract to Intuitive Research and Technology Corporation (IRTC) CAGE 1MQC1, a small business. The Purchase Request Order Numbers (PRON) supporting this contracting action are forthcoming and will be initiated after negotiation. The Request for Proposal (RFP) number is

II. NATURE AND/OR DESCRIPTION OF THE ACTION BEING PROCESSED

Due to the circumstances described herein, this activity requests authority to acquire the development and integration of a low-rate initial production (LRIP) of 26 prototype �sensor suites� to IRTC, using Other Than Full and Open Competition as prescribed by FAR 6.302-2, �Unusual and Compelling Urgency.� This action will result in the award of a Firm-Fixed Price (FFP), One-Time Buy (OTB) contract, with a maximum contract value of . This requirement will be solicited from the following source:

III. DESCRIPTION OF THE SUPPLIES/SERVICES REQUIRED TO MEET THE

AGENCY��S NEEDS

The Government proposes an award of an OTB, on a sole-source basis, for an Advanced Technology Integration � Detroit (ATI-D) prototype system provided IRTC. The ATI-D will be a fully autonomous system containing all power, fire control, and sensors needed to shoot current Army Air-to-Ground Missiles (AGMs) family of missiles that is capable of operation in a GPS degraded environment and incorporates an EO/IR sensor, tactical laser designator, and radar.

This requirement is for the development and integration of a LRIP of 26 prototype �sensor suites.� This requirement involves production of the hardware prototype, non-recurring engineering (NRE), and integration to incorporate the sensor suite into a Government Furnished vehicle. Due to national security reasons, this sensor suite LRIP is required to be delivered and integrated in an extremely compressed delivery schedule. Deliveries are required beginning in June of 2023, at a rate of 5 each per month, with all 26 units required for final delivery by 30 November 2023. Requirements are generated by PEO Missiles and Space (PEOMS) Tactical Aviation and Ground Munitions (TAGM) Advanced Technology Integration (ATI) Program Office and will not include any Foreign Military Sales (FMS). This action will result in the award of an unusual and compelling OTB contract to be awarded in Fiscal year 2023. This contract will be known as the ATI-D contract and serve as the unusual and compelling solution to the ATI-D requirements.

This requirement is for the development of, delivery of, and integration of rapidly developed sensor suite prototype to the warfighter with increased lethality against air, ground, and surface threats. These sensor suites prototypes are needed for national security reasons. The Government shall own the data rights for all integration in support of this effort. The Government shall provide software and firmware as government furnish information (GFI) required for the integration of the sensor suites and vehicles kits. The system itself does not contain classified information, but the information, capability, and drawings will be sensitive in nature. The ATI-D sensor suite is considered a prototype, with limited production quantities of 26 each. Other deliverables for this effort include �build to� drawings and training manuals.

The objective of this contract is to satisfy an unusual and compelling urgency need related to a PEOMS TAGM ATI national security requirement to have full delivery within eight months of contract award. Without this unusual and compelling buy, the TAGM ATI would be unable to meet current real-world warfighter missions and would be detrimental to national security. See attached Unusual and Compelling Memorandum.

The Government anticipates execution of this contract with IRTC will result in the award of a FFP, OTB contract containing terms and conditions, to be awarded in Fiscal year 2023, using FY23 OMA and FY23 RDT&E Army appropriations.

IV. STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN

COMPETITION

10 U.S.C. §3204(a)(2), as implemented by FAR 6.302-2 Unusual and Compelling Urgency Will Satisfy Agency Requirements.

V. DEMONSTRATION THAT THE CONTRACTOR��S UNIQUE QUALIFICATIONS

OR NATURE OF THE ACQUISITION REQUIRES THE USE OF THE AUTHORITY

CITED ABOVE

This will be a sole source procurement based upon the authority of 10 U.S.C. §3204(a)(2), as implemented by Federal Acquisition Regulation 6.302-2. IRTC has been determined to be the only source with the engineering and logistical expertise, capability, and technical data to manufacture and deliver the material, and provide the design that will satisfy requirements generated by DLA and TAGM ATI in support of customers worldwide. All technical data is to be delivered to the Government with unlimited rights per DFARS 227.7103-5(a).

The requirement to document the contract file set forth by FAR 6.303-1(a)(1) will be met.

Through market research report provided by the customer (see attachment) and contracting activity, the contracting officer determined the only approved source is IRTC, a small business, who is capable of providing the parts/services and the intent is to use this FFP, OTB.

VI. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS DEEMED

PRACTICABLE

Three vendors were identified in the source selection process: Intuitive Research and Technology Corporation Cage Code (IRTC) CAGE 1MQC1, Teledyne FLIR CAGE 14925, and Simulation Technologies Cage Code (Sim-Tech) CAGE 6W917. DLA sent a request for information to all three vendors of 24 February 2023 with a response date of 1 March 2023. Teledyne and Sim-Tech both provided no bids, while IRTC provided a bid in full compliance with the RFI. As a result, this requirement is sole source per FAR 6.302-2(b)(1).

VII. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND

REASONABLE

The Contracting Officer has determined the anticipated cost to the Government of the supplies and services covered by this Unusual and Compelling J&A will be fair and reasonable. IRTC will be required to provide certified cost or pricing data in accordance with FAR Part 15 for non-commercial items. A review of the proposed prices will be conducted where the Government will review IRTC cost data, to include proposed labor hours, types and quantities of material, historical material prices and other direct costs. Profit will be negotiated using the Weighted Guidelines Method. TAGM ATI project office will be doing the technical evaluation on this effort.

Should data other than certified cost or pricing data be utilized, the Government's negotiation objective will be developed using local technical analysis, negotiated direct and indirect rates, and profit using the Weighted Guidelines Method. Detailed documentation and justification of price reasonableness will be disclosed in the official price negotiation memorandum, as required, to be prepared upon completion of negotiations.

VIII. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULTS, OR STATEMENT OF THE REASONS MARKET RESEARCH WAS

NOT CONDUCTED

Market research report (see attached), as defined in FAR 10.001 was conducted. Request for Information (RFI) was sent to the following vendors on 24 February 2023 with responses due by 1 March 2023: Intuitive Research and Technology Corporation Cage Code (1MQC1), Teledyne FLIR Cage Code (14925), and Simulation Technologies Cage Code (6W917). IRTC was the only vendor willing to bid if solicited with the other 2 vendors listed submitted no bids.

IX. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN

FULL AND OPEN COMPETITION

As detailed herein, IRTC is the only known source with the engineering and logistical expertise, capability, and technical data to manufacture and deliver the services and supplies described.

IRTC unique technical expertise with specialized engineering with support infrastructure makes it the only company capable of providing support of the magnitude and complexity needed, further supporting why this requirement for weapon systems support to improve the level of availability is not suitable for Full and Open Competition. IRTC is a small business and has history of providing similar weapon system prototypes through multiple contracting vehicles. Their capabilities drive test planning and design standards to help improve acquisition and research and development outcomes throughout the different programs. Due to the nature of the requirement, IRTC needed to be able to accessible to Redstone Arsenal, Alabama, to build the kits onsite.

X. LIST OF SOURCES, IF ANY, THAT EXPRESSED INTEREST IN THE ACQUISITION

As stated in previous paragraphs, Request for Information (RFI) was sent to the following vendors on 24 February 2023 with responses due by 1 March 2023: Intuitive Research and Technology Corporation Cage Code (1MQC1), Teledyne FLIR Cage Code (14925), and Simulation Technologies Cage Code (6W917). XI. A STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO

REMOVE OR OVERCOME ANY BARRIERS TO COMPETITION BEFORE MAKING

SUBSEQUENT ACQUISITIONS FOR THE SUPPLIES

Due to the complex nature of this work, there is no opportunity at this time to remove barriers to competition at the prime contractor level. The Competition Advocate will review the requirements to verify that all requirements can be completed by IRTC. As stated above, IRTC, a small business, is the only known source who voiced a willingness to participate with the capability of furnishing the required logistics support.

Future requirements will nevertheless be advertised in the SAM.gov in order to ensure that potential alternate sources are aware of the requirement and can identify interest in support for these items.
