IT IS THE RESPONSIBILITY OF ALL THOSE SUBMITTING OFFERS IN REPLY TO THIS REQUEST FOR QUOTE (RFQ), TO READ, UNDERSTAND
AND COMPLY WITH THE TERMS, CONDITIONS AND RESTRICTIONS OF THIS SOLICITATION.
THIS PROCUREMENT IS BEING SOLICITED AS A TOTAL SMALL BUSINESS SET ASIDE. THE GOVERNMENT WILL MAKE AN AWARD, AS A RESULT OF THIS SOLICITATION, TO THE RESPONSIBLE OFFERER, OFFERING THE LOWEST PRICE, WHOSE OFFER CONFORMS TO ALL THE TERMS AND CONDITIONS SET FORTH IN THIS SOLICITATION. TECHNICAL ACCEPTABILITY IS DEFINED AS THE ABILITY TO MEET ALL TECHNICAL SPECIFICATIONS AND MEET ALL OTHER TERMS AND CONDITIONS OF THIS SOLICITATION.
THIS ACQUISITION IS BEING PROCESSED UNDER THE AUTHORITY OF FAR 13.5, “SIMPLIFIED PROCEFURES FOR CERTAIN COMMERCIAL ITEMS” AND THEREFORE WILL UTILIZE SIMPLIFIED PROCEDURES FOR SOLICITING COMPETITION, EVALUATION, AND AWARD
DOCUMENTATION AND NOTIFICATION THAT COMPLY WITH FAR 13.5.
THIS SOLICITATION IS FOR A SINGLE FIXED PRICE CONTRACT FOR 730 EA.
EACH OFFEROR’S PRICE PROPOSAL WILL BE EVALUATED FOR PRICE REASONABLENESS. CERTIFIED COST AND PRICING DATA WILL NOT BE REQUIRED PER FAR 15.403-1(B)(3); HOWEVER, THE CONTRACTING OFFICER MAY REQUIRE SUPPORTING PRICE DATA, SUCH AS COPIES OF
COMMERCIAL CATALOGS OR SUBSTANTIATION OF ESTABLISHED MARKET PRICING.
IN ACCORDANCE TO FAR 12.404 (b) EXPRESS WARRANTIES OFFEROR’S ARE REQUIRED TO OFFER THE GOVERNMENT AT LEAST THE SAME WARRANTY TERMS, INCLUDING OFFERS OF EXTENDED WARRANTIES, OFFERED TO THE GERNERAL PUBLIC IN CUSTOMARY COMMERICAL
PRACTICE.
THE CONTRACTING OFFICER MAY UTILIZE ON-LINE REVERSE AUCTIONING AS A MEANS OF CONDUCTING PRICE DISCUSSIONS UNDER THIS SOLICITATION. IF THE CONTRACTING OFFICER DOES NOT CONDUCT A REVERSE AUCTION, AWARD MAY BE MADE ON THE BASIS OF INITIAL OFFERS OR FOLLOWING DISCUSSIONS NOT USING REVERSE AUCTIONING AS A PRICING TECHNIQUE. IF THE CONTRACTING OFFICER DECIDES TO USE ON-LINE REVERSE AUCTIONING TO CONDUCT PRICE NEGOTIATIONS, THE CONTRACTING OFFICER WILL NOTIFY OFFERORS OF THIS DECISION AND THE PROVISIONS OUTLINED IN DLAD CLAUSE 52.215-9023 WILL APPLY.

DELIVERY: MATERIAL UNDER THE TERMS OF THIS CONTRACT SHALL BE DELIVERED WITHIN THE NUMBER OF DAYS SPECIFIED IN THE CONTRACT. NOTWITHSTANDING ANY OTHER PROVISIONS/CLAUSES OF THIS CONTRACT, NO DELIVERIES SHALL BE MADE PRIOR TO
ISSUANCE OF THE CONTRACT (STANDARD FORM 1449).
ALL ITEMS DELIVERED UNDER THIS CONTRACT SHALL BE SHIPPED IN ACCORDANCE WITH THE FREIGHT SHIPPING INSTRUCTIONS LISTED
ON THE APPLICABLE CONTRACT.
DELIVERY IS REQUIRED: 270 DAYS AFTER DATE OF CONTRACT ; HOWEVER, IF VENDORS CAN NOT MEET THIS DELIVERY SCHEDULE OFFERORS MAY INSERT A MORE SUITABLE DELIVERY SCHEDULE UNDER DLAD 52.211-9051 TIME OF DELIVERY OF THE REQUEST FOR
PROPOSAL.

FIRST ARTICLE TESTING (FAT) REQUIRED - PERFORMED BY CONTRACTOR
REQUIREMENTS:
ALL FAT ITEMS SHALL BE SOURCE INSPECTED, UNLESS A WAIVER IS GRANTED PRIOR TO AWARD.
THE GOVERNMENT RESERVES THE RIGHT TO REINSTATE FAT REQUIREMENTS ON ANY MANUFACTURER, EVEN THOUGH WAIVED, IF THEIR
PARTS ARE FOUND TO BE UNACCEPTABLE.
FAT REVIEWS BY THE GOVERNMENT TO INCLUDE WRITTEN APPROVAL OR DISAPPROVAL (REASONS FOR) WILL REQUIRE UP TO 120 DAYS.
A VENDOR WILL NORMALLY BE ALLOWED ONLY ONE ATTEMPT TO RECEIVE FULL OR CONDITIONAL APPROVAL. FAILURE TO RECEIVE APPROVAL OF FIRST ARTICLE, WILL, AT THE DISCRETION OF THE GOVERNMENT, RESULT IN TERMINATION OF THE CONTRACT.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.204-23 PROHIBITION ON CONTRACTING FOR HARDWARE, SOFTWARE, AND SERVICES DEVELOPED OR PROVIDED BY
KASPERSKY LAB AND OTHER COVERED ENTITIES (JUL 2018) FAR
As prescribed in 4.2004, insert the following clause:
(a) Definitions. As used in this clause --
Covered article means any hardware, software, or service that --
(1) Is developed or provided by a covered entity;
(2) Includes any hardware, software, or service developed or provided in whole or in part by a covered entity; or
(3) Contains components using any hardware or software developed in whole or in part by a covered entity.
Covered entity means --
(1) Kaspersky Lab;
(2) Any successor entity to Kaspersky Lab;
(3) Any entity that controls, is controlled by, or is under common control with Kaspersky Lab; or
(4) Any entity of which Kaspersky Lab has a majority ownership.
(b) Prohibition. Section 1634 of Division A of the National Defense Authorization Act for Fiscal Year 2018 (Pub. L. 115-91) prohibits Government use of any covered article. The Contractor is prohibited from --
(1) Providing any covered article that the Government will use on or after October 1, 2018; and
(2) Using any covered article on or after October 1, 2018, in the development of data or deliverables first produced in the performance of the contract.
(c) Reporting requirement. (1) In the event the Contractor identifies a covered article provided to the Government during contract performance, or the Contractor is notified of such by a subcontractor at any tier or any other source, the Contractor shall report, in writing, to the Contracting Officer or, in the case of the Department of Defense, to the website at https://dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.
(2) The Contractor shall report the following information pursuant to paragraph (c)(1) of this clause:
(i) Within 1 business day from the date of such identification or notification: The contract number; the order number(s), if applicable;
supplier name; brand; model number (Original Equipment Manufacturer (OEM) number, manufacturer part number, or wholesaler number); item description; and any readily available information about mitigation actions undertaken or recommended.
(ii) Within 10 business days of submitting the report pursuant to paragraph (c)(1) of this clause: Any further available information about mitigation actions undertaken or recommended. In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of a covered article, any reasons that led to the use or submission of the covered article, and any additional efforts that will be incorporated to prevent future use or submission of covered articles.
(d) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (d), in all subcontracts, including subcontracts for the acquisition of commercial items.

(a) The Contractor shall test 2 unit(s) of Lot/Item 9340-01-439-2377 as specified in this contract. At least 14 calendar days before the beginning of first article tests, the Contractor shall notify the Contracting Officer, in writing, of the time and location of the testing so that the
Government may witness the tests.
(b) The Contractor shall submit the first article test report within 30 calendar days from the date of this contract to DLA TROOP
SUPPORT ATTN: TAI NGUYEN 700 ROBBINS AVE (3-C-6144) PHILADELPHIA, PA 19111 EMAIL: TAI.NGUYEN@DLA.MIL [insert address of the Government activity to receive the report] marked “First Article Test Report: Contract No. , Lot/Item No. ” Within 120 calendar days after the Government receives the test report, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval, approval, or disapproval of the first article. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required of the Contractor. A notice of disapproval shall cite reasons for the disapproval.
(c) If the first article is disapproved, the Contractor, upon Government request, shall repeat any or all first article tests. After each request for additional tests, the Contractor shall make any necessary changes, modifications, or repairs to the first article or select another first article for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following a disapproval.
The Contractor shall then conduct the tests and deliver another report to the Government under the terms and conditions and within the time specified by the Government. The Government shall take action on this report within the time specified in paragraph (b) of this subsection. The
Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule, or for any additional costs to the Government related to these tests.
(d) If the Contractor fails to deliver any first article report on time, or the Contracting Officer disapproves any first article, the Contractor shall be deemed to have failed to make delivery within the meaning of the Default clause of this contract.
(e) Unless otherwise provided in the contract, and if the approved first article is not consumed or destroyed in testing, the Contractor may deliver the approved first article as part of the contract quantity if it meets all contract requirements for acceptance.
(f) If the Government does not act within the time specified in paragraph (b) or (c) of this subsection, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay.
(g) Before first article approval, the acquisition of materials or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first article approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for the convenience of the Government.
(h) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the offeror/contractor and have been accepted by the Government. The offeror/contractor may request a waiver.

(a) The Government requires delivery to be made according to the following schedule:

The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. If the offeror proposes no other delivery schedule, the required delivery schedule above will apply.

(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term “working day” excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.

252.211-7005 SUBSTITUTIONS FOR MILITARY OR FEDERAL SPECIFICATIONS AND STANDARDS (NOV 2005) DFARS As prescribed in 211.273-4, use the following clause:
(a) Definition. “SPI process,” as used in this clause, means a management or manufacturing process that has been accepted previously by the Department of Defense under the Single Process Initiative (SPI) for use in lieu of a specific military or Federal specification or standard at specific facilities. Under SPI, these processes are reviewed and accepted by a Management Council, which includes representatives of the Contractor, the Defense Contract Management Agency, the Defense Contract Audit Agency, and the military departments.
(b) Offerors are encouraged to propose SPI processes in lieu of military or Federal specifications and standards cited in the solicitation. A listing of SPI processes accepted at specific facilities is available via the Internet at http://guidebook.dcma.mil/20/guidebook_process.htm (paragraph 4.2).
(c) An offeror proposing to use an SPI process in lieu of military or Federal specifications or standards cited in the solicitation shall
(1) Identify the specific military or Federal specification or standard for which the SPI process has been accepted;
(2) Identify each facility at which the offeror proposes to use the specific SPI process in lieu of military or Federal specifications or standards cited in the solicitation;
(3) Identify the contract line items, subline items, components, or elements affected by the SPI process; and
(4) If the proposed SPI process has been accepted at the facility at which it is proposed for use, but is not yet listed at the Internet site specified in paragraph (b) of this clause, submit documentation of Department of Defense acceptance of the SPI process.
(d) Absent a determination that an SPI process is not acceptable for this procurement, the Contractor shall use the following SPI processes in lieu of military or Federal specifications or standards:
