FOR OTHER THAN FULL AND OPEN COMPETITION
1. IDENTIFICATION OF THE AGENCY AND CONTRACTING ACTIVITY.

2. NATURE AND/OR DESCRIPTION OF THE ACTION BEING APPROVED.
This justification authorizes and approves the use of other than full and open competition for the procurement of brand name specific Micro Focus licenses, maintenance and support on a sole source basis. The award of a firm fixed price contract is contemplated.
3. A DESCRIPTION OF THE SUPPLIES OR SERVICES REQUIRED TO MEET
THE AGENCY’S NEEDS/ESTIMATED DOLLAR AMOUNT.
DLA has a requirement for Micro Focus software licenses and support for DAAS. The requirement is for a 12-month base period of performance from October 1, 2018 through September 30, 2019 and includes a (1) six-month period. Micro Focus will continue to provide software maintenance and support to all supported versions of the Micro Focus license software in both binary and source form, including all security updates, bug fixes, and unlimited access to technical support throughout the noted period of performance.
The estimated cost for the base period is for the 12-month base and 6-month periods.

4. IDENTIFICATION OF STATUTORY AUTHORITY PERMITTING OTHER
THAN FULL AND OPENCOMPETITION:
The statutory authority permitting other than full and open competition is 10 U.S.C. 2304 (c)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302-1, only one responsible source and no other supplies or services will satisfy agency requirements. The acquisition is for Micro Focus license, maintenance and support which is a brand-name product peculiar to one manufacturer, Micro Focus, Inc. In accordance with FAR 6.302-1(c)(1), the use of the brand name (Micro Focus) description is essential to the Government’s requirements, thereby precluding consideration of a product manufactured by another company. Furthermore, in accordance with FAR 6.302-1 (b)(1)(i), a sole source award is appropriate because the agency’s minimum needs can only be satisfied by unique supplies or services available from only one source or only supplier with unique capabilities.
5. DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE
QUALIFICATIONS OR THE NATURE OF ACQUISITION REQUIRES USE OF
CITED AUTHORITY:
The subject procurement is being made in accordance with FAR 6.302-1(b)(i) and FAR 6.302- 1(c)(1), only one responsible source and no other supplies or services will satisfy agency requirements. Only Micro Focus and the Micro Focus brand name are capable of satisfying the Government requirements.
MicroFocus COBOL is currently used on over 800 DAAS programs. MicroFocus COBOL is the standard development software to support the requisitioning and distribution of supplies with transaction history, data formatting, and reporting for all combatant commands as well as other DoD agencies. This integrated and distributed architecture included the MicroFocus software solution to develop, test and debug mainframe COBOL applications. Failure to continue with the standardization of this software license will have significant long term impacts to the strategic goals of DLA for the reduction of operational costs for non-standardized systems. Infrastructure costs to change to an other than requested (OTR) brand are estimated to be approximately $350,000 to purchase new software with an additional $300,000 in labor and $45,000 for training also estimated to add to the replacement costs.
These costs are derived from estimates from the open market to replace existing software already in place. Based on DLA estimates, a team of (5) people would require 6-months to perform the uninstall/install and program software to replace Micro Focus COBOL. The labor and training cost estimates also include the time for systems engineers to take classes in order to learn the new software. Utilizing an other than requested (OTR) brand would result in DAAS experiencing substantial duplication of cost that could not be expected to be recovered through competition, as well as, an unacceptable delay in fulfilling the agency’s requirement.
MicroFocus COBOL is needed in order to maintain standardization of the software supporting the requisitioning and distribution of supplies relied upon by DOD, combatant commands and other DoD agencies. Failure to maintain MicroFocus COBOL would result in a disruption to standardization efforts by requiring the uninstall/reinstall of new software solutions and training of employees which would take at least six months. Such a delay and disruption would seriously hinder DAAS’s ability to support requisition, distribution and reporting software needed by DLA and DoD combatant commands. Any delays would hinder efforts to support and/or standardize software related to requisition and distribution which increases the potential for delayed transactional accounting and reporting and increases the risks of corrupted data and for bugs to arise. Failure to maintain this standardization initiative would be a problematic to DLA’s customers who require MicroFocus COBOL.
At present, the sole distributor of the required proprietary Micro Focus license, maintenance and support required by DAAS is Micro Focus. Micro Focus license, maintenance and support is proprietary to Micro Focus, Inc., and no other company’s product can meet, or be modified to meet, the Government’s needs. Only Micro Focus license, maintenance and support will support DAAS. There are no other Micro Focus resellers for this product support.
6. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE
SOLICITED FROM AS MANY POTENTIAL SOURCES AS ISPRACTICABLE:
The solicitation will be posted on FedBizOpps in accordance with FAR 5.201 (b).
7. DETERMINATION BY THE CONTRACTING OFFICER THAT THE
ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND
REASONABLE:
As the Contracting Officer, I hereby determine that the anticipated cost to the Government will be fair and reasonable based on price analysis in accordance with FAR 15.404-1. It is anticipated that the Government will use various price analysis techniques including, but not limited to a comparison of proposed prices with the Independent Government Cost Estimate.
The Contracting Officer will determine prices fair and reasonable prior to award.
8. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE
RESULTS OR A STATEMENT OF THE REASON MARKET RESEARCH WAS NOT
CONDUCTED:
Micro Focus, Inc. is the only firm that provides Micro Focus license, maintenance and support.
Micro Focus, Inc. provided DLA with an official letter stating that they are the only company that not only manufactures the software but also the only company that provides authorized maintenance of the software. Therefore, no further market research of alternate sources was conducted.

At this time, MicroFocus license, maintenance and support, provided by MicroFocus, is the only product that will support the DLA's requirements and meets the Government's needs. However, DLA has, and continues to exercise full and open competition as often as possible and is required to conduct ongoing reviews to keep abreast of new technology, both within industry and the Government, as a continuing effort. Furthermore, DLA utilizes a variety of vendors, manufacturers, and contracts to fulfill its requirements, and will continue the practice of surveying the market to ensure that, to the extent possible, future requirements are acquired using full and open competition procedures.
