Statement of Work

Medi-Span Master Drug Data Base v2.5 (MDDB®) License

I. SCOPE

A. Purpose

The purpose of this Statement of Work (SOW) is to obtain an annual license agreement to receive weekly updates of the Medi-Span Master Drug Data Base v2.5 (MDDB®), a product licensed by UpToDate, Inc.

Drug information from the MDDB® database will be used to support the analysis of Medicare Prescription Drug data and other legislative functions, such as quality monitoring, program integrity, coverage, and oversight, within the scope of the Medicare Part D Drug Benefit Program by the Medicare Drug Benefit and C & D Data Group and the Medicare Parts C and D Oversight and Enforcement Group.

UpToDate, Inc is the only source of the MDDB®. Updated daily, MDDB® provides a comprehensive drug file with the very latest pricing, descriptive information, and National Drug Code (NDC) on brand, generic, prescription, and OTC medications. MDDB® is the industry’s leading comprehensive drug file and it provides timely and accurate information to support multiple application needs.

II. Contractor Requirements

The contractor shall furnish all of the necessary services, qualified personnel, material, equipment and facilities not otherwise provided by CMS, as needed, to perform the requirements of this SOW.

B. Technical Specifications

All right, title, and interest in and to the Licensed Product, and all information therein, including all copyrights and other intellectual property inherent therein or appurtenant thereto, are, and all times shall remain, the sole and exclusive property of UpToDate, Inc. This is not a sale of the Licensed Product but rather is a limited, non-exclusive, non-transferrable, term license granted by UpToDate, Inc. for the use of Licensed Product only in conformance with this SOW. The Licensed Product is considered confidential information of UpToDate, Inc.

C. Specific Tasks to be Performed

· Delivery of Medi-Span Master Drug Data Base v2.5 (MDDB®) on a weekly schedule

· Format of Delivery: Electronic delivery via secure-website

· File Type: Full refresh

III. Period of Performance

The period of performance for this task order is base year plus four year option from the day of the award. During the period of performance, the Contractor will perform all the tasks identified in this SOW and turn over to CMS all the products, materials, and records associated with the tasks. The Contractor may not use any information gained from the SOW for any purpose unless prior approval is received from CMS.

Option Year One:One year from the end of the Base Year
Option Year Two:One year from the end of the Option Year One
Option Year Three:One year from the end of the Option Year Two

IV. Options

The Government has the authority to exercise any option periods or the optional task during the period of performance of the task order.

V. Confidentiality

As a result of this Task Order, the Contractor may have access to confidential information (i.e. information considered proprietary as well as information that may fall under the Privacy Act). The Contractor shall not disclose any such information or findings to any parties other than the Project Officer and staff assigned to this effort. Appropriate administrative, technical, procedural and physical safeguards shall be established by the GSA Schedule Contractor to protect the confidentiality of the data and to prevent unauthorized access to such data.
