SOLICITATION NARRATIVE

ADDENDUM TO 52.212-1, INSTRUCTIONS TO OFFERORS – COMMERCIAL

1. The Army Contracting Command – Rock Island (ACC-RI) hereby issues the solicitation, W9098S21Q0020, for Brand Name Miller Electric Weld Power Supplies in support of the Rock Island Arsenal, Joint Manufacturing and Technology Center (RIA-JMTC). This solicitation is issued in accordance with Federal Acquisition Regulation (FAR) Part 12 (Acquisition of Commercial Items) and FAR Part 13 (Simplified Acquisition Procedures).

The Government intends to award one (1) Firm Fixed Price (FFP) Contract to the lowest price, responsive, and responsible contractor whose quote conforms to the terms and conditions of the solicitation and represents the lowest total evaluated price. Contractors are responsible for providing their best price at the time of the quote submission. Contractor’s responsibility will be determined as outlined in FAR 9.104-1. The Government intends to evaluate the quotes and issue an award without discussions with Offerors (except for clarifications as described in FAR 15.306(a)).

2. Performance will be in accordance with the RIPD: E4000-21-9-16 in Attachment 0001.

3. Delivery of the Weld Power Supplies Quantity of 8 each is due 4 weeks ADC and the option for 3 additional (if exercised) is due within 6 months of award.

4. Please note that the Option is listed with the maximum quantity for evaluation pruposes only. As stated in Federal Acquisition Regulation (FAR) 52.217-5, evaluaiton of this option does not obligate the Government to exercise this option. Additionally, the Government reserves the right to exercise any portion of this CLIN up to the maximum quantity identifed in the CLIN, at the quoted unit price.

5. Offeror must complete the following provisions. Failure to comply may result in your quote being considered non-compliant.

- FAR 52.204-24 – Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment (August 2020)

- FAR 52.223-22 – Public Disclosure of Greenhouse Gas Emissions and Reduction Goals – Representation (December 2016)

PLEASE NOTE: Offeror is cautioned to ensure that their quote is fully complete, including all fill-ins and blanks in the solicitation. Pricing should be documented directly on the CLIN information in the solicitation.

6. Quote shall be valid for a period of 60 calendar days from the required submission date. Quote shall be submitted via email to Contract Specialist, Carrie Holub at carrie.l.holub.civ@mail.mil.

7. Payment will be made by the Defense Finance and Accounting Service (DFAS) via Wide Area Workflow

(WAWF).

8. On time delivery is very critical. Therefore, the contractor must adhere to the delivery requirements indicated in the subsequent award. Failure to comply with the contractual delivery schedule in the subsequent award may result in termination of the order or require consideration if the Government elects to extend the delivery. The Government is not required to extend the delivery schedule if you encounter delays. The non-availability of raw materials, subcontractor issues, scheduling conflicts, etc. are not acceptable excuse for failing to meet the delivery schedule in the subsequent award.

Early delivery is authorized and is encouraged in the subsequent award, but must be approved and coordinated in advance of the due date with the Contract Specialist and/or Contracting Officer designated in the subsequent contract. If there is going to be a delay in delivery, the vendor is required to notify the Contract Specialist and Contracting Officer designated in the subsequent contract.

9. RECEIVING HOURS OF OPERATION:

Monday – Friday, 6:30A.M. to 2:00P.M. Central Time.

Deliveries before or after the above stated hours will be turned away.

Attention: Rock Island Arsenal (RIA) is at a Health Force Protection Condition (HPCON) Bravo. The installation is restricted to key and essential personnel only, contractors and deliveries; it remains closed to non-official visitors and recreational visitors. RIA will suspend all current year-long passes and make other changes limiting access to RIA to official business. These changes are being made to limit the opportunity for COVID-19 transmission.

Effective Immediately: Rock Island Arsenal (RIA) Visitor Access Passes are issued to individuals, not companies.

All visitors, to include transportation and freight services, official and unofficial, are highly suggested to pre-register at least three (3) business days in advance. Pre-registering visitors allows for the NCIC-III background check to be conducted before the individual visits RIA, reducing the wait time necessary to complete the check.

All visitors must complete a Visitor Access Request Form. Access Request Forms should be emailed or faxed prior to the delivery. The Visitor Access Request Form can be found at http://www.usagria.army.mil/AccessRequests.

Follow the instructions on How to Obtain a Visitor Pass. All first time visitors must process through the Moline Gate Visitor Center.

TRUCKS MUST ENTER THROUGH MOLINE, IL GATE, OFF OF RIVER DRIVE IN MOLINE I-74.

Transportation Service Providers are required to send drivers with proper identification who meet all the installation access requirements. Transportation Service Providers are required to send United States Citizens and drivers that will pass applicable background checks. Failure to do so can result in warnings or non-use. Real-ID access implementation is active at Rock Island Arsenal, IL. Individuals using a driver’s license from the states of Minnesota, Missouri, and Washington are not compliant with the standards of the REAL ID Act and cannot be used on their own as a primary means of identification to apply for access to Rock Island Arsenal. Drivers Licenses that have written on the top of them, “NOT FOR FEDERAL IDENTIFICATION PURPOSES” are also non-compliant.

These non-compliant driver’s license or state issued identification cards may still be presented at the Rock Island Visitor Control Center, but they must be accompanied by one of the following secondary forms of identification before a records check is conducted and installation access is granted:

SUPPLEMENTAL INFORMATION

ADDENDUM TO 52.212-4, CONTRACT TERMS AND CONDITIONS – COMMERCIAL

1. SHIPPING/DELIVERY INSTRUCTIONS AND INFORMATION

A. The complete purchase order number (starts with W9098S) MUST be on the outside of the shipping container(s). This number must also appear on all packing slips, invoices, bills, or any communications regarding this order.

B. A Packing List must be included with each shipment.

C. Shipment or Delivery to any address other than the “SHIP TO” address designated in the purchase order contract (Block 15 of the SF1449) may result in a delay in payment.

D. Any changes in the “SHIP TO” address must be approved by a written contract modification from the

Contracting Officer.

2. ROCK ISLAND ARSENAL SAFETY REQUIREMENTS

A. All Contractors and Contractor personnel coming on to the Rock Island Arsenal must comply with the Rock Island Arsenal/Joint Manufacturing and Technology Center (RIA-JMTC), other Arsenal island safety requirements and all federal, state, and local safety laws and regulations.

B. Contractors must provide their employees with, and the employees must use, all required safety equipment necessary for the work they are performing and/or the areas they are in.

C. This includes safety glasses, safety shoes, proper clothing, proper protective equipment and rigging.

D. All drivers on Rock Island Arsenal must use seatbelts at all times when driving a motor vehicle.

3. ROCK ISLAND ARSENAL LAW ENFORCEMENT, SECURITY, AND FIRE PREVENTION

REQUIREMENTS

A. Any contractor personnel entering Rock Island Arsenal (RIA) as a result of this order are required to adhere to all regulation governing safety, law enforcement, security, and fire prevention in effect at the time of entrance. Failure to comply with said regulation may result in immediate removal from RIA.

The contractor shall bear full responsibility of the consequences of said removal. Further clarifications of RIA regulations are available from the Contracting Officer of this order.

B. BADGING: ALL contractors who are performing services within the confines of Rock Island Arsenal are required to obtain a visitor badge. Contractors shall coordinate with Contracting Officer/Specialist and (if applicable) the Contracting Officer’s Representative (COR) designated for the contract/order.

C. Contractors are required to display provided visitor badges above the waist in a conspicuous place on the upper part of the body. Badges are accountable and are required by the recipient to be safeguarded at all times to prevent theft, loss of misuse by unauthorized personnel.

D. PARKING: All parking is on a first come, first served basis, provided the parking space is not posted with a reserved, visitor, or handicapped parking sign. Parking is allowed in “marked” spaces only. All valid spaces are clearly marked with white lines on both sides of the space. Vehicles parked in other than valid spaces are subject to being issued parking tickets.

E. Contractors will not be allowed in restricted areas of the Rock Island Arsenal without proper identification and authorization.

F. INSPECTIONS: All contractor employee’s vehicles, equipment, and packages are subject to inspection or examination at entry/exit of the Rock Island Arsenal.

G. SMOKING/VAPING POLICY: Indoor smoking/vaping is not permitted. Outside smoking/vaping must occur at least 50 feet from any building entrance and exit.

4. PHOTOGRAPHIC EQUIPMENT RESTRICTIONS

There are restrictions on the use of photographic devices in all non-public areas of Rock Island Arsenal. This includes digital cameras, cell phones, and PDAs with cameras. You must get permission to use any type of photographic device in any non-public area on Rock Island Arsenal. All requests must be coordinated with the Contracting Officer’s Representative (COR) or designated Contracting Officer for this effort prior to using any photographic device.

5. CONCEALED CARRY RESTRICTIONS

Concealed carry permits do not apply on military installations. Contractors and delivery drivers shall ensure there are NO weapons or ammunition in their vehicles prior to entering the installation; a K-9 unit will find and alert if any prohibited items are detected.

52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO

SURVEILLANCE SERVICES OR EQUIPMENT (OCT 2020)

The Offeror shall not complete the representation in this provision if the Offeror has represented that it “does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument” in the provision at 52.204-26, Covered Telecommunications Equipment or Services--Representation, or in paragraph (v) of the provision at 52.212-3, Offeror Representations and Certifications--Commercial Items.

(a) Definitions. As used in this provision--

Covered telecommunications equipment or services, critical technology, and substantial or essential component have the meanings provided in clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Contractors are not prohibited from providing--

(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for “covered telecommunications equipment or services”.

(d) Representation. The Offeror represents that it [ ] will, [ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation.

(2) Explanation of the proposed use of covered telecommunications equipment and services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b) of this provision;

(3) For services, the entity providing the covered telecommunications services (include entity name, unique entity identifier, and Commercial and Government Entity (CAGE) code, if known); and

(4) For equipment, the entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known).

52.211-14 NOTICE OF PRIORITY RATING FOR NATIONAL DEFENSE, EMERGENCY PREPAREDNESS, AND ENERGY PROGRAM USE (APR 2008)

Any contract awarded as a result of this solicitation will be DO rated order certified for national defense, emergency preparedness, and energy program use under the Defense Priorities and Allocations System (DPAS) (15 CFR 700), and the Contractor will be required to follow all of the requirements of this regulation.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2020)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Reasonable inquiry” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
