52.204-21 BASIC SAFEGUARDING OF COVERED CONTRACTOR INFORMATION SYSTEMS (JUN 2016)

(a) Definitions. As used in this clause--

Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

(End of clause)

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2020)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code(s) and small business size standard(s) for this acquisition appear elsewhere in the solicitation. However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.

Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. (a) The Government will award a contract resulting from this solicitation to the responsible offeror(s) whose offer(s) conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

The quotation shall consist of three (3) parts: (1) Technical Acceptability; (2) Past Performance, and; (3) Price. The award will be made to the lowest priced technically acceptable (LPTA) offeror with acceptable past performance.

Offeror(s) will be required to submit a quote that will be evaluated in accordance with the specifications and provisions of the solicitation.

Offeror(s) are reminded to submit technical description(s) as specified in FAR 52.212-1(b)(4).

Quotations will be evaluated as follows:

1. Technical Acceptability

2. Past Performance

3. Price

(1) TECHNICAL ACCEPTABILITY

Quotations submitted by each offeror will be evaluated in accordance with the specifications provided in the solicitation, FAR 52.212-1 Instruction to offerors, and Addendum to FAR 52.212-1 and determined to be either acceptable or unacceptable.

Technical Evaluation Ratings Rating Description Acceptable Submission clearly meets the minimum requirements of the solicitation.

Unacceptable Submission does not clearly meet the minimum requirements of the solicitation.

Room/units will be inspected by representatives of the Government as part of the technical evaluation. Room inspections will take place on or around the week of 01/04/21. The government will set the schedule of room/units inspection all offered properties shall accommodate the government inspections. The government will inspect at a minimum one of each room or unit type proposed by offerors at all property being offered. Any property not willing or able to be inspected will not be allowed to be used for award.

Room/units inspectors will assign a rating of "yes" or "no" for each Specification provided in performance work statement. For a proposed property to be considered technically acceptable, all ratings must be "yes," meaning the proposed property is in compliance with the Specifications. At the discretion of the Government, proposed properties that have previously been inspected by PNS, and occupied under a recent historical PNS lodging contract within the last twenty-four (24) months will not be required to be re-inspected.

If the technical submittal is determined "Unacceptable", it renders the entire quote technically unacceptable. Technical submissions that do not meet the minimum requirements will be rated as "Unacceptable" and will no longer be considered for further competition or award.

(2) PAST PERFORMANCE

Past performance is a measure of whether an offeror has satisfied customers in the past. Past Performance will be rated as “Acceptable” or “Unacceptable,” focusing on performance that is recent and relevant to the contract requirements. For the purposes of this selection, recent past performance is defined as contracts performed within five

(5) years immediately prior to the date of solicitation issuance.

Trends showing improving or deteriorating performance will also be considered.

The Past Performance evaluation results in an assessment of the offeror’s probability of meeting the solicitation requirements. The Past Performance evaluation performed in support of this award process does not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance evaluation process gathers existing information regarding how well the offeror has performed on past contracts.

In order to verify past performance information and determine the quality of the past performance submission, the Government may contact some or all of the references provided, as appropriate, and may collect information through questionnaires (i.e. the Past Performance Report Form), telephone interviews and existing data sources to include but not limited to PPIRS, and Contractor Performance Assessment Reporting (CPARS). The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. This past performance information will be used for the evaluation of past performance

Past performance will be evaluated on an “Acceptable/Unacceptable” basis. Any rating of unsatisfactory on past performance elements Quality, Cost Control, Schedule, or Management will render an offeror’s overall past performance rating as “Unacceptable,” and the proposal will NOT be considered for award.

Past Performance Evaluation Ratings Rating Description Acceptable Based on the offeror’s performance record, the

Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance is unknown.*

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will successfully perform the required effort.

*NOTE: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or is so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of the acceptable/unacceptable rating, “unknown” past performance shall be considered “acceptable.”

This evaluation and rating is separate and distinct from the Contracting Officer’s responsibility determination. The assessment of the offeror’s past performance will be used as a means of evaluating the relative capability of the offeror and other competitors to successfully meet the requirements of the RFP.

(3) PRICE

The vendor shall submit one (1) signed copy of the completed SF1449 Request for Quote (RFQ), and if applicable, executed copy of any and all Amendments to said RFQ. The prices quoted shall be in accordance with the solicitation, and will be evaluated on the basis of price reasonableness in accordance with FAR 13.5. Price Quotes shall be held firm for ninety

(90) days.

At minimum, offeror(s) must be able to quote the full quantity specified under at least one or more full Contract Line Item(s)(CLINs).

Vendors responding to this solicitation are advised that, prior to award, the government may request vendors to submit additional information/data to support price reasonableness such as copies of paid invoices for the same or similar items, sales history for the same or similar items, price list with effective date and/or copies of catalog pages along with any applicable discounts. Failure to submit the requested information may result in disqualification of the submitted quote.

SELECTION: The Government intends to evaluate quotations and issue an award(s) using the procedures of FAR Part Subpart 13.5 - Simplified Procedures for Certain Commercial Items

(a) The Government shall select the vendor whose quotation is determined to be the Lowest Price Technically Acceptable (LPTA) to the Government considering price, technical, and past performance as compared to other competing offerors’ proposals. The Government reserves the right to not issue an award if it is not in the best interest of the Government to make an award. Although not required, the Government prefers to award to a single offeror. This solicitation may result in more than one award. The Government reserves the right to make multiple awards if, no one vendor has the ability to meet the specifications of the solicitation as a whole. At minimum, offeror(s) must be able to quote the full quantity specified under at least one or more full Contract Line Item(s)(CLINs). To maximize savings and efficiencies, the responsible LPTA offeror capable of providing the largest quantity of units will be the first to be awarded a contract.

In the event that no contract awardee cannot provide the full number of units required in accordance with the solicitation, a second contract will be award to the next lowest responsible vendor, and so on until the maximum number of required units is achieved.

(b) Any Options excised under the authority found in FAR clause 52.217- 8 in contract(s) awarded as a result of this solicitation will be evaluated in the above forgone elevation process at time of original award.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
