PERFORMANCE WORK STATEMENT
1 BACKGROUND:
1.1 The Pearl Harbor Naval Shipyard and Intermediate Maintenance Facility (PHNSY) is a U.S. Navy regional industrial center that maintains, overhauls, and repairs vessels of the U.S. Navy. Its industrial operations provide U.S. naval forces with a wide range of services and resources located on the island of Oahu, Hawaii, with direct and indirect support submarines, surface vessels, and shore based activities in the Pacific.
1.2 The ASC Process Systems Autoclave is located at PHNSY ISRA, bldg. 683.
2 OBJECTIVE & SCOPE:
2.2 PHNSY & IMF requires an authorized ASC Process Systems Control Engineer or Service Technician to provide on-site Preventative Maintenance (PM) and any additional support, evaluation, and repairs for the ASC
Process Systems Autoclave, serial #11165, to certify it is performing to manufacturer specifications and operational to perform External Hydrostatic Pressure testing. If repairs are needed that are beyond those listed in the PWS after preventative maintenance services, an in-scope modification will be done.
3 PERFORMANCE REQUIREMENTS:
3.2 The Contractor shall be present and provide on-site PM for the ASC Process Systems Autoclave, serial #11165.
To certify the Autoclave is performing to manufacture specifications. The work is to be completed on-site.
3.1.1 Unlimited 24/7 telephone and email support, up to two site visits to include but not limited to CPC software revisions, software modifications, repairs, Autoclave modifications if required, annual preventative maintenance services per the manufacturer task list and an annual allowance of $500 for spare parts materials.
3.1.2 If travel is required by the Contractor to fulfill the requirements of this PWS the Contractor is required to make all travel arrangements in accordance with the DOD Joint Travel Regulations (JTR) and the Federal Acquisition Regulations (FAR).
3.1.3 Any hazardous waste will be disposed of by the contractor in accordance with EPA guidelines.
PERIOD OF PERFORMANCE
Contractor shall provide on-site Preventative Maintenance and any additional support per 3.1.1 for the ASC Process Systems Autoclave and certify the Autoclave is performing to manufacturer specifications.

3.4 SERVICE DELIVERY SUMMARY TABLE A

4 QUALITY ASSURANCE: The contractor shall establish a warranty policy for service provided. The warranty policy shall be submitted with the Contractor’s offer.
5 GOVERNMENT FURNISHED UTILITIES AND SERVICE: Basic utilities, including 120 volt AC, lighting will be provided.
6 CONTRACTOR QUALIFICATIONS:
6.3 The Contractor shall be an authorized ASC Process Systems personnel technical service representative, with the necessary level of expertise for performance of the deliverables described by this PWS.
6.4 Contractor shall comply with Safety and Health work practices specified in Attachment 12.2.
6.5 Contractor shall comply with environmental guidelines specified in Attachments 12.3.
6.6 The contractor shall pass a background check to gain access onto the base. The contractor will coordinate with the Technical Point of contact (TPOC) or Contracting Officer’s Representative (COR) to obtain a gate pass at building 3455 Pass Office. It is not unusual for the pass process to take an hour or more. Contractor shall be a U.S. citizen and pass a security background check. Only those individuals with favorable investigations shall be utilized on this contract. Prior to the start of work, the contractor shall provide the COR full name of all personnel working on this contract; social security number; date of birth, place of birth and citizenship. The contractor’s employees must be a U.S. citizen and registered with the Defense Biometric Identification System (DBIDS).Contractor personnel shall have a valid Driver’s license, and a vehicle pass for base access. The Contractor will submit the Base access request to Joint Base Pearl Harbor Hickam Security.
6.7 Contractor personnel shall follow all procedures in requesting and obtaining a PHNSY & IMF “Green” unescorted standard access control badge for all contractor personnel performing work. Sufficient time shall be allowed by the contractor to obtain the necessary badges prior to work. .
6.8 Should contractor personnel receive or suspect they have learned classified information beyond their level of clearance; the contractor shall identify and immediately report suspicions to the COR.
6.9 Portable Electronic Devices (PEDs): PEDs include pagers, mobile/cellular telephones (with/without cameras), personal digital assistants/job performance aids, digital imagery (still/video) devices, analog/digital sound recorders (e.g. iPod), video game devices, USB devices and devices of similar capability, functionality or design. The contractor shall strictly comply with PHNSY & IMF policies and procedures concerning the use and possession of PEDs while working on PHNSY & IMF property.
6.10 Work on this contract will not require the Contractor and its personnel to have access to Privacy, NOFORN or classified information.
6.11 Security Requirements: This contract does require a security clearance level and clearance granted by the Defense Security Service (DSS). The Contractor shall comply with the security requirements in the contract Security Classification Specification (DD Form 254), Attachment 12.1 of this PWS. A violation of this paragraph shall be a material violation of this agreement.
6.12 Contractor employees shall clearly identify themselves as a Contractor (i.e. company shirt, badge, company identification) in a visible location on the front of exterior clothing, above the waist, (except when safety or health reasons prevent such placement). Identification badges shall be worn at all times when performing work.
6.13 The Contractor performing services shall be required to comply with all Pearl Harbor Naval Shipyard & IMF rules, regulations, and training that is applicable to conduct, safety, security, and procedures governing site entry and exit. Contractor personnel will be escorted when working in sensitive areas, as required. The TPOC will make arrangements to provide escort service if required.

8 HOURS OF OPERATION: All work shall be performed during the normal working hours of 0630 to 1500 hours, daily Monday through Friday, excluding Holidays. If the Federal holiday falls on a Saturday, the holiday is observed on the preceding Friday. If the Federal holiday falls on a Sunday, the holiday is observed on the following Monday.

9 CONTRACTOR PERSONNEL
9.1 The contractor shall comply with Public Law 105-270, Section 5(2A)(A), which states that contractors will not perform inherently governmental functions. Section 5(2)(A) of this Public Law defines the term “inherently governmental function” as “a function that is so intimately related to the public interest as to require performance by Federal Government employees.” Per Section 5(2)(B), inherently governmental functions include management of Government programs requiring value judgements, conduct of foreign relations, selection of program priorities, and the direction of intelligence and counter-intelligence operations. Per Section 5(2)(C), inherent governmental functions DO NOT include, (i) gathering information for or providing advice, opinions, recommendations, or ideas to Federal Government officials; or (ii) any function that is primarily ministerial and internal in nature.”
9.2 Contractor personnel shall not manage, supervise or task Government employees or military personnel.
Contractor personnel may not make any commitment to non-DOD personnel, including a foreign official, which commits the expenditure of U.S. Government resources.
9.4 The contractor shall not provide personal services
9.5 Contractor personnel shall make clear to all individuals they engage with that they are contractor employees and not Government employees. When participating and introducing themselves during official events wherein Government, non-Government, or foreign personnel are present, contractor personnel shall identify themselves as employees of the contractor. Contractor personnel must be clearly identified (i.e. company shirt, pin, visible company ID, etc.) in a visible location as to who their employer is.
9.6 Facilities may close due to local or national emergencies, administrative closings, or other Government directed facility closings. Contractor access to Government facilities during closures is not permitted.
9.7 Personnel: In accordance with current Department of Defense and Homeland Security requirements, performance of all work under this contract is restricted to US citizens. Contractor personnel performing services shall be required to comply with all Pearl Harbor Naval Shipyard and IMF rules, regulations, and training that is applicable to conduct, safety, security, and procedures governing site entry and exit. All regulations, procedures and access/security requirements shall be obtained prior to the first day of contract performance. It is the responsibility of the Contractor to process and obtain all approvals and allow for sufficient processing time to secure access and entry to PHNSY & IMF.
10 ENTERPRISE-WIDE CONTRACTOR MANPOWER REPORTING APPLICATION
The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract via a secure data collection site. Contracted services excluded from reporting are based on Product Services Codes.
(PSCs). The Excluded PSCs are:
(1) W, Lease of Equipment;
(2) X, Lease/Rental of Facilities;
(3) Y, Construction of Structures and Facilities;
(4) S, Utilities ONLY;
(5) V, Freight and Shipping ONLY
The contractor is required to completely fill in all required data fields using the following web address https://doncmra.nmci.navy.mil . Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2020)
ALTERNATE I (OCT 2014)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision--
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications--Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs __.
