SCOPE OF WORK AND GENERAL SPECIFICATIONS FOR TURN-KEY LAERDAL

SIMULATION SYSTEM WITH SIMCAPTURE & ACCESSORIES OR EQUAL

1. Background:

GCVHCS is currently undergoing a CFM Major Renovation project on Biloxi campus’ historic Building 2. Included in the construction efforts is the facility’s replacement simulation laboratory (Sim Lab) to support our healthcare system’s Nursing Education programs and other Safety and Environmental Management service training needs. The new Sim Lab requires the outfitting of a simulation system to support (2) simulated patient rooms (a medical-surgical patient room and an intensive care patient room), a shared control room behind the patient rooms, and an integrated audio-visual simulation system that allows for instructor led simulation via GCVHCS’ current utilized simulation system, Laerdal LLEAP. Both our Nursing Education and Biomedical Engineering staff require the continued use and replacement of Laerdal or Equal system and products. This extension of Laerdal capability will allow the existing Laerdal Simulation mannequins and SimPad/LLEAP solutions maintain interoperability in new simulation lab.

2. Scope:

GCVHCS requires purchase of multiple Laerdal mannequins (SimMan 3G, SimMan ALS LiveShock, Nursing Anne), Laerdal simulation systems (SimCapture Ultraportable, SimCapture Pro On Premise, LLEAP Upgrade for SimMan 3G) or Equal for timely activation of our Building 2 Major Renovation project. The awarded Contractor shall provide the Sim Lab with a turn-key installation of all outlined products in both the IGCE and in accordance with the specifications, terms and conditions in this Statement of Work herein as well as all notated government furnished audio-visual equipment to complete the simulation system (i.e. speakers, PTZ cameras). Particularly regarding Laerdal or equal essential hardware, software, and accessories installation, the Contractor shall furnish manufacturer certified installers on site.

Product outlined in this Scope of Work shall be available for direct delivery to project site no later than March 2021 to meet current activation schedule. Awarded Contractor must follow delivery instructions outlined in Section X of this document. See noted specifications in Section 3 below.

3. Specifications for Laerdal SimMan 3G or Equal High-Fidelity Patient Simulator:

a. General Specifications

1. Must provide High Fidelity Patient Simulation capability

2. Require an adult full body manikin with articulating legs

3. Require a set of genitalia (Male/Female/blank)

4. Require a soft-sided transport case for manikin on casters (1 for torso/ 1 for legs)

5. Must weigh no more than 125 pounds (57 kg)

6. Must include a wounds kit (wound + adhesive)

7. Must include a laptop, SimPad Plus (Handheld Remote pad), (2) battery chargers, external power supply, headset with microphone, keyboard and mouse (USB) all of which is compatible with existing LLEAP software

8. Must provide an ASL 5000 Lung Adapter/Solution accessory or Equal

9. Must provide a VitalsBridge Model 300 Accessories & Cable Kit or Equal complete with LLEAP software plug-in (see specifications on VitalsBridge in Section 6.c)

b. Manikin Requirements

1. Compressor must be built into the manikin body and not interfere with the auscultation of manikin sounds.

2. Compressor must NOT cause unwanted manikin body movement.

3. Simulation Engine is internal to the manikin to ensure continued correct response to inputs and continued operation in event of communication loss.

4. Provides option for swappable, rechargeable batteries (while in use)

5. Battery charging can occur while the manikin is in operation but maintains at minimum of a 4-hour charge while not connected to battery charger (power supply)

6. Battery recharge time is no longer than 2 hours for over 75% recharge

7. Require right arm to be pre-ported for IV access

8. Includes an integrated system that allows simulation of bleeding throughout manikin

9. Automatic drug recognition, light sensitive pupils, bodily fluid excretion

10. A minimum of (5) anterior auscultation sites and (6) posterior auscultation sites

11. A minimum of (8) breath sound channels that may be independently controlled

12. Ability to perform CPR conforming to current American Heart Association (AHA) guidelines

13. Ability to work with GCVCHS facility standard ventilator (COVID Puritan-Bennett PB980) and provide simulation of advanced ventilation management (patient-ventilator synchrony issues, air trapping, ventilator triggering and evidence of ready to wean patient)

c. Simulator Requirements

1. Require Wi-Fi portability (capability to configure for a wireless operated manikin, wireless instructor tablet PC and wireless computer performing as patient monitor when needed)

2. Must be compatible with existing facility LLEAP software and SimPad configurations

3. Must provide a Simulated Patient Monitor solution to include the following configurable monitor parameters:

i. 2 EKG traces, SpO2, CO2, ABP, CVP, PAP, PCWP, NIBP, Cardiac Output, ICP, 12 lead EKG

ii. Ability for X-Rays and lab values to be inserted into simulations

4. Ability for multiple simulators to be controlled from a single workstation

5. System includes display of past, present and future scenario trending providing instructors with situational awareness during scenario

6. Ability for instructor to change the GUI and save the new lay-out or make default

7. Simulations must be able to control remotely throughout a network

8. Debriefing system combines synchronized learner log, patient monitor display, live audio and video feed

9. System is capable of operating “on the fly” in the manual mode

10. Operating system can synchronize with a Laerdal SimStore or equivalent to import scenarios and aids

11. Operating system must be a compatible with Windows 10

12. Specific Simulation Tasks must include the following:

i. Intubation: endotracheal, orotracheal, nasotracheal, first grade fiberoptic, light wand (including the ability for right main stem intubation)

ii. Needle and surgical cricothyrotomy

iii. Variable lung compliance and airway resistance

iv. Tongue edema, pharyngeal swelling and laryngospasms

v. Bilateral chest tube insertion is possible

vi. Computer screen displays the amount of air being provided during bag valve mask ventilations

vii. Bilateral and unilateral chest rise and fall

viii. CO2 exhalation

ix. Defibrillation and cardioversion

x. Cardiac pacing and capture

xi. 4-lead ECG monitoring (rates must range from minimum of 0 to max of 220)

xii. Korotkoff’s sound available

xiii. Pulses (carotid, femoral, brachial, radial, dorsalis pedis, popliteal and posterior tibialis) synchronized with ECG

xiv. Vascular access must include IO access

xv. CPR is compliant with current AHA guidelines including realistic depth of CPR compressions; detection of depth, rate and hands-off time of CPR compressions; and real time feedback on quality of CPR provided

xvi. Eye movement is silent and electronically controlled causing sensors to enter movement information into an event log

xvii. Pupil diameter automatically responds to light; synchronous and asynchronous; normal or sluggish speed

xviii. Instructor is able to simulate patient voice and phrases wirelessly via voice over IP technology

xix. Capable of displaying convulsions including seizures (tonic and clonic)

xx. Capable of forehead sweating

xxi. Produce urine; short-term and Foley catheterization possible

xxii. Vital signs auto respond to bleeding and therapy events

d. Drug Recognition System Requirements

1. Manikin must provide an automatic drug recognition system that detects drug type and dosage amount without the use of external devices/separate electrical need.

2. Manikin must identify drugs and devices via Radio Frequency (RF) ID Tag System and compatible with Laerdal provided system in use at Biloxi VA Medical Center.

3. Ability to automatically recognize when a syringe with RF ID Tag is proximity to either an IV site or mouth.

4. Ability for a flow meter to measure amount of simulated medication infused in IV arm

4. Specifications for Laerdal SimMan ALS Liveshock or Equal ALS Patient Simulator:

a. General Specifications

1. Must provide High Fidelity Patient Simulation capability for assessment to critical care

2. Require an adult full body manikin with articulating pelvis and legs

3. Require a set of genitalia (Male/Female/blank)

4. Require a soft-sided transport case for manikin on casters (1 for torso/1 for legs)

5. Must weigh no more than 75 pounds (34kg)

6. Durable construction for use in a variety of training environments while portable

7. Requires use of lithium ion batteries or newer battery technology and availability of swappable, rechargeable batteries (at least 2) while in use

8. Patient monitor connection available wirelessly or via ethernet cable

9. Must include a laptop, SimPad Plus (Handheld Remote pad), external power supply, all of which is compatible with existing LLEAP software.

10. Must provide a VitalsBridge Model 300 Accessories & Cable Kit or Equal complete with LLEAP software plug-in (see specifications on VitalsBridge in Section 6.c)

b. Manikin Requirements:

1. Must be able to support AHA training including Advanced Cardiac Life Support Course

2. Must be compatible with the following Laerdal or equal systems/software: SimPd Plus, SimView, ShockLink, and VitalsBridge all of which must maintain compatibility with existing Laerdal LLEAP system software

3. Must be wireless and tetherless to external devices/power supply for portability

4. Capability for patient monitor to communicate wirelessly

5. Compressor is self-contained within the simulator and does not interfere with auscultations

6. Compressor does not cause unwanted manikin movement

7. Manikin can operate for a minimum of (2) hours continuously when using a single battery and minimum of (4) hours when using both batteries required

8. Instructor can communicate with the learners wirelessly via built-in microphones in the manikin’s head utilizing wireless technology

c. Simulator Requirements

1. Operating system can operate via automatic mode and a manual mode

2. Simulator to be used with a web camera

3. Integrable with provided debriefing software, which combines synchronized student log, patient monitor display, live audio and video feed in a single debriefing file

4. Simulator can be operated via a wireless handheld remote and a PC

Airway Skills: stomach distention, tongue fallback and edema, breakable teeth, controllable open/closed airway (automatically or manually controlled), jaw thrust with an articulated jaw, oral and nasopharyngeal suctioning, Intubation (orotracheal, nasotracheal, endotracheal, retrograde, fiber optic and right main stem), needle and surgical cricothyrotomy, and transtracheal jet ventilation

ii. Breathing Skills: bilateral and unilateral chest rise and fall, oxygen saturation waveforms, bilateral needle thoracentesis, unilateral and bilateral chest movement, bilateral chest tube insertion

iii. Cardiac/Circulation: 2-lead ECG display, heart sounds, and ECG rhythm monitoring required; must be able to defibrillate and cariovert using live shock on the manikin with training pads; ability for pacing; CPR compressions generate palpable pulses, blood pressure wave form, and ECG artifacts;

includes realistic chest compression depth and resistance; provides automatic detection of chest compression hand placement, depth, release and frequency; must provide intraosseous access

• Must be able to use Zoll defibrillation equipment without adaptors

• QCPR feedback and scoring compliant with current AHA guidelines

5. Specifications for Laerdal Nursing Anne Manikin or Equal Patient Simulator:

a. General Requirements

1. Require an adult full body manikin with full range of motion

2. Manikin must be designed to teach basic patient handling to advanced nursing skills

3. Must operate using existing Laerdal LLEAP software via a SimPad System

b. Manikin Requirements

1. Insertion and suctioning of oropharyngeal and nasopharyngeal airway

2. Insertion, securing, and care of endotracheal tubes

3. Insertion, care, and removal of Nasoenteric and esophageal tubes

4. Tracheostomy care and tracheal suctioning

5. NG tube insertion, care, medication administration and removal

6. Gastric lavage and gavage

6. Administrative Requirements:

a. Coordination: Coordinate all work and requirements outlined in this document with the Contracting Officer’s Representative (COR), Tess Finnegan (Engineering) and/or Program Manager.

b. Pre-Installation Meetings: Contractor shall conduct a pre-manufacturing and installation meeting prior to commencing work for field verification of equipment specifications, space, and utilities requirements with the COR and VA designees.

c. Shop Drawings: Contractor shall provide a preliminary shop drawing with bid package to ensure building utility requirements are satisfied. Contractor shall provide a finalized shop drawing set including pages for product layout, elevations, and the mechanical, electrical, and plumbing requirements for all specified items in Table 1. These drawings must be approved by COR prior to production and installation of equipment/casework.

d. Scheduling: Contractor shall schedule pre-installation meetings, delivery, installation, testing, close-out, and training of all equipment in accordance with COR and VA designees.

e. Certification: Contractor must provide current factory training certificates within bid package.

8. Delivery:

Contractor shall direct deliver all product to Building 2 Loading Dock (project site) rather than to facility warehouse, Building 26. The Contractor shall deliver all materials in accordance with the manufacturer’s written instructions and in manufacturer’s original packaging with identification labels intact and sized to suit project need. Normal business hours for acceptance of deliveries are 8:00am-3:30pm, Monday thru Friday excluding Federal Holidays. Deliveries must be coordinated in advance with VA COR once a ship date is established. The COR or Biomed Representative shall be the only VA entity signing for freight received on this requirement. All items included in the requirement shall be shipped and delivered to site at same time. If deliveries must be broken into several shipments due to size, this must be coordinated in advance with the COR. Failure the coordinate shipment with COR, may result in failure to deliver on site and cause re-scheduling of delivery/freight. In event rescheduling occurs due to vendor’s failure to coordinate appropriately, all additional expenses associated will be assumed by the awarded vendor. Delivery date required based on current construction schedule will be March 2021.

a. Storage and Handling Requirements: Contractor shall store materials protected from exposure to harmful weather and temperature conditions as recommended by manufacturer prior to shipping.

b. Packaging Waste Management:

1. Contractor shall remove packaging materials and all shipping debris from site and dispose of at appropriate recycling facilities.

2. Contractor shall collect and separate for disposal all paper, plastic, polystyrene, corrugated cardboard, packaging material in appropriate binds for recycling.

3. Contractor shall fold metal and plastic banding, flatten and place in designated areas for recycling and/or trash as provided by Medical Center.

8. Installation:

Contractor shall provide all necessary installation, utility tie-in, and interface to connecting government furnished equipment to provide a turn-key Simulation Lab system complete with connected audio-visual needs outlined in this document herein. All existing utilities and government provided equipment (speakers, PTZ cameras, and server rack) in Building 2 Simulation lab are designed with requested Laerdal products as a basis of design. Simulation Lab floorplans detailing the room and utility layouts are provided as attachments to the Statement of Work. Installation of all components shall be in accordance with Original Equipment Manufacturers’ (OEM) instructions. Contractor shall adjust and calibrate equipment to specifications and ensure all pieces are functioning properly. Contractor shall employ field installers currently Laerdal or equal certified in order to provide sound installation and to not void warranty. Contractor shall furnish field installers with all tools and materials necessary to perform installation and audio-visual connection work. The government will not furnish any equipment or material (to include necessary wire and cabling) needed for Contractor installation requirements. Installation of all parts and pieces shall be coordinated with the COR and Program Manager.

a. Protection of Existing Structures, Equipment, Utilities, and Improvements:

1. The Contractor shall preserve and protect all structures and equipment on or adjacent to the work site. The contractor shall replace at his own expense damage to such items to the satisfaction of the Contracting Officer.

2. Contractor shall take all measures and provide all materials necessary for protecting and preserving existing equipment and property in affected areas of installation against dust, debris and physical damage, so that equipment and affected areas to be used in Medical Center operations will not be hindered. Contractor shall permit access to VA personnel through installation areas as required for maintenance and normal Medical Center operations.

3. When the installation area is turned over to Contractor, Contractor shall accept entire responsibility, therefore. Contractor shall maintain in operating condition, existing fire protection, alarm equipment and other operating equipment in the installation area. IT IS VERY IMPORTANT THAT ESSENTIAL AND LIFE SAFETY

SYSTEMS BE CONTINUOUSLY MAINTAINED AND NOT INTERRUPTED

WITHOUT TWO WEEKS PRIOR WRITTEN NOTICE AND APPROVAL FROM THE

VA MEDICAL CENTER.

9. Warranty and Support:

VA Biomedical Engineering will have full access to the hardware that constitutes this equipment.

The VA Biomedical Engineering point of contact must be briefed, by the vendor, on all upgrades and changes and agrees to each prior to shipment. The vendor will provide two (2) sets of user manuals and technical manuals to VA Biomedical Engineering. Additionally, Contractor shall provide the standard OEM (Original Equipment Manufacturer) warranty period for all equipment provided starting upon receipt of delivery to VA to include loaner coverage where applicable.

The following is a listing specific warranty coverage we require to be offered for equipment specified in Section 3, 4, 5, 6.c, and 6.d of this document:

a. Laerdal SimMan 3G Patient Simulator or Equal: One preventative maintenance at customer site and a minimum of a 12-month extended warranty and loaner coverage

b. Laerdal SimMan ALS LiveShock Patient Simulator or Equal: One preventative maintenance at customer site and a minimum of a 12-month extended warranty and loaner coverage

c. Laerdal Nursing Anne Patient Simulator or Equal: One preventative maintenance at customer site and a minimum of a 12-month extended warranty and loaner coverage

d. Laerdal Vitalsbridge Model 300 or Equal: Includes one day implementation service including onsite set-up of the unit, connection to the simulator and patient monitor, software updates as needed, test for functionality and an overview of VitalsBridge.

e. Laerdal SimCapture Platform or Equal: Includes software set-up, install, annual service and maintenance agreement for 12-month terms.

f. Laerdal SimPad or Equal: Replacement SimPad remote control in the event of non-warranty product failure (spills, immersion in water, breakage due to drops). Plan allows for 3 instances of free remote replacement during a 2-year period.

10. Training:

The Contractor will be responsible for providing on-site user training for the products outlined in this Scope of Work and coordinating IGCE. GCVHCS will have specific onsite (in Building 2 Simulation Lab) user training needs itemized below to be scheduled at their discretion.

Contractor will have no access to VA sensitive information during the training. Training requirement must provide the following services:

a. Teaching with LLEAP Course: Require a 1-day training on customer site for up to 8 participants. Builds on the Getting Started Course and gives the participants in-depth knowledge of the Learner App software features using LLEAP Inst PC, Pat Monitor and Session Viewer/SimView Mobile Simulator.

b. SimMan 3G Course Getting Started Course: Require a 1-day training on customer site for up to 8 participants. Course gives participants knowledge of the simulator and Instructor device operations, operating modes, and system features including its applications available.

c. SimMan ALS Course Getting Started Course: 1-day training on customer site for up to 8 participants. Course gives participants knowledge of the simulator and Instructor device operations, operating modes, and system features, and its applications.

d. Nursing/MegaCode Course Getting Started Course: 1-day educational session with a Laerdal Representative at the customer site for up to 8 participants.

e. Teaching with SimPad Course: 1-day training on customer site for up to 8 participants. Builds on the Getting Started Course and gives the participants in-depth knowledge of the Learner App software features using SimPad, Pat Monitor and Session Viewer/SimView Mobile Simulator.

f. Teaching with SimCapture Pro on Premise On-Site Course: 1-day training on customer site for up to 8 participants.

g. Ed Path Training Day: EdPath is an educational package offering multiple onsite training days for up to 8 people per day. Courses can be split up individually for a low dose-high frequency training approach and can be selected from any of our one-day course options.

SECTION C - CONTRACT CLAUSES

C.1 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL

ITEMS (OCT 2018)

(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—

(1) Within a reasonable time after the defect was discovered or should have been discovered;

and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(g) Invoice.

(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—

(i) Name and address of the Contractor;

(ii) Invoice date and number;

(iii) Contract number, line item number and, if applicable, the order number;

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and phone number of person to notify in event of defective invoice; and

(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.

(x) Electronic funds transfer (EFT) banking information.

(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) Payment.—

(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.

(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR part 1315.

(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212- 5(b) for the appropriate EFT clause.

(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall—

(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the—

(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);

(B) Affected contract number and delivery order number, if applicable;

(C) Affected line item or subline item, if applicable; and

(D) Contractor point of contact.

(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.

(6) Interest.

(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.

(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.

(iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if—

(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;

(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or

(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer (see 32.607-2).

(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.

(v) Amounts shall be due at the earliest of the following dates:

(A) The date fixed under this contract.

(B) The date of the first written demand for payment, including any demand for payment resulting from a default termination.

(vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on—

(A) The date on which the designated office receives payment from the Contractor;

(B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or

(C) The date on which an amount withheld and applied to the contract debt would otherwise have become payable to the Contractor.

(vii) The interest charge made under this clause may be reduced under the procedures prescribed in 32.608-2 of the Federal Acquisition Regulation in effect on the date of this contract.

(j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon:

(1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or

(2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b. destination.

(k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties.

(l) Termination for the Government's convenience.
