Continuation of Blocks 19 through 24 (Schedule of Services):
Provide all management, supervision, labor, supplies, materials, and equipment (except as otherwise specified herein); and plan, schedule, and coordinate as necessary to ensure effective performance of all services as specified herein. The Contractor shall be fully responsible for providing the Services/Products as indicated herein for the location listed below:

Prices shall be based on the attached Wage Determination. The Contractor shall not include any contingencies for increased labor costs for which adjustments are provided through FAR 52.222-44, Fair Labor Standards Act and Service Contract Labor Standards – Price Adjustment clause.
Contractor personnel will perform all work required in the Statement of Work (SOW) for the amounts agreed to below, excluding Federal holidays. Provision of services must comply with SOW requirements and performance schedules shall be agreed by the Government.

LOCAL CLAUSES
Unilateral Deobligation of Unexpended Funds
The contractor shall submit all invoices under the award no later than 90 calendar days after the period of performance has expired unless a request for extension has been submitted to the Contracting Officer. After 120 days has passed since the expiration of the performance period, the government reserves the right to issue a unilateral modification deobligating any unexpended funds, and to initiate closeout procedures.

AUTHORITIES AND DELEGATIONS (SEPT 2011)
(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.
(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The
COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.
(c) The COR is not authorized to perform, formally or informally, any of the following actions:
(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;
(2) Waive or agree to modification of the delivery schedule;
(3) Make any final decision on any contract matter subject to the Disputes Clause;
(4) Terminate, for any reason, the contractor's right to proceed;
(5) Obligate in any way, the payment of money by the Government
(d) The contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum.
The contractor need not proceed with direction that it considers to have been issued without proper authority.
The contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph. (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d)of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.
(f) The contractor shall provide copies of all correspondence to the Contracting Officer and the COR.
(g) Any action(s) taken by the contractor, in response to any direction given by any person acting on behalf of the
Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the contractor's risk.

DIAR 1452.228-70 Liability Insurance (JUL 1996)
(a) The contractor shall procure and maintain during the term of this contract and any extension thereof liability insurance in form satisfactory to the Contracting Officer by an insurance company which is acceptable to the Contracting Officer. The named insured parties under the policy shall be the contractor and the United States of America. The amounts of the insurance shall be not less than as follows:
• Employer’s Liability $100,000
• General Liability $500,000
• Automotive Liability o Per person - $200,000 o Per occurrence for bodily injury (other than passenger liability) - $500,000 o Per occurrence for property damage - $20,000
(b) Each policy shall have a certificate evidencing the insurance coverage. The insurance company shall provide an endorsement to notify the Contracting Officer 30 days prior to the effective date of cancellation or termination of the policy or certificate; or modification of the policy or certificate which may adversely affect the interest of the Government in such insurance. The certificate shall identify the contract number, the name and address of the Contracting Officer, as well as the insured, the policy number and a brief description of contract services to be performed. The contractor shall furnish the Contracting Officer with a copy of an acceptable insurance certificate prior to beginning the work.

Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) (April 2013)
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.
Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

The contractor must use the IPP website to register access and use IPP for submitting requests for payment. The contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of St. Louis (FRBSTL) within 3 - 5 business days of the contract award date.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-9 Option to Extend the Term of the Contract (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within any timeframe before expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.
SECTION D – STATEMENT OF WORK
ROCK CREEK PARK
Statement of Work Leaf Removal Services
1.0: SCOPE
Seasonal Landscape Clean-Up:
In the fall and early winter months varying amounts of organic material can accumulate on the turf, these leaves, limbs and other debris need to be cleaned from the flower beds, shrub beds and turf areas of Rock Creek Park reservations. Leaves, limbs, trash and other debris need to be collected and hauled away or abated by being mulched into the existing turf as an option to improve the growing conditions and quality of the turf grass in the landscape.
A. The Contractor shall provide sufficient labor, equipment, and material needed to facilitate two (2) leaf removals at each reservation/ location as listed on the attached bid schedule. Leaves shall be completely removed each time services are required. Leaves shall be disposed of outside of Rock Creek Park. The option of Leaf Abatement or Leaf Mulching is an acceptable option with additional requirements that shall apply as specified in 3.02 Leaf Collection and Abatement.
B. This work will be performed by use of tractors, grounds mower, backpack blowers, push blowers, leaf vacuum machines and hand raking.
C. This contract will be effective for a period commencing with the date of contract award through August 31, 2022. The government has the option to extend the terms of this contract for 4 additional years through the year 2026. Performance for leaf collection and/or abatement services will take place between the months of November through March.
D. The contractor shall not subcontract any work required by this contract without the express written approval of the Contracting Officer (CO). If the CO approves the Contractor to subcontract any part of the work required under this contract, a copy of any such contract shall be provided to the CO prior to commencement of work.
2.0 GENERAL PROVISIONS
2.01 Quality Assurance:
201.1 PROFESSIONAL QUALIFICATIONS:
A. All leaf collection and abatement in Rock Creek Park shall be under the direction and general supervision of an English-speaking grounds foreman who possesses verifiable experience and technical competence in leaf collection and abatement operations. All leaf collection and abatement operations shall follow safety practices, in accordance with industry standards. The foreman shall always be present when work is being performed in the park and shall be responsible for controlling the quality of work and inspecting completed work daily to ensure that specified performance requirements are met. The foreman shall be the primary contact with the Contracting Officer’s Representative (COR). Any time the contractor has staff working in the Park, the COR must have the ability to contact the foreman by telephone.
B. All workers shall, through related training and on the job experience, be familiar with the technical aspects and hazards of leaf collection and abatement and the equipment used in such operations. All workers shall abide by any code of ethics or professional conduct established by the Landscape Contractors Association of MD-DC-VA.
C. A list of all crew supervisors and workers anticipated as part of the work crews as well as their positions (i.e. tractor/mower operator, laborer, etc.), affiliation with the company, related training, and on-the-job experience shall be submitted prior to commencement of work.
D. All workers shall use required safety equipment and personal protective equipment (PPE). All equipment shall conform to current OSHA safety standards and shall have all shields and safety devices in place and operable. All workers shall be recognizable as the employees of the Contractor by wearing distinctive clothing bearing the Contractors company name and or logo.
2.01.2 VEHICLE AND EQUIPMENT REQUIREMENTS:
A. All vehicles and equipment must meet all Federal OSHA, state and local safety requirements and must be properly licensed. This includes equipment such as trucks, trailers, tractors, grounds mowers (riding and push mowers), blowers, gas cans etc. which may be needed to correctly perform leaf removal operations in accordance with the specifications stated herein. Note: All tractors and grounds mowers shall be equipped with a roll bar attachment. This requirement applies to all equipment that comes from the manufacturer with a roll bar as standard equipment or as an option.
B. Vehicle Warning Devices: All vehicles, mowers and tractors shall be equipped with amber lens vehicle strobes or revolving lights. Any equipment operating in traffic shall display fluorescent orange center-triangle slow mowing vehicle symbols.
C. A permit will be issued for each vehicle and must be kept on the vehicle at all times. The use of vehicles other than those approved and permitted by the COR is prohibited. The name or logo of the contractor must be clearly displayed on all trucks Used on the job.
D. The Contractor shall furnish necessary transportation to deliver equipment, gasoline, and personnel to the job site and between work areas.
E. Vehicles and equipment deemed by the CO to be of improper type or design or inadequate for the purpose intended shall be removed from the premises and replaced with satisfactory equipment. It is the responsibility of the contractor to ensure that all equipment is maintained in an operable and safe condition.
