Statement of Work

I. Introduction: Most minerals are crystalline and therefore scatter X-rays in a regular, characteristic way dependent on their crystal structure. Each mineral produces a unique diffraction pattern and can be identified from that pattern like a fingerprint. Identification of minerals is made by comparing their diffraction patterns with a library of mineral patterns stored in a database such as the International Centre for Diffraction Data (ICDD). Detection limits depend on the sample. For geological material, it is estimated that the minerals present in less than 2% of the sample might not be detected. The samples for X-ray diffraction analysis are ground or milled to a fine powder and then loaded into a sample holder.

Approximately one cubic centimeter of the material is sufficient for rock mineral analysis but smaller amounts can also be accommodated.

a. Background: The Petroleum Geochemistry Research Laboratory (PGRL) of the Central

Energy Resources Science Center (CERSC) of the U.S. Geological Survey (USGS) has a need for mineralogical analyses. The analysis from XRD (X-ray Diffraction) are critical to the CERSC’s research efforts and resource assessments. Specific analytical results required are: Whole rock Mineralogy where minerals are identified, and their amounts determined using a whole pattern fit or Rietveld method. Multiple research projects are currently being conducted in the CERSC that require the XRD analysis. These analyses are performed on different types of petroleum source rocks and reservoir rocks to further our understanding of the fundamental geologic processes responsible for the accumulation of major petroleum accumulations in the United States. Some of these rocks contain abundant clay minerals so identification and quantification of amorphous glass, mixed layer illite and smectite group minerals will be required on a sub-group of samples.

b. Definitions:

i. XRD: X-ray Diffraction

ii. Mineral Identification: The identification and determination of relative abundances of minerals in a mixture

iii. Reitveldt: A mathematical software package used to determine relative abundance of crystalline material in a mixture

iv. Panalytical X’pert diffractometer – x-ray diffractometer using a copper or cobalt radiation source

II. Scope: Services, non-personal, to provide all supervision, equipment, instrumentation and materials (unless otherwise already provided herein) necessary to perform mineralogical analysis on shale samples. An analysis request for 140 samples shall be submitted for whole rock XRD mineralogical analysis using Reitveldt and or whole pattern fitting techniques. A quantity of 23 samples will be submitted for whole rock mineralogy plus clay speciation.

III. Technical Requirements:

a. Analytical requirements

i. The PGRL shall send samples to contractor at the PGRL expense

ii. Contractor shall log samples into contractor laboratory sample tracking system or LIMS.

iii. Contractor shall prepare the samples for quantitative analysis using the internal standard method which shall include addition of a known amount of corundum

(or other crystalline standard) to be mixed with the sample submitted for analysis.

iv. Contractor shall report estimates for muscovite/illite, chlorite, and kaolinite. The identification and quantification of mixed layer illite, and smectite is inherently ambiguous using powder diffraction with the corundum method without additional analyses such as clay speciation.

v. Contractor shall report estimates for mixed layer illite and smectite using a clay speciation method coupled with a whole pattern fit technique for relative abundance estimates in the whole rock sample. This will only be performed on a subset of 50 samples.

vi. Contractor shall analyze samples for quantitative mineralogy using a Panalytical

X’pert Pro diffractometer or similarly configured instrument using a copper radiation source.

vii. Contractor shall report raw .xrdml files generated by the contractors lab in order to be compared to data generated in-house with PGRL X’pert Pro diffractometer’s. This is important so we can compare data since different diffractometers manufactured by different companies have different background anomalies etc. which would make data comparison difficult. The reported raw

.xrdml files will include in the title the unique ID provided for each sample by the PGRL.

viii. Contractor shall input analytical results into Excel spreadsheet, to include the following:

1. Report:

a. Each sample shall include the unique PGRL sample ID provided on the sample label.

b. All data will be reported by the contractor using the same format for all samples submitted under this contract.

2. If requested, remaining sample material will be returned to the PGRL at

PGRL expense.

3. All billing will include the PGRL unique sample ID’s.

ix. Turn around time for completion of analyses shall be no more than 6 weeks per batch submitted.

b. Criteria for acceptance of product or service:

i. Duplicate samples will be submitted to validate mineral analysis as well as analysis of blinds of known composition. If the contractor results do not meet the PGRL acceptance criteria, then the entire batch of samples are to be reanalyzed at no additional cost to the PGRL. Reanalysis is to occur within 6 weeks from the notification to the vendor that the results do not meet acceptance criteria.

ii. Refinements will be cross checked by USGS experts since there shall be agreement to share raw data files.

IV. Deliverables: The vendor will deliver the results outlined in III.a. & III.b. to the PGRL geoscientists via email. All results will remain confidential unless otherwise specifically stated by the PGRL.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller

General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

The Government may increase the quantity of supplies called for in the Schedule at the unit price specified.

The Contracting Officer may exercise the option by written notice to the Contractor with 30 days prior written notice. Delivery of the added items shall continue at the same rate as the like items called for under the contract, unless the parties otherwise agree.

52.242-17 Government Delay of Work (Apr 1984)

(a)If the performance of all or any part of the work of this contract is delayed or interrupted (1)by an act of the Contracting Officer in the administration of this contract that is not expressly or impliedly authorized by this contract, or (2)by a failure of the Contracting Officer to act within the time specified in this contract, or within a reasonable time if not specified, an adjustment (excluding profit) shall be made for any increase in the cost of performance of this contract caused by the delay or interruption and the contract shall be modified in writing accordingly. Adjustment shall also be made in the delivery or performance dates and any other contractual term or condition affected by the delay or interruption. However, no adjustment shall be made under this clause for any delay or interruption to the extent that performance would have been delayed or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an adjustment is provided or excluded under any other term or condition of this contract.

(b) A claim under this clause shall not be allowed-

(1) For any costs incurred more than 20 days before the Contractor shall have notified the

Contracting Officer in writing of the act or failure to act involved; and

(2) Unless the claim, in an amount stated, is asserted in writing as soon as practicable after the termination of the delay or interruption, but not later than the day of final payment under the contract.

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice

Processing Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor.

To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and

Conditions - Commercial Items included in commercial item contracts. The IPP website address is:

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

A copy of the Contractors internally generated invoice

The Contractor must use the IPP website to register, access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

GS1131 Unilateral Deobligation of Unexpended Funds (MAY 2013)

The contractor shall submit all invoices under the award no later than 90 calendar days after the period of performance has expired, unless a request for extension has been submitted to the Contracting Officer.

After 120 days has passed since the expiration of the performance period, the government reserves the right to issue a unilateral modification deobligating any unexpended funds, and to initiate closeout procedures.

GS0231 Technical Liaison-Technical Direction (JUL 2018)

a) The performance required herein shall be subject to the technical direction of the Technical Liaison (TL) as identified below. As used herein, "technical direction" is defined as direction to the contractor that fills in details, suggests possible lines of approach, or otherwise supplements the scope of the work set forth herein and shall not constitute a new assignment, and does not supersede or modify any article or clause of this contract.

(b) The Technical Liaison is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government. Only a warranted Contracting

Officer is authorized to obligate funds on this or any other contract action.

(c) The contractor shall immediately notify the Contracting Officer in writing if the Technical Liaison has taken an action (or fails to take action) or issues direction (written or oral) that the contractor considers to exceed the above limitations.

(d) The Technical Liaison assigned for this contract is: Will be assigned at time of award

(e) Only the Contracting Officer may designate a new Technical Liaison.

When a holiday falls on Saturday or Sunday, it is observed on the adjacent Friday or Monday, respectively.

In addition to the holidays listed above, the contractor agrees to observe leave days or closures designated by Federal Statute, Executive Order, or Presidential Proclamation.

GS1396 Release of Information (JUL 2001)

(a) Disclosure of information gained as a result of work performed under this contract shall be accomplished according to U.S. Geological Survey procedures or through USGS channels. As used in this clause, the term "information" includes raw data, data derivative there from, and analysis or interpretations thereof, regardless of form. The term includes data developed or acquired by the contractor during performance of this contract, including analysis of samples provided by the Government and samples or recordings made by the contractor during contract performance.

(b) The contractor hereby agrees not to disclose such information to the public or to unauthorized parties without the prior written approval of the Contracting Officer. This restriction does not apply to releases of information to subcontractors (including consultants) as necessary for successful performance of the contract, provided (1) such information is of no commercial value to the subcontractor, and (2) the subcontractor agrees to be bound by the restrictions in this clause.

(c) After the contents of the contractor's final report have been made public by the Government, further releases of information may be made by the contractor, except for information subject to restrictions imposed elsewhere in this contract, if any. All releases must also comply with any additional restrictions which have been determined necessary by the Contracting Officer and provided to the contractor in writing.

(d) News releases pertaining to work under this contract shall not be made at any time without the approval and involvement of the cognizant Government Public Information Office.

GS1405 Duplication and Disclosure of Confidential Data (JUL 2001)

(a) Throughout performance of the contract the contractor may have access to confidential data that is the property of the U.S. Geological Survey, as well as access to proprietary data of other than the contracting parties.
