Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) (April 2013)

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice [Contracting Officer to edit and include the documentation required under this contract]:

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of St. Louis (FRBSTL) within 3 - 5 business days of the contract award date.

52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment. (OCT 2020)

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services- Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications- Commercial Items. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision-

Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to-

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.

This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to-

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."

(d) Representations. The Offeror represents that-

(1) It [ ] will, [ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and

(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that-

It [ ] does, [ ] does not use covered telecommunications equipment or services, or use any equipment, system, or service that uses covered telecommunications equipment or services. The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.

(e) Disclosures. (1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment-

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services-

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained:

Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment-

52.204-26 Covered Telecommunications Equipment or Services-Representation. (OCT 2020)

(a) Definitions. As used in this provision, "covered telecommunications equipment or services" and "reasonable inquiry" have the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".

(c) Representations. (1) The Offeror represents that it [ ] does, [ ] does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.

52.237-1 Site Visit. (APR 1984)

Offerors or quoters are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award.

52.212-2 Evaluation - Commercial Items. (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: best value to include:

1. Technical experience, capacity and expertise to perform the required tasks within the period of performance and to meet all goals and objectives on schedule.

2. Technical approach to performing the required tasks as described in the statement of work addendum within the period of performance. The proposal shall include a narrative explaining how the work will be carried out in terms of the techniques, procedures, and cleaning schedule.

3. Past performance. The proposal shall include three examples of successful, timely completion of similar work. The examples may come from private industry, federal, state, or local government.

The following information shall be included:

-Name of the job (to include address) -Project Prime’s name -Issuing agency or company -Contract/Identification number -Start and completion dates

- Cost -Brief description of the scope of work -No less than two (2) valid references that includes:

-Agency name, point of contact, phone number, email address

Technical and past performance, when combined, are significantly more important when compared to price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, emailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

FAR 52.212-1, Instructions to Offerors—Commercial Items (NOV 2021)

ELIBILBILITY FOR CONTRACT AWARD:

In accordance with the Federal Acquisition Regulation (FAR), no agreement shall be entered into unless the Contracting Officer ensures that all requirements of the law, executive orders, regulations, and all other applicable procedures have been met. This includes the FAR requirement that no award shall be made unless the Contracting Officer makes an affirmative determination of responsibility. To be determined responsible, a prospective contractor must meet the general standards in FAR Part 9.1, and any special standards set forth in the solicitation. Offerors and quoters are required to be registered in SAM (System for Award Management) at the time an offer or quotation is submitted in order to comply with the annual representations and certifications requirements.

SUBMISSION OF QUOTES:

Offerors should submit one (1) original copy of their quote, dated and signed by an official of the company. Quotes received after date and time established for receipt will determined unacceptable and remain unopened. Submit quotes via email to merenica_banks@fws.gov no later than August 15, 2022 at 5:00 PM, ET.

QUOTE PARTS:

Submission without specific minimum content will be deemed unacceptable. Each offeror responding to this solicitation must submit to the Government its offer consisting of the documentation listed below. Such documentation shall be submitted with the offer and shall conform in every respect with the requirement of the Request for Quote (RFQ). Nonconforming offers may result in rejection of the quote. Proprietary information shall be clearly marked. Quotes should be written in a concise and straightforward manner. Superficial marketing statements and materials should be avoided.

PART I – General and Administrative Data:

1. SF 1449 “Solicitation/Contract/Order for Commercial Items” and any amendments thereto.

2. Provide your response to evaluation factors used to evaluate quotes – FAR 52.212-2. Contractors who do not respond to each evaluation factor will be considered non-responsive and quotes will not be considered. The Government reserves the right to consider as acceptable only those proposals submitted in accordance with all technical requirements set forth or referenced in the solicitation and which demonstrate an understanding of the scope of the services to be provided.

3. A valid email address and telephone number where you can be reached for future correspondence.

4. This solicitation does not commit the Government to pay any costs for the preparation and submission of a proposal in response to this solicitation.

BASIS FOR AWARD:

The source selection method used by the Government will be the best value. Best Value Award Determination will go to the offeror that best demonstrates the ability to provide high standards and exceptional performance within their quote, is currently registered in SAMS and identifies past performance that is closely related and/or identical to the Statement of Work.

The evaluation process will follow the procedures below:

1. Initial Evaluation – The Government will evaluate all quotes received to ensure that each quote is complete in terms of submission of each required volume. The Government may eliminate quotes that are missing required information.

2. Technical Acceptability Evaluation Factors – The Government will thoroughly review those quotes remaining after the initial evaluation to determine technically acceptability. The Government will review technical acceptability by reviewing the information submitted as part of the Instructions to Offerors. The Government may also review past references provide as part of the Experience and Past Performance information to verify quality of past performance.

TECHNICALLY ACCEPTABLE EVALUATION CRITERIA:

• CRITERION 1 –TECHNICAL: Must be registered in SAMS and in good standing. Must be willing to invoice through IPP for payment.

• CRITERION 2 –PRICE: Economic efficiency, pricing is reasonable and provides good value for the funds requested.

• CRITERION 3 –PAST PERFORMANCE: Technically acceptable offerors must have a record of at least satisfactory past performance as determined through contacting the offeror’s references provided. The Government reserves the right to evaluate past performance through other methods.

• At least three (3) different references shall be submitted including company name, address, telephone number, e-mail address, if available, and contact name and title.

• All projects referenced must be within the last 3 years and similar in scope.

NOTE: Failure to include enough information to determine that the acceptability requirements have been met will result in an unacceptable rating and possible elimination from further consideration for award.

Award:

Award will be made from this solicitation to the company that submits Technical and Price Proposals that conform to the SOW requirements, and who, based on the decision of the Government, offers the best value to the Government, considering primarily technical scores and secondarily, offered prices. The Government reserves the right to award a contract to any other than the lowest priced offer if, in its judgment, the technical superiority outweighs the cost difference. The Government reserves the right to award the contract to any other than the highest ranked technical proposal if, in its judgment, the potential cost savings offset a minor difference in technical scores.

(a) The Contractor shall comply with agency personal identity verification procedures identified in the contract that implement Homeland Security Presidential Directive-12 (HSPD-12), Office of Management and Budget (OMB) guidance M-05-24, and Federal Information Processing Standards Publication (FIPS PUB) Number 201.

(b) The Contractor shall account for all forms of Government-provided identification issued to the Contractor employees in connection with performance under this contract. The Contractor shall return such identification to the issuing agency at the earliest of any of the following, unless otherwise determined by the Government:

(1) When no longer needed for contract performance.

(2) Upon completion of the Contractor employee's employment.

(3) Upon contract completion or termination.

(c) The Contracting Officer may delay final payment under a contract if the Contractor fails to comply with these requirements.

(d) The Contractor shall insert the substance of this clause, including this paragraph (d), in all subcontracts when the subcontractor's employees are required to have routine physical access to a Federally-controlled facility and/or routine access to a Federally-controlled information system. It shall be the responsibility of the prime Contractor to return such identification to the issuing agency in accordance with the terms set forth in paragraph (b) of this section, unless otherwise approved in writing by the Contracting Officer.
