SOLICITATION/AWARD PROCEDURES

This Request for Quote (RFQ) is issued in accordance with the Federal Acquisition Regulation (FAR) Part 12, the acquisition of commercial items and FAR Part 13 Simplified Acquisition Procedures.

DELIVERY/PERIOD OF PERFORMANCE

The target period of performance is 204 calendar days from the date of the Purchase Order (PO) award. The initial appraisal target date is 60 calendar days from the date of award. If the target delivery dates are not achievable, then the contractor may provide justification (workload, etc.) and propose an alternative delivery date. See Section 3: Performance & Submission Requirements specified in the SOW.

TECHNICAL QUALIFICATION FOR REQUIREMENT

FACTOR A: TECHNICAL QUALIFICATIONS

1. State Certification: The appraiser must hold a valid license as a Certified General Appraiser by the

Commonwealth of Virginia as demonstrated by a copy of the State Licensing Certificate or have the ability to obtain a temporary practice permit in the State. If the appraiser is licensed in another state and applying for a license in the subject jurisdiction, he/she must provide a copy of his/her current state license. (A temporary license must also be provided by the contracted appraiser and included in the addenda of the appraisal report.)

2. Technical Acceptability:

a. Experience for Assignment: Both geographical competency and technical competency will be considered.

The contractor shall provide a standard Appraiser's Statement of Qualifications and a signed offer letter that describes and attests to the following:

i. Please provide a summary of your years of experience appraising vacant agricultural or recreational zoned tracts similar to the subject properties within the general market area or similar market areas, including the range of size of properties appraised.

ii. Please provide a summary of your years of experience appraising properties encumbered by perpetual conservation easements and/or properties involving vested interest from Deed of “Part- Gift, Part-Sale” within Virginia similar to the subject within the general market area.

iii. Please provide a summary of your years of experience appraising lands for federal acquisition under

“Yellow Book” (UASFLA) guidelines, including analysis of Before and After (Federal Rule) per UASFLA Section 1.7.1. If none, please state such.

iv. Please provide a summary of your experience with Larger Parcel analysis (UASFLA Section

1.4.6).

v. Completion of a course in UASFLA is considered. Please provide a statement indicating whether a course has been completed, including the year of completion.

b. Qualifications of Associate Appraisers: Sub-contracting of this assignment is not permissible. Any associates expected to contribute to the appraisal must be identified in the quote and a statement of qualifications and a copy of their license or permit must be provided.

c. Initial Delivery Date: Target date for initial delivery of the appraisal reports to the AVSO Reviewer is within 60 days from the date of engagement. Earlier delivery is preferable and will be given consideration but is not a requirement.

FACTOR B – PAST PERFORMANCE

1. Past Performance

a. Submit a list of at least two (2) of the most recent UASFLA-compliant appraisal reports completed. Include property type, size of property, date of value, location, and the client contact information for reference purposes. If none completed, please state such.

b. Submit a list of at least two (2) of the most recent appraisal reports completed for agricultural and/or recreational lands similar to the subject properties within the general market area or similar market areas. Include property type, size of site, date of value, location, and the client contact information for reference purposes. If none completed for this property type, please state such.

c. Submit a list of at least two (2) of the most recent appraisal reports completed for property encumbered by perpetual conservation easement and/or properties involving vested interest from Deed of “Part-Gift, Part-Sale” within Virginia similar to the subject within the general market area or similar market areas. Include property type, size of site, date of value, location, and the client contact information for reference purposes. If none completed for this property type, please state such.

d. Submit a list of at least two (2) of the most recent appraisal reports completed that required Larger Parcel analysis and/or consideration of the Federal Rule (a/k/a Before and After analysis). Include property type, size of site, date of value, location, and the client contact information for reference purposes. If none completed for this property type, please state such.

FACTOR C: PRICE QUOTE

a. The Quoter must provide a firm-fixed price quote with any and all discounts applied for all the work to complete the assignment described in the Statements of Work (SOWs).

b. Price quotes will be evaluated for completeness and reasonableness.

EVALUATION OF QUOTATIONS

FAR 52.212-2 Evaluation-Commercial Products and Commercial Services (Nov 2021)

a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

Award of this Purchase Order will be made on a Best Value/Trade Off basis.

Technical Qualifications and Past Performance when combined, are more important than the Price Quote.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

Further past performance determinations in federal contracting shall be made through a review of relevant information listed within the System of Award Management (SAM) and the Contractor Performance Assessment Reporting System (CPARS).

SECTION 1 – Subject Identification & General Information

Intended Users The intended users of the report(s) are the client (AVSO) and the U.S. Fish and Wildlife Service (FWS) on behalf of the United States of America (USA).

Intended Use The appraisal report will be used by FWS in conjunction with negotiating the acquisition of a perpetual conservation easement on the subject property with the current landowner. It is not intended for any other use.

Property Description

As the interest to be acquired constitutes a partial acquisition (conservation easement interest), a Before and After valuation must be completed in which the appraiser develops opinions of both the market value of the larger parcel before the acquisition of the proposed conservations easement, and the market value of the remainder interest after the proposed conservation easement acquisition.

The difference between the “before” and “after” values is also reported in a partial acquisition. The conservation easement itself is not specifically appraised. Appraisers should note that this methodology constitutes two separate valuations within the same assignment. (Uniform Appraisal Standards for Federal Land Acquisition (UASLFA) Sections 1.2.7.3.4, 1.7, & 4.6.5)

Please refer to items #4 of the Special Appraisal Instructions on page 7 of this SOW for additional valuation instructions.

The subject property is an approximately ±703.67-acre tract east of the Rappahannock River south of Carters Wharf Road and west of Newland Road. The subject property has road frontage on Newland Road, a public way, in Singerly, an unincorporated community in Warsaw, Richmond County, VA. This is an irregularly shaped tract and is recorded as the following Richmond County parcel numbers:

Garlands Creek and Mud Hole Swamp are both located within the bounds of the subject parcel. Garlands Creek is located, and traverses through, the northwesterly portion of the subject parcel. The easterly and a portion of the southeasterly boundaries of this subject parcel extends to and runs along Mud Hole Swamp.

In the “after” acquisition condition, the subject property will be encumbered by a Deed of Easement for Wildlife Habitat and Cultural Conservation. The ±703.67-acre proposed conservation easement area is to be managed as part of the Rappahannock River Valley National Wildlife Refuge. (see the attached Draft Easement for a description of the proposed conservation easement.)

It is anticipated that additional and expanded descriptive information on the subject’s attributes will be uncovered during a physical inspection and due diligence research by the Appraiser. Additional maps identifying the property to be encumbered will be provided to the appraiser awarded the contract. The Appraiser must immediately notify the AVSO Review Appraiser of any significant discrepancies in the property description provided above. This may result in amended instructions.

Personal Property

None.

Appraiser’s Use of Consultant’s Reports It is unknown if there is merchantable timber of contributory value located on the subject property. Please notify the AVSO Review Appraiser if you determine a timber cruise is necessary to achieve credible assignment results (note: this notification generally occurs subsequent to inspecting the subject property and often after completing preliminary highest and best use analysis and identifying potential comparable sales). Please note that justification supporting your determination that a timber cruise is necessary to achieve credible assignment results must be provided to the AVSO Review Appraiser. Assuming adequate support exists, the AVSO Review Appraiser will contact FWS to coordinate for a timber cruise to be completed. This may result in the purchase award with the engaged Appraiser needing to be adjusted to accommodate the procurement of the timber cruise and the period of performance may need to be adjusted to accommodate completion of the cruise and appraisal assignment. Should a timber cruise be necessary, please note that Section 1.13 of UASFLA states “the appraiser cannot merely accept such consultant reports as accurate, but rather must analyze such reports and adopt them only if reasonable and adequately documented and supported. The results of secondary valuation reports (minerals, fixtures, or timber valuations) cannot simply be added to the value of the land to arrive at a value of the property as a whole.

To do so would violate the unit rule and professional standards. The appraiser must consider these components of the property in light of how they contribute to the market value of the property as a whole.”

Property Access Legal and physical access to the subject tract is via Newland Road and a deeded easement from Carter’s Wharf Road as depicted on the enclosed maps.

Legal Description FWS provided a preliminary land description of the subject tract as cited in the above tract description with the acreage to be appraised as 703.67 and is identified by FWS as Tract RPP (64C1). A copy of the deeds with legal descriptions will be provided to the appraiser awarded the contract.

Property Interests to be Appraised

(1) As per legal opinion dated August 14, 2024 issued by the Office of the Solicitor (SOL) of the Department of the Interior, the property rights to be appraised “before” acquisition comprise the fee simple interest, subject to easements, rights-of-way and restrictions/reservations of record (see title commitment);

(2) and, the property rights to be appraised After Acquisition comprise the fee simple interest, subject to easements, rights-of-way and restrictions/reservations of record as described for the “before” acquisition scenario, and to the terms and conditions of the proposed perpetual Deed of Easement for Wildlife Habitat and Cultural Conservation (see Draft CE in Exhibits).

Be Advised: The scope of work under, UASFLA Section 1.7, will require the appraiser to report the difference between the two value conclusions noted above. Please also refer to the title commitment, legal opinion, and Extraordinary Assumption cited in Section 2 of this Statement of Work.

Reservations/Outstanding Rights

The appraiser is directed to a title commitment dated September 4, 2024 provided by FWS, a copy of which will be provided to the appraiser awarded the contract. Easements, rights, provisions, terms, conditions and other reservations are identified as exceptions in Schedule B, Part II of the title commitment.

In the “after” acquisition condition the property interest to be appraised is also subject to a Deed of Easement for Wildlife Habitat and Cultural Conservation (see Draft CE in Exhibits).

There are no additional reservations, easements, restrictions, or outstanding rights that have been identified by FWS for the properties to be acquired or specifically noted within the most recent vesting deeds. Please note that any recorded or unrecorded documents, conditions, agreements, reservations, easements and/or encumbrances discovered during a due diligent investigation, in the “normal course of business”, must be identified and discussed in the appraisal report in relation to the impact on value. The Appraiser must investigate for and promptly report additional or inaccurate encumbrances on the tracts to the AVSO Review Appraiser. This may result in amended instructions.

The AVSO Division of Mineral Evaluation (DME) states the parcels are outside of any known hydrocarbon or mineral producing area. Datasets such as USGS's Mineral Resources Data System, local aerial imagery (Google Earth, Digital Globe), and IHS Enerdeq were reviewed for relevant mineral information. There are no recognized mineral development or mineral valuation issues.

Larger Parcel

As this request is for a proposed federal acquisition, the Appraiser must identify the larger parcel, or larger parcels (should multiple larger parcels be determined), which satisfies the tests of unity of title, unity of highest and best use (integrated use), and contiguity as it relates to the highest and best use. Larger Parcel analysis should consider all factors according to UASFLA and note that FWS tract numbers should have no influence on the analysis. UASFLA requires that the Appraiser’s analysis that led to the Larger Parcel determination and the determination itself be reported. This is considered an integral part of the highest and best use analysis. (UASFLA 1.2.7.3.1, 1.4.3-1.4.7, 2.3.3.1, & 4.3)

The area of the proposed conservation easement is approximately 703.6664 acres in total, across several contiguous tax map parcels identified by Richmond County, all held by a unified ownership. FWS has identified no other contiguous or proximate lands under the same or similar ownership. The appraiser must conduct all research necessary for a well-supported Larger Parcel(s) conclusion presented in the appraisal.

UASFLA requires that the appraiser’s analysis that leads to the Larger Parcel determination and the determination itself be reported and is considered an integral part of the highest and best use analysis. It is ultimately the Appraiser’s responsibility to identify any and all additional lands contiguous or proximate to the subject property having unity of ownership in conjunction with unity of highest and best use for the purposes of determining the larger parcel(s).

It is requested that the Appraiser please notify the AVSO Review Appraiser in advance, after property inspection, concerning the Appraiser’s preliminary larger parcel determination.

Appraisal Standards

Market Value Market Value is the amount in cash or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of value, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property. (Uniform Appraisal Standards for Federal Land Acquisitions,

1.2.4 of 6th Edition) This definition of value must be placed in the Scope of Work section of the report in accordance with UASFLA 2.3.1.8.

Date of Value The date of value is to be the date of the last property inspection, which should be within 30 days of the date of the initial appraisal report.

Extraordinary Assumptions (EA’s) A title commitment dated September 4, 2024 has been provided by FWS, and a copy is included in the Subject Property Exhibits. Easements, rights, provisions, terms, conditions and other reservations are identified in Schedule B of the title commitment. Included in the commitment’s Schedule B exceptions are

“Terms, conditions and easements set forth in Deed recorded October 31, 2023”

Additionally, a legal opinion dated August 14, 2024 regarding the above terms, conditions and easements set forth in the vesting deed was provided by the Office of the Solicitor (SOL) of the Department of the Interior (see Subject Property Exhibits). Please be aware the SOL opinion predates issue of the date of the title commitment. Given the incongruencies between the legal opinion and title commitment, the appraiser is instructed to employ the following Extraordinary Assumption:

“This appraisal is made subject to the Extraordinary Assumption that the title encumbrance (#15 in Schedule B, Part II) which states ‘Terms, conditions and easements set forth in the Deed recorded October 31, 2023’ will be removed from the title commitment prior to closing.

Therefore, the terms and conditions referenced in the noted vesting deed are not considered as an encumbrance that restricts the use of the property on the open market.

All other title encumbrances are in full effect. In the event the enumerated restrictions in the terms, conditions, and easements set forth in the vesting deed, recorded October 31, 2023, are not removed from title prior to closing, the appraisal report and stated value conclusions will not be valid and are not to be relied upon for a federal acquisition purposes.”

If the Appraiser determines that additional extraordinary assumptions are necessary for credible assignment results, he/she must contact the AVSO Review Appraiser for prior written approval.

Hypothetical Conditions (HC’s)

None. If the Appraiser determines that a hypothetical condition is necessary for credible assignment results, he/she must contact the AVSO Review Appraiser for prior written approval.

Jurisdictional Exceptions (JE’s) Opinions of market value for federal acquisition purposes shall not be linked to a specific opinion of exposure time [UASFLA, 6th Ed., Section 1.2.4, 1.2.7.2 and 4.2.1.2 (legal basis)], unlike other appraisal assignments subject to USPAP [Standard Rule 1-2(c) and 2-2(a)(vi)]. This exclusion of exposure time requires the use of a Jurisdictional Exception (JE) to USPAP. (Refer to page 15 of USPAP for proper reporting.)

If the Appraiser believes that USPAP’s Jurisdictional Exception Rule is needed to comply with any other additional law or UASFLA regulation, he/she must contact the AVSO Review Appraiser to obtain prior written approval.

Please also note that in accordance with UASFLA, Section 1.2.4, estimates of marketing time are not appropriate and must not be included in appraisal reports prepared to UASFLA standards.

Placement in Report

The Appraiser must clearly identify and discuss the implications of any authorized Extraordinary Assumptions and Hypothetical Conditions (including a statement that their use might have affected the assignment results) within the Scope of Work section of the appraisal report along with the Jurisdictional Exception (assignment condition) per UASFLA Section 2.3.1.8. Please also identify any authorized EAs and HC’s wherever the final value conclusion is stated.

Property Inspection

The Appraiser must physically inspect the subject property. The owner’s representative has given permission to enter the property to conduct an inspection. The document granting permission to appraise is included in the attachments. Please contact the owner’s representative directly, after engagement, to arrange a date and time for inspection. You must notify the AVSO Review Appraiser, in advance, when the property inspection will occur.

For appraisals with an intended use of acquisition, the Appraiser must certify in the report that he/she extended an offer to the property owner (or the owner’s representative) to accompany him/her during the property inspection. [Uniform Relocation Assistance & Real Property Acquisition Policies Act of 1970 (PL 91-646) as amended and the Uniform Appraisal Standards for Federal Land Acquisitions, 6th Ed. (Section 2.3.1.4)]

Pre-Work Meeting/Conference Call

The engaged Appraiser will be required to participate in a pre-work meeting by telephone with the assigned AVSO Review Appraiser. The AVSO Review Appraiser will coordinate the date and time of the pre-work meeting directly with the Appraiser once engagement has been initiated.

Controversies/Issues

Should the Appraiser identify controversies or issues during the course of assignment, immediately notify the assigned AVSO Review Appraiser.

Legal Instructions

A copy of the legal opinion for the acquisition will be provided to the contracted appraiser upon award.

Special Appraisal Instructions

1. Even though communication is encouraged with the property owner or representative and the client agency, only AQD Contracting Officer, in conjunction with the assigned AVSO Review Appraiser can modify appraisal instructions (in writing).

2. The Appraiser may not communicate assignment results to any party except AVSO unless authorized to do so in writing by AVSO.

3. Any communication (verbal or written) with the client agency realty contact shall include the assigned AVSO Review Appraiser.

4. The area of acquisition is estimated to contain 703.6664 acres, with the actual acreage to be acquired dependent upon completion of a formal survey. Consequently, if the larger parcel is appraised on a “per acre” basis (versus on a “per lot” or “per site” basis), it is requested that in addition to stating the final value conclusion of the larger parcel within the appraisal report, the unit value (e.g., $XX/acre) be stated along with the range of acreage within which that unit value would be valid (e.g., $XX/acre is valid for a range of XX-XX acres or within ±X%). This is an assignment condition and to be reported as such within the appraisal report.

NOTE TO INTENDED USER: This range in acreage for the concluded unit value is only applicable to the footprint of the final surveyed acreage for the appraised larger parcel(s) and considers no material changes to the physical characteristics of the larger parcel(s). This tool is only intended to assist the acquiring agency in recalculating/rectifying the value of the appraised larger parcel(s), after completion of the survey. It is not intended for use by the client to add additional lands/tracts to the proposed acquisition or to allow the retention/removal of lands/tracts from the proposed acquisition by the landowner as a result of negotiations after the appraisal has been completed. Addition or removal of a tract(s) from the proposed acquisition could change the physical characteristics of the property and require amendment of the appraisal or reappraisal. This is an assignment condition to be mentioned in the scope of work section of the appraisal report.

General Appraisal Requirements & Instructions

1. The Appraiser must hold a valid license as a Certified General Appraiser as demonstrated by a copy of the state certificate. (Valid credentials would also include those issued under a reciprocity agreement and/or those characterized as “temporary” under the jurisdiction’s licensing and certification statutes where the subject is located and must also be provided if applicable.)

2. This AVSO Statement of Work, any assignment specific written legal instructions/opinions, and pages

1 & 2 of the Contract Award document must be included within the Addenda to the appraisal report along with the Appraiser’s license, to include temporary if applicable, and qualifications.

3. All appraisals complying with UASFLA should reasonably conform to the sequence and content outlined in UASFLA, Section 2.3 as well as Appendix B or C, depending on applicability.

4. The appraisal is to be documented in an “Appraisal” reporting format [USPAP Standard 2-2(a)].

UASFLA, Section 2.2 states that reporting formats set forth under Sections 2.3, 2.4, and 2.5 (Appendix B, C, or D) are consistent with and/or exceed the requirements for an appraisal report under Standard 2 of USPAP.

5. The Appraiser must appraise the subject property in its existing “As Is” condition unless otherwise instructed herein or authorized in writing by the AVSO Review Appraiser to do otherwise.

6. All the comparable properties used in direct comparison to the subject are to be personally inspected

(UASFLA Section 1.2.6.3). Color photographs of comparable properties shall be included in the appraisal report along with comparable data maps and/or exhibits. AVSO will accept aerial photographs for comparable land properties as long as the aerial photographs are confirmed to accurately represent the comparable property as of the date of sale.

7. The appraisal report will be reviewed for compliance with the terms of this Statement of Work (including all cited standards). Any findings of inadequacy will require clarification and/or correction.

8. The Appraiser shall consider the appraisal report and all Department of the Interior (DOI) internal documents furnished to the Appraiser to be confidential. Refer all requests for information concerning the appraisal to the AVSO Review Appraiser.

9. AVSO will not normally accept custody of confidential information. Should the Appraiser find it necessary to rely on confidential information, he/she will contact the AVSO Review Appraiser for instructions. The Review Appraiser will view the information and provide further instruction to the Appraiser regarding handling and storage of the confidential information.

10. If including any proprietary information in the appraisal, Appraiser must gain concurrence from AVSO

Review Appraiser and deliver the proprietary information in a separate binder.

11. While the public is not an intended user of the appraisal report, please be aware that the Freedom of Information Act (FOIA) and Agency policy may result in the release of all or part of the appraisal report to others.

12. The Appraiser must indicate whether any services have been performed, as an Appraiser or in any other capacity, regarding the subject property within the three-year period immediately preceding acceptance of the assignment. If a service has been provided regarding the subject property, the service provided must be specified and appropriately disclosed following the direction of the USPAP Ethics Rule, Conduct Section. This disclosure must be noted on the signed certification page of the completed report.

SECTION 3 – Performance & Submission Requirements

After contract award, the Appraiser must address any questions regarding appraisal instructions and/or technical requirements for the appraisal to the AVSO Review Appraiser. Contact information will be provided upon award.

The contractor shall have 60 calendar days from the date of award to deliver the initial appraisal report to the AVSO Review Appraiser. If the contractor determines that a performance period of 60 days is not realistically feasible, it is the contractor’s responsibility to provide an alternative delivery date, with justification for the change, within the quote. NOTE: Preference may be given to the quotes which meet or exceed the requested delivery date.
