This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Federal Acquisition Regulation (FAR) subpart 12.6, “Streamlined Procedures for

Evaluation and Solicitation for Commercial Items,” as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation document will not be issued. This solicitation is a Request for

Quotation (RFQ). This RFQ document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2020-07 effective 07-02-2020.

SECTION I: PRICE SCHEDULE:

Period of Performance (POP): One (1) base year 9/15/2020 - 9/14/2021 with four additional option year for renewable service plans.

Pursuant to policy on local procurement and geographic preference found in www.fns.usda.gov/cnd/governance/Policy‐Memos/2010/SP_08_CACFP_05_SFSP_06‐

2010_os.pdf, prospective vendor s must meets the national guidelines for delivering individual fresh fruit and vegetables in a timely manner.

Prospective vendors shall provide a quote for the below Table 1-1 Pricing Schedule for the base and all option years (Brand Name or Equal Fresh Food and Vegetables. Quotes may be submitted on company generated documents but must be itemized as provided in the below Table 1 - Pricing

FRUIT AND VEGETABLES – PINE RIDGE SCHOOL

SECTION II STATEMENT OF WORK

Contractor shall deliver Fresh Fruit and Vegetable deliveries to Pine Ridge School. The

Contractor’s produce must be presented in such a way that it will be easily identified or recognized for what it is. Contractor shall comply with all Federal, State and local laws, rules, regulations, ordinances and directives, and shall maintain all required licenses and permits as related to food service deliveries.

Delivery of Fresh Fruit and Vegetable shall be scheduled and delivered as established and or coordinated with the Government designated Point of Contact (POC). No deliveries shall be made on Federal Holidays or weekends without the written direction/consent of the Government designated Point of Contact (POC).

1. Communications: Upon request, the Contractor shall provide an updated copy of the Fresh

Fruit and Vegetables price list to the Government designated Point of Contact (POC).

All correspondence, requests, notices and other communications, in relation to fresh fruit and vegetable deliveries must be in direct coordination with the Government designated the food service POC. The Government POC is:

2. Reports/Documentation: The POC will maintain a complete record of contractor’s deliveries and performance. The file will contain copies of all reports, recommendations, and any actions related to the contract. All such records will be retained for the life of this contract.

3. Changes: Pine Ridge fresh fruit and vegetables needs are subject to change during the school year. The Government retains the option of modifying the requirement for deliveries when deem appropriate to meet food service needs.

Such modifications may result in increased or decreased. NOTE: The Contracting Officer is the only person authorized to approve all changes to this requirement that will affect the scope of work and/or incur additional cost. No changes to contract shall be made without a formal written

SF 30 modification authorizing such change is issued by the Contracting Officer.

The Contractor shall work only with Pine Ridge School Food Service designated POC in coordinating types of fresh fruit and vegetables to be delivered during the performance period authorized in this contract.

4. Time is of the Essence: Time is of the essence in the performance of the Contractor's obligations to deliver fresh fruit and vegetables as requested by the food service POC. Failure to meet coordinated/agreed to delivery dates may be treated by the Government as a material breach of contract.

5. Notice Regarding Late Delivery/Delayed Performance: The Contractor shall immediately notify the Government’s designated POC in the event of a delay. However, the notification will be informal only in character and will not be construed as a waiver by the Government of any contractual delivery schedule or date, or any rights or remedies provided by law or under this effort. If there is a failure or refusal on the part of the Contractor to furnish the services as required, after requested in writing, the Government may charter that service elsewhere at the

Contractor's expense or take any other remedy action provided in this contract.

6. Problem Resolution: Contractor shall specify key personnel that will be contacted for problem resolution in regards to this contract. Please include name and telephone number of this person. Complaints will be investigated by the Government’s POC and the Contracting Officer.

Any substantial complaint or neglect will be grounds for termination of the contract.

SECTION III: 52.212-1 INSTRUCTIONS TO OFFERORS-COMMERCIAL ITEMS

(OCT 2018) ADDENDUM

QUOTE DUE DATE: 09/8/20 AT 10:00 AM CENTRAL TIME

Basis for Award: This RFQ is issued in conjunction with FAR 13 Simplified Acquisition

Procedures. The Government will make award to the responsible vendor whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered as described below.

Evaluation Approach. The Government will evaluate quotations in accordance with the evaluation process outlined in FAR 13.106-2 (b) (3). The Contracting Officer will evaluate “equal” products on the basis of information furnished by the prospective vendor.

CUSTOM CLAUSE #1 –Electronic Invoicing and Payment Requirements – Internet

Payment Platform (IPP) (April 2013)

Payment requests must be submitted electronically through the U. S. Department of the

Treasury's Internet Payment Platform System (IPP). "Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt

Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions -

Commercial Items included in commercial item contracts. Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform

System (IPP).

The IPP website address is: https://www.ipp.gov.

Under this contract, the following documents are required to be submitted as an attachment to the

IPP invoice - A copy of the contractor’s invoice shall be included with the IPP invoice. If no invoice is attached, the Invoice will be rejected.

Invoice Contents:

Invoices will be paid upon approval and acceptance by the Government COR. Invoices must include, as a minimum, the following information:

1. Order Number

2. Item number of deliverable

3. Description of deliverable

4. Price of deliverable

5. Quantity of deliverable

6. Date deliverable was provided to the Government for inspection

The contractor is responsible for ensuring invoices submitted are accurate and complete

Final Invoice

Within sixty calendar days of acceptance and/or completion of services:

a. The contractor shall submit a final invoice, designated as such by a clear statement of

“FINAL INVOICE” on the face of the invoice document.

b. The contractor shall provide a certificate of completion which certifies all goods and service have been provided as required by this task order.

c. The contractor shall provide a release of claims against the government for any further payment under this task order.

The sixty calendar day submission timeframe shall not be extended without written authorization from the contracting officer. In the event items a, b, or c above are not submitted within the authorized timeframe, the contracting officer will make final cost determinations in order to make final payment and close out the contract unilaterally.

The Contractor must use the IPP website to register, access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in CCR) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 – 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the contracting officer with its quotation.

To constitute a proper invoice, the invoice must conform to the requirements identified in FAR

32.905(b), “Payment Documentation and Process” and FAR 52.232-25, “Prompt Payment (OCT

2003)”.

(1) The Comptroller General of the United States, or an authorized representative of the

Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor

Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the

Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items.
