Section B: Description of the Supplies/Services Required

This requirement is to contract a professional development company to teach a proprietary leadership course to officer, enlisted and civilian leaders across the wing. This course will consist of course with books, seminars, and executive coaches as follows:

Two-Day Onsite Facilitation - Master Facilitator (2 each) Developing and Implementing an Outward Mindset (DIOM) Participant Packet (50 each) One-Day Onsite Failitation - Master Facilitator (1 each) Outward Leadership Participant Packet (50 each) Implementation Coaching (3 people) Outward Mindset Online (50 people) Facilitators 2-day DIOM prerequisiste for TTT (2 each) Facilitator DIOM Packets (15 each) Outward Mindset Online (15 people) DIOM Internal Facilitator Program (15 people) DIOM Facilitator Packets (15 each) DIOM Participant Packets (150 each) SP&E 4 Onsite Days (4 sessions)

Section C: Justification for Soliciting from a Single Source or Brand Name

In accordance with FAR 13.106-1(b)(1) and FAR 6.302-1(a)(2)(i)(A), only one source is capable of providing the services required because the services demonstrate a unique and innovative concept concerning leadership. The Outward Mindset concept is proprietary to The Arbinger Institute. This is different from other leadership courses in that it focuses on changing the mindset of the leader before any behavioral changes can be made. It stresses that ones behavior cannot be altered until the mindset of the leader is identified and changed first. The Arbinger Institute owns all proprietary rights and copyrights to all training principles and materials. Thus, any unauthorized use, reuse, copying, reproduction, recording, transmittal, modifications, or revisions of any such materials or principles of the scheduled training is prohibited.

Section D: Efforts to Obtain Competition

Market research conducted using FPDS-NG showed previous purchases from other organizations and locations for the same requirement. The Department of Veterans Affairs paid $195,209.62 on Order 36C25719F0314 and Maxwell AFB paid $73,905.10 on order FA330019F0007 for this same training. The cost of the training differs depending on the number of sessions being given and how many individuals are being trained and certified. Further market research revealed that The Arbinger Institute is the only company that provides the Outward Mindset leadership training required. They provided a letter dated 6 June 2020

November 2018 FOR OFFICIAL USE ONLY Page 2 of 2 titled Sole Owner Proprietary Materials documenting the company's proprietary rights to this leadership training program and materials. A intent to sole source notices was posted on sam.beta from 7-9 July 2020 and no inquiries were received.

Section E: Steps to Preclude Future Single Source or Brand Name Awards

Currently, The Arbinger Institute owns all proprietary rights and copyrights to the training principles and materials for the Outward Mindset Training. If the proprietary rights for the training principles and materials are dissolved, the Government will exercise its right to procure the training principles and materials from the most cost effective source. If proprietary rights are not dissolved, the Government will be forced to seek procurement from the sole legal source possible.

Section F: Contracting Officer's Determination

I have determined, in accordance with FAR 13.106-1(b)(1), that the circumstances of this contract action deem only a single source is reasonably available.
