Statement of Work

The U.S. Securities and Exchange Commission (SEC) is requesting current and historical data provided by the Dealogic Analytics Platform. The platform includes Equity and Debt Capital Markets, Syndicated Lending, and Merger & Acquisitions. The SEC requires access to the four components as follows:

• ECM Analytics (ECM): ECM encompasses global primary market equity data since 1993. The coverage incorporates details on almost 100,000 international and domestic offerings. It includes initial public offerings (IPOs), follow-on offerings (including rights offers/GPAs, accelerated bookbuilds, bought deals and fully-marketed offerings) and convertible new issues.

• DCM Analytics (DCM): DCM Analytics contains information on over 290,000 debt offerings with new deals being added at a rate of approximately 20,000 per year, depending on deal activity. DCM incorporates global primary market bond data since 1980, with details on almost half a million international and domestic deals. Ongoing coverage includes Investment Grade Bonds, High Yield Bonds, Supranational Bonds, Sovereign Bonds, Local Authority Bonds, Agency Bonds, Securitization, Covered Bonds, Medium-Term Notes, Preferred Stock, EMTN programs and trades, and ECP programs and trades.

• Loan Analytics (Loan): Loan Analytics coverage encompasses global primary syndicated loan data since 1980 with details on over 200,000 international and domestic deals worldwide. It includes investment grade and leveraged transactions and structured finance, with each deal providing details on the borrower, deal value, banks, pricing and use of proceeds.

• M&A Analytics (M&A): this dataset incorporates global M&A data since 1995, with comprehensive details on over 610,000 transactions worldwide. It covers a vast array of transactions, including public offers, open market purchases, stock swaps, buy-outs, privatizations, recapitalizations, share buy-backs and acquisitions. Each transaction provides information on the target and acquirer, deal value, advisors, financials and multiples, along with detailed deal commentary.

The SEC requires access for 10 assigned users. The access will be determined to the corresponding components once the contract is awarded.
