B.4 STATEMENT OF WORK
1. Background
Central Texas Veteran Healthcare System (CTVHCS) Temple, TX, recent upgrades to the sonic washers were installed. Upon installation it was discovered that there was a decrease in capacity causing flow issues, coupled with an increase in robotic cases that require longer sonic processing times. A new sonic washer is required to ensure efficient, timely and safe processing of Robotic instrumentation for the operating rooms, and CBOC clinics. Temple VA has two sonic washers, one which is used mostly for robotic instrumentation. To provide timely support to all areas and avoid cancellations, this additional washer is needed because periodically the equipment goes down which leaves the facility with only one working unit that provides services for the hospital and surrounding clinics.
2. GENERAL REQUIREMENTS (Brand Name Only)
2.1 Scope of Work
The contractor shall perform onsite service which will include the following:
Upon receipt of purchase order, the vendor will manufacture, configure, and ship the InnoWave Unity 20 Sonic irrigator. Vendor installation includes all necessary travel, labor (non-union), tools, documentation, and materials required to uncrate, set-in-place and assemble Unity Sonic and components. The performance of this purchase request shall be performed during non-patient care hours or during weekends or holidays, to avoid disruption of SPS workflow. The contractor will be required to coordinate and contact COR prior to installation and validate installation and performance. Vendor will also provide an operational check-out test, any necessary adjustments, and a demonstration of the equipment for appropriate facility personnel use.
2.2 Salient Characteristics- Steris InnoWave unity 20 Sonic Irrigator
a. Common Nomenclature (commercial description):
Sonic Irrigator, designed to thoroughly clean (remove tissue, blood and other contaminants from) a variety of reusable surgical instruments. The Sonic Irrigator offers standalone sonic irrigation, with the ability to wash up to 16 lumens. The InnoWave Unity 20 can accommodate 15.9 kg (35 lbs.) of general surgical instruments.
b.
Kind of material (i.e., type, grade, alternatives, etc.):
The chamber is constructed of solid 316L stainless steel and carries a 15-year warranty.
The pressure vessel has a full jacket design to minimize the formation of excess condensation on the chamber interior.

11 L/min. to 30 L/min. (3 US gal/min. to 8 US gal/min.)
Cold Water: 19 mm (¾”) stainless-steel BSP; 2 bar to 5 bar (30 psi to 70 psi); +5 ⁰C to +30 ⁰C(+41 ⁰F to +86 ⁰F). Flow Rate: 11 L/min. to 30 L/min. (3 US gal/min. to 8 US gal/min.)
Waste Water Requirement:
Drain: 19 mm (¾”) hose tail outlet from unit. Facility drain must be fitted with suitable traps. Drain hose supplied with Unit.
Overflow: 48 mm (1.9”) OD outlet from machine in same as drain. Overflow hose connection to main drainage system must not be airtight. Note: Drain entry and entire drain hose must be below machine drain outlet, measured from Unit rear. Facility Drainpipe ID must be at least 50 mm (2”). Drain Flow Rate: >30 L/min(>8 US gal/min.).

3. DELIVERY

4. SAFETY REQUIREMENTS
The vendor shall provide adequate personnel to accomplish deliverables and installation within the specified timeframe. The Vendor shall wear PPE and maintain safety and health standards compliant with requirements of the Occupational Safety and Health Administration (OSHA) and adhere to VAAR 8
5. QUALIFICATIONS
a. To be determined responsible, a prospective contractor must be:
STERIS Certified 52.737-70 Contractor responsibilities.
6. SOFTWARE LICENSE
This contract will not require services that involve connection of one or more contractor-owned IT devices (such as a laptop computer or remote connection from a contractor system) to a VA internal trusted (i.e., non-public) network. Subsequently, the C&A requirements do not apply, and a Security Accreditation Package is not required.
7. GENERAL REQUIREMENTS
The Contractor will coordinate with the Contracting Officer’s Representative (COR) for the contract regarding the dates of on-site visits and otherwise work with the COR to ensure compliance with the terms and conditions of the contract.
8. PERIOD of PERFORMANCE
Within 30 days of contract award.
19. Contract Administration
Warranty: Comprehensive warranty shall be two (2) years parts and labor.
Invoicing and payment: Payment to be made in one lump sum following satisfactory performance by Contractor’s personnel and upon receipt of a properly prepared invoice.
10. Record keeping/monitoring Procedures
The COR will be responsible for ensuring that services are provided in accordance with the terms and conditions of the contract.
Security Requirements
11.1 Information System Officer, Information Protection: The contractor will not have access to VA Desktop computers they will not have access to online resources belonging to the government.
11.2 Privacy Officer: The Contractor will not have access to protected Patient Health Information (PHI) nor will they have capability of accessing patient information during the services provided to the VA and if removal of equipment from the VA is required, any memory storage device will remain in VA control and will not be removed from VA custody. All research data available for Contractor analysis is de-identified.
11.3 Records Manager:
a. Citations to pertinent laws, codes and regulations such as 44 U.S.C chapters 21, 29, 31 and 33; Freedom of Information Act (5 U.S.C. 552); Privacy Act (5 U.S.C. 552a); 36 CFR Part 1222 and Part 1228.
b. Contractor shall treat all deliverables under the contract as the property of the U.S.
Government for which the Government Agency shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest.
c. Contractor shall not create or maintain any records that are not specifically tied to or authorized by the contract using Government IT equipment and/or Government records.
d. Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected by the Freedom of Information Act.
e. Contractor shall not create or maintain any records containing any Government Agency records that are not specifically tied to or authorized by the contract.
f. The Government Agency owns the rights to all data/records produced as part of this contract.
g. The Government Agency owns the rights to all electronic information (electronic data, electronic information systems, electronic databases, etc.) and all supporting documentation created as part of this contract. Contractor must deliver sufficient technical documentation with all data deliverables to permit the agency to use the data.
h. Contractor agrees to comply with Federal and Agency records management policies, including those policies associated with the safeguarding of records covered by the Privacy Act of 1974. These policies include the preservation of all records created or received regardless of format [paper, electronic, etc.] or mode of transmission [e-mail, fax, etc.] or state of completion [draft, final, etc.].
i. No disposition of documents will be allowed without the prior written consent of the Contracting Officer. The Agency and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. Records may not be removed from the legal custody of the Agency or destroyed without regard to the provisions of the agency records schedules.
j. Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, this contract. The Contractor (and any sub-contractor) is required to abide by Government and Agency guidance for protecting sensitive and proprietary information.
12. Physical Security
a. An ID badge will be issued by the VA Police which must be presented by all contractors at the VA entrance security check points. The issued badge is designated for official pick-up and deliveries of surgical instruments and trays.
b. ID badge must always be worn above the waist, in front, with the face of the card visible. c. It is the responsibility of the contracting officer representative or designee to verify that the vendor has a temporary identification badge. If not, they are to be escorted to the VA Police and Security office. Once issued a temporary identification badge, the contractor will be escorted by the contracting officer representative or designee to SPS.
d. Contractor’s mobile unit/van shall be properly labeled with the company logo and registered with the VA Police Department and park in designated areas for service.
e. Upon arrival to the Sterile Processing Service, the contractor will be required to contact the contract officer representative (COR) and/or shift supervisor.

C.3 VAAR 852.212-71 GRAY MARKET ITEMS (FEB 2023)
(a) No used, refurbished, or remanufactured supplies or equipment/parts shall be provided. This procurement is for new Original Equipment Manufacturer (OEM) items only. No gray market items shall be provided. Gray market items are OEM goods intentionally or unintentionally sold outside an authorized sales territory or sold by non-authorized dealers in an authorized sales territory.
(b) No counterfeit supplies or equipment/parts shall be provided. Counterfeit items include unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified item from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitutions include used items represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics.
(c) Vendor shall be an OEM, authorized dealer, authorized distributor, or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

C.4 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS
(NOV 2018)
(a) Definitions. As used in this clause—
(1) Contract financing payment has the meaning given in FAR 32.001;
(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;
(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;
(4) Invoice payment has the meaning given in FAR 32.001; and
(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.
(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.
(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:
(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.
(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).
(d) Invoice requirements. Invoices shall comply with FAR 32.905.
(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—
(1) Awards made to foreign vendors for work performed outside the United States;
(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;
(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;
(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or
(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.6 VAAR 852.246-71 REJECTED GOODS (OCT 2018)
(a) Supplies and equipment. Rejected goods will be held subject to the Contractor’s order for not more than 15 days, after which the rejected merchandise will be returned to the Contractor’s address at the Contractor’s risk and expense. Expenses incident to the examination and testing of materials or supplies that have been rejected will be charged to the Contractor.
(b) Perishable supplies. The Contractor shall remove rejected perishable supplies within 48 hours after notice of rejection. Supplies determined to be unfit for human consumption will not be removed without permission of the local health authorities.
Supplies not removed within the allowed time may be destroyed. The Department of Veterans Affairs will not be responsible for, nor pay for, products rejected. The Contractor will be liable for costs incident to examination of rejected products.

(d) Comptroller General Examination of Record. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

PRODUCTS AND COMMERCIAL SERVICES

This requirement is Small Business Set Aside Brand Name Only for entities and has certification requirements. Each Offeror must be registered in SAM (https://sam.gov) and/or SBA dsbs.SBA.gov at time of offer submission. In order to be considered for the award, the Offeror must fill out all applicable areas of the solicitation and submit Technical Capability and Pricing, as well as any additional requirements listed below.
The VA will not pay any costs incurred in preparation and submission of offers.

OFFER SUBMITTAL INSTRUCTIONS:
1) Offeror shall submit offers by Due Date/Time specified in Block 8 of Standard Form
(SF) 1449 of solicitation to Lesley Kitchen at lesley.kitchen@va.gov with “Solicitation 36C25725Q0806” in subject line.
2) Offeror shall submit a signed SF 1449, Block 30a,30b, and 30c signature page of solicitation.
3) Offeror shall submit signed SF 30 solicitation amendment acknowledgements, as applicable.
4) Complete schedule pricing, responding to all line items found in Section B.2.
5) Offeror shall provide an authorized distributor letter.
6) Complete Provision 52.204-24 Representation Regarding Certain
Telecommunications and Video Surveillance Services or Equipment.
7) Complete Provision 52.212-3 Offeror Representations and Certification-Commercial
Products and Commercial Services.

Volume 1 -Technical Capability
*No Pricing information shall be contained in this volume.
The technical volume is required to adequately describe and present a clear understanding of each requirement in the SOW and must demonstrate the ability to provide the services. The technical volume shall be specific, complete and provide sufficient information conforming to the Statement of Work.
Technical volume shall demonstrate the offeror’s capacity to satisfactorily perform the tasks outlined in the SOW. Offeror format is accepted.
Volume 2 – Price
*No Technical shall be contained in this volume.
Offerors shall submit their Price using the B.2 Price/Cost Schedule of Services. The price quote shall be specific, complete in every detail, and separate from the technical quote. Line items for those ordering periods shall be sufficiently completed. Prices shall be listed as an all-inclusive Firm Fixed Unit Price that covers in full those services under each Line-Item Number.
Period for acceptance of offers: The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.
Volume 3 - Past Performance
Vendor may provide references, not to exceed three (3), which shall be for work performed within the past three (3) years and shall be relevant to the complexity, size, and scope of this requirement. For references, offerors shall list the following: name/address of organization; contract number/title; period of performance; brief description of contract scope and dollar value; and point of mailto:lesley.kitchen@va.gov contact information (name/title/phone number/e-mail address). References may be from Federal/State/Local Government organizations or from commercial organizations in which the contractor performed as a Prime Contractor.
The Government reserves the right to obtain past performance information from any available source and may contact customers other than those identified by the Offeror when evaluating past performance.
