STATEMENT OF WORK (SOW) for FY25 Orders Central Texas Health Care System (VA)
Medical Journal Subscriptions Access/Management
BACKGROUND
The VA desires to become more efficient in maintaining their subscriptions from multiple publishers. The Central Texas VA Health Care System Library is seeking Contractors with established relationships with publishing houses to provide basic subscription, required support, and optional specialized electronic access services in support of Veterans’ care. VA has to fulfill requirements for periodicals, database subscriptions, e-book subscriptions, e-journal subscriptions, point of care subscriptions, and further online information resource related services.
1.0 SCOPE OF WORK
The scope of this effort falls in line with VA’s mission, goals, and objectives in support of providing Veterans’ care. Contractors shall be responsible for the management, labor, and equipment necessary to provide subscriptions for databases, e-books, e-journals, point-of-care, and other related online services from multiple publishing houses to Central Texas VA Health
Care System Library. Subscriptions shall include single or multiple addresses for periodicals and related services. Related services include paying publishers, handling claims for non-receipt, cancellations, submission of required reports and other service problems. The Contractors shall provide these services for Central Texas VA health Care System Library.

2.0 PERIOD OF PERFORMANCE
The period of performance will be ONE year. Contractor will be given lead time to place and complete the subscription orders to the varied publishers indicated by supplied title list. Period of performance: 01Jan 2025 – 31Dec2025.
3.0 DEFINITIONS
Back Orders: Orders that could not be filled by the supplier when originally placed are kept on file pending availability of the material.
"Bill-Laters": A type of continuation in which a Contractor does not bill a library customer until the publisher has confirmed the price and/or availability of the item(s).
Consignee: The location to which items are shipped.
Contractor: The organization providing subscription services to the Department of Veterans Affairs (VA). For purposes of this solicitation, used interchangeably with Contractors or Offerors.
Database: A subscription service that assembles knowledge-based information from a variety of source types. These types can include any mixture of e-books, e-journals, drug information, patient handouts, news updates, and/or videos in any format or content in any type developed specifically for the database. Cross-searching across all of these sources is usually available.
e-book: A book-length publication in digital form, consisting of text, images, or both, and produced on, published through, and readable on computers or other electronic devices.[1] Sometimes the equivalent of a conventional printed book, e-books can also be born digital. The Oxford Dictionary of English defines the e-book as "an electronic version of a printed book,"[2] but e-books can and do exist without any printed equivalent. e-books are usually read on dedicated hardware devices known as e-Readers or e-book devices. Personal computers and some cell phones can also be used to read e-books.
e-journal: Electronic serials, are scholarly journals or intellectual magazines that can be accessed via electronic transmission. In practice, this means that they are usually published on the Web. They are a specialized form of electronic document, they have the purpose of providing material for academic research and study, and they are formatted approximately like journal articles in traditional printed journals.
Licensing: Terms and conditions required by the owners of proprietary systems, software or intellectual property regarding the terms of its use.
Online Claiming: Computer-to-computer interactive communication to determine the current status of individual subscriptions, to register service complaints, and/or to facilitate communication between Library staff and Contractors.
Periodical: A serial appearing or intended to appear indefinitely at regular or stated intervals, generally more frequently than annually, each issue of which is numbered or dated consecutively and normally contains separate articles, stories or other writings. Serials may be published in any medium or format (including electronic, print, microform, or other non-print media), and may be available through purchase (as with traditional print magazines) or license (as with online journals).

Publisher Price: The established publisher's list price for the given subscription period at the time of order acceptance; the price at which a publication is made available to the public. It is established by the publisher and is exclusive of any discount.
Loosely, the price quoted by the publisher’s catalog.
Serial: A publication in any medium issued in successive parts bearing numerical or chronological designations and intended to be continued indefinitely. Serials include periodicals, newspapers, magazines, annuals, yearbooks, journals, memoirs, proceedings, transactions, and numbered monographic series and other serially published works.
Station: A VA Medical Center. Also included under this term are all other VA units which may choose to access the contract, e.g., VA Central Office Library, Independent Outpatient Clinics, etc.
Subscription: The term subscription, as used in this agreement, means a payment for access to or ownership of knowledge-based information, in a time limited or permanent access. It can take the form of access to online databases, e-books, e-journals, print journals, back file e-journals, and other related services. VA determines the subscription period, publisher permitting, and Contractors shall, for print subscription, place, and service it for the life of the subscription plus three months.
4.0 PLACE OF PERFORMANCE
All work shall be performed at the Contractors’ facilities.
5.0 TASKS AND DELIVERABLES
Contractors shall provide all Tasks and Deliverables described. Contractors shall be responsible for providing the number of copies in the media required by the Government POC for each deliverable. Written deliverables shall be submitted in electronic copy using Microsoft Office products.
5.1 BASIC SUBSCRIPTION ORDERS
Contractors shall provide basic subscription services that would include all the tasks necessary to execute and manage orders for new and renewal subscriptions to publications.
These tasks fall into the following four critical areas: (1) Ordering subscriptions; (2) Serving as the fiscal agent with publishers, including making timely prepayments, processing refunds, claims, supplemental and bill-later charges; (3) Ensuring timely and complete delivery of ordered subscriptions; and (4) Providing reports and other administrative support for subscriptions management.
5.1.1 Order and Renewals
Contractors shall provide subscription services for all subscriptions in all media generally available via agents from publishers. Contractors shall supply materials from a wide range of publishers, to include all titles listed in the line items.
5.1.2 Subscription Periods
Subscription period: 01Januray 2025 – 31December 2025
Contractors shall provide administrative and other services for each subscription placed for the life of the subscription (e.g., the publication of the last issue covered by that subscription period).

1. Subscription Renewal Lists - At a minimum, Contractors shall be able to provide a renewal list as described below. Contractors may quote other formats which the Station may, at its discretion, choose instead. The list shall be provided in MS Excel format with optional print delivery. The Government POC provides Contractors listings by multiple ship-to addresses by category, i.e., medical, general, administrative; Contractors shall respond to the lists in the same manner. The listings shall be on separate pages for each "Ship to" address, shall alphabetically list all subscription titles ordered or on record for that consignee, and shall contain the following information:
a. Complete "Bill to" and "Ship to" address
b. Contract and purchase order number
c. Title
d. Quantity
e. Subscription Period based on VA Data
f. New, Renewal, Subscription added or Transfer
g. Price
h. Service fee
i. Frequency
j. Bibliographic status of those titles currently under review for renewal
k. All additional titles which may not be due for renewal, but which are on record for a specific consignee
l. Renewal documents: to contain an 80-character capacity local information field or fields for the storing of unique data for each title (e.g., internal fund accounting, subject identification, VA assigned numbers)
m. Listing of any "direct only" titles, or titles which the Contractors cannot supply
n. Listing of "standing order" or "billed as published" titles
o. Documented constraints (i.e., irregular publication, discontinued, volume year or calendar year basis only, publisher will not pro-rate, no refund available,) shall be noted on subscription listing
p. International Standard Serial Number (ISSN) or International Standard Book Number (ISBN)
q. Publisher
5.1.8 Notification Of Ceased Or Discontinued Titles
Contractors shall notify VA Stations of any ceased or discontinued titles within 30 calendar days.
5.1.9 Payment
Contractors shall pay all regular subscription orders in advance to the publishers or in accordance with the publisher’s agreement, prior to submission of first invoice. Upon request, the contractor shall provide proof of payment of any order invoiced. Changes and frequency of publications will not be justification of additional costs.
5.1.10 Administrative Services
Contractors shall provide the following administrative services to support subscription ordering services.
5.1.10.1 Claims For Missing, Defective Or Mutilated Issues
Contractors shall be the contract liaison for all VA Stations in obtaining from the publisher replacement copies of periodicals found to be defective, mutilated, lost in transit, or otherwise missing, provided the loss is reported within sixty business days. Contractors shall notify publishers within one (1) business day of receiving a claim. Contractors shall offer electronic claims services at no additional charge.
Contractors shall, upon request of the Government, demonstrate or make available for review its electronic claims system prior to contract award.
2. Contractors shall provide each Station with the necessary training and written documentation to enable each Station to effectively use the electronic claims system.
3. Contractors shall supply VA all "ship-to" addressees with full-service assistance in claiming missing issues. The claim notice sent from the Contractors to the publisher shall include the following information:
a. Title being claimed
b. Specific issues
c. Date of Contractors’ order to publishers
d. Order period
e. Amount paid
f. Proof of payment
g. Change of address if any
4. Contractors shall handle claims for any subscription until resolved.
5.1.10.2 Refunds For Lost Periodicals, Replacements And Discontinuance Of Publication
In the case where replacement is unavailable and refunds are offered instead, Contractors shall make a refund in full of all amounts paid by the VA Station.
Contractors shall provide refunds or substitute materials from publishers for unexpired portions of subscriptions which discontinue publication during the life of the subscription.
5.1.10.3 Refunds For Cancellations
When a refund has been requested due to timely cancellation (in accordance with the agreed upon cancellation/refund policy of the publisher) of a subscription, Contractors shall provide refunds to the VA Station. Contractors shall provide the Station with the option of receiving a refund or accepting a credit when refunds are due.
5.1.10.4 Duplicate Issues
Contractors shall deal directly with the publisher to correct duplicate issue errors.
5.1.10.5 Bill-To and Ship-To Addresses
Contractors shall support multiple shipping addresses, domestic and foreign, under one billing address. VA Station addresses shall have the capacity for up to five (5) lines, with each line up to 30 characters.
5.1.10.6 Change Of Address
Contractors shall notify the publisher of changes of address within five (5) business days of notification by the consignee.
5.1.10.7 Membership Entitlements
Contractors shall note in the invoice all publications and/or materials received through memberships (e.g., title, frequency, quantity of each publication, and special membership benefits).
5.1.10.8 Sample Copies
Contractors shall request sample copies of periodicals when requested to do so by VA. The Contractors shall also provide pertinent information on new titles.
5.1.10.9 Contractor Representative
Contractors shall assign a representative by name to provide personalized assistance for each VA Station account. The personal representative shall provide assistance between 8:00 a.m. and 4:30 p.m. via Central time zone.
Contractors shall assign one Project/Program Manager to work directly with the VA COR regarding all accounts. The Project/Program Manager shall participate in quarterly status meetings where outstanding or unresolved issues will be addressed.
5.1.10.10 Toll-Free Telephone Number
Contractors shall provide a toll-free telephone line for Stations to utilize in contacting their Contractors representative between 8:00 a.m. and 4:30 p.m. in the Central time zones. Contractors shall respond to the CO and/or Government POC messages within 24 hours or the next business day.
5.1.10.11 Information Bulletins
Contractors shall provide monthly email information bulletins updating the latest known information on various publication titles, to minimally include:

5.1.10.12 Other Communication With VA Stations
Contractors shall email all administrative information not covered in information bulletins (excluding claims) to the Government POC and CO.
5.1.10.13 Library Management Reports
Minimum Required Reports - At a minimum, Contractors shall provide the following reports at no additional charge:
a. Claims List: Contractors shall provide to the station a monthly listing of all outstanding claims and any responses received from the publishers. The report shall be cumulative, by title, for all unresolved claims.
b. Subscription Status Information: Contractors shall notify the station in writing of any irregularity or change in subscription status, such as: “bill-later,” non-cancelable, slow, irregular, discontinued, order direct, standing order, split title, not due for renewal at this time, period restricted, establishing contact with publisher, temporarily suspended publication, foreign title, estimated price, and price increases since last billing published price on a monthly basis.
c. Consolidated Reports - Individual station(s) will monitor local deliverables;
however, a degree of centralized monitoring will be performed by the Government POC. The Contractors shall provide the following annual cumulative (for all contract users) reports to the Government POC.
▪ Contractors shall maintain complete records of all bibliographic and financial transactions of each Station for up to five (5) years or the life of the contract. The Contractors shall provide to VA immediate access to these records on demand. If required by VA, the Contractors shall provide copies of these documents at no additional cost. The Contractors shall retain the original records on-site.
▪ Quarterly Status Reports – Contractors shall prepare and submit Quarterly Status Reports to the Government POC at least five (5) business days prior to Quarterly Status Meetings, as scheduled, during which the report will be reviewed. These reports shall include descriptions of problems or problem areas identified, and how they were addressed, and an explanation of how the results were "globalized" to all VA locations; actions taken by the Contractors to improve publisher response to claims; programs developed to reduce costs to VA.
• Additional Reports – Contractors shall describe additional available reports, if any, that have not already been included in Paragraph 5.1, Basic Subscription Services. Include data available in electronic format, in addition to Machine Readable Cataloging (MARC) records, and the formats in which the data is available.
5.2 REQUIRED SUPPORT SERVICES
Contractors shall provide support to cover a range of subscription related products and services to the libraries, in addition to basic subscription order and renewal services.
5.2.1 Basic Subscription Services.
Contractors shall offer, and customs may require the following items listed per 5.2.2 at no additional charge.
5.2.2 Journal Check-In
An electronic check-in system shall be made available. The following functions shall be provided:

6.1 Method And Distribution Of Deliverables
Contractors shall deliver documentation in electronic format, unless otherwise directed by the Government POC. Acceptable electronic media include MS Word, MS Excel, and Adobe Postscript Data Format (PDF).

SECTION C - CONTRACT CLAUSES
C.1 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL
PRODUCTS AND COMMERCIAL SERVICES (DEC 2022)
(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The
Government must exercise its post-acceptance rights—
(1) Within a reasonable time after the defect was discovered or should have been discovered;
and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims
Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the
Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at Federal Acquisition Regulation (FAR) 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the
Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the
Contracting Officer of the cessation of such occurrence.
(g) Invoice.
(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—
(i) Name and address of the Contractor;
(ii) Invoice date and number;
(iii) Contract number, line item number and, if applicable, the order number;
(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;
(vi) Terms of any discount for prompt payment offered;
(vii) Name and address of official to whom payment is to be sent;
(viii) Name, title, and phone number of person to notify in event of defective invoice; and
(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.
(x) Electronic funds transfer (EFT) banking information.
(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.
(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by
Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.
(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.
(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.
(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.
(i) Payment.—
(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.
(2) Prompt payment. The Government will make payment in accordance with the Prompt
Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR part 1315.
(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-
5(b) for the appropriate EFT clause.
(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.
(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall—
(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the—
(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);
(B) Affected contract number and delivery order number, if applicable;
(C) Affected line item or subline item, if applicable; and
(D) Contractor point of contact.
(ii) Provide a copy of the remittance and supporting documentation to the Contracting
Officer.
(6) Interest.
(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due.
