Evaluation Criteria for Award
(a) The Government will select the proposal that represents the best benefit to the
Government at a price that can be determined fair and reasonable. The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered. The following factors will be evaluated, in descending order of importance
FACTOR 1-Technical Capability
FACTOR 2-Past Performance
FACTOR 3-Price
a. Resulting Contract shall be based on the Contractor’s Capabilities to provide the services listed in the Performance Work Statement reflected in Technical Capability
(factor 1), their Past Performance (factor 2), and their Proposed Price (factor 3).
Contractors may submit more than one quote; however, contractors are strongly encouraged to submit their best technical solutions and prices in response to this request for proposal
b. All proposals will be evaluated in accordance with FAR 13. The Government will select the quote that represents the best benefit to the Government at a price that can be determined fair and reasonable. The Government intends to award without discussions with offerors. However, the Government reserves the right to conduct discussions if it is in its best interest to do so
c. Written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award
d. The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most suitable to the Government and whose offeror provides a benefit to the Government
FACTOR 1: TECHNICAL CAPABILITY:
This factor will be used to determine the Offeror’s ability to successfully manage the full range of contractual requirements. Background and relevant information regarding stability and strengths will be considered. Each technical sub-factor is equally important.
Offerors shall address technical capabilities with a detailed description of their proposed approaches to each factor. Offeror’s technical proposal shall address the feasibility of meeting the stated contract requirements. The proposal should provide the VA with a high level of confidence in successful performance. Rating will be based upon the extent to which the offer addresses each of the factors. All technical factors will be evaluated based solely on the proposal provided, to the extent in which the proposal demonstrates a clear understanding of the requirements and problems involved in meeting or exceeding the standards for the various tasks, and to the extent in which uncertainties are identified and resolutions proposed. Proposals may exceed the minimum requirements
FACTOR 2- PAST PERFORMANCE:
Evaluation Criteria: The past performance evaluation will assess the relative risks associated with a quoter’s likelihood of success in fulfilling the solicitation’s requirements as indicated by the quoter’s record of past performance. The past performance evaluation may be based on the contracting officer’s knowledge of and ...43 previous experience with the supply or service being acquired, Customer surveys, and43 past performance questionnaire replies; Contractor Performance Assessment Reporting
System (CPARS) at http://www.cpars.gov/; or any other reasonable basis
In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available, the Offeror will be evaluated as
Neutral on past performance. Offerors are required to furnish three (3) current or recently completed from Federal, State, local government, or private contracts under which you have provided the same services required in this solicitation within the last two years. Provide contact name, date of performance, and point of contact, telephone number, fax number and e-mail address. Past performance will be reviewed to assure that the offeror has relevant and successful performance history
FACTOR 3- PRICE
Offerors shall submit their Price using the Schedule of Services continuation section
(Price Schedule). The price proposal shall be specific, complete in every detail, and separate from the technical proposal. Line items for base period and each option year shall be sufficiently completed. Prices shall be evaluated for fairness and reasonableness and will be compared against competing proposals and the independent
Government cost estimate
All non-price factors, when combined, are significantly more important to the
Government when compared to price. Each Factor 1(Technical) is equal in importance for the purposes of determining the best value to the Government. The Government may award to other than the lowest priced offeror if it is in the Government’s best interest to do so
The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The
Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received
BASIS FOR AWARD
BASIS FOR AWARD: The Government will select the offeror that represents the best benefit to the Government at a price that can be determined fair and reasonable.
Following receipt of offers, the Government will perform a comparative evaluation, in accordance with FAR 13.106-2(b)(3) of the proposed services. The Government will compare offers to one another to select the service that best benefits the Government by fulfilling the requirement. The evaluation of Government requirements outlined in this request for proposal will determine suitability
The Government will evaluate the following: technical capabilities, past performance, and price
By submission of its offer, the Offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. Failure to meet a requirement may result in an offer being determined technically unsuitable

(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The
Government must exercise its post-acceptance rights—
(1) Within a reasonable time after the defect was discovered or should have been discovered;
and
(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims
Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the
Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.
(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.
(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at Federal Acquisition Regulation (FAR) 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.
(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.
(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the
Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the
Contracting Officer of the cessation of such occurrence.

Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.
(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.
(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.
(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the
Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.
