SUBJECT: Request for Quote (RFQ-FDA-75F40121Q00103) for one (1) each Process Analytical Technology Probe for Bruker NIR (PATPNIR)
This is a combined synopsis/solicitation for commercial services prepared in accordance with the format in FAR 12.6 as supplemented with FAR 13 and additional information included in this notice. The incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2021-06.
THIS ANNOUNCEMENT CONSTITUTES THE ONLY SOLICITATION. A SEPARATE
SOLICITATION DOCUMENT (I.E. STANDARD FORM) WILL NOT BE ISSUED.
The solicitation number for this acquisition is RFQ-FDA-75F40121Q00103 and is being issued as a Request for Quote (RFQ). The NAICS Code for this solicitation: 334516 Analytical Laboratory Instrument Manufacturing. The Small Business Size Standard is 1,000 employees.
This is an unrestricted brand-name or equal full-and-open competition RFQ. Simplified acquisition procedures will be utilized.
The U. S Food & Drug Administration (FDA), Office of Acquisitions and Grant Services (OAGS) requires one (1) Bruker Process Analytical Technology Probe for NIR (PATPNIR) or equivalent.

Eastern Standard Time (EST). Any responses to questions will be made in writing, without identification of the questioner, and will be included in an amendment to the solicitation. Even if provided in other form, only the question responses included in the amendment to the solicitation will govern performance of the contract.

BACKGROUND INFORMATION
The FDA Center for Drug Evaluation and Research (CDER) Office of Pharmaceutical Quality (OPQ) Office of Testing & Research (OTR) operates as an integrated testing and research FDA laboratory to develop scientific methods and tools to assess pharmaceutical quality issues and support the following core functions: standard, guidance, and policy development, pharmaceutical quality surveillance, quality assessment of regulatory submissions, and rapid response to public health emergencies.

To fulfill its mission, OTR’s Division of Product Quality Research (DPQR) requires an NIR probe capable of collecting real-time data during a continuous manufacturing campaign of a solid oral dosage form.
DPQR utilizes an NIR instrument from Bruker (Model Matrix MF Duplex). The required process analytical technology probe must be compatible and function seamlessly with the Bruker Matrix MF Duplex. As a real-time data collection tool, the probe may be retrofitted to strategic locations in a continuous line to accurately and precisely collect and rapidly transmit the reflected data to enable timely assessment and control of a process. DPQR requires the NIR probe to understand and monitor critical quality attributes of the in-process material and enable to keep the process under the state of control. Such understandings will ultimately help in supporting NDA and ANDAs review process.
CONTRACT LINE ITEM STRUCTURE
Offerors shall provide pricing for the following contract line item number (CLIN):

Pricing shall include all applicable fees including shipping, handling, and warranty (as specified below).
SPECIFICATIONS
The salient characteristics for the required process analytical technology probe are as follows.
Note: all proposed equipment must be new. Used/refurbished equipment will not be considered.
• Must be compatible with Bruker NIR Matrix MF Duplex
• Stainless steel (grade 316L) probe
• Shall have sapphire window and sport size between 2.5 to 4.0 mm
• Shall have stray light less than 0.35%
• High accuracy and precision of the collected light
• Shall have spot size 3mm or more
• Shall have detachable accessories for reference measurement i.e. attach accessories containing background and validation standard, which is traceable to the standard setting organization such as ASTM or NIST, to the reflection probe
• Shall have ability to attach Fiber optic cables for remote operation and monitoring of a continuous manufacturing campaign

• Cable fiber shall have minimum light attenuation during the transmission process and shall have at least 14 optical Fibers
• Shall provide two lengths of fiber optic cable (i.e. 5 and 10 meter) along with a suitable coupling box to protect the fiber interface.
• The coupling box shall provide IP66 level of protection against dust and moisture
Warranty
The Contractor shall provide, at a minimum, a one (1) year warranty for the equipment in accordance with FAR 52.212-4(o). The warranty shall commence upon successful completion of delivery and the Government’s acceptance.
DELIVERY
Delivery of all equipment shall be completed no later than 90-days after award.

INSPECTION AND ACCEPTANCE CRITERIA
After delivery of all items, in accordance with Federal Acquisition Regulation (FAR) 52.212- 4(a), the Government will verify that all minimum required specifications have been met.
Acceptance testing will be completed no later than 30 business days from the date of delivery.
Final acceptance by the Government will be given after successful delivery and Government inspection. In the event that on-site services or repairs are necessary under warranty, the Contractor is responsible for traveling to FDA to fix any deficiencies discovered during acceptance testing or later during the warranty period at no additional cost to the Government.
GOVERNMENT HOLIDAYS
The Government hereby provides notification that Government personnel observe the listed days as holidays:

In addition to the days designated as holidays, the Government observes the following days:
(1) Any other day designated by Federal Statute
(2) Any other day designated by Executive Order
(3) Any other day designated by the President’s Proclamation
When any such day falls on a Saturday, the following Monday is observed. Except for designated around-the-clock or emergency operations, Vendor personnel will not be able to perform on-site under this contract with FDA on holidays set forth above. The Vendor will not charge any holiday as direct charge to the award.
It is understood and agreed between the Government and the Vendor that observance of such days by Government personnel shall not otherwise be a reason for an additional period of performance, or entitlement of compensation except as set forth within the award.
Nothing in this clause abrogates the rights and responsibilities of the parties relating to stop work provisions as cited in other sections of this contract.
PAYMENT TERMS
One lump sum payment will be authorized upon delivery and the Government’s acceptance.

*** Acceptable methods of delivery include: E-mail (preferred) and Standard Mail. Provide a copy marked courtesy to the Technical Point of Contact (TPOC).
Invoices submitted under this contract must comply with the requirements set forth in FAR Clauses 52.232-25 (Prompt Payment) and 52.232-33 (Payment by Electronic Funds Transfer - System for Award Management) and/or other applicable FAR clauses specified herein. To constitute a proper invoice, the invoice must be submitted on company letterhead and include each of the following:
(i) Name and address of the vendor;
(ii) Invoice date and invoice number;
(iii) Contract/Order number (including a reference to any base award for Indefinite- Delivery/Indefinite-Quantity Contracts or Blanket Purchase Agreements);
(iv) Description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed, including:
(a) period of performance for which costs are claimed;
(b) itemized travel costs, including origin and destination;
(c) any other supporting information necessary to clarify questionable expenditures;
(d) the contractor shall include the award item number for each description, quantity, unit of measure, unit price, and extended price supplies delivered or services performed;
(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on government bill of lading;
(vi) Terms of any discount for prompt payment offered (Prompt Payment terms other than NET 30);
(vii) Name and address of official to whom payment is to be sent (must be the same as that in the purchase order/award, or in a proper notice of assignment);
(viii) Name, title, and phone number of person to notify in event of defective invoice;
(ix) Taxpayer Identification Number (TIN);
(x) banking routing transit number of the financial institution receiving payment for Electronic funds transfer (EFT);
(xi) Name and telephone number of the FDA TPOC, as referenced on the award;

(xii) For all Inspections, Time-and-Materials and Labor-Hour Awards, Contractor is required to attach an invoice log addendum to each invoice which shall include, at a minimum, the following information for contract administration and reconciliation purposes:
(a) list of all invoices submitted to date under the subject award, including the following:
(1) invoice number, amount, & date submitted
(2) corresponding payment amount & date received
(b) total amount of all payments received to date under the subject contract or order
(c) and, for definitized contracts or orders only, total estimated amounts yet to be invoiced for the current, active period of performance;
(xiii) Any other information or documentation required by the award.
An electronic invoice is acceptable if submitted in Adobe Acrobat (PDF) format. All items listed in (i) through (xiii) of this clause must be included in the electronic invoice. Electronic invoices must be on company letterhead and must contain no ink changes and be legible for printing.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(a) Definitions. As used in this provision– Commercial and Government Entity (CAGE) code means–
(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity by unique location; or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following:
ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

FAR 52.204-24 – Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment
The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications- Commercial Items. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision— Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition.
(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.
