PERFORMANCE WORK STATEMENT
Comprehensive HVAC Maintenance
A. GENERAL INFORMATION
1. Scope of Work: The contractor shall provide all personnel, equipment, tools, materials, supervision, quality control and other items and non-personal services as required for comprehensive and preventative maintenance and unscheduled corrective maintenance for Heating, Ventilation and Air Conditioning (HVAC) systems as defined in this Performance Work Statement, except as may otherwise be specified. Work will be performed at Corpus Christi Outpatient Clinic, 5283 Old Brownsville Road, Corpus Christi, TX 78405, VA Texas Valley Coastal Bend Health Care System (VATVCB HCS).
2. Background: The work includes preventive maintenance, repairs, support services, inspection, alterations, calibration, and administration. The government makes no representation or guarantee as to the condition of equipment on the start date of the contract. A site visit and inspection of all equipment condition is highly recommended in order to quote on this contract.
3. Performance Period: Base plus 4 Option Years. Contractor shall not work on weekends or federal holidays:

C. CONTRACT AWARD MEETING
1. The contractor shall not commence performance on the tasks in this SOW until the COR has conducted a kick-off meeting or has advised the contractor that a kick-off meeting is waived.
D. GENERAL REQUIREMENTS
1. HOURS OF COVERAGE:
a. Vendor shall provide telephone support 24 hours a day, 7 days a week.
b. Vendor shall provide unscheduled emergency maintenance/ repair service on a 24/ 7 basis, including weekdays after hours, weekends, and federal holidays (when coordinated with the Facility). Any possible overtime shall already be included in the contract cost. Costs for troubleshooting during regular and non-regular work hours for emergency calls shall be included in the contract.
c. Vendor shall provide planned maintenance scheduled at a mutually agreeable time Monday - Friday, 8:00 AM-4:30 PM local site time for Contractor, excluding Federal Holidays.
d. POC or designated alternate shall provide reasonable access to the equipment, reasonable working space, and a reasonable safe, hazard-free operating environment for contractor’s employees and representatives providing services hereunder during hours of coverage.

2. UNSCHEDULED MAINTENANCE (Repair Service):
a. Contractor shall maintain the equipment in accordance with Equipment and OEM recommended frequencies and hardware specifications as set forth in the service manuals as well as the included tasks in this document.
b. The CO or COR has the authority to approve/request a service call from the Contractor.
c. Coverage includes on-site support (4-hour On-Site Response), service parts (ordered by noon, same day delivery), hardware updates, software, software updates, labor, travel, remote service, safety checks, planned maintenance, and quality assurance.
d. When the Contractor leaves on-site location where maintenance services are being performed, the site shall be left in a clean, neat, and orderly condition ensuring the hospital/clinic staff and patients are not subjected to any safety hazards, including but not limited to expose wiring, open circuit panels, or tripping hazards.
e. The COR shall be informed personally or in writing of the equipment status prior to the Contractor leaving the work site.
f. The Contractor is not responsible for the maintenance of equipment listed when damage resulted from act of God or when services from other than the Contractor’s personnel have been performed. The Contractor is not responsible for the maintenance of equipment listed when damage results from Government neglect, misuse, abuse, liquid spills, unauthorized attachments, or alterations to factory settings of the unit.
g. The NTE amount is estimated and may increase/decrease as required. Prior to performing work against this NTE line item, the contractor shall provide a written quote to the COR detailing the required work/modification, parts, and cost.
3. SCHEDULED MAINTENANCE:
a. The Contractor shall perform monthly PM/Calibration Services to ensure that equipment listed in the schedule performs in accordance manufacturer’s standards. Such maintenance shall be performed at mutually agreed times during PM Coverage Hours. All exceptions to the PM schedule shall be arranged and approved in advance with the COR.
b. The Contractor shall provide and utilize procedures and checklists with worksheet originals indicating work performed and actual values obtained (as applicable). Any charges for parts, services, manuals, tools, software, or travel required to successfully complete scheduled PM/Calibration are included within this contract, unless specifically stated in writing.
c. The contractor shall provide written description of Preventive Maintenance Inspections (PMI). This description shall include an itemized list of the procedures performed. PM services shall include, but need not be limited to, the following:
i. Cleaning of equipment
ii. Calibrating and lubricating the equipment
iii. Performing remedial maintenance of non-emergent nature
iv. Replace filters with pleated filters and date the filters
v. Add algae tablets to the drain pans
vi. Check and adjust belts
vii. Check bearings
viii. Check capacitors
ix. Check Contactors
x. Check Amperage
xi. Check voltage
xii. Check Freon levels and add if needed
xiii. Check grease or oil any bearings not permanently sealed
xiv. Check Thermostat
xv. Check heat for proper operation
xvi. Clean Coils
d. Testing and replacing faulty and worn parts and/or parts likely to become faulty, fail or become worn.
e. Inspecting and replacing where indicated, electrical wiring and cables for wear and fraying.
f. Inspecting and replacing, where indicated, all mechanical components.
g. Returning the equipment to the operating condition.
h. Providing documentation of services performed. Each equipment included shall have its own service report, with all tasks listed and checked after the service is done. The report shall also include any reading required by the manufacturer. Each report shall also include Equipment tag, model #, serial # and information on any items repaired or replaced.
i. The contractor shall keep a record of all maintenance scheduled vs maintenance performed.
4. BUILDING AUTOMATION:
a. The contractor shall provide a licensed/certified technician to manage existing i-Vu building automation system.
b. Contractor shall provide all required updates to system software so that the system is up to date with the latest functional and security features.
c. Contractor shall provide maintenance to the existing workstation, including any critical updates required and any patches recommended by the manufacturer.
d. The contractor shall be able to remotely troubleshoot the system when an issue is reported by the user. Contractor shall provide 24/7 service. All troubleshooting, programming, integrating of existing equipment shall be included in the contract.
e. The contractor shall include 1 annual training session for the M&O technicians. This shall repeat at the beginning of each option year if applicable, so that the VA team can keep up to date on any changes performed in the system each year.
5. CONFORMANCE STANDARDS:
a. Contractor shall ensure that the equipment functions in conformance with the latest published edition of the applicable standards, such as: NFPA-99, UL, OSHA, JCAHO, VA, etc. and the “Manufacturer's Performance Standards/ specifications” as used when the equipment was originally procured and that any upgrades/updates shall meet or exceed the stated standards/specifications.
6. PARTS:
a. The Contractor shall have ready access, no more than three (3) business days, to all parts, including unique and/or high mortality replacement parts. Contractor is not responsible for delays beyond the contractor’s reasonable control. Contractor shall communicate status of delays within three (3) business days.
b. The contract shall include all parts except, if applicable, those parts specifically listed as being excluded. The contractor shall use new or rebuilt parts which meet or exceed OEM standards for equivalent quality and reliability as a new part. Used parts or those removed from another system shall not be installed without specific approval by the COR.
c. The contractor shall not modify the system to facilitate replacement parts that are not identical to the part being replaced unless such modification was developed, approved, and released by the OEM.
d. The following items are excluded from coverage: user-replaceable expendable parts/supplies and parts replaced for cosmetic reasons. The Contractor shall also list any additional excluded parts under the service contract.
e. Any hardware, such as a hard drive, which contained patient information, shall be sanitized in accordance with National Security Agency standards by VATVCBHCS staff prior to being removed from the VATVCB HCS.
7. SERVICE MANUALS/TOOLS/EQUIPMENT:
a. The VATVCBHCS shall not provide tools, (test) equipment, service manuals, or service diagnostic software to the contractor. Contractor shall obtain, have on file, and make available to its service technician all operational and technical documentation (such as operational and service manuals, schematics, and parts list) which are necessary to meet the performance requirements of this contract.
E. CHANGES TO PERFORMANCE WORK STATEMENT
1. Any changes to this SOW shall be authorized and approved only through written correspondence from the CO. A copy of each change will be kept in a project folder along with all other products of the project. Costs incurred by the contractor through the actions of parties other than the CO shall be borne by the contractor.
F. REPORTING REQUIREMENTS
1. The contractor shall provide the Project Manager/Task Manager (PM/TM) with written progress reports (original plus three (3) copies). These are due to the PM/TM by the second (2nd) workday following the end of each services perform, throughout the project's duration. The PM/TM is required to provide progress reports to the Contracting Officer’s Representative (COR) by the second (2nd) workday after services are render.
2. The progress report shall cover all work completed during service call and shall present the work to be accomplished during the subsequent call. This report shall also identify any problems that arose, along with a statement explaining how the problem was resolved. This report shall also identify any problems that have arisen but have not been completely resolved, with an explanation.
G. CONDITION OF EQUIPMENT
1. The Contractor accepts responsibility for the equipment described in "as is" condition. Failure to inspect the equipment prior to contract award shall not relieve the Contractor from performance of the requirements of this contract.
H. GOVERNMENT RESPONSIBILITIES
1. Provide the contractor access to the roof top to provide maintenance for roof top units and mini splits.
I. CONTRACTOR EXPERIENCE REQUIREMENTS
1. The government will not dictate specific experience and education requirements of the employees initially proposed to perform the work stated herein.
2. The Contractor shall remove any employee from the performance of this contract within five (5) workdays of receiving notice from the Contracting Officer that the employee's performance is unsatisfactory.
3. All Contractor employees are subject to immediate removal from performance of this contract when they are involved in a violation of the law, VA security, confidentiality requirements and/or other disciplinary reasons.
J. RECORDS MANAGEMENT
1. All records (administrative and program specific) created during the period of the contract belong to VATVCBHCS and must be returned to VATVCB HCS at the end of the contract or destroyed in accordance with the VHA Record Control Schedule (RCS)10-1.
2. Contractor shall comply with all applicable records management laws and regulations, as well as National Archives and Records Administration (NARA) records policies, including but not limited to the Federal Records Act (44 U.S.C. chs. 21, 29, 31, 33), NARA regulations at 36 CFR Chapter XII Subchapter B, and those policies associated with the safeguarding of records covered by the Privacy Act of 1974 (5 U.S.C. 552a). These policies include the preservation of all records, regardless of form or characteristics, mode of transmission, or state of completion.
3. In accordance with 36 CFR 1222.32, all data created for Government use and delivered to, or falling under the legal control of, the Government are Federal records subject to the provisions of 44 U.S.C. chapters 21, 29, 31, and 33, the Freedom of Information Act (FOIA) (5 U.S.C. 552), as amended, and the Privacy Act of 1974 (5 U.S.C. 552a), as amended and must be managed and scheduled for disposition only as permitted by statute or regulation.
4. In accordance with 36 CFR 1222.32, Contractor shall maintain all records created for Government use or created in the course of performing the contract and/or delivered to, or under the legal control of the Government and must be managed in accordance with Federal law. Electronic records and associated metadata must be accompanied by sufficient technical documentation to permit understanding and use of the records and data.
5. VATVCB HCS and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Records may not be removed from the legal custody of VATVCB HCS or destroyed except for in accordance with the provisions of the agency records schedules and with the written concurrence of the Head of the Contracting Activity. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. In the event of any unlawful or accidental removal, defacing, alteration, or destruction of records, Contractor must report to VATVCB HCS records officer. The agency must report promptly to NARA in accordance with 36 CFR 1230.
6. The Contractor shall immediately notify the appropriate Contracting Officer upon discovery of any inadvertent or unauthorized disclosures of information, data, documentary materials, records, or equipment. Disclosure of non-public information is limited to authorized personnel with a need-to-know as described in the contract. The Contractor shall ensure that the appropriate personnel, administrative, technical, and physical safeguards are established to ensure the security and confidentiality of this information, data, documentary material, records and/or equipment is properly protected. The Contractor shall not remove material from Government facilities or systems, or facilities or systems operated or maintained on the Government’s behalf, without the express written permission of the Head of the Contracting Activity. When information, data, documentary material, records and/or equipment is no longer required, it shall be returned to VATVCB HCS control, or the Contractor must hold it until otherwise directed. Items returned to the Government shall be hand carried, mailed, emailed, or securely electronically transmitted to the Contracting Officer or address prescribed in the [contract vehicle]. Destruction of records is EXPRESSLY PROHIBITED unless in accordance with Paragraph (4).
7. The Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, contracts. The Contractor (and any sub-contractor) is required to abide by Government and VATVCB HCS guidance for protecting sensitive, proprietary information, classified, and controlled unclassified information.
8. The Contractor shall not create or maintain any records containing any non-public VATVCB HCS information that are not specifically tied to or authorized by the contract.
9. The Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected from public disclosure by an exemption to the Freedom of Information Act.
10. The VATVCB HCS owns the rights to all data and records produced as part of this contract. All deliverables under the contract are the property of the U.S. Government for which [Agency] shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest. Any Contractor rights in the data or deliverables must be identified as required by FAR 52.227-11 through FAR 52.227-20.

VHA Supplemental Contract Requirements for Combatting COVID-19
1. Contractor employees who work in or travel to VHA locations must comply with the following:
a. Documentation requirements:
1) If fully vaccinated, contractors shall show proof of vaccination.
i. NOTE: Acceptable proof of vaccination includes a signed record of immunization from a health care provider or pharmacy, a copy of the COVID-19 Vaccination Record Card (CDC Form MLS-319813_r, published on September 3, 2020), or a copy of medical records documenting the vaccination.
2) If unvaccinated, contractors shall show negative COVID-19 test results dated within three calendar days prior to desired entry date. Test must be approved by the Food and Drug Administration (FDA) for emergency use or full approval. This includes tests available by a doctor’s order or an FDA approved over-the-counter test that includes an affiliated telehealth service.
3) Documentation cited in this section shall be digitally or physically maintained on each contractor employee while in a VA facility and is subject to inspection prior to entry to VA facilities and after entry for spot inspections by Contracting Officer Representatives (CORs) or other hospital personnel.
4) Documentation will not be collected by the VA; contractors shall, at all times, adhere to and ensure compliance with federal laws designed to protect contractor employee health information and personally identifiable information.
2. Contractor employees are subject to daily screening for COVID-19 and may be denied entry to VA facilities if they fail to pass screening protocols. As part of the screening process contractors may be asked screening questions found on the COVID-19 Screening Tool. Check regularly for updates.
a. Contractor employees who work away from VA locations, but who will have direct contact with VA patients shall self-screen utilizing the COVID-19 Screening Tool, in advance, each day that they will have direct patient contact and in accordance with their person or persons who coordinate COVID-19 workplace safety efforts at covered contractor workplaces. Contractors shall, at all times, adhere to and ensure compliance with federal laws designed to protect contractor employee health information and personally identifiable information.
3. Contractor must immediately notify their COR or Contracting Officer if contract performance is jeopardized due to contractor employees being denied entry into VA Facilities.
1. For indefinite delivery contracts: Contractor agrees to comply with VHA Supplemental Contract Requirements for any task or delivery orders issued prior to this modification when performance has already commenced.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial products or commercial services. C.3 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days after contract expiration.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days after contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.
