About this file
The document is a Proprietary Information Agreement between the County of Sacramento and an unnamed Consultant, pertaining to a Solid Waste Rate Study and Financial Plan. The agreement outlines the terms for protecting proprietary and confidential information submitted by the Consultant in response to a Request for Proposal (RFP) for conducting a comprehensive review of the county's solid waste rates and financial structure. The study aims to assess the financial status of the Department of Waste Management and Recycling's (DWMR) Solid Waste Enterprise Fund and develop recommendations for future rates that will support operational, capital, and debt service needs while maintaining adequate reserve balances.
The agreement includes provisions for confidentiality, with the Consultant seeking to prevent disclosure of proprietary data to external parties. The Consultant agrees to defend and indemnify the County against any actions resulting from potential disclosure requests, while the County retains the right to determine whether to assert confidentiality claims. The scope of work requires the selected Consultant to ensure compliance with California State Statutes and produce a medium-term rate forecast and long-range financial planning model. The document does not specify exact financial terms, contract duration, or specific monetary values for the proposed study.

CONSULTANT, _______________________________________________, has provided the County of Sacramento (hereinafter referred to as "COUNTY") with certain information claimed by the CONSULTANT to be proprietary and/or confidential information (hereinafter referred to as "Proprietary Data"). Submittal of Proprietary Data by CONSULTANT to Agency is, in CONSULTANT'S opinion, necessary to fully respond to a Request for Proposal issued by COUNTY. 5.
If CONSULTANT fails to execute this Agreement, the COUNTY, its officers, agents, and employees shall be free to grant a Public Records Act request relating to such Proprietary Data.
6.
Notwithstanding this Agreement, the COUNTY reserves the right to determine, in its sole discretion, whether or not it will assert the claim of confidentiality on behalf of the CONSULTANT.
