FAR Part 6 Justification and Approval for Other than Full and Open Competition

1. Contracting Activity: Mission and Installation Contracting Command - Yuma Proving Ground (MICC–YPG), U.S. Army Yuma Proving Ground (USAYPG), Arizona.

2. Description of Action: The Yuma Test Center requests approval to award a Cost- Plus-Award-Fee (CPAF) bridge contract W9124R-18-C-1002, to TRAX International Corporation (TRAX) for the Mission Test Support Services (MTSS) requirement for a period of performance of four months, 20 June 2018 through 19 October 2018, to permit resolution of a Government Accountability Office (GAO) protest after award of contract, W9124R-18-C-0001, to TRAX. The previous MTSS CPAF contract, W9124R-09-C-0003, performance ended on 31 May 2018 upon award of follow-on contract, W9124R-18-C- 0001. This bridge contract will provide for the continuation of essential MTSS at USAYPG, Arizona. The bridge contract will be incrementally funded using Fiscal Year (FY) 18 Research, Development, Test and Evaluation (RDT&E) and Operations and Maintenance Army (OMA) funds.

3. Description of Supplies/Services: The contractor provides test support services in the following ten (10) functional areas: 1. Electronic Instrumentation; 2. Optical and Geodetic Instrumentation Operation; 3. Metrology and Simulation Operation; 4.

Computation and Automation; 5. Operations and Maintenance; 6. Range Management Operations; 7. Technical and Engineering Special Services; 8. Range Communications Operations; 9. Information Management Operations; and 10. Data Management and Test Coordination.

Period of Performance: 20 June 2018 through 19 October 2018 Total Value: $35,700,000

4. Authority Cited: 10 U.S.C. 2304(c)(2) as implemented by FAR Part 6.302-2, “Unusual and Compelling Urgency.”

5. Reason for Authority Cited:

a. As described at FAR 6.302-2, when the agency’s need for the supplies or services is of such an unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits bids or proposals, full and open competition need not be provided for.

1) The current action is based on unusual and compelling urgency due to a post-award protest which did not leave sufficient time to re-compete this action pending a GAO decision. The previous contract had completed the period of performance on 31 May 2018 leaving the only option to award an immediate bridge contract to continue performance and avoid a break in service. The MTSS contract supports approximately 100 tests daily that would be significantly impacted by any lapse in contract support.

Numerous critical programs will be impacted resulting in late fielding of life-saving technology if this request is not approved

2) TRAX, the incumbent, is the only source possessing immediately available and trained personnel assets, management team, institutional knowledge, equipment, management and other resources to continue the ongoing and upcoming test requirements in the next four months at the different Test Centers. Any break in service is unacceptable and will disrupt scheduled tests at the Yuma Test Center, Cold Regions Test Center, and Tropic Regions Test Center. Major areas affected would include Aviation Air Delivery Systems, Munitions and Weapons Systems, Combat and Automotive Systems, and emerging and future technologies, among others. Awarding a bridge contract is critical to the Army's operational testing program; delays in ongoing tests is an untenable risk to the Army, both financially and operationally. The MTSS contract supports approximately 100 tests daily that directly support fielding of the latest technological improvements for the Army's critical war fighting equipment. Due to the magnitude and complexity of this requirement it is not feasible to solicit competitive offers from various contractors for this bridge contract. TRAX is the only source capable of performing the requirement during the proposed bridge contract period. The transition (phase-in) for this effort is 60 days, which generally includes the orderly transfer of nearly 200 office spaces and 1,100 personnel located across the Yuma test sites. Along with this time consuming effort, there are more than 20,000 lines of GFP/GFE that must be inventoried prior to official transfer to the incoming contractor. The YPG Test Center mission will be negatively impacted by any lapse in contract support; failure to continue ongoing tests with the incumbent will result in substantial duplication of cost to the Army that is not expected to be recovered through competition. The phase-in/phase-out transition of all services, inventory and ongoing tests to a different contractor would require the presence of both contractors at an estimated cost of approximately $17.9M per month ($8.9M x 2) for a minimum of 2 months.

b. Alternatives. Suspension of operations is not a viable option. The test support services provided by this contract are directly tied to the military test mission and cannot cease without causing significant harm to the Army and joint services test programs fielding new capabilities for the war fighter. Many of the test programs supported by the USAYPG and this contract are critical to the developmental and operational testing of technologies and equipment urgently needed to support Overseas Contingency Operations and the on-going defense of our nation.

c. On 30 May 2018, the Army competitively awarded contract W9124R-18-C-0001 to TRAX. On 19 June 2018, Jacobs Technology, Inc. filed a GAO protest (Docket B- B410441.15) disputing the award. A Stop-Work order pursuant to FAR 52.333-3 Alt I, Protest after Award was issued to TRAX on 20 June 2018 directing them to stop all performance on the contract immediately. This bridge contract requested will allow 100 days for GAO to render a decision on the protest.

(2) The previous contracts were competed using full and open competition

(3) Contract W9124R-09-C-0003 was a five year contract (a base year plus two, two-year option periods). Nineteen Justification and Approvals (J&As) extended the contract for four years and four months due to protests of the competitive solicitation for the follow-on award. This contract was a five year contract (a base plus two, two-year option periods). Five J&As for this contract used the authority 10 USC 2304(c)(2) and 14 J&As used the authority 10 USC 2304(c)(1).

(4) The last extension under the previous MTSS contract, W9124R-09-C-0003, was issued under authority 10 USC 2304(c)(2), as implemented by FAR 6.302-2, Unusual and Compelling Urgency.

(5) The prior contract for this requirement was accomplished using full and open competition, however, the circumstances causing this action to now limit the source is a bridge contract. This interim action will provide adequate time for GAO to make a decision for the protest filed 19 June 2018.

(6) There are no unusual patterns that may be revealed by the procurement history.

(7) J&As were previously prepared to allow time for GAO to make decisions for the protests received against the follow-on contract award and to allow the appropriate time for completion of those corrective actions.
