Justification and Approval (J&A) for Other Than Full and Open Competition

I. Agency and Contracting Activity.
Agency: USSC Contracting Activity: HQ SpOC SAM-D/PK
II. Nature and/or description of the action being approved.
The Contracting Activity (SAM-D/PK) in support of the United States Space Command (USSPACECOM) Directorates has a requirement to modify the current contract to allow for extension of the period of performance of the UCAAS contract, FA2518-21-C-0003. This action requires a non-competitive solicitation to LinQuest for non-competitive pricing, which will result in a modification to the contract. This modification will add the necessary contract line items and non-competitive pricing which can then be exercised, as necessary, for extension of the current UCAAS contract utilizing FAR 52.217-8, Option to Extend Services, for no more than six (6) months. Federal Acquisition Regulations (FAR) 52.217-8, Option to Extend Services was incorporated into the contract at award but pricing and the contract line items were not evaluated nor established at that time.
III. Description of supplies/services required to meet agency needs (including the estimated value).

IV. Statutory authority permitting other than full and open competition.
The proposed action will be conducted without providing for full and open competition pursuant to the authority of Title 10 U.S.C §2304(c)(1), as implemented by FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements.
V. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above (applicability of authority).
LinQuest has been instrumental in the supporting efforts for the stand-up of USSPACECOM by providing necessary expertise in space disciplines. USSPACECOM is still in Initial Operating Capability (IOC) and is in a crucial stage of development of requirements, capabilities, and personnel resources. Maintaining continuity of knowledge, expertise, and support is critical to the success of progression to USSPACECOM Full Operational Capability (FOC).
Currently SAM-D/PKC is working on the reacquisition of these services as a competitive General Services Administration (GSA) One Acquisition Solution for Integrated Services (OASIS) task order (FA2518-22-R-0003). This reacquisition has experienced delays in the technical evaluation process. It is in the Government's best interest to modify the current contract
April 2021 CONTROLLED UNCLASSIFIED INFORMATION Page 3 of 4 for pricing associated with FAR 52.217-8 to ensure a break in service does not occur. The current contract expires 22 April 2022. Transition to a new contractor for this limited period of time needed to complete the competitive action would induce unnecessary/unacceptable delays and substantially increased and unwarranted costs. The Contracting Officer estimates the delay in competing this limited (6 months or less) requirement would necessitate at least 4 months in delays. In addition, the costs to transition into the 6 month contract, and then after this limited period to the follow-on re-acquisition contract, would double, resulting in an unnecessary duplication of costs.
While the request is for the limited period of time of 6 months to complete the competitive award, the Government anticipates that completing the competitive award would not take the whole 6 months. As such, competing the requirements for this 6 month action would result in significant, additional delays for the current competitive acquisition and incur substantial additional costs to the Government. Technical evaluation personnel would be required to stop action on the current competitive evaluations and conduct another set of technical evaluations if this action were competed, which would further delay award. The Government would incur additional costs for transition to a new contractor and then would be required to pay transition costs to the resulting awardee of the current competitive acquisition. Competition of this action also poses additional risk to the continuity of the highly specialized services LinQuest is currently providing to USSPACECOM.
It is estimated to take 30 days for a new contractor to transition to support USSPACECOM, which could result in gaps of support, steep learning curves during transition, as well as possible issues with the retention of incumbent personnel if this action were competed. This is due to the transition of current workload as well as the time for a new contractor to obtain and on-board contractor personnel to support USSPACECOM directorates as well as significant delays to the performance of the application management functions. LinQuest offers the specialized knowledge and qualifications at this time to avoid risk of the disruption of services and to ensure the continuity of mission success as USSPACECOM continues toward FOC of
USSPACECOM.
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under
FAR 5.202 applies.
The Contracting Officer (CO) has finalized market research for the competitive acquisition currently underway which will provide Knowledge Based Services (KBS) support USSPACECOM directorates. The CO received a scope read from GSA OASIS on June 9, 2021, who stated it was within scope of GSA OASIS Pool 1. An exception to publicizing and soliciting on the Government Point of Entry (SAM.gov) is IAW FAR 5.202(a)(6): "The proposed contract action is an order placed under subpart 16.5." Notice of this action will be publicized at SAM.gov but solicitation of offerors has already been conducted on OASIS.
No additional offers will be solicited for or accepted if submitted to the Government as a result of publication of this notification.
The Government emailed a request for information (RFI) on June 16, 2021 to all vendors within the three contract vehicles in GSA OASIS Pool 1: Small Business, 8(a), and Full and Open. This was conducted in order to determine whether there were capable vendors who could support this requirement within one contract vehicle. Twenty-seven (27) vendors in OASIS Pool 1 responded of which 17 were small business (SB) and 10 were large business (LB). RFI 2 was sent out on August 4, 2021 for further assistance in determining capability, experience, contract type, and page count. Twenty-nine (29) vendors in OASIS Pool 1 responded to RFI 2, of which 16 were SBs and 13 were LBs. Based upon evaluation of all responses and capability packages, the Government determined that there were at least 8 SBs that would submit proposals and were potentially capable of supporting the requirements.
VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
To determine the proposed price/cost proposal fair and reasonable, the CO will utilize the proposal analysis techniques listed under FAR 15.404-1(b)(2) and FAR 15.404-1(c)(2).
VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
As described in Section VI above, market research, in accordance with FAR Part 10, was conducted by requesting GSA OASIS scope read with follow on RFIs posted to GSA OASIS SB Pool 1 contract holders to determine whether or not there were interested parties who were capable to support the USSPACECOM's requirement. See Section VI for further details regarding

IX. Any other facts supporting the use of Other Than Full and Open Competition.
USSF SpOC SAM-D is currently in the pre-award phase of the competitive acquisition for these requirements. Work toward the competitive acquisition will continue during the extension which will result from this modification.
X. List of any sources that expressed, in writing, an interest in the acquisition.
RFIs were posted to the GSA OASIS SB Pool 1 contract holders, and as a result, the Government received over 25 responses from interested small businesses at the conclusion of each RFI. See Section VI for details regarding the RFIs and their results.
XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.
USSPACECOM and USSF SpOC SAM-D are currently in the pre-award phase of the follow on acquisition for these requirements utilizing GSA OASIS Small Business Pool 1. This is a competitive acquisition among all small business contract holders within Pool 1. Further information regarding the RFIs and results is found in Section VI of this J&A.
