(a) Definition. As used in this clause– “Commercial and Government Entity (CAGE) code” means–

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Contractor and Government Entity (CAGE) Branch to identify a commercial or government entity, or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Contractor and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as an NCAGE code.

(b) Contractors shall ensure that the CAGE code is maintained throughout the life of the contract. For contractors registered in the System for Award Management (SAM), the DLA Contractor and Government Entity (CAGE) Branch shall only modify data received from SAM in the CAGE master file if the contractor initiates those changes via update of its SAM registration. Contractors undergoing a novation or change-of-name agreement shall notify the contracting officer in accordance with subpart

42.12. The contractor shall communicate any change to the CAGE code to the contracting officer within 30 days after the change, so that a modification can be issued to update the CAGE code on the contract.

(c) Contractors located in the United States or its outlying areas that are not registered in SAM shall submit written change requests to the DLA Contractor and Government Entity (CAGE) Branch. Requests for changes shall be provided on a DD Form 2051, Request for Assignment of a Commercial and Government Entity (CAGE) Code, to the address shown on the back of the DD Form 2051. Change requests to the CAGE master file are accepted from the entity identified by the code.

(d) Contractors located outside the United States and its outlying areas that are not registered in SAM shall contact the appropriate National Codification Bureau or NSPA to request CAGE changes. Points of contact for National Codification Bureaus and NSPA, as well as additional information on obtaining NCAGE codes, are available at http://www.dlis.dla.mil/nato/ObtainCAGE.asp.

PLATFORM (IPP) - APR 2013)

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).

'Payment request' means any request for contract financing payment or invoicing payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions-Commercial Items included in commercial item contracts. The IPP website address is: https://www.ipp.gov.

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

Once the invoice has been submitted in the IPP system, the Contractor shall also submit an electronic copy of the invoice to the following:

Failure to email the invoice may cause significant delay or possible rejection of your payment request.

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3-5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

ADDENDUM TO 52.212-4

1452.201-70 Authorities and Delegations - (Sep 2011)

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award.

The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor.

Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government.

(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum.

The Contractor need not proceed with direction that it considers to have been issued without proper mailto:lvance@usbr.gov mailto:rmingo@usbr.gov mailto:plolofie@usbr.gov authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph

(d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) The contractor shall not require employees or subcontractors seeking to report fraud, waste, or abuse to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such fraud, waste, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information.

(b) The contractor shall notify employees that the prohibition and restrictions of any internal confidentiality agreements covered by this clause are no longer in effect.

(c) The prohibition in paragraph (a) of this clause does not contravene requirements applicable to Standard Form 312, Form 4414, or any other form issued by a Federal department or agency governing the nondisclosure of classified information.

Propagating and Installing Plant Materials for the Lower Duchesne River Wetlands Mitigation Project

East Hobble Creek Restoration Project Little Willow Creek/Jordan River Restoration Project

Fall 2016 – Fall 2017

1. INTRODUCTION

The Utah Reclamation Mitigation and Conservation Commission (Commission) is responsible for mitigating the impacts to fish and wildlife that resulted from construction of the Central Utah Project and other federal Reclamation projects in Utah. As part of its mitigation program the Commission has developed the Lower Duchesne River Wetlands Mitigation Project (LDWP) near Myton in Uintah County;

the East Hobble Creek Restoration Project near Springville in Utah County; and the Little Willow Creek/Jordan River Restoration Project in Salt Lake County, all within the State of Utah. Restoration of riverine, riparian and related wetlands features is a key component of each project.

2. PROCUREMENT PURPOSE

The purpose of this procurement is to establish a unit cost (cost per plant), to provide the propagation and installation of rooted plant materials in the form of: rooted plant, cuttings and poles for the above mentioned construction sites. The Commission is responsible for reasonably preparing the site for installation. All plant materials shall be installed in accordance with the Tree and Shrub Planting Handbook (Utah Division of State Lands and Forestry, Salt Lake City, UT, 1993) unless modified herein.

The plants needing to be installed at the various sites are listed in Tables 1, 2 and 3 – Plant Material.

The plant materials are broken in two groupings; A and B, along with the common name, scientific name, size/type, planting season, and quantity requested.

Grouping A plants shall be installed during the Fall of 2016 (October 15 to November 30).

Grouping B plants shall be installed during the Fall of 2017, (October 15 to November 30) [if applicable;

some sites may not have Grouping B requirements.].

The planting zones for each species shall be installed in accordance with Attachment A – Locator Map, and Revegetation Plan for Lower Duchesne Wetlands Project; and Attachment B for East Hobble Creek Restoration Project

Rooted plants (Groupings A and B) shall be installed along linear water conveyance channels (approx.

150 plants per 0.1 mile) and grouped along margins of created/restored wetlands (mostly “Riparian Fringe” areas).

The exact placement of plants and schedule of the revegetation efforts will depend on completion of construction, species-specific requirements for plant propagation and establishment, and coordination with the Commission.

3. REQUIREMENTS

Task 1 – Propagation of Plant Materials

Contractors shall provide the following services:

1) Collect plant materials which are genetically the same as or similar to the site riparian woodland/wetland community, in which they will be installed;

2) Propagate plant materials;

3) Store plant materials until needed by the Commission;

4) Transport healthy plant materials to the project site(s) in a timely manner as directed by the Commission.

Plant materials shall be inspected by the Government and revegetation experts. Materials deemed UNHEALTHY will not be accepted. To maintain the genetic integrity of the local plant community, plant materials shall be collected:

For the Lower Duchesne Wetlands Project: within a 100 mile radius of Myton City (Duchesne County, UT), and from an area with an elevation ranging between 4300 and 6000 feet above mean sea level.

For the East Hobble Creek Restoration Project: within a 100 mile radius of Springville City (Utah County, UT), and from an area with an elevation ranging between 4400 and 5500 feet above mean sea level.

Grouping B cottonwood rooted plants shall have live roots a minimum depth of 36 inches from the ground surface.

Task 2 – Installation of Plant Materials

Contractors shall provide the following services:

1) Maintaining propagation of plant materials in healthy condition until installation is required,

2) Ensuring the delivery of plant materials to the Project site shall be completed in a timely manner,

3) Provide all labor and materials needed to install plant materials at locations generally specified by the Commission, but in microhabitats appropriate for each species as determined by the Contractor,

4) Make recommendations that will ensure/enhance plant survival and growth,

5) Plant materials shall be installed in accordance with the Tree and Shrub Planting Handbook (Utah Division of State Lands and Forestry, Salt Lake City, UT, 1993) or other instructions provided by or approved in writing by the government prior to award of the contract.

6) Implement the recommended changes approved by the Commission (if any).

IMPORTANT NOTES

• Quotes shall include applicable volume discounts and container size (if applicable).

• Delivery schedule may require multiple delivery dates in order to assure fresh stock is provided, and mileage shall be written into the quote.

• Payment will be based on quantity of plants ACCEPTED by the Government. Inspection by the Government to be performed upon delivery. Plants must be HEALTHY in the opinion of the Government and Government’s revegetation expert responsible for overseeing installation of the plants

• The government reserves the right to award to a single vendor or to multiple vendors if it is deems advantageous under the particular circumstances of this solicitation.

52.204-16 COMMERCIAL AND GOVERNMENT ENTITY CODE REPORTING (JUL 2016)

(a) Definition. As used in this provision – “Commercial and Government Entity (CAGE) code” means –

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Contractor and Government Entity (CAGE) Branch to identify a commercial or Government entity; or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Contractor and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.

(b) The Offeror shall enter its CAGE code in its offer with its name and address or otherwise include it prominently in its proposal. The CAGE code entered must be for that name and address. Enter “CAGE” before the number. The CAGE code is required prior to award.

(c) CAGE codes may be obtained via–

(1) Registration in the System for Award Management (SAM) at www.sam.gov. If the Offeror is located in the United States or its outlying areas and does not already have a CAGE code assigned, the DLA Contractor and Government Entity (CAGE) Branch will assign a CAGE code as a part of the SAM registration process. SAM registrants located outside the United States and its outlying areas shall obtain a NCAGE code prior to registration in SAM (see paragraph (c)(3) of this provision).

(2) The DLA Contractor and Government Entity (CAGE) Branch. If registration in SAM is not required for the subject procurement, and the offeror does not otherwise register in SAM, an offeror located in the United States or its outlying areas may request that a CAGE code be assigned by submitting a request at https://cage.dla.mil.

(3) The appropriate country codification bureau. Entities located outside the United States and its outlying areas may obtain an NCAGE code by contacting the Codification Bureau in the foreign entity’s country if that country is a member of NATO or a sponsored nation. WBR 1452.211-80 Notice of Intent to Acquire Metric Products and Services -- Bureau of Reclamation - (Mar 1993)

(a) Metric Transition Plan. The Department of the Interior on December 6, 1991, issued a Metric Transition Program (Part 758 Department Manual Chapter 1) to establish and describe the program's policies and responsibilities. The Bureau of Reclamation (Reclamation), has developed a Metric Transition Plan to implement metrication in Reclamation. This plan describes Reclamation's overall strategy for using the metric system, defines general requirements and procedures for carrying out the transition, and details the tasks with milestones for Reclamation offices to complete.

(b) The Omnibus Trade and Competitiveness Act of 1988 (Trade Act).

(1) Section 5164 of Public Law 100-418, the Trade Act, amended the Metric Conversion Act of 1975 and designated the metric system of weights and measures for United States trade and commerce.

(2) The Trade Act establishes September 30, 1992, as the implementation date (to the extent economically feasible) for Federal agencies to use the metric system of measurement in its procurements, grants, and other business-related activities.

(3) The Trade Act permits exceptions to the use of the metric system to the extent that such use is impractical or is likely to cause significant inefficiencies or loss of markets to United States firms, such as when foreign competitors are producing competing products in non-metric units.

(4) As a result of the Trade Act, the President issued Executive Order 12770 dated July 25, 1991, to implement the congressional designation of the metric system as the preferred system of weights and measures for United States trade and commerce.

(c) Bureau of Reclamation Implementation. As a result of the Trade Act, Reclamation will, to the maximum extent practicable, use hard conversion and soft conversion metric systems in designing its construction projects, eventually phasing out use of the soft conversion metric system. Exceptions to this policy will only be made when such use is impractical, produces inefficiencies or market losses, or is not economically feasible.

(d) Expected Results. Reclamation expects its support of the metric system to result in increased use of the metric system by U.S. contractors, thereby increasing their ability to compete in the international marketplace. Increasing use of the metric system by U.S. contractors will eliminate possible restrictions on their bidding in the international marketplace and will eliminate any impact of economic blocks by metric countries restricting the acceptance of non-metric products.

(d) Information in a proposal identified by an offeror as trade secret information or confidential commercial and financial information shall be used by the Government only for the purpose of evaluating the proposal, except that (i) if a contract is awarded to the offeror as a result of or in connection with submission of the proposal, the Government shall have the right to use the information as provided in the contract, and (ii) if the same information is obtained from another source without restriction it may be used without restriction.

(e) If a request under the Freedom of Information Act seeks access to information in a proposal identified as trade secret information or confidential commercial and financial information, full consideration will be given to the offeror's view that the information constitutes trade secrets or confidential commercial or financial information. The offeror will also be promptly notified of the request and given an opportunity to provide additional evidence and argument in support of its position, unless administratively unfeasible to do so. If it is determined that information claimed by the offeror to be trade secret information or confidential commercial or financial information is not exempt from disclosure under the Freedom of Information Act, the offeror will be notified of this determination prior to disclosure of the information.

(f) The Government assumes no liability for the disclosure or use of information contained in a proposal if not marked in accordance with paragraphs (b) and (c) of this provision. If a request under the Freedom of Information Act is made for information in a proposal not marked in accordance with paragraphs (b) and (c) of this provision, the offeror concerned shall be promptly notified of the request and given an opportunity to provide its position to the Government. However, failure of an offeror to mark information contained in a proposal as trade secret information or confidential commercial or financial information will be treated by the Government as evidence that the information is not exempt from disclosure under the Freedom of Information Act, absent a showing that the failure to mark was due to unusual or extenuating circumstances, such as a showing that the offeror had intended to mark, but that markings were omitted from the offeror's proposal due to clerical error.

(a) The clause at FAR 52.222-19, Child Labor, Cooperation with Authorities and Remedies, does not apply to Bureau of Reclamation acquisitions to the extent that the contractor is supplying end products mined, produced, or manufactured in -

(1) Canada, and the anticipated value of the acquisition is $175,000 or more; and

(2) Israel, and the anticipated value of the acquisition is $175,000 or more.

(b) Nonapplicability thresholds for other countries are the same as listed in the FAR clause.

52.212-2 EVALUATION – COMMERCIAL ITEMS - (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The Government will use the Lowest Price Technically Acceptable (LPTA) approach to evaluating and awarding this contract. Using the LPTA approach, the Government will evaluate all quotes received for technical acceptability against the factors listed below. If a vendor's quote receives less than an acceptable rating on any of the factors, the Government will not consider it for award. Among all technically acceptable quotes, the Government will award to the vendor with the lowest price.
