About this file

This single source justification document seeks additional iSchemaView RapidAI Imaging Software Licenses for the Phoenix VA Healthcare System (PVAHCS). The Department of Veterans Affairs, VISN 22 Network Contracting Office 22 in Long Beach, CA requires the supplies and services listed in purchase request 644-23-4-260-0350 for PVAHCS in Phoenix, Arizona. The estimated cost is $43,573.14. The justification for a single source award to iSchemaView, Inc. through their authorized SDVOSB distributor TrillaMed, LLC is that the RapidAI software is proprietary and developed by iSchemaView specifically for use on their medical imaging equipment, so no generic or other compatible software exists that would allow increased licenses for the RapidAI operating system. Due to the exclusive licensing agreements, the urgency and time constraints of the requirement, and the critical and unique nature of the software for patient care, iSchemaView and TrillaMed are deemed the only sources that can provide the needed additional licenses to avoid rendering the vital equipment useless without warranties.

VHAPG Part 813.106 Simplified Acquisition Procedures: Soliciting from a Single Source Attachment 1: Single Source Justification for SAP under the SAT

Last Updated: 02/01/22 Page 1 of 2

DEPARTMENT OF VETERANS AFFAIRS

Justification for Single Source Awards IAW FAR 13.106-1 For

Over Micro-Purchase Threshold but Not Exceeding the SAT ($250K)

Commodity Brand Name Description:

• Brand Name: iSchemaView

• Description: Additional iSchemaView RapidAI Imaging Software Licenses for the Phoenix VA Healthcare System (PVAHCS).

Acquisition Plan Action ID: 36C262-23-AP-3698

1. Contracting Activity: Department of Veterans Affairs, VISN 22, Network Contracting Office 22 (NCO 22) in Long Beach, CA, seeks to procure the supplies / services listed in purchase request 644-23-4-260-0350 at/for the PVAHCS, Phoenix, Arizona.

2. Brief Description of Supplies / Services required and the intended use / Estimated Amount:

Additional iSchemaView RapidAI Imaging Software Licenses.

Estimated Cost: $43,573.14 USD.

3. Unique characteristics that limit availability to only one source, with the reason no other supplies or services can be used:

Additional iSchemaView RapidAI Imaging Software Licenses for in-use equipment applications allows PVAHCS upgraded and increased functionality of imaging for diagnosis and treatment, and ensure seamless operability.

Software is proprietary developed by iSchemaView for use on their imaging equipment.

Generic or other compatible software does not exist that would permit increased licenses for/to the RapidAI operating system. Due to exclusive licensing agreements of proprietary software/technology, time constraints, and item being unique to one manufacturer, iSchemaView – original equipment manufacturer (OEM) and its authorized distributor(s) are the only sources who can provided needed software licenses and use of any other product(s) would be incompatible and render vital medical equipment useless and void of any warranties. Circumstances of contract action deem only one source reasonably available due to proprietary software, urgency, time constraints, and critical and unique nature of requirement per FAR 13.106-1(b), and no other supplies or services will satisfy agency requirements. Additionally, following established competitive procedures would result in unacceptable delays with increased risk to patient care.

4. Description of market research conducted and results or statement why it was not conducted:

Limited market research (MR) performed due to proprietary software, urgency, time constraints, and critical / unique nature of requirement. Results from SBA VetCert query by applicable North American Industry Classification System (NAICS) code 334510 https://www.acquisition.gov/?q=/browse/far/13

VHAPG Part 813.106 Simplified Acquisition Procedures: Soliciting from a Single Source Attachment 1: Single Source Justification for SAP under the SAT

Last Updated: 02/01/22 Page 2 of 2 identified 294 SDVOSB / VOSB vendors who could potentially perform the requirement.

However, VA Rule of Two does not apply and there is no reasonable expectation that 2 or more qualified SDVOSB / VOSB / SB vendors can, could or would submit offers to meet mission need. Conclusion – recommend single / sole source award to iSchemaView, Inc. – small business / OEM authorized SDVOSB distributor TrillaMed, LLC, a SAM registered SDVOSB vendor IAW FAR Part 13 and VAAR 819.7008.

5. Contracting Officer's Certification: Purchase is approved in accordance with FAR13.106-1(b). I certify that the foregoing justification is accurate and complete to the best of my knowledge and belief.
