STATEMENT OF WORK

MAINTENANCE AGREEMENT for

LASER SCANNING MICROSCOPE SYSTEMS

1. Background Statement.

The Eunice Kennedy Shriver National Institute of Child Health and Human Development (NICHD), National Institutes of Health (NIH), requires a maintenance agreement on several Confocal Microscopes within the NICHD.

The Institute currently owns several laser scanning confocal microscopes manufactured by Carl Zeiss Microimaging. Confocal microscopes are sophisticated pieces of opto-electronics used to acquire images of either fixed (cells or tissue sections) or live specimen (cell, tissue, whole animal). Since so much work is required to prepare samples, it is critical that every microscope works at peak performance. Because all live samples are time-sensitive, downtime is extremely costly in term of lost productivity. It is essential these confocal microscopes be regularly maintained and quickly repaired when a failure occurs.

2. Statement of Work.

This procurement is to provide a service agreement on several Carl Zeiss laser scanning confocal microscopes owned by the National Institute of Child Health and Human Development. The institute currently owns eight laser scanning microscopes. The provider will replace or repair any failed part on these systems that either prevent the instrument from operation or causes degradation in performance.

The work includes (not limited to):

1) Traveling to on-site in the NIH Bethesda campus in Maryland.

2) Troubleshooting the problem

3) Providing and installing parts and components when required. It is the provider’s responsibility to ensure all spare parts for Zeiss LSM 710/780 confocal instruments, including but not limited to laser, fibers, detectors, scan-heads and microscope stand parts will be available in a timely manner. Note that some of these parts can only be obtained from the manufacturer, Carl Zeiss Microimaging.

4) Providing all necessary services to ensure optimum operation of each instrument, including but not limited to, proper alignments, calibrations, software settings and software update when required. It is the provider’s responsibility to document ability of maintaining and servicing identical equipment and other locations. Must also demonstrate a period of factory training at Carl Zeiss headquarters in Germany. Offeror must demonstrate their ability to obtain information regarding the technical specifications required to perform service/maintenance.

5) The above services will be rendered in a timely fashion, no less than 24 hours after the provider has been notified of a failure or problem on any instruments. In the event equipment cannot be repaired in the field, the provider must state action taken when it must be shipped back to the factory in Germany for repairs.

6) Warranties: Necessary components are installed as necessary without additional charges. New components introduced by Carl Zeiss Microimaging will be acquired as appropriate using procurement tools not connected with this service agreement. These new acquisitions will carry their appropriate warranties.

3. Reporting Requirements and Deliverables Offerors are required to submit reports summarizing the maintenance service provided, listing the equipment, location, service type, parts replaced, etc. as follows:

a. Quarterly Progress Report

This report shall include a summation of the monthly service provided/a description of the activities during each quarter (where applicable) of the period of performance. The first reporting period consists of the first full three months of performance including any fractional part of the initial month. Thereafter, the reporting period shall consist of three full calendar months.

The first report shall be by the 10th calendar day due after the first full three months of performance. Thereafter, reports shall be due on or before the 10th calendar day following each reporting period.

b. Annual Progress Report

This report shall include a summation of the results of the entire contract work for the period covered. An annual report will not be required for the period when the Final Report is due. A Quarterly Report shall not be submitted when an Annual Report is due.

c. Final Report

This report shall consist of the work performed and results obtained for the entire contract period of performance of this contract. This report shall be in sufficient detail to describe comprehensively the results achieved. The Final Report shall be submitted on or before the last day of the contract performance period. An Annual report shall not be required for the period when the Final Report is due.
