PERFORMANCE WORK STATEMENT
PERFORMANCE WORK STATEMENT (PWS)
NH Research 5600 (S/N 8461) Module Test System Repair and Maintenance Code 950 Electronics
1. Background: The Pearl Harbor Naval Shipyard & Intermediate Maintenance Facility (PHNSY&IMF) is the largest industrial complex in the State of Hawaii and the Pacific region. The facilities and equipment are able to service the Navy’s fleet and other agencies. The shipyard occupies 112 acres, over 170 buildings and 4 dry docks. The plant value of the facility is in excess of $4.0 billion.
PHNSY & IMF Code 950 mission is to provide accurate and timely repair services of the latest Electro Mechanical Technologies for the Navy Fleets readiness.
2. Scope: Code 950 seeks a qualified contractor to provide repair parts replacement with failed part exchange options, unlimited telephone support, emergency telephone support, and calibration as part of the service for a government owned NH Research 5600 (S/N 8461) Module Test System located at Building No. 683, Room 207, Naval Submarine Base, Pearl Harbor, Hawaii. If repairs are needed that are beyond those listed in the PWS after preventative maintenance and calibration services, an in-scope modification will be done.
3. Performance Work Specification:
The Contractor shall be a trained and authorized technical NH Research service provider.
The Contractor shall provide the following for the NH Research 5600 (S/N 8461) Module Test System:
Advance Exchange Repair Part Service; defined as the OEM shipping repair parts in advance of receipt of damaged part. Repair parts that are sent to the Government will be for permanent installation only. Upon receipt of repair parts, the Government will install and ship back the damaged part.
Unlimited telephone support access shall be provided to the Government at no additional cost. The Contractor shall respond within two (2) business hours of Hawaii Standard Time.
One equipment calibration per year. The Contractor shall be responsible for any costs associated in returning the re-calibrated equipment to the Government.
Within 15 business days of the completion of repairs, the Contractor shall provide a report, which shall at minimum include the following information:
a. Date and time notified.
b. Date, time and duration of telephone support.
c. Type and serial numbers of machine(s) components repaired.
d. Narrative description of the malfunction(s) identified, action taken, or parts replaced.
e. Date and time system functionally restored.
f. Contractor reference number.
3.1 Parts
Any replacement parts provided in paragraph 3. shall be new, rebuilt, refurbished, and/or commercially available parts that meet OEM specifications. If new parts are not available and rebuilt/refurbished parts are provided, the Government shall be notified in writing within one (1) business day. All rebuilt/refurbished parts shall be warranted by the Contractor as meeting or exceeding OEM specifications.
The Contractor shall immediately advise the Technical Point of Contact in writing if critical repair part(s) are required and no commercial part source is available, and/or the affected part(s) cannot be manufactured, rebuilt and/or refurbished AND no alternative engineering solution exists to restore equipment.
3.2 Other Performance Work Specification Requirements
a. The contractor shall support the shipyard’s work schedule such that services and deliverables of this contract are subservient to PHNSY&IMF mission operations and associated security requirements, while conducting work in and around the installation.
b. The contractor shall provide and is responsible for all labor, management, supervision, coordination, quality control, quality assurance, quality management, safety management, material, equipment, and transportation necessary to perform the requirements. The contractor shall ensure adequate resources are dedicated to comply with the standards, guidelines and procedures as stated to satisfy the requirements in this contract.
c. The contractor shall work in accordance with the PWS issued by the KO. Should the contractor be instructed by an individual other than the KO to perform work that it considers a change to the PWS, the contractor shall not perform such work and shall immediately notify the KO and/or COR in accordance with the notification of changes clause, FAR 52.243-1.
d. Contractors shall execute work in accordance with the PWS, Technical Work Documents (TWDs), including Task Group Instructions (TGIs), and other technical direction.
e. Contractor shall perform in accordance with all applicable Federal, State, Country, City, and local statutes and regulations.
4. Place of Performance
a. The contractor will perform but is not limited to the following work locations in PHNSY&IMF work spaces: indoor and outdoor work located in the Controlled Industrial Area (CIA), Fleet Maintenance Submarine (FMB), Fleet Maintenance Surface (FMR) craft shops, and maintenance areas.
b. Contractors may be required to work in industrial work areas that poises as NOISE HAZARDOUS
AREAS.
5. Period of Performance
a. Duration of this contract is five (5) years which includes one (1) base year plus four (4) option years.

6. Shifts and Holidays
a. Unlimited telephone support for technical assistance will be available 24 hours/7 days each week. Onsite repair and calibration support is limited to 0730 to 1630, Hawaii Standard Time Monday through Friday, excluding Federal Holidays.

7. Security
a. The contractor shall pass a background check to gain access onto the base. The contractor will coordinate with the Technical Point of Contact (TPOC) or Contracting Officer’s Representative (COR) to obtain a gate pass at building 3455 Pass Office. It is not unusual for the pass process to take an hour or more.
Contractor shall be a U.S. citizen and pass a security background check. Only those individuals with favorable investigations shall be utilized on this contract. Prior to the start of work, the contractor shall provide the COR (on company letterhead) a request for access and include the following information – full name of all personnel working on this contract; social security number; date of birth, place of birth, and citizenship. The contractor shall state that the information has been verified and shall have supporting records on file if required for examination. The contractor’s employees must be a U.S. citizen and registered with the Defense Biometric Identification System (DBIDS).
b. Contractor personnel shall follow all procedures in requesting and obtaining a PHNSY & IMF “Green” unescorted standard access control badge for all contractor personnel performing work. Sufficient time shall be allowed by the contractor to obtain the necessary badges prior to work.
c. Contractor will coordinate with PHNSY Security Office and COR in the completion of Visit Request for Pearl Harbor Naval Shipyard (Form PH-SYD 5512/28 Rev 8-12). Should contractor personnel receive or suspect they have learned classified information beyond their level of clearance; the contractor shall identify and immediately report suspicions to the COR.
d. Security Requirements: This contract does not require a security clearance level and clearance granted by the Defense Security Service (DSS). Contractor shall comply with Security requirements specified in Appendix III.
e. Portable Electronic Devices (PEDs): PEDs include pagers, mobile/cellular telephones (with/without cameras), personal digital assistants/job performance aids, laptop/notebook/handheld computers, digital imagery (still/video) devices, analog/digital sound recorders (e.g. iPod), video game devices, USB devices and devices of similar capability, functionality or design. The contractor shall strictly comply with PHNSY & IMF policies and procedures concerning the use and possession of PEDs while working on PHNSY&IMF property.
8. Safety and Environmental:
The contractor and its subcontractors shall comply with Public Law 91-596 (Occupational Safety and Health Act (OSHA)) and the Environmental, Safety, and Occupational Health (ESOH) (DODD 4715.1E). These requirements shall be incorporated into the contractor's safety and health program. The Department of Defense (DOD) participates in the OSHA Voluntary Protection Program (VPP). Contractor personnel performing services on a DOD installation shall participate in the local VPP. Information on the VPP is available at http://www.osha.gov/dcsp/vpp/index.html.
Contractor shall comply with Safety and Health work practices for PHNSY &IMF, specified in Part 5, Appendix I.
Contractor shall comply with environmental guidelines for PHNSY & IMF, specified in Part 5, Appendix II.
9. Contractor Vehicle Parking
a. Contractor vehicles brought onto Joint Base Pearl Harbor Hickam in connection with the execution of performance, or personal vehicles, are authorized to be parked in accordance with JBPHHINST 5560.2, Joint Base Pearl Harbor-Hickam Parking Regulations and in the following areas:
1. In the “A” and “D” parking lots on Paul Hamilton Avenue, located between South Avenue and Safeguard Street.
2. In the “C” parking lot of Lake Erie Street and Central Avenue.
b. Contractor vehicles that are outside of the specifically designated parking area(s) are subject to removal at the owner's expense and the government is not liable for any costs, and shall not give rise to claims for delay and disruption, resulting from such removal.
c. If a vehicle has been removed, the contractor should contact the Navy Exchange (NEX) Towing Services for instructions regarding recovery of the vehicle, and shall provide notification to the COR and/or the KO with facts and details pertinent to what has taken place. Note that any Government-Furnished Facilities under this contract alone does not authorize parking of contractor personnel or company vehicles.
10. Unscheduled Gate Closures
a. Unscheduled gate closures by the Base Police may occur at any time causing all personnel entering or exiting a closed installation to experience a delay. This cannot be predicted or prevented. Contractors are not compensated for unexpected closures or delays.
b. Vehicles operated by contractor personnel are subject to search pursuant to applicable regulations. Any moving violation of any applicable motor vehicle regulation may result in the termination of the contractor employee’s installation driving privileges.
11. Government-Furnished Equipment
a. GOVERNMENT-FURNISHED EQUIPMENT (GFE): None provided. The Government will not provide any additional services, material, or government furnished equipment as part of this PWS.
12. Enterprise-Wide Contractor Manpower Reporting Application
a. The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided for the PHNSY & IMF via a secure data collection site.
b. Contracted services excluded from reporting are based on Product Services Codes (PSCs).
The Excluded PSCs are:
1. W, Lease of Equipment;
2. X, Lease/Rental of Facilities;
3. Y, Construction of Structures and Facilities;
4. S, Utilities ONLY;
5. V, Freight and Shipping ONLY.
c. The contractor is required to completely fill in all required data fields using the following web address https://www.ecmra.mil.
d. Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year. Contractors may direct questions to the help desk, linked at https://www.ecmra.mil.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2020)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”--
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.
The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
“Veteran-owned small business concern” means a small business concern--
(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern--
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or
(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications--Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs __.
