DEPARTMENT OF THE NAVY

NAVAL AIR WARFARE CENTER AIRCRAFT DIVISION

IN REPLY REFER TO:

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Aircraft Division (NAWCAD) Lakehurst, NJ

2. Description of the Action Being Approved.

This justification and approval authorizes and approves the issuance of a sole source contract to Kranze

Technology Solutions, Inc., (KTS) for the production, testing, installation, supportability, and technical documentation upgrades on an emerging Command, Control, Communications, Computers, and

Intelligence (C4I) suite of equipment known as the Roll On/Roll Off (RORO) Communications Suite

(CS) in support of Program Management Air (PMA), 275 for the MV-22 Platform.

3. Description of Supplies/Services.

PMA275 has been tasked by United States Marine Corps (USMC) Aviation Weapons Systems

Requirements Branch (APW-74) for the production, testing, installation, supportability, and technical documentation upgrades on an emerging C4I suite of equipment known as the RORO CS for the MV-22 aircraft. The RORO CS is a C4I system with the ability to send and receive real-time secret and below mission critical (non-voice) information which includes imagery, full motion video, intelligence updates, isolated personnel report files, and position location information from the MV-22 Marine Pilots to the

Special-Purpose Marine Air Ground Task Force (SP-MAGTF) Crisis Response and the Tactical Recovery of Aircraft and Personnel (TRAP) on the ground. The RORO CS will significantly improve communications with the SP-MAGTF, TRAP, base operations and command centers due to its ability to obtain real-time/near real-time imagery and updates of the objective area. The enhanced communications provide the ability to obtain the most relevant situational picture in the operational area for execution of critical missions.

This requirement stands up three (3) USMC squadrons which consist of ten (10) aircraft per squadron for a total of thirty (30) MV-22 aircraft. The RORO CS is comprised of “A” and “B” kits. The “B” Kits are the RORO CS Systems and the “A” kits contain the necessary components (i.e. antennas and cable lines) that are permanently installed to modify the MV-22 aircraft. Each aircraft requires its own “A” kit.

However, the “B” kits are interchangeable between aircraft and are only required for the aircraft that are deployed on a mission. The RORO CS also requires Air Crew Digital Interoperability (D.I) Kits. The Air

Crew D.I kits provide the software applications to send and receive the non-voice information to/from all personnel. The Air Crew D.I Kits have to be integrated and updated to be compatible with both “A” and

“B” kits. This requirement is for an anticipated total quantity of thirty (30) “B” kits, thirty (30) “A” kits and twenty-three (23) Air Crew D.I Kits.

The “A” and “B” kits will be built and installed after the completion of successful flight test, .The Air

Crew D.I kits are assigned based on the number of personnel per deployment/aircraft and interchangeable between missions.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 USC 2304(c)(1): Only one responsible source and no other supplies or services will satisfy the agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

The USMC issued a U-UNS for SPMAGTF-CR En-Route C4I on MV-22 and Raid Force Capability memorandum dated 1 Jul 2016 identifying an unusual and compelling need for C4I and Command and

Control/Situational Awareness (C2/SA) capabilities. The USMC recognized an operational capability gap that requires an airborne communication system with the ability to send/receive data and ready for immediate use to support deployments to United States Central Command Area of Responsibility. The

RORO CS is a vital component of the C4I solution to meet this requirement. The RORO CS was originally developed under a task order placed against contract N68936-17-D-0012 with KTS and currently is undergoing box-level qualification testing to the applicable military specifications in order to support an airworthiness determination. Pursuing a new vendor to recreate the development and testing already performed on the system would result in a failure to meet the required USMC deployment schedule under this U-UNS. The Government estimates a delay if another vendor was to provide the

RORO CS due to the redesign of mechanical components, redesign of electronic and software components, recreation of box-level testing documents, maintenance plans and testing efforts. Utilizing a vendor other than KTS would result in delayed deployment schedules due to the time associated with the redesign, retesting and recertification for flight. The additional time constitute an unacceptable delay in addressing the 15th Marine Expeditionary Unit critical needs, meeting the above mentioned deployment schedule, and significantly impact the success of upcoming deployments which would result in mission failure and potential casualties. Based on the above, KTS is the only responsible source that can meet the

Government’s requirements.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Market research was conducted utilizing various methods to obtain current industry information regarding capabilities to meet this requirement. While there were other manufacturers identified that could provide products and services that are similar to those required by this procurement, none could match the exact specifications required, KTS’ knowledge, skills, experience with the system, or KTS’ ability to begin work immediately to meet scheduled deliveries. A Request For Information was posted on the Federal Business Opportunities (FedBizOpps) website on 14 June 2017 and closed on 26 June

2017. In accordance with FAR 5.202, this action was synopsized on 13 April 2018 in FedBizOpps and closed on 30 April 2018. No inquiries were received.

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402(a), the Contracting Officer must ensure that all supplies and services are purchased at a fair and reasonable price. An analysis of the proposal will be performed by technical analysts and the contract specialists, with the assistance of the Defense Contract Management Agency

(DCMA) and Defense Contract Audit Agency (DCAA) auditors as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposal, as well as review the actual cost/price data from previous procurements as applicable. The Contracting Officer will use Government expertise as appropriate, including the PMA, DCMA, DCAA, and other Government resources, to evaluate the proposal’s material, labor, and subcontract positions. A detailed report developed as a part of the Government evaluation will be used to establish a NAVAIR position. If a rate agreement is not in place between the contractor and DCMA at the time of proposal evaluation, the Contracting Officer will work with DCMA and DCAA to establish a rate position, to include escalation, for negotiation of the contract action. As discussed in this paragraph, the Contracting Officer will use cost and price analysis as the basis for negotiating a fair and reasonable price for the supplies and services covered under this J&A.

8. Actions to Remove Barriers to Future Competition.

This acquisition is for the purchase and deployment of a unique suite of C4I equipment in support of the

USMC APW-74. Any future requirement for the RORO CS is anticipated to be competed.
