JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Warfare Center Aircraft Division (NAWCAD) Lakehurst, NJ
1. Description of the Action Being Approved.
This Justification and Approval authorizes and approves on a sole-source basis the issuance of a fixed price contract with The Boeing Company (Boeing), 7700 Boston Blvd, Springfield VA 22153 for the procurement for a quantity of two (2) Cross Domain Solution (CDS) HardwareWall 1U-3L Tactical Appliances, part number HWW2-1U-3L-2. This equipment is in support of the Presidential Helicopter (VXX) Mission Communications System (MCS) Prototype effort.
1. Description of Supplies/Services.
NAWCAD 4.11.3 has been tasked by the Presidential Helicopters Program Office (PMA-274) to support the design of, and to build a prototype of, the communication suite of equipment on the VXX MCS platform. A design concept for the MCS communication suite has been approved by PMA-274 and NAWCAD 4.11.3 engineers and has been documented in a system drawing package (SK00131) and a master parts list (MPL) based upon analysis of the equipment interfaces that must match between all major components of the VXX MCS. The drawing package and MPL form the basis for this first prototype to be built. All components for this prototype were selected for their interoperability characteristics with all other components of the VXX MCS.
The Boeing CDS HardwareWall 1U-3L Tactical Appliance; P/N: HWW2-1U-3L-2 required under this action is one of 64 major components that are specifically identified in the MPL for Drawing SK00131. The CDS is an electronic, hardware-based device for the communication system that houses proprietary software which controls various circuitries and interfaces of the VXX MCS communication suite. Rule sets for the CDS must be individually tailored for user-specific applications. The rule sets specific to the VXX CDS were developed by the Government based upon the use of a Boeing HardwareWall Development Kit previously procured under this program. The rule sets developed by the Government shall be provided to Boeing as Government Furnished Information for their configuration of the CDS HardwareWall 1U-3L Tactical Appliance prior to delivery to the Government.

1. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 2304(c)(1): Only one responsible source and no other and no other type of property or services will satisfy the needs of the agency.
1. Rationale Justifying Use of Cited Statutory Authority.
The VXX MCS is a prototype in development with coordination between PMA-274 and NAWCAD 4.11.3. As stated above, the system drawing package SK00131 and MPL were developed and approved based upon analysis of the equipment interfaces that must match between all major components of the VXX MCS. In order to complete the development of the VXX MCS prototype the required CDS with integrated rule sets incorporated must be procured.
The Boeing HardwareWall CDS is one of 64 major components approved for use in the VXX MCS prototype. There are no other authorized CDS solutions authorized by the drawing package or the MPL for the VXX MCS Prototype. The existing configuration studies and rules sets developed for the individual software settings for the CDS have been developed based upon the use of a Boeing HardwareWall Development Kit previously purchased as a part of the VXX MCS program.
Boeing is the HardwareWall CDS developer and original equipment manufacturer for the required items. The CDS uses an embedded proprietary operating system that requires an associated software licensing agreement. Boeing retains all technical and proprietary data rights for the software that operates the CDS. A Boeing CDS HardwareWall is the only product that can be used with the Boeing HardwareWall Developmental Kit previously purchased in order for the Government to develop the rule sets required for the CDS. Without the proprietary data no other source could build the required CDS unit.
The unintentional consequences from any substitution of components would not only jeopardize the successful development of the VXX MCS Prototype, but would delay the Government’s scheduled design delivery for the VXX aircraft integration under the VXX MCS contract with Sikorsky.
1. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
As this new Presidential Helicopter Platform (VXX) contains a Command, Control, Communications, Computers, and Intelligence system that is designed and tailored specifically for this platform, this is the first time NAWCAD 4.11.3 has sought to procure this item.
During the design phase for the VXX MCS Prototype, PMA274 and NAWCAD 4.11.3 engineers analyzed several comparable CDS products, and determined Boeing’s HardwareWall product is the only solution to support all key performance parameters. Based on this analysis, Boeing’s HardwareWall CDS was incorporated into the design of the VXX MCS Prototype and authorized in the drawing package and MPL.
An internet search for other potential CDS manufacturers or vendors yielded numerous results. But the HardwareWall CDS design and technical data are proprietary to Boeing, and none of these other vendors are capable of duplicating or selling a CDS product that is compatible with Boeing’s proprietary interfaces.
This requirement was solicited on Federal Business Opportunities on 22 January, 2015 and received no responses or challenges to its sole source nature from other potential manufacturers.
1. Determination of Fair and Reasonable Cost.
In accordance with FAR 15.402, the Contracting Officer shall ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. The Contractor will submit a formal price proposal with appropriate pricing data and sufficient information to support the accuracy and reliability of the estimate. Proposals will be reviewed by experienced technical analysts and contract specialists who will be provided with field pricing support as applicable. The Contracting Officer will utilize price analysis as the basis for negotiating a fair and reasonable price.
1. Actions to Remove Barriers to Future Competition.
This item is a required part of the VXX MCS system design approved by PMA-274 and NAWCAD 4.11.3. At this time, Boeing is the only source capable of fulfilling this requirement. However, NAWCAD 4.11.3 will monitor technological advances and potential engineering changes that could result in increased alternate products, alternate vendors, and increased competition in the future.
