PERFORMANCE WORK STATEMENT
PART 1
PERFORMANCE WORK STATEMENT
1.1 This is a personal services Individual Set Aside contract to provide Sterile Processing Technician support to the
Sterile Processing Division (SPD). This firm fixed price contract will be made with the most qualified candidate for the performance of duties as outlined in this performance work statement with a negotiated price that is considered fair and reasonable before contract award. The Health Care Worker (HCW) must have legal authorization to work in the United States and personnel hired under this contract must be a U.S. Citizen.
1.2. Description of Services: The services specified are as follows:
The HCW contractor shall be responsible for all aspects of the SPD from daily operations to resolving problems that arise to meet the mission. Work assignment for Main Operating Room and Dental Clinic include but are not limited to the following: decontamination, high level disinfection (HLD), instrument and set preparation, facilitation of equipment maintenance and disposition, and supply ordering and storage.
Determines, adjusts, maintains, and applies proper processing procedures for the full range of dental and surgical supplies and equipment used in the hospital including all clinics.
1.3. General Information:
This contract is issued under the following arrangement: Full Time (1 FTE) Sterile Processing Technician, Sterile
Processing Division.
1.3.1. Quality Assurance: The Government will evaluate the Contractor’s performance under this contract using multiple methods to include periodic inspections, government management oversight and user feedback based upon the HCW duties outlined in Part 3.2.
1.3.2. Contracting Officer’s Representative (COR): The following individual is designated as the COR for this contract:

1.3.3. Recognized Holidays: Contract HCWs will not be required to work on federally recognized holidays.
1.3.4. Hours of Performance: The HCW shall be on duty for 40 hours per week. Medical Treatment Facility (MTF) performance hours are M-F 0730-1800, including an uncompensated 60 minute lunch break. Specific hours may be negotiated directly with government supervisor.
1.3.4.1. Scheduling: The schedule or scheduling process is as follows: M-F 0730-1630, 0900-1800, including an uncompensated 60 minute lunch break.
1.3.4.2. Recording HCW Time: HCW time will be documented, recorded and verified within the identified MTF cost accounting system.
1.3.4.3. Substitute HCWs: The HCW is considered mission essential. Within this contract there is no option for
HCW substitution. Should the HCW be unavailable to perform duties within the performance work statement for more than 30 consecutive business days, the contract may be terminated and resolicited.
1.3.4.4 Absences and Leave: Planned absences from assigned duties shall be requested with 15 working days advance notice, in writing, to the Commanding Officer or designated governmental supervisor. Unless otherwise negotiated between the Contracting Officer, supervisor and the HCW, the MTF will administer the HCW’s leave in accordance with the guidelines for Federal civil service employees. These guidelines relate to among other topics, annual leave, administrative leave, leave without pay and holidays.
1.3.4.4.1 Personal leave accrual is based upon eight (8) hours at the end of every 80 hour period worked and may be used for both planned and unplanned absences. If the contract is terminated, there will be no reimbursement of any accrued leave balance. At the discretion of the Commanding Officer, up to 40 hours of accrued leave may be carried over from one fiscal year to the next, but not beyond 31 December of the same calendar year.
1.3.4.4.2. If the HCW is absent for three or more consecutive days due to illness, the Commanding Officer may require documentation from a qualified health care provider that the HCW is free from communicable disease and the cause of the HCW’s current illness. The Government reserves the right to examine and /or re-examine any
HCW who meets this criterion.
1.3.4.4.3. In the event the HCW gives notice of employment termination, all accrued annual leave must be used within that notice period if mission allows, or forfeited. Unplanned leave taken during this period shall be supported by a physician’s statement of illness upon request.
1.3.5. Place of Performance: The work to be performed under this contract will be at U.S. Naval Hospital Naples
Italy/Navy Medicine Readiness and Training Command Naples (Support Site) and Naval Branch Health Clinic
(Capodichino). HCWs shall receive notification ten business days prior to the reassignment. HCW is responsible for providing their own transportation to place of performance. Should the Government shuttle bus system be utilized, HCW shall ensure transportation timetable allows ample time to arrive and depart this worksite according to hours delineated in paragraph 1.3.4.
1.3.6. Supervision: The HCW providing services under this contract shall be rendering personal services to the
Government and shall be subject to day-to-day supervision and control by Government personnel. Supervision and control is the process by which the individual HCW receives technical guidance, direction and approval with regard to the requirements of the Contract.
1.3.6.1 Periodic Progress Meetings: Contractor will be required to attend periodic progress/performance meetings at no additional cost to the Government. The terms at which the periodic meeting will be conducted include at least 14 business day’s notification prior to meeting and no less than quarterly, based upon fiscal year.
1.3.7. HCW Travel: Reimbursement will not be provided for travel within a 40-mile radius of the place of performance. HCW travel requirements are as follows:
HCW will be traveling between health care facilities.
1.3.8. Relocation Costs: The Government will not pay to relocate HCWs.
1.3.9. Orientation: Command Orientation will be necessary for the Contractor to become familiar with Navy medicine programs and policies. Attendance will be considered the appropriate assigned workplace and compensation will be provided as part of the negotiated contract rate.
1.3.10. Computer Skill Competency: Each HCW shall demonstrate competency as required in paragraph 3.1.
1.3.11. MTF Training: Sterile Processing Department Personnel Qualification Standards. The HCW may also be subject to specific training requirements and will be allocated time to complete any Defense Health Agency and/or
NMRTC mandated training requirements.
1.3.11.1 Bloodborne Pathogen Orientation Program. HCWs shall participate in the Command’s Bloodborne
Pathogen Orientation Program. The HCW shall also participate in all required annual training and in periodic training for all procedures that have the potential for occupational exposure to bloodborne pathogens.
1.3.12. MTF Standards: Specific policies, procedures, and instructions/regulations for the place of performance are as follows:
1.3.12.1 The HCW shall be neat, clean, well groomed, and in appropriate clothing when in patient care and public areas. All clothing shall be free of visible dirt and stains and shall fit correctly. Fingernails shall be clean and free from dirt, and hair shall be neatly trimmed and combed. HCW shall display an identification badge, which includes the HCW’s full name and professional status (furnished by the Government) on the right breast of the outer clothing.
Security badges provided by the Government shall be worn when on duty. In addition to the identification badge, the
HCW shall self-identify as a Contractor in all meetings, telephone conversations, and formal and informal written correspondence with Government personnel.
1.3.12.2 The HCW shall read, write, speak and understand the English language fluently.
1.3.12.3 The HCW shall arrive for each scheduled shift in a well-rested condition and shall have had at least 6 hours of rest immediately prior to reporting for the shift.
1.3.12.4 The HCW shall become acquainted with and obey all station regulations, shall perform in a manner to preclude the waste of utilities, and shall not use Government property for personal business. All motor vehicles operated on these installations by the HCW shall be registered with the base security service according to applicable directives. Eating by the HCW is prohibited in patient care areas, the sterilization department, and is restricted to designated areas. Smoking is prohibited in all facilities; the HCW shall comply with the rules and regulations of the
MTF.
1.3.12.5 Comply with the standards of the Joint Commission, applicable provisions of law and the rules and regulations of any and all Governmental authorities pertaining to licensure and regulation of health care personnel and medical treatment facilities, the regulations and standards of medical practice of the MTF and the bylaws of the hospital's medical staff. Adhere to and comply with all Department of the Navy, Bureau of Medicine and Surgery and local Clinic instructions and notices that may be in effect during the term of the Contract.
1.3.12.6 The HCW shall comply with all MTF checkout processes. These processes include returning Government property (i.e., identification badges) to the MTF upon the HCW’s last day of service. Failure to do so promptly may result in delay of payment of the final invoice.
1.3.13. HCW Health Requirements: The Contractor shall provide documentation certifying health requirements such as immunizations, annual vaccinations, medical testing (i.e., tuberculosis, N95 particulate respirator duckbill mask fitting) and physical examination when required at the time of initial placement. The HCW shall be physically capable of standing for extended periods of time and capable of normal ambulation.
1.3.13.1. Occupational Health: The HCW may be required to obtain documentation of required physical testing or a report of a physical examination.
1.3.13.2. Tuberculosis Screening: The additional immunization/screening requirements for the risk of exposure to tuberculosis (TB) are as required by Occupational Health Department Screening during in-processing.
1.3.13.3. Influenza: It is essential that the HCW be vaccinated annually against influenza according to Navy Bureau of medicine and Surgery (BUMED) and Centers for Disease Control (CDC) guidelines aimed at reducing the impact of influenza disease in health care settings. The Government will provide the influenza vaccine free of charge. If the HCW chooses to be immunized by the Government, the HCW shall sign a waiver releasing the Government from legal liability in accordance with local procedures and policies. Alternatively, the HCW may obtain the vaccine at another facility, with the HCW bearing the total cost, and provide proof of vaccination to the
Government. If the HCW declines vaccination, a signed declination form shall be provided to the Government in accordance with CDC recommendations and MTF polices.
1.3.14 Military Reserve Duty. During MTF check-in processing, the HCW shall report their reserve status to the
MTF Human Resource Department Documented military leave for military reservists may be allowed, not to exceed 15 days per fiscal year, in accordance with 5 U.S.C. 6323(a). This leave may be taken intermittently, i.e., 1 day at a time, and may be carried over into the next fiscal year provided a follow on contract is in place or an option period under the contract has been exercised. Military reservists who perform full-time military service as a result of a call or order to active duty in support of a contingency operation may take up to 22 days per calendar year of military leave, in accordance with 5 U.S.C. 6323(b). Leave will be authorized on a prorated basis for periods of performance less than 12 months in the fiscal year or if the position is part time. Documented military leave taken in accordance with 5 U.S.C. 6323(a) and (b) is compensated leave; however, the HCW may choose to take leave without pay. The HCW shall follow the policy of the MTF with respect to notification of scheduled military duties to the Commanding Officer.
SPECIAL CONTRACT REQUIREMENTS
1. HEALTH CARE WORKER (CONTRACTOR) BACKGROUND INVESTIGATION REQUIREMENTS.
1.1. PERSONAL IDENTITY VERIFICATION OF CONTRACTOR PERSONNEL.
1.1.2. The Homeland Security Presidential Directive dated 27 August 2004 requires a mandatory government-wide standard for secure and reliable forms of identification for Federal employees and contractors who access federally controlled facilities or have access to Federally controlled IT systems.
1.1.3. Personnel background investigations must be initiated and an advance fingerprint and National Agency
Check results received by the MTF prior to a Common Access Card (CAC) being issued to the contractor.
1.2. CRIME CONTROL ACT OF 1990 REQUIREMENT.
1.2.1. Section 21 of the Crime Control Act of 1990, 42 U.S.C. 13041, as amended by section 1094 of Public Law 1-
02-190, requires every facility operated by the Federal Government (or operated under contract with the Federal
Government) that hires (or contracts to hire) individuals involved in the provision of child care services to assure that all existing and newly-hired employees undergo a criminal background investigation. The term "child care services" is defined to include health and mental health care.
1.2.2. The Government will conduct criminal background investigations for all potential contractors who will be providing child care services under this contract based on fingerprints obtained by a Government law enforcement office (e.g., local, state, federal, etc.) and a completed SF 86 form (Questionnaire for National Security Positions).
1.2.3. The COR will identify the appropriate Navy Component for billing purposes and the appropriate security point of contact and/or installation commander who will receive the background results.
1.2.4. With written recommendation from the Commanding Officer, and the approval of the Contracting Officer, a contractor with a background investigation pending completion may be permitted to perform work under this contract prior to the completion of the background investigation, provided the contractor is within sight and continuous supervision of an individual with a successful background investigation.
PART 2
GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES
2. Government Furnished Items and Services:
2.1. General: The Government will provide the following items and services for this contract: Identification badge, all necessary personal protective equipment (scrubs, gowns, gloves, masks, goggles) and standard office equipment necessary for the completion of duties. The government will provide at its expense any training costs related to specific certifications necessary to maintain compliance.
PART 3
PERFORMANCE REQUIREMENTS
Labor Category: Medical & Dental Supply Technician (Sterile Processing)
3.1 HCW Qualifications
Degree/Education: High School Diploma or equivalent.
Certifications in addition to Basic Life Support: None
Experience: Knowledge and skill to perform duties encompassing the complete work cycle required to decontaminate, prepare, sterilize, store, and issue the full range of sterile medical and dental supplies and equipment used in the hospital wards, clinics, and operating rooms. Knowledge of and skill in applying the governing policy and regulations pertaining to Sterile Processing of surgical instruments and sterile medical and supplies. An understanding of basic principles of microbiology as they apply to medical supply operations, especially as they relate to the resistance of microorganisms to external destructive agents such as heat, chemical and ionization radiation. Ability to operate and retrieve data utilizing automated tracking and personal computer systems. A thorough knowledge of aseptic principles and techniques including characteristics of various types of detergents, cleaning techniques, sterilizing medium, sterilizer operation; tests to determine effectiveness of sterilization and packaging, storage and shelf life characteristics. Ability to recognize a wide variety of instruments and supplies and to discriminate among similar appearing instruments that varies in size, curvature of tips, and nomenclature.
Must have detailed knowledge of surgical and dental instrumentation to include proper function and use in order to identify defective and/or damaged instruments prior to inclusion in the surgical set. Ability to receive, process, and inspect flexible endoscopes for High Level Disinfection by manual process or by way of automated endoscope reprocessing unit in accordance with manufacturer's guidelines. Knowledge of the technical names, uses, physical characteristics, maintenance procedures, and assembly, adjustment, and processing procedures for the full range of medical, dental and surgical supplies and equipment used in the hospital. A good working knowledge of the availability, economics, use, operation, maintenance, assembly and disassembly of the full range of medical and dental supplies, instruments, equipment and the specific cleaning, sterilizing and storage requirements for each. A thorough familiarity with hospital and clinic layout, staffing, and the integration of the sterile processing operation into the total healthcare program. A basic understanding of medical, dental and surgical terminology, therapeutic procedures and of human anatomy and physiology. Ability to recognize a wide variety of instruments and supplies and to discriminate among similar appearing instruments that varies in size, curvature of tips, and nomenclature.
Must have detailed knowledge of surgical and dental instrumentation to include proper function and use in order to identify defective and/or damaged instruments prior to inclusion in the surgical or dental set.
Knowledge of The Joint Commission (TJC), Occupational Safety and Health Administration (OSHA), Association for the Advancement of Medical Instrumentation (AAMI) and Federal Drug Administration
(FDA) standards as they apply to sterile processing and the distribution of medical supplies.
Board Certification: Knowledge of all requirements to pass the Sterile Processing and Distribution
Technicians exam Certified Board of Sterile Processing and Distribution (CBSPD) as a Certified Sterile
Processing and Distribution Technician (CSPDT) or International Association of Healthcare Central
Service Materiel Management (IAHCSMM) as a Certified Registered Central Service Technician
(CRCST). If not certified, must acquire certification within one year of contract award and HCW must maintain certification annually thereafter.
Licensure/Registration: None
3.2 HCW Duties: The duties for the HCW are as follows:
A. Assurance Testing
- Perform daily, quarterly, and unplanned quality assurance testing within the Central Sterile Processing Department as identified in the Department SOP. Position requires precise documentation of logs for all tests to maintain the highest standards of infection control and sterility assurance. Interprets test results, takes appropriate action based on results and maintains appropriate log entries of test to include Tosi Test, Bowie-Dick, Biological Monitoring, Dry-
Heat Spore test.
- Performs a full range of duties to provide management controls as well as personal intervention to process, decontaminate, prepare, and distribute dental instruments and dental equipment. Judgement is required for recognizing borderline situations, and instrument malfunctions. The incumbent uses judgement to recognize and react to indicators of malfunction (e.g. instrument malfunctions, reaction system) and evaluates validity of data in relation to the test system. Exercise proper judgement to notify and report to Department Head and Chain of
Command when test or machinery indicates a failure in the disinfecting and sterility process.
B. Assembly and Inspection
- Receive, disassemble, and inspect for damage reusable dental and surgical instrumentation. Assembles and prepares a full range of dental instrument trays and sets used in general and specialized dentistry for proper sterilization utilizing inventory sheets. Selects and utilizes correct wrapping or packaging material for dental devices and surgical instrument sets selects and implements sterilization process in accordance with standard dental and surgical procedures to include steam and dry-heat sterilization in accordance with the manufacturer's validated instructions for use for reprocessing. Correctly labels, seals, wraps, or places instrument cassettes and trays items with appropriate chemical indicator tape. Conducts quarterly inspections and inventories on dental handpieces, surgical equipment, and cassettes, identifying items that are past life expectancy and requesting replacements via the clinic supply department.
C. Decontamination
- Determine and implement the correct method of decontamination of bioburden and other potentially infectious material (OPIM). Decontamination methods shall include wiping, soaking, rinsing, scrubbing, lubrication (when indicated), ultrasonic, and washer disinfector. Receive and dispose of regulated medical waste and general waste in compliance with OSHA standards. All medical waste will be packaged/bagged and labeled within the department of origin and delivered to the designated area for disposal. The incumbent is responsible for communicating with the point of contact identified within the command and/or following the Standard Operating Procedure to coordinate the time and date of medical waste pickup/disposal. The incumbent shall ensure the process is properly documented.
D. Sterilization
- Examine all items after decontamination/pre-sterilization procedures to ensure that gross contaminants have been removed and that instruments function properly. Ensure that all instruments used in general and specialized dentistry, implant specialty instrumentation, and surgical instrumentation are properly labeled and identified.
Receive sterilized trays, sets, and equipment from the sterilizer; check for integrity of sterilization, i.e. color changes on indicator tapes, external and internal indicators, and dampness of packages; stock and properly store sterile items in the sterile storage room in accordance with standard dental procedures. Ensure that all clinic dental and surgical instrumentation are properly labeled and identified by monitoring the procedures established within the Surgical and
Dental Directorates. Secure instruments in SPD suite until results of biologic monitoring support that sterilization was achieved.
E. Training
- Provide training to newly reporting staff members to include active duty, civilian, and contract employees on clinic infection control guidelines, practices, and daily processes.
- Performs miscellaneous duties as assigned.

52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO
SURVEILLANCE SERVICES OR EQUIPMENT (NOV 2021)
The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services--
Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-
Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph
(d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision-
Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause
52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or
Equipment.
(b) Prohibition.
(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.
115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.
115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM)
(https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."
(d) Representations. The Offeror represents that--
(1) It [ ___ ] will, [ ___ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The
Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and
(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that--
It [ ___ ] does, [ ___ ] does not use covered telecommunications equipment or services, or use any equipment, system, or service that uses covered telecommunications equipment or services. The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.
(e) Disclosures.
(1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:
(i) For covered equipment--
(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);
(B) A description of all covered telecommunications equipment offered (include brand; model number, such as
OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and
(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(ii) For covered services--
(A) If the service is related to item maintenance: A description of all covered telecommunications services offered
(include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or
(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:
(i) For covered equipment--
(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);
(B) A description of all covered telecommunications equipment offered (include brand; model number, such as

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND
COMMERCIAL SERVICES (MAY 2022) ALTERNATE I (OCT 2014)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision--
"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation," means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain
Telecommunications and Video Surveillance Services or Equipment.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
"Sensitive technology"—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act
(50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business concern"—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
"Small business concern"—
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13
CFR part 121 and size standards in this solicitation.
(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
"Small disadvantaged business concern, consistent with 13 CFR 124.1002," means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
"Subsidiary" means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
"Veteran-owned small business concern" means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
"Women-owned small business concern" means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least
51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
"Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)," means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the
United States.
(b)
(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and
Certifications--Commercial Products and Commercial Services, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs __.
