STATEMENT OF WORK

(SOW)

Hydraulic Power Unit (HPU) Hose Assemblies

PR NO. 1300714787 and 1300716991

1.0 Background

The Naval Undersea Warfare Center Division Newport (NUWCDIVNPT), Platform and Payload Integration Department, Missiles/Precision Strike Division, Code (401) is the In-Service Engineering Agent (ISEA) and Acquisition Engineering Agent (AEA) for Tomahawk Capsules and peculiar support equipment. As part of this responsibility, the Logistics Branch (Code 4014) is charged with supplying the Intermediate Maintenance Activities (IMAs) with spare parts to replenish inventories. There is a present need for Hydraulic Power Unit (HPU) hose assemblies.

2.0 Scope

Code 4014 requires a quantity of twenty eight (28) Hydraulic Power Unit (HPU) Hose Assemblies identified as part number JCM-16464-001 to be manufactured, tested, inspected, and then delivered to NUWCDIVNPT. The place of performance is the Contractor’s site. The sponsor is Naval Air Systems Command (NAVAIR) PMA-280. Funds being used are Weapons Procurement, Navy (WPN). The hose assemblies manufactured will be spare parts for Tomahawk Weapons Systems.

3.0 Applicable Documents

The following documents apply at the latest revision level available at the time of contract award.

3.2 Drawing Clarifications

3.2.1 JCM-16480 note 4, JCM-16479 note 4, JCM-14506 note 4 and JCM-14507 note 4 bag and tagging is not required due to supply at the JCM-16464 assembly level.

3.2.2 JCM-17718, P/N 10155-6-6C shall be substituted with P/N 10156-6-6C

4.0 Technical Requirements

The contractor shall manufacture, test and inspect the HPU Hose Assemblies in accordance with the drawing package of JCM-16464 described in the Applicable Documents section 3.1, with the clarifications and exceptions noted in the Drawing Clarifications in Section 3.2.

4.1 First Article

The contractor shall manufacture and deliver one (1) First Article unit as well as a First Article Test Report, in accordance with CDRL A001. The contractor may request a waiver of the First Article if it has manufactured the specified HPU Hose Assemblies within the last five (5) years. If First Article is waived, CLIN 0001 will become a production unit and the Contractor shall manufacture one (1) HPU Hose Assembly in accordance with the methods, procedures, and material used to develop the HPU Hose Assemblies approved and manufactured in the last five (5) years. If the First Article is waived, the Contractor shall deliver a Certificate of Compliance in accordance with CDRL A002, which shall include Hydrostatic test certification reporting for conformance verification of JCM-17718, Notes 3 and 6.

The following information is provided in reference to the First Article Test and Inspection:

4.1.1 The Contractor shall conduct a First Article Test and Inspection, which shall be performed at the Contractor’s facility.

4.1.2 The First Article, one (1) Hydraulic Hose Assembly (P/N JCM-16464-001), shall be available for testing and inspection within sixty (60) calendar days following the award of contract.

4.1.3 The Government shall be notified at least fifteen (15) calendar days prior to First Article

Testing and reserves the right to observe testing.

4.1.4 The Contractor shall submit a First Article Test Report (CDRL A001), which includes material validation certifying that the material meets the requirements of the drawing and that this material was used to develop the first article sample.

4.1.5 The First Article shall not be destroyed in testing and shall be considered part of the total contract quantity.

4.1.6 An approved First Article shall serve as a manufacturing standard.

4.2 Production Quantity

The Contractor shall manufacture the remaining lot of Twenty Seven (27) HPU Hose Assemblies, in accordance with the methods, procedures, and material used to develop the First Article. If the First Article is waived, as noted in Task 4.1, the Contractor shall manufacture twenty seven (27) HPU Hose Assemblies, in accordance with the methods, procedures, and material used to develop HPU Hose Assemblies approved and manufactured in the last five (5) years. Along with the delivery of the HPU hose assemblies, the contractor shall deliver a Certificate of Compliance in accordance with CDRL A002, which shall include Hydrostatic test certification reporting for conformance verification of JCM-17718, Notes 3 and 6.

4.3 Delivery Schedule

The contract quantity is for a total of Twenty Eight (28) Hydraulic Hose Assemblies, which includes One (1) First Article and Twenty Seven (27) additional units. The following table defines the HPU Hose Assembly delivery schedule:

HQ C-1-0001 ITEM(S) - DATA REQUIREMENTS (NAVSEA) (SEP 1992)

The data to be furnished hereunder shall be prepared in accordance with the Contract Data Requirements List, DD Form 1423, Exhibit A, attached hereto.

Section D - Packaging and Marking

HQ D-1-0001 PACKAGING OF DATA

Data to be delivered by Integrated Digital Environment (IDE) or other electronic media shall be as specified in the contract.

All unclassified data to be shipped shall be prepared for shipment in accordance with best commercial practice.

Classified reports, data, and documentation shall be prepared for shipment in accordance with National Industrial Security Program Operating Manual (NISPOM), DOD 5220.22-M dated 28 February 2006 with Change 2 dated 18 May 2016.

HQ D-2-0005 IDENTIFICATION MARKING OF PARTS – ALTERNATE I (NAVSEA)(APR 2015)

(a) Identification marking of individual parts within the systems, equipments, assemblies, subassemblies, components, groups, sets or kits, and of spare and repair parts shall be done in accordance with applicable specifications and drawings.

To the extent identification marking of such parts is not specified in applicable specifications or drawings, such marking shall be accomplished in accordance with the following:

(1) Parts not manufactured to Government specifications shall be marked in accordance with generally accepted commercial practice.

(2) Parts manufactured to Government specifications shall be marked as follows:

(i) Electrical Parts - that is, all parts in electrical equipments and electrical parts when used in equipments which are not electrical in nature (e.g., electric controls and motors in a hydraulic system) - shall be identified and marked in accordance with MIL-STD-1285D(1) dated 10 November 2010, or, where MIL-STD-1285D(1) does not cover such a part, in accordance with MIL-STD-130N(1) dated 16 November 2012. Requirements of MIL-STD-1686C dated 25 October 1995 for Electrostatic Discharge Control shall be addressed.

(ii) Electronic Parts - that is, all parts in electronic equipments and electronic parts when used in equipments which are not electronic in nature (e.g., electronic fuel controls in some engines) - shall be identified and marked in accordance with Requirement 67 of MIL-HDBK-454B dated 15 April 2007. Requirements of MIL-STD-1686C for Electrostatic Discharge Control shall be addressed.

(iii) Parts other than electrical or electronic parts (as described above) shall be identified and marked in accordance with MIL-STD-130N(1).

(b) In cases where parts are so small as not to permit identification marking as provided above, such parts shall be appropriately coded so as to permit ready identification.

HQ D-2-0006 MARKING AND PACKING LIST(S) (NAVSEA) (NOV 1996)

(a) Marking. Shipments, shipping containers and palletized unit loads shall be marked in accordance with best commercial practice.

(b) Packing List(s). A packing list (DD Form 250 Material Inspection and Receiving Report may be used) identifying the contents of each shipment, shipping container or palletized unit load shall be provided by the Contractor with each shipment. When a contract line item identified under a single stock number includes an assortment of related items such as kit or set components, detached parts or accessories, installation hardware or material, the packing list(s) shall identify the assorted items. Where assortment of related items is included in the shipping container, a packing list identifying the contents shall be furnished.

(c) Master Packing List. In addition to the requirements in paragraph (b) above, a master packing list shall be prepared where more than one shipment, shipping container or palletized unit load comprise the contract line item being shipped. The master packing list shall be attached to the number one container and so identified.

(d) Part Identification. All items within the kit, set, installation hardware or material shall be suitably segregated and identified within the unit pack(s) or shipping container by part number and/or national stock number.

52.209-3 FIRST ARTICLE APPROVAL--CONTRACTOR TESTING (SEP 1989)

(a) The Contractor shall test one (1) unit of Item CLIN 0001 (Hydraulic Hose Assembly (P/N JCM-16464-001)), as specified in this contract. At least fifteen (15) calendar days before the beginning of first article tests, the Contractor shall notify the Contracting Officer, in writing, of the time and location of the testing so that the Government may witness the tests.

(b) The Contractor shall submit the first article test report within sixy (60) calendar days from the date of this contract to robert.waleyko@navy.mil marked "FIRST ARTICLE TEST REPORT: Contract No. N66604-18-P- 2344, Item No. A001”, Within fifteen (15) calendar days after the Government receives the test report, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval, approval, or disapproval of the first article. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required of the Contractor. A notice of disapproval shall cite reasons for the disapproval.

(c) If the first article is disapproved, the Contractor, upon Government request, shall repeat any or all first article tests. After each request for additional tests, the Contractor shall make any necessary changes, modifications, or repairs to the first article or select another first article for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following a disapproval. The Contractor shall then conduct the tests and deliver another report to the Government under the terms and conditions and within the time specified by the Government. The Government shall take action on this report within the time specified in paragraph

(b) above. The Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule, or for any additional costs to the Government related to these tests.

(d) If the Contractor fails to deliver any first article report on time, or the Contracting Officer disapproves any first article, the Contractor shall be deemed to have failed to make delivery within the meaning of the Default clause of this contract.

(e) Unless otherwise provided in the contract, and if the approved first article is not consumed or destroyed in testing, the Contractor may deliver the approved first article as part of the contract quantity if it meets all contract requirements for acceptance.

(f) If the Government does not act within the time specified in paragraph (b) or (c) above, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay.

(g) Before first article approval, the acquisition of materials or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first article approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for the convenience of the Government.

(h) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the offeror/contractor and have been accepted by the Government. The offeror/contractor may request a waiver.

(d) Inspection/Acceptance. The Contractor shall tender for acceptance only those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. The Government must exercise its postacceptance rights--

(1) Within a reasonable period of time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(e) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence, such as acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(f) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges that the Contractor can demonstrate to the satisfaction of the Government, using its standard record keeping system, have resulted from the termination.

The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred that reasonably could have been avoided.

(g) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.

(h) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract.

52.219-1 SMALL BUSINESS PROGRAM REPRESENTATIONS (OCT 2014)

(a) Definitions. As used in this provision--

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business concern eligible under the WOSB Program.

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

Small disadvantaged business concern, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--
