STATEMENT OF WORK

STATEMENT OF WORK

1. BACKGROUND:

This Statement of Work (SOW) provides a flush of a facility lube oil system at Naval Surface Warfare Center Philadelphia Division (NSWCPD) to support a new land based test facility within building 633.

2. SCOPE:

The Contractor shall flush the facility lube oil system shown in Refs (a) and (b) below. The boundaries of the flush have been designated by NSWCPD accordingly in sheets 2 and 3 of Ref (a). The boundaries for this flush shall include only the supply and drain lube oil piping for a pedestal bearing as noted in sheets 2 and 3 of Ref (a). The Contractor shall not flush through the pedestal bearing but shall flush only the supply and drain piping for the pedestal bearing. The lube oil system was installed and hydrostatically tested by others prior to the start of the flush covered in this SOW.

Jumpers and spool pieces required for the flush will be provided by others, unless noted in Ref (b). The fabrication drawing for the required jumpers and spool pieces provided is shown in Ref (b).

2.1 Description:

2.1 Period of Performance (POP): The POP for the flush shall start when the Contractor initiates the mobilization of flushing equipment and material so as to arrive at NSWCPD Bldg 633 to setup for flush and shall end only when the acceptance criteria specified below is fully achieved. The POP shall also include the period of time that the Contractor requires to demobilize and remove all equipment used in the flush from NSWCPD Bldg 633. The Contractor proposal shall be costed as such to account for this entire estimated time period, including mobilization, setup time, flushing time, and equipment removal time. For planning purposes, the flush is scheduled to begin as early as 28 July 2017 and complete by 15 August 2017, but is subject to change by NSWCPD as required for operational scheduling. NSWCPD will provide the earliest start date for the flush at a later time. NSWCPD reserves the right to discontinue the flush at any time if the acceptance criteria have not been achieved to avoid any potential delays in the construction or test schedule that may result from an extended flush period.

4. CONTRACTOR REQUIREMENTS:

4.1 Flush Requirements:

4.1.1. Prerequisites

4.1.1. Ref (c) has been successfully completed by NSWCPD prior to the start of the flush. 4.1.2. Verification that all jumpered equipment meets the system cleanliness requirements.

4.1.3. Verification by the Contractor that the lubricating oil to be used for the flush medium meets the requirements of MIL-PRF-17331 for 2190 TEP (Ref (d)).

4.2 Data Collection and Reduction Plan 4.2.1. Manual data collection by NSWCPD shall be used.

4.3 Test Instrumentation, Tools, Equipment, and Software Required (Provided by Contractor) 4.3.1. Piping capacity for the flush is estimated to be 100-200 gallons of 2190 lube oil (Ref d). All lubricating oil (Ref d) required for testing shall be from the Contractor.

4.3.2. Filter cloth shall be in accordance with Ref (e), Type 1, Grade 1 (or equal), quantity as required. (Note: a Type 2 filter cloth (with lanyard) shall be used for wiping sump and overflow tanks)

4.3.3. Portable ultrasonic flowmeter, quantity as required.

4.3.4. Portable liquid particle counter: Mfg./Supplier: Beckman Coulter, Inc. (or equal), Model: HIAC PODS+ or equal, Quantity: 1.

4.3.5. Yellow Jacket Charging Hoses (to flush gauge tubing; supplied by NSWCPD):

4.4 Instructions/Special Precautions/Safety 4.4.1. In addition to Contractor safety requirements, the Contractor shall follow Ref (f) and Ref (g) for safety precautions during testing at NSWCPD.

4.4.2. Suitable precautions in the event of lube oil piping system rupture shall be taken by the Contractor to eliminate hazards to personnel in the proximity of lines being flushed. Contractor test personnel shall strictly adhere to all safety precautions including all CAUTION and WARNING notes contained in the test procedure and observe standard safety precautions in accordance with Ref (f) and Ref (g).

4.4.3. The Contractor shall ensure that all unauthorized personnel remain clear of test areas for the duration of the flush.

4.4.4. During the flushing operation, the oil temperature should be monitored and maintained by the Contractor in an operating range of 150-160°F unless directed otherwise by the NSWCPD test engineer.

4.4.5. Do not exceed a maximum lube oil temperature of 170°F.

Note: Temporary removal and reinstallation of system hardware as well as temporary blanks and spool pieces must be logged by the Contractor.

4.4.6. Contractor shall install blanks with new gaskets on all openings caused by installation or removal of system piping or jumpers. Contractor shall not remove blanks until the system piping or jumper is available for immediate installation. When tank or component inspection covers are open for any length of time, cover the opening to prevent the entry of foreign matter.

4.4.7. When the material causing the flush to not meet the acceptance criteria is of a type not normally found in a system (e.g. readily apparent debris of substances), the Contractor shall discontinue the flush immediately and contact the NSWCPD Program Office (Code 211) immediately for further instruction.

Note: Use of lint free rags as well as tools entering system must be logged in/out of the system by the Contractor.

4.4.8. The Contractor shall use only lint-free rags for cleaning any part of the lube oil system.

4.4.9. If flushing is interrupted to troubleshoot, to correct a deficiency or to improve operations, NSWCPD test engineer shall determine if retesting and/or recertification of prerequisite or associated test is necessary.

4.4.10. Personal protective equipment and attire for the Contractor and NSWCPD shall be in accordance with Ref (f) and Ref (g).

4.4.11. Prior to reinstallation, equipment disconnected during this test shall be certified as meeting the applicable cleanliness requirements of that portion of the system in which it will be re-installed.

4.4.12. No repairs by the Contractor or NSWCPD shall be attempted while the system is pressurized.

4.4.13. The Contractor and NSWCPD shall protect all equipment that could be damaged by leakage of the test fluid.

4.4.14. Prior to filling the system with lubricating oil, accessible internal portions of the system shall be inspected and cleaned by the Contractor.

4.4.15. The Contractor shall protect all equipment from industrial debris/contamination using FME (foreign material exclusion) when equipment is removed for flushing.

4.5 Plant Conditions 4.5.1. All temporarily removed and reinstalled components shall be logged by the Contractor at the time that the component is removed and when it has been re-installed.

4.5.2. The Contractor provided temporary flush unit(s) shall be used for the flush.

4.5.3. Minimum lube oil temperature for system startup is 90° F.

4.5.4. Unless otherwise directed by the NSWCPD test engineer, all instrumentation shall be flushed clean by the Contractor before being connected to piping or components.

4.5.5. Temporary jumpers shall be installed by the Contractor as shown in Ref (b) or as necessary to support the flush.

4.5.6. As applicable, remove, bag and label internal components from tilting disc check valves. Contractor shall record removals in log.

4.5.7. Verify all supply and return valves are open during flush unless otherwise noted.

4.5.8. Verify all system drain and vent valves are closed during flush.

4.5.9. As applicable, ensure all oil mist eliminators are blanked. Record blank(s) in log (see Ref (a)).

4.5.10. The test medium is 2190 TEP lube oil in accordance with Ref (d). A “clear and bright” visual examination in accordance with the procedure outlined in Ref (h) of the lubricating oil from each source, drum or tank, shall be performed prior to filling the system for the test.

4.5.11. Ensure the system is completely filled and vented prior to applying pressure to the system.

4.6 Flush General Requirements 4.6.1. The system shall be flushed with 2190 TEP lube oil (Ref (d)). 2190-S lube oil (synthetic) shall not be used. No chemicals or other fluids may be used.

4.6.2. Flushing flow rate (fluid velocity) shall be as high as possible above normal fluid velocity, when performing flush.

4.6.3. The flushing results shall meet a minimum required cleanliness criteria per reference Ref (i), Class 7.

4.6.4. Either re-circulating or once-through flushing may be used. Once-through flushing briefly prior to conducting a recirculating flush may be desirable to reduce the quantities of corrosion products or foreign materials spread throughout the system or collected in low-flow regions such as tanks and blanked flange connections.

4.6.5. Temporary recirculation lines for flushing shall be provided with pressure relief protection or shall be designed to withstand the shutoff head of the pump used for the flush.

4.6.6. Unless otherwise instructed by the NSWCPD test engineer, all sample and drain lines should be cracked open and bled every 60 minutes during flushing to ensure lines are flushed clean.

4.6.7. Flow Velocity: Flow velocity during flush shall equal or exceed the flow velocity during normal operation. If normal velocity cannot be achieved during flushing, or if flow through the hardware during normal operation is not turbulent, then, to the maximum practicable extent, flow velocity during flushing shall cause turbulent flow.

4.6.8. Flow Direction: Flushing material from other parts of the system into large, low velocity flow regions or into clean portions of the hardware shall be avoided. Flushing procedures shall be sequenced and care taken to preclude flushing foreign material into the plate heat exchanger.

4.6.9. Flow Volume: The minimum volume of the flush shall be equal to the internal volume of the component being flush tested. For piping systems, at least three times the volume of the system being flushed shall be used. The flow for this volume shall be continuous if practicable.

4.6.10. Filter Cloth: The filter cloth’s active filtering area shall be no larger than approximately 1 square foot and shall conform to the technical requirements of Ref (e). Detrimental material testing is not required for cloths used for outflushes. An installed 50 mesh corrosion resistant filter should be used for a re-circulating flush.

4.6.11. Flushing Acceptance Criteria: The system shall be flushed for a minimum of 12 hours unless otherwise directed by the TE. Flush results are acceptable when an oil sample (pre-filtration) meets the minimum acceptance criteria of Ref (i), Class 7. Continue flushing until the cleanliness criteria has been met for two (2) consecutive flushes.

4.6.12. The filter cloth used for the flush of instruments shall have a general appearance upon inspection of a clean white cloth showing no more than slight speckling, soiling, or staining and the material on the filter cloth does not exhibit any of the following 1. Fine hair-like sliver larger than 1/16” in any dimension;

2. Thin flake-like particle larger then 1/16” in any dimension;

3. Particle of other geometry, larger then 1/32” in any dimension;

4. Readily apparent (by visual inspection without magnification) quantities of unusual debris or substances, such as resin beads, abrasive grit, oil, grease, welding flux, pipe joint sealer, or preservative;

5. Visually apparent lint fibers greater than ¼” in length.

Note: New instrumentation provided with quality assurance documentation including verification that the instrument meets the cleanliness requirements above is acceptable in lieu of flushing.

4.6.13. A disconnected instrument that cannot be flushed by once-through or recirculating methods shall be flushed by either alternate filling or draining or flowing into the instrument through a small diameter tube. Instrumentation shall be flushed until the effluent is visibly clear when observing a static sample or no visible particles or staining is detected when passed through a filter cloth.

4.2 Field Services Required: The Contractor shall provide test personnel (including manager and technicians) and project supervision as required to setup equipment and jumpers for the flush, operate the flushing rig, conduct the flush, and remove all equipment and jumpers required for the flush. The Contractor shall be responsible for installing and/or removing all cone strainers, filter bags, other test fittings, etc. required for the flush. NSWCPD personnel will be present during the flush to witness testing and/or the contents of all cone strainers and/or filter bags when removed by the Contractor for inspection. NSWCPD shall not operate the flushing rig(s) but may be required to operate facility equipment if necessary to support the flush.

4.3 Flush Location: The flush shall be conducted by the Contractor at the following address at NSWCPD:

4.4 Electrical Requirements: (1) Service at 3 Phase 480 Volt 150 Amp power and (2) services at 3 Phase 480 Volt 100 Amp power shall be provided by NSWCPD.

4.5 Use of Facilities, Equipment, Material, and Resources: The Contractor shall specify any NSWCPD facilities, equipment, lifting and handling services, materials or personnel resources required to efficiently and effectively accomplish the work described herein. The Contractor shall provide the necessary flushing rig(s), equipment, tools, and operating personnel to accomplish this work (See Section 4.3). The Contractor shall also provide sufficient quantity (gal) of 2190 TEP lube oil required to complete the flush, including any make-up lube oil required to re-fill sections of the system that have been drained to facilitate the removal and inspection of cone strainers and/or muslin bags during the flush.

4.6 Environmental Laws and Regulations: The Contractor shall adhere to all environmental laws and regulations including federal, state, local, and industrial facility. When handling hazardous material and/or waste, handling reports and disposal invoices are required through local procedures. Government will not be responsible for the Contractor’s misuse of hazardous material/waste or for Contractor accident cleanup costs.

4.7 NSWCPD Responsibilities:

NSWCPD will be responsible for the following after contract award:

• Operate the facility lube oil system equipment and plant equipment if necessary to support the flush

• Provide technical oversight to the Contractor as required to support development of the test procedure (Contractor provided) or during execution of the flushing procedure

• Provide project design data to Contractor as required

• Provide log-out / tag-out of any facility equipment if necessary

• Witness / monitor flush progress and support the Contractor during the flushing operation

• Review and approve the Contractor provided test procedure (CDRL A001) prior to use by the Contractor for the flush

• Review, approve, and initial where applicable the Contractor provided completed test procedure (CDRL A002) after the flush

• Provide lifting and handling of equipment (overhead crane, fork lift, rigging, etc)

• Mechanical labor and tools

• Electrical service and labor for making connections

• Provide required electrical cable(s) for flushing unit(s)

• Provide machine shop tools and operator, if needed, for special fixtures

• Provide scaffolding and scaffolding erection labor if needed

• Provide disposal all waste produced

• New gaskets, nuts and bolts if required

• Plant utilities such as water or LP air

4.2 Material Support

4.2.1 General: Materials used for work performed under this contract shall be new, of the highest quality, and suitable for the intended service conditions of the equipment.

4.2.1 Authorized Materials: The Contractor is only authorized to purchase and provide materials incidental to the performance of the services to be furnished under this contract. The procurement of material or equipment of any kind, other than that incidental to and necessary for furnishing of the required services, is not authorized nor will any costs incurred be considered allowable.

4.2.2 Incidental Materials: It is anticipated that incidental materials shall be required for the Contractor to procure to support the work described herein. These items include, but are not limited to, the following: piping, fittings, flexible hoses, couplings, electrical cables, gaskets, bolts, nuts, washers, etc.

4.2.3 Prohibited Materials: Materials that are not authorized for procurement include cadmium plated fasteners, items containing asbestos, item substitutions, and any material that does not conform to local environmental regulations.

4.3 Quality Assurance

4.3.1 Contractor’s Approved Quality Assurance Program: The Contractor shall ensure all personnel (including subcontractors) know and adhere to the requirements of this contract and the awarded Contractor's approved Quality Assurance Program.

4.4 Delivery, Storage, and Handling

4.4.1 Storage Requirements: Materials delivered and placed in storage shall be stored with protection from the weather, excessive humidity variation, excessive temperature variation, dirt, dust and/or other contaminants. Proper protection and care of material before, during and after installation is the Contractor's responsibility. Any material found to be damaged shall be replaced at the Contractor's expense.

5. DELIVERABLES/SCHEDULES:

The Contractor shall provide the following deliverables associated with this tasking effort:

• CLIN 0001 – Flushing Equipment and Services

• CLIN 0002 – Technical Documentation o CDRL A001 – Flush Procedure: Contractor provided test procedure shall be provided for review and approval by NSWCPD a minimum 10 days prior to the start of the flush by the Contractor o CDRL A002 – Completed Flush Procedure: Contractor provided flush procedure shall be provided for review and approval by NSWCPD within one (1) week after the flush by the Contractor is completed. The completed test procedures shall include the following information at minimum: References Flush Pre-requisites

Test Instrumentation, Tools, Equipment, and Software Required Instructions/Special Precautions/Safety Plant Conditions Flush General Requirements Flush Acceptance Criteria Step-by-step Test Procedure Table, including Step #, Step Description, Expected Result, Actual Result, and Initial / Date by Contractor Component Removal/Reinstallation Log Calibration certificates for any flushing instrumentation Additional notes/discrepancies/comments

6. GOVERNMENT FURNISHED MATERIAL:

None

7. SECURITY REQUIREMENTS:

7.1 Base Security Requirements: No employee or representative of the Contractor shall be admitted to the site of the work unless he/she has satisfactorily completed a pass application (business/Contractor‐employee) and has furnished satisfactory proof that he/she is a citizen of the United States. The Government Security Office must approve each base application form before the employee or representative shall be authorized admittance to the site of work by NSWCPD.

It shall be the Contractor responsibility to collect and account for all identification passes issued to his/her personnel at the expiration of the contract or when no longer required. Collected passes shall be returned by the Contractor to the Government Security Office.

The Contractor shall comply with all security regulations currently in force as communicated directly by the Government Security personnel.

Employees of the Contractor, while working at NSWCPD shall display on their outer garment an identification indicating the Contractor’s name and employee’s name and number.

The Contractor shall ensure that no employee enter NSWCPD buildings with a Portable Electronic Device, except a mobile phone without camera. If PED is required for performance of work, Government Authorization form shall be provided and completed.

7.2 Working Hours:

For the purposes of this requirement, normal working hours at NSWCPD are Monday through Friday, from 0700 to 1700 hours.

The Contractor may be required to work off shift hours to meet schedule requirements.

All personnel occupying NSWCPD building/spaces beyond normal working hours are required to be listed on the NSWCPD Night Orders.

8. PLACE OF PERFORMANCE:

NSWCPD – Bldg 633

9. TRAVEL:

Contractor shall travel to and from NSWCPD (Bldg 633) as required to support this SOW.

12. RELEASE OF INFORMATION:

All technical data provided to the Contractor by the Government and/or by the Contractor for the Government shall be protected from public disclosure in accordance with the markings contained therein. All other information relating to the items being delivered or services being performed may not be disclosed by any means without prior approval of the authorized representative of the contracting officer. Dissemination or public disclosure includes, but is not limited to: permitting access to such information by foreign nationals or by any other persons on entity, publication or technical or scientific, advertising, or any other proposed public release. The Contractor shall provide adequate physical protection to such information so

HQ C-2-0063 USE OF NAVY SUPPORT CONTRACTOR S FOR OFFICIAL CONTRACT FILES (NAVSEA) (APR 2004)

(a) NAVSEA may use a file room management support Contractor , hereinafter referred to as "the support Contractor ", to manage its file room, in which all official contract files, including the official file supporting this procurement, are retained. These official files may contain information that is considered a trade secret, proprietary, business sensitive or otherwise protected pursuant to law or regulation, hereinafter referred to as “protected information”. File room management services consist of any of the following: secretarial or clerical support; data entry; document reproduction, scanning, imaging, or destruction; operation, management, or maintenance of paper-based or electronic mail rooms, file rooms, or libraries; and supervision in connection with functions listed herein.

(b) The cognizant Contracting Officer will ensure that any NAVSEA Contract under which these file room management services are acquired will contain a requirement that:

The support Contractor not disclose any information;

(2) Individual employees are to be instructed by the support Contractor regarding the sensitivity of the official contract files;

(3) The support Contractor performing these services be barred from providing any other supplies and/or services, or competing to do so, to NAVSEA for the period of performance of its contract and for an additional three years thereafter unless otherwise provided by law or regulation; and,

(4) In addition to any other rights the Contractor may have, it is a third party beneficiary who has the right of direct action against the support Contractor , or any person to whom the support Contractor has released or disclosed protected information, for the unauthorized duplication, release, or disclosure of such protected information.

(c) Execution of this contract by the Contractor is considered consent to NAVSEA's permitting access to any information, irrespective of restrictive markings or the nature of the information submitted, by its file room management support Contractor for the limited purpose of executing its file room support contract responsibilities.

(d) NAVSEA may, without further notice, enter into contracts with other Contractor s for these services. Contractor s are free to enter into separate non-disclosure agreements with the file room Contractor . (Please contact Director, E Business Division for Contractor specifics.) However, any such agreement will not be considered a prerequisite before information submitted is stored in the file room or otherwise encumber the government.

Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.

Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall--

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.

(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:

HQ G-2-0009 SUPPLEMENTAL INSTRUCTIONS REGARDING INVOICING (NAVSEA) (APR 2015)

(a) For other than firm fixed priced contract line item numbers (CLINs), the Contractor agrees to segregate costs incurred under this contract/task order (TO), as applicable, at the lowest level of performance, either at the technical instruction (TI), sub line item number (SLIN), or contract line item number (CLIN) level, rather than on a total contract/TO basis, and to submit invoices reflecting costs incurred at that level. Supporting documentation in Wide Area Workflow (WAWF) for invoices shall include summaries of work charged during the period covered as well as overall cumulative summaries by individual labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of other direct costs (ODCs), materials, and travel, by TI, SLIN, or CLIN level. For other than firm fixed price subcontractors, subcontractors are also required to provide labor categories, rates, and hours (both straight time and overtime) invoiced; as well as, a cost breakdown of ODCs, materials, and travel invoiced. Supporting documentation may be encrypted before submission to the prime contractor for WAWF invoice submittal. Subcontractors may email encryption code information directly to the Contracting Officer (CO) and Contracting Officer Representative (COR). Should the subcontractor lack encryption capability, the subcontractor may also email detailed supporting cost information directly to the CO and COR; or other method as agreed to by the CO.

(b) Contractors submitting payment requests and receiving reports to WAWF using either Electronic Data Interchange (EDI) or Secure File Transfer Protocol (SFTP) shall separately send an email notification to the COR and CO on the same date they submit the invoice in WAWF. No payments shall be due if the contractor does not provide the COR and CO email notification as required herein.

Section H - Special Contract Requirements

PD-H04 – CONTRACTOR PERSONNEL SECURITY REQUIREMENTS (AUG 2015)

a. In accordance with SECNAV M-5510.30 Chapters 5 and 6, all Contractor personnel that require access to Department of Navy (DON) information systems and/or work on-site are designated Non-Critical Sensitive/IT-II positions, which require an open investigation or favorable adjudicated National Agency Check (NACLC) by the Industrial Security Clearance Office (DISCO). Investigations should be completed using the SF-86 Form and the SF-87 finger print card. An interim clearance can be granted by the company Security Officer and recorded in the Joint Personnel Adjudication System (JPAS). An open or closed investigation with a favorable adjudication is required prior to issuance of a badge providing access to NSWCPD sites and buildings. If an unfavorable adjudication is determined by DISCO all access will terminated. For Common Access Card (CAC) card you must have a completed investigation that has been favorably adjudicated or a final security clearance. A CAC Card will not be issued to contractors who have an interim security clearance.

b. Contractor personnel that require a badge to work on-site at one of the NSWCPD sites must provide an I-9 form to verify proof of citizenship. The I-9 form should be signed by the company Facility Security Officer or the company Human Resource Department. In addition to the I-9 form, Contractors shall also bring their birth certificate, current United States Passport or naturalization certificate and state issued ID to the NSWCPD Security Officer at the time of badge request to verify citizenship. Finally, contractors shall supply a copy of their OPSEC Training Certificate or other proof that the training has been completed.

c. Construction badges for contractor personnel that work on-site at one of the NSWCPD sites will be good for 60 days.

d. A Facility Access Determination (FAD) will be completed on any contractor that does not have a favorable adjudicated investigation in JPAS and is requesting swipe/non-swipe access to our buildings in excess of 120 days. Any contractor that has unfavorable information that has not been favorably adjudicated by Department of Defense Central Adjudication Facility (DOD CAF) will not be issued a badge.

e. Within 30 days after contract award, the Contractor shall submit a list of all Contractor personnel, including subcontractor employees, who will have access to DON information systems and/or work on-site at one of the NSWCPD sites to the appointed Contracting Officer Representative (COR) via email. The Contractor shall provide each employee's first name, last name, contract number, the NSWCPD technical code, work location, whether or not the employee has a CAC card and/or swipe card, the systems the employee can access (i.e., NMCI, RDT&E), and the name of the Contractor's local point of contact, phone number and email address. Throughout the period of performance of the contract, the Contractor shall immediately provide any updated information to the COR when any Contractor personnel changes occur including substitutions or departures.

HQ L-2-0005 NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF INTEREST (NAVSEA) (JUN 1994)

(a) Offerors are reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, as either a subcontractor or as a prime contractor under this competitive procurement. Of primary concern are those contractual arrangements in which the Offeror provides support to , or related laboratories (if applicable), in support of operation of the office or any of its programs. General guidance may be found in FAR 9.505; however, this guidance is not all inclusive. The Offeror's attention is directed to the "Organizational Conflict of Interest" (or similar) requirement which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current "support" contract(s) or for a period after completion of the "support" contract(s). Notwithstanding the existence or non-existence of an Organizational Conflict of Interest (OCI) clause or similar requirement in current or completed contract(s), the offeror shall comply with FAR 9.5 and identify whether an OCI exists and not rely solely on the presence of an OCI requirement.

(b) If a potential conflict of interest exists at any tier, each potential prime offeror is requested to notify the Contracting Officer within 14 days of the date of this solicitation. The Offeror shall provide: (1) the contract number and name and phone number of the Contracting Officer for the contract which gives rise to a potential organizational conflict of interest; (2) a copy of the requirement; (3) the statement of work (or technical instruction) from the existing contract; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; and (5) any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists. The Government may independently verify the information received from the offeror. Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source.

(c) The Government will notify an offeror of any conflict of interest within 14 days of receipt of all required information. Those offerors deemed to have a conflict of interest may be ineligible for award. Failure to provide the information in a timely manner does not waive the Government's rights to make a conflict of interest determination. The offeror is notified that if it expends time and money on proposal preparation, such expenditure is at its own risk that the Government will not determine that an organizational conflict of interest exists.

(d) Any potential prime contractor which proposes a subcontractor later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible subcontractor. The Government reserves the right to determine which offerors remain in the competitive range through the normal source selection process.

(e) If the offeror determines that a potential organizational conflict of interest does not exist at any tier, the offeror shall include a statement to that effect in its response to this solicitation.

HQ L-2-0010 SUBSTITUTION OF PREVIOUSLY APPROVED SINGLE PROCESS INITIATIVE (NAVSEA) (MAY 1998) Your proposal shall identify where you are substituting your previously approved Single Process Initiative (SPI) processes for specified requirements. In addition, offerors should provide the information required by DFARS 252.211-7005, paragraph (c).

HQ L-2-0014 - NOTIFICATION OF USE OF NAVY SUPPORT CONTRACTORS FOR OFFICIAL CONTRACT FILES (NAVSEA) (APR 2004)

(a) NAVSEA may use a file room management support contractor, hereinafter referred to as "the support contractor", to manage its file room, in which all official contract files, including the official file supporting this procurement, are retained. These official files may contain information that is considered a trade secret, proprietary, business sensitive or otherwise protected pursuant to law or regulation, hereinafter referred to as “protected information”. File room management services consist of any of the following: secretarial or clerical support; data entry; document reproduction, scanning, imaging, or destruction; operation, management, or maintenance of paper-based or electronic mail rooms, file rooms, or libraries; and supervision in connection with functions listed herein.

(b) The cognizant Contracting Officer will ensure that any NAVSEA contract under which these file room management services are acquired will contain a requirement that

(1) The support contractor not disclose any information;

(2) Individual employees are to be instructed by the support contractor regarding the sensitivity of the official contract files;

(3) The support contractor performing these services be barred from providing any other supplies and/or services, or competing to do so, to NAVSEA for the period of performance of its contract and for an additional three years thereafter unless otherwise provided by law or regulation; and,

(4) In addition to any other rights the offeror may have, it is a third party beneficiary who has the right of direct action against the support contractor, or any person to whom the support contractor has released or disclosed Protected Information, for the unauthorized duplication, release, or disclosure of such Protected Information.

(c) Submission of a proposal will be considered as consent to NAVSEA's permitting access to any information, irrespective of restrictive markings or the nature of the information submitted, by its file room management support contractor for the limited purpose of executing its file room support contract responsibilities.

(d) NAVSEA may, without further notice, enter into contracts with other contractors for these services. Offerors are free to enter into separate non-disclosure agreements with the file room contractor. (Please contact Director, E Business Division for contractor specifics.) However, any such agreement will not be considered a prerequisite before information submitted is stored in the file room or otherwise encumber the government.
