Section A - Solicitation/Contract Form

SECTION A - SOLICITATION/CONTR

GENERAL INFORMATION

1. This acquisition is being conducted under FAR PART 15 Contracting by Negotiation procedures.

2. This acquisition is for a Regular Overhaul - Dry Docking (ROH-DD) that includes pier side docking and dry docking in the contractor’s facility. Based on the current U.S. Navy mission, the place of performance is geographically limited to all prospective contractors within FIFTH Fleet area of responsibility (AOR) and the ship repair facility shall be within 20 miles of 4-star hotels with a minimum capacity of 20 rooms. Proposed locations outside of the Fifth fleet area of responsibility (AOR) will not be considered for an award.

3. Award will be made only to a contractor who possesses a current Port Vulnerability Assessment (PVA) by the NAVCENT FORCE PROTECTION OFFICE at the time of award. If not previously executed, adequate time must exist to allow for the proper assessment of the contractor's PVA without impact to the required start to the performance date. Should adequate time not exist, the Offeror will not be eligible for the award of a contract under this solicitation.

4. The Government anticipates that any subsequent repairs identified as a result of work items associated with this requirement will be performed by the awardee in accordance with the applicable changes clause. All growth work will be related to a work specification item in the awarded contract.

5. There are a total of Sixty-five (65) work items to be performed in accordance with the solicitation’s terms and conditions detailed herein.

6. Ship check will be held on 24 September 2017 at 1000 hours (10:00AM local Bahrain time) at Mina Salman Port. The point of contact will be identified prior to the ship check. It may be in the best interest of the offerors to attend the ship check in order to have a complete understanding of the requirement. In the event an offeror attends a ship check, the US Government will not reimburse the offeror for any cost involved with the ship check.

7. The offeror shall submit their proposal for all work items and must provide a price for each CLIN and the break-down of the price of each CLIN on the tables provided on SECTION B. If the break-down is NOT submitted along with the proposal, we will consider your offer as incomplete, and it will not be evaluated for award.

Please note that the Government will consider an ALL or NONE award resulting from this solicitation. Therefore, all CLINs shall be priced or stated as “$0.00” or “NSP”. A partial proposal will be considered incomplete and ineligible for award.

8. The period of performance is from 8 January 2018 to 18 February 2018.

9. The Government will consider a proposal for award when it manifests the offeror’s assent, without exceptions or imposition of condition, to the terms and conditions of this solicitation, including attachments and documentations incorporated by reference. If an offeror (a) takes exception to any of the work items and terms and conditions of this solicitation and (b) imposes additional terms and conditions, then the offer will be ineligible for contract award. The Government reserves the right to change the terms and conditions of this solicitation by amendment at any time prior to the solicitation close date.

10. Offerors may request for answers to questions concerning any work item specifications or contract terms. The deadline to submit questions is 27 September 2017 at 1400 (local Bahrain time). No questions will be entertained beyond this date and time. In electronic form on an excel spreadsheet.

11. Offers must be received 4 October 2017 at 02:00 PM (local Bahrain time). The deadline/closing time receipt of proposals will be strictly adhered to and enforced.

12. No verbal requests for information will be accepted by the Contracting Officer or his/her Technical Representatives. Offeror's questions must be submitted in writing to both the Contracting Officer and the Contracting Specialists:

GROWTH WORK LABOR RATE

The aggregate labor rate proposed in section B for growth work will be evaluated utilizing a historical availability growth work average of 15,000 man hours. The 15,000 man hours is for evaluation purposes only. The sum of Sections B Pricing table will establish the overall total proposed price for evaluation purposes.

The number of man hours associated with the growth work will be established at the award of a contract modification. If the Government issues a modification to increase the work performed under this contract, the Contractor's price shall be based on the proposed labor rate.

Section C - Descriptions and Specifications

C-1 GENERAL

The Contractor shall prepare and accomplish all work items on the Regular Overhaul - Dry Docking (ROH-DD) on a Military Sealift Command, Powhatan-class fleet ocean tug as specified herein and in accordance with the Specification Package as provided herein, test procedures and other detailed data provided by the Government.

The Contractor shall perform planning, document preparation, engineering, procurement, prefabrication and shipyard production work, and/or any other work necessary to prepare for and accomplish the alterations, repairs, maintenance and routine work specified herein. These requirements include, but are not limited to, the following:

(a) Provide the management, procurement, production, testing, quality assurance, technical capability and resources necessary to prepare for and accomplish the repairs and alterations in accordance with the requirements stated herein, the contract work specifications, and the additional work specifications if necessary within the availability time period specified in Section F.

(b) Accomplish planning and scheduling to ensure timely procurement of Contractor Furnished Material/Contractor Furnished Property (CFM/CFP) and receipt, storage, and installation of Government Furnished Material/Government Furnished Property (GFM/GFP) and CFM/CFP.

(c) Apply progress measurement systems to determine the physical progress of completed work for each of the elements in the contractor’s scheduling plan, including material and manpower control, engineering, production, tests and trials in accordance with the Contract Data Requirements and the Contractor's own Technical Proposal, and the work item package. The progressing system shall permit a direct comparison of the physical progress of completed work to the planned performance measurement baseline for each of the elements in the scheduling plan.

(d) Establish management procedure and systems to identify behind schedule conditions and unfavorable schedule variance, using the scheduling plan performance measurement baseline, each of the elements in the baseline, and the progress measurement systems. The applied systems and procedures shall provide timely identification of scheduling problem areas to permit prompt management action to correct unsatisfactory conditions.

(e) Develop a performance milestone schedule/critical path chart to measure scheduled performance. Deviations from the milestone schedule/critical path chart must be submitted to and approved by the Contracting Officer. The Contractor warrants that all work required by Section C of this contract shall be completed within the performance period stated in Section F of the Contract. A performance milestone schedule and critical path chart shall be developed and submitted in accordance with the Work Item Package.

(f) Apply approved quality control procedures as required by this contract and the work item package to ensure procured material and performed production work conforms to the required quality standards.

(g) Apply procedures to ensure that the ship's equipment and systems remain configured to existing baselines with regard to procured material, production work, and software.

(h) Apply stringent configuration control procedures to ensure that configuration baselines are maintained for procured material and production work.

(i) Provide for staging and storing of Long Lead Time Material (LLTM) for use in the availabilities, as required by the Work Item Package.

252.211-7003 ITEM UNIQUE IDENTIFICATION AND VALUATION (MAR 2016)

(a) Definitions. As used in this clause-

Automatic identification device means a device, such as a reader or interrogator, used to retrieve data encoded on machine-readable media.

Concatenated unique item identifier means--

(1) For items that are serialized within the enterprise identifier, the linking together of the unique identifier data elements in order of the issuing agency code, enterprise identifier, and unique serial number within the enterprise identifier; or

(2) For items that are serialized within the original part, lot, or batch number, the linking together of the unique identifier data elements in order of the issuing agency code; enterprise identifier; original part, lot, or batch number; and serial number within the original part, lot, or batch number.

Data Matrix means a two-dimensional matrix symbology, which is made up of square or, in some cases, round modules arranged within a perimeter finder pattern and uses the Error Checking and Correction 200 (ECC200) specification found within International Standards Organization (ISO)/International Electrotechnical Commission (IEC) 16022.

Data qualifier means a specified character (or string of characters) that immediately precedes a data field that defines the general category or intended use of the data that follows.

DoD recognized unique identification equivalent means a unique identification method that is in commercial use and has been recognized by DoD. All DoD recognized unique identification equivalents are listed at http://www.acq.osd.mil/dpap/pdi/uid/iuid_equivalents.html.

DoD item unique identification means a system of marking items delivered to DoD with unique item identifiers that have machine-readable data elements to distinguish an item from all other like and unlike items. For items that are serialized within the enterprise identifier, the unique item identifier shall include the data elements of the enterprise identifier and a unique serial number. For items that are serialized within the part, lot, or batch number within the enterprise identifier, the unique item identifier shall include the data elements of the enterprise identifier; the original part, lot, or batch number; and the serial number.

Enterprise means the entity (e.g., a manufacturer or vendor) responsible for assigning unique item identifiers to items.

Enterprise identifier means a code that is uniquely assigned to an enterprise by an issuing agency.

Government's unit acquisition cost means--

(1) For fixed-price type line, subline, or exhibit line items, the unit price identified in the contract at the time of delivery;

(2) For cost-type or undefinitized line, subline, or exhibit line items, the Contractor's estimated fully burdened unit cost to the Government at the time of delivery; and

(3) For items produced under a time-and-materials contract, the Contractor's estimated fully burdened unit cost to the Government at the time of delivery.

Issuing agency means an organization responsible for assigning a globally unique identifier to an enterprise, as indicated in the Register of Issuing Agency Codes for ISO/IEC 15459, located at http://www.aimglobal.org/?Reg_Authority15459.

Issuing agency code means a code that designates the registration (or controlling) authority for the enterprise identifier.

Item means a single hardware article or a single unit formed by a grouping of subassemblies, components, or constituent parts.

Lot or batch number means an identifying number assigned by the enterprise to a designated group of items, usually referred to as either a lot or a batch, all of which were manufactured under identical conditions.

Machine-readable means an automatic identification technology media, such as bar codes, contact memory buttons, radio frequency identification, or optical memory cards.

Original part number means a combination of numbers or letters assigned by the enterprise at item creation to a class of items with the same form, fit, function, and interface.

Parent item means the item assembly, intermediate component, or subassembly that has an embedded item with a unique item identifier or DoD recognized unique identification equivalent.

Serial number within the enterprise identifier means a combination of numbers, letters, or symbols assigned by the enterprise to an item that provides for the differentiation of that item from any other like and unlike item and is never used again within the enterprise.

Serial number within the part, lot, or batch number means a combination of numbers or letters assigned by the enterprise to an item that provides for the differentiation of that item from any other like item within a part, lot, or batch number assignment.

Serialization within the enterprise identifier means each item produced is assigned a serial number that is unique among all the tangible items produced by the enterprise and is never used again. The enterprise is responsible for ensuring unique serialization within the enterprise identifier.

Serialization within the part, lot, or batch number means each item of a particular part, lot, or batch number is assigned a unique serial number within that part, lot, or batch number assignment. The enterprise is responsible for ensuring unique serialization within the part, lot, or batch number within the enterprise identifier.

Type designation means a combination of letters and numerals assigned by the Government to a major end item, assembly or subassembly, as appropriate, to provide a convenient means of differentiating between items having the same basic name and to indicate modifications and changes thereto.

Unique item identifier means a set of data elements marked on items that is globally unique and unambiguous. The term includes a concatenated unique item identifier or a DoD recognized unique identification equivalent.

Unique item identifier type means a designator to indicate which method of uniquely identifying a part has been used. The current list of accepted unique item identifier types is maintained at http://www.acq.osd.mil/dpap/pdi/uid/uii_types.html.

(b) The Contractor shall deliver all items under a contract line, subline, or exhibit line item.

(c) Unique item identifier. (1) The Contractor shall provide a unique item identifier for the following:

(i) Delivered items for which the Government's unit acquisition cost is $5,000 or more, except for the following line items:

(ii) Items for which the Government's unit acquisition cost is less than $5,000 that are identified in the Schedule or the following table:

(iii) Subassemblies, components, and parts embedded within delivered items, items with warranty requirements, DoD serially managed reparables and DoD serially managed nonreparables as specified in Attachment Number ----.

(iv) Any item of special tooling or special test equipment as defined in FAR 2.101 that have been designated for preservation and storage for a Major Defense Acquisition Program as specified in Attachment Number ----.

(v) Any item not included in paragraphs (c)(1)(i), (ii), (iii), or

(iv) of this clause for which the contractor creates and marks a unique item identifier for traceability.

(2) The unique item identifier assignment and its component data element combination shall not be duplicated on any other item marked or registered in the DoD Item Unique Identification Registry by the contractor.

(3) The unique item identifier component data elements shall be marked on an item using two dimensional data matrix symbology that complies with ISO/IEC International Standard 16022, Information technology--International symbology specification--Data matrix; ECC200 data matrix specification.

(4) Data syntax and semantics of unique item identifiers. The Contractor shall ensure that--

(i) The data elements (except issuing agency code) of the unique item identifier are encoded within the data matrix symbol that is marked on the item using one of the following three types of data qualifiers, as determined by the Contractor:

(A) Application Identifiers (AIs) (Format Indicator 05 of ISO/IEC International Standard 15434), in accordance with ISO/IEC International Standard 15418, Information Technology--EAN/UCC Application Identifiers and Fact Data Identifiers and Maintenance and ANSI MH 10.8.2 Data Identifier and Application Identifier Standard.

(B) Data Identifiers (DIs) (Format Indicator 06 of ISO/IEC International Standard 15434), in accordance with ISO/IEC International Standard 15418, Information Technology--EAN/UCC Application Identifiers and Fact Data Identifiers and Maintenance and ANSI MH 10.8.2 Data Identifier and Application Identifier Standard.

(C) Text Element Identifiers (TEIs) (Format Indicator 12 of ISO/IEC International Standard 15434), in accordance with the Air Transport Association Common Support Data Dictionary; and

(ii) The encoded data elements of the unique item identifier conform to the transfer structure, syntax, and coding of messages and data formats specified for Format Indicators 05, 06, and 12 in ISO/IEC International Standard 15434, Information Technology-Transfer Syntax for High Capacity Automatic Data Capture Media.

(5) Unique item identifier.

(i) The Contractor shall--

(A) Determine whether to--

(1) Serialize within the enterprise identifier;

(2) Serialize within the part, lot, or batch number; or

(3) Use a DoD recognized unique identification equivalent (e.g. Vehicle Identification Number); and

(B) Place the data elements of the unique item identifier (enterprise identifier; serial number; DoD recognized unique identification equivalent; and for serialization within the part, lot, or batch number only: Original part, lot, or batch number) on items requiring marking by paragraph (c)(1) of this clause, based on the criteria provided in MIL-STD-130, Identification Marking of U.S. Military Property, latest version;

(C) Label shipments, storage containers and packages that contain uniquely identified items in accordance with the requirements of MIL-STD-129, Military Marking for Shipment and Storage, latest version; and

(D) Verify that the marks on items and labels on shipments, storage containers, and packages are machine readable and conform to the applicable standards. The contractor shall use an automatic identification technology device for this verification that has been programmed to the requirements of Appendix A, MIL-STD-130, latest version.

(ii) The issuing agency code--

(A) Shall not be placed on the item; and

(B) Shall be derived from the data qualifier for the enterprise identifier.

(d) For each item that requires item unique identification under paragraph (c)(1)(i), (ii), or (iv) of this clause or when item unique identification is provided under paragraph (c)(1)(v), in addition to the information provided as part of the Material Inspection and Receiving Report specified elsewhere in this contract, the Contractor shall report at the time of delivery, as part of the Material Inspection and Receiving Report, the following information:

(1) Unique item identifier.

(2) Unique item identifier type.

(3) Issuing agency code (if concatenated unique item identifier is used).

(4) Enterprise identifier (if concatenated unique item identifier is used).

(5) Original part number (if there is serialization within the original part number).

(6) Lot or batch number (if there is serialization within the lot or batch number).

(7) Current part number (optional and only if not the same as the original part number).

(8) Current part number effective date (optional and only if current part number is used).

(9) Serial number (if concatenated unique item identifier is used).

(10) Government's unit acquisition cost.

(11) Unit of measure.

(12) Type designation of the item as specified in the contract schedule, if any.

(13) Whether the item is an item of Special Tooling or Special Test Equipment.

(14) Whether the item is covered by a warranty.

(e) For embedded subassemblies, components, and parts that require DoD unique item identification under paragraph (c)(1)(iii) of this clause, the Contractor shall report as part of, or associated with, the Material Inspection and Receiving Report specified elsewhere in this contract, the following information:

(1) Unique item identifier of the parent item under paragraph (c)(1) of this clause that contains the embedded subassembly, component, or part.

(2) Unique item identifier of the embedded subassembly, component, or part.

(3) Unique item identifier type.**

(4) Issuing agency code (if concatenated unique item identifier is used).**

(5) Enterprise identifier (if concatenated unique item identifier is used).**

(6) Original part number (if there is serialization within the original part number).**

(7) Lot or batch number (if there is serialization within the lot or batch number).**

(8) Current part number (optional and only if not the same as the original part number).**

(9) Current part number effective date (optional and only if current part number is used).**

(10) Serial number (if concatenated unique item identifier is used).**

(11) Description.

** Once per item.

(f) The Contractor shall submit the information required by paragraphs (d) and (e) of this clause as follows:

(1) End items shall be reported using the receiving report capability in Wide Area WorkFlow (WAWF) in accordance with the clause at 252.232-7003. If WAWF is not required by this contract, and the contractor is not using WAWF, follow the procedures at http://dodprocurementtoolbox.com/site/uidregistry/.

(2) Embedded items shall be reported by one of the following methods--

(i) Use of the embedded items capability in WAWF;

(ii) Direct data submission to the IUID Registry following the procedures and formats at http://dodprocurementtoolbox.com/site/uidregistry/; or

(iii) Via WAWF as a deliverable attachment for exhibit line item number (fill in) ----, Unique Item Identifier Report for Embedded Items, Contract Data Requirements List, DD Form 1423.

(g) Subcontracts. If the Contractor acquires by subcontract any items for which item unique identification is required in accordance with paragraph (c)(1) of this clause, the Contractor shall include this clause, including this paragraph (g), in the applicable subcontract(s), including subcontracts for commercial items.

Section E - Inspection and Acceptance

TESTING AND QUALITY CONTROL

A. Scope

Title: Contractor Inspection System Requirements

B. Requirement

1. Provide and maintain an inspection system acceptable to the Government in accordance with requirements contained herein.

C. Quality Control Plan/Manual

The Contractor shall document his inspection system, identifying the method of implementing the requirements contained herein. Implementation of the Contractor's system shall be through a Quality Control Plan or Manual. The Quality Control Plan or Manual shall be approved for use by the Senior Shipyard Official and shall be available for review by the Government prior to the initiation of productive work. It shall as a minimum include:

(a) A functional organization chart showing overall company management, including the quality control organization.
(b) A description of the Contractor's Quality Control System.
(c) The assignment of specific responsibility for the following elements of Quality Control including written procedures specifying the methods of implementation:

(1) Performance and witnessing of tests and inspections.

(2) Preparation and maintenance of records.

(3) Control of nonconforming material.

(4) Corrective action system.

(5) Receipt inspection.

(6) Subcontractor control.

D. Testing and Inspection

1. Inspection personnel shall be qualified to perform the duties assigned and authorized to make an acceptance/rejection determination for your company.

(a) Submit a list of Contractor personnel authorized to witness, accept and sign off inspections and tests listed on Contractor's Test and Inspection Record (TIRs). Include personnel title/position in your company.

(b) Submit a list of subcontractor's personnel who you have authorized to witness, accept and sign off inspections and tests listed in TIRs for your company. Include names and locations of subcontractors and work, by item number and paragraph that they are to accomplish.

(c) Lists of Contractor and subcontractor personnel shall be submitted to the MSC Representative within five (5) days after award(s). Lists shall be amended as changes in personnel or subcontractors occur and forwarded to the MSC Representative.

2. The Contractor shall verify that all tests, inspections and work conform to job order requirements prior to presentation to the MSC representative for acceptance. In the event that specific criteria are not provided in the work item, the Contractor shall verify the tests, inspections, or work, meet Regulatory Body Requirements (ABS, USCG etc) prior to presentation to the MSC representative for acceptance. Final determination of acceptability shall be made by the MSC Representative.

E. Documentation

1. Contractor Inspection Records

(a) The Contractor shall prepare a Test and Inspection Record (TIR) for each work item in the job order(s), which requires productive work. TIRs shall be developed for each specification work item prior to production of work being accomplished for that item.

2. Each TIR shall include the following:

(a) Each TIR shall be identified by Specification Number, Ship and Work Item Number.

(b) Each TIR shall provide identification of each unit to be inspected by name, number, and location (e.g. Number 2 SSTG, Port Condenser, Cargo Winch Number 12, etc.). Where multiple units are contained within a work item, an entry on the TIR shall be made for each unit.

(c) Each TIR shall list the specific inspection attributes, methods of inspection or test and the acceptance/ rejection criteria. Acceptability or rejection of each inspection attribute shall be indicated and shall be signed and dated by authorized personnel. Each TIR shall be updated as work progresses and maintained current to within 24 hours.

(d) Inspection Attributes - The Contractor shall list, on TIR, all tests and inspections contained in each work item. In addition, the Contractor shall include the following types of inspection, as applicable in the TIR even though they may not be identified as a required inspection by the work item:

(1) Pertinent tolerances, clearances and conditions found upon disassembly/opening of equipment, machinery components or spaces.

(2) In progress verification, including refit/final tolerances, clearances, alignment, tests, cleanliness and internal condition prior to closure, fit-up and welding.

(3) Verification of item completion including prerequisites for operational testing (i.e. lubrication, continuity checks, rotation) and final test with supporting data.

F. Maintenance of Records

1. The Contractor shall maintain records of completed TIRs including inspection records generated by subcontractors for a period of 90 days after contract completion. The Records shall document the specific inspection actions or test and shall provide objective quality evidence of completed work and form the basis for acceptance of the work.

The records shall include documentation of rejected work, corrective action taken and objective quality evidence, which the Contractor offers as assurance of the conformance to the specifications. Records provided by the subcontractor may be incorporated in the inspection and test documentation, or if maintained as separate documentation, shall be referenced therein and be readily available for review by the Government.

2. The inspection record shall, for each Work Item, reference any Quality Deficiency Records (QDRs) issued by MSC for which a written response is required from the Contractor to the Government.

3. During the performance of the Job Order(s), records shall be maintained at a location accessible to the site of the work and be available for review by the Government during work hours.

4. Contractor's inspection records are an integral part of the work, therefore, MSC will consider the Work Item incomplete if the Contractor's documentation and records are not complete.

5. Records shall include all TIRs, subcontractor inspection reports, material certificates and receipt inspection records.

G. Nonconforming Material

The Contractor shall establish and maintain a positive system for controlling material, which is not in conformance with contractor requirements. The system shall identify and segregate nonconforming material.

H. Corrective Action

1. The Contractor shall promptly correct defects whether found by the Government or by the Contractor's or subcontractor's personnel. When such defects are reported by the Government, a written response detailing the corrective action taken or the date by which a specific corrective action will be completed must be submitted by the Contractor.

2. The Contractor shall correct defects in work or procedures when reported by the Government to the Contractor by Quality Deficiency Reports (QDRs) or by letter.

I. Receiving Inspection

1. The Contractor shall notify the Port Engineer immediately upon arrival of any/all GFM/GFP at their facility.
2. The Contractor shall maintain records to substantiate receipt/inspection of all GFM/GFP, all CFM/CFP requiring regulatory certification, material purchased to MIL-Spec or required by specification to conform to specific criteria, and all equipment or components, including valves, that require a lead-time for delivery in excess of 7 days.
3. Receipt inspection shall as a minimum, verify quantity, size, generic type, name plate data, inspection for damage and completeness of assembly.

4. Contractor receipt inspection of GFM/GFP shall be performed within 24 hours of arrival at Contractor's facility. Discrepancies in GFM/GFP shall be reported to the Port Engineer immediately. A written report of the discrepancies shall be filed within 24 hours of discovery. Receipt inspection reports shall also be provided within 24 hours for all GFM/GFP that has satisfactorily passed inspection.

J. Subcontractor Control and Evaluation

1. With respect to subcontractors, the Contractor shall establish:

(a) Procedures for selection of qualified subcontractors based on evaluation and assessment of the subcontractor's ability, quality control, facilities and available resources, as appropriate, to perform the specific type of work.

(b) Procedures for transmittal of all technical, design and quality requirements to the subcontractor. Quality requirements shall include the inspections and tests required by the Work Item as well as Contractor inspection at the subcontractor’s plant when such action is necessary to assure product conformance.

2. The Contractor shall invoke, and require subcontractors and suppliers to invoke, adequate inspection systems that ensure the required quality of materials, parts, components, and services for end-use in this ship repair. The Government shall be permitted to monitor the Contractor's system for inspecting subcontractors.

K. Calibration

1. Only calibrated equipment shall be used to perform tests and inspections.

2. Test and measuring equipment shall be within recognized calibration limits and shall be calibrated against standards traceable to the National Bureau of Standards.

3. Calibrated equipment shall be identified with a label stating date of calibration, due date and certifying agency.

4. Calibrated equipment shall be used for all pressure and weight testing, measurements of electrical waves, balancing operations, tachometers and other indirect measuring devices used for inspection or to record data or dimensions required by specifications.

L. Regulatory Inspections

1. The Contractor shall provide copies of the job order work items to the cognizant ABS and USCG Area Representatives. The Contractor shall request their review of work items to identify the specific attributes for which their inspection is deemed mandatory. The Contractor shall incorporate these inspections in the TIRs.

2. During the performance of the job order(s) the Contractor shall be responsible for notifying both ABS and USCG and coordinating and scheduling their inspections.

M. MSC Inspection

1. When work items require that a MSCREP (i.e. Port Engineer, Chief Engineer and others that may be designated by the item) accept and/or witness in process work, completed work, testing or inspections, the Contractor shall provide notification to the designated personnel at least four (4) but not more than 24 hours in advance of the work sequence to be witnessed or approved. When work to be witnessed or approved is to occur after normal day shift working hours or on a weekend, the MSC representative shall be notified at least four hours before the end of the last preceding work shift.

2. The MSC Representative may designate for observation work sequences that are to be inspected by a MSC Representative or regulatory body, in addition to those identified by the work item. The notification requirements shall also apply to those designated work sequences.

3. MSC Inspection is an independent function of the Government and does not relieve the Contractor of the responsibility for performing the tests and inspections required by the work item or those considered necessary to ensure product conformation.

4. All inspections specified within the work item are "mandatory" inspections. The Contractor shall not proceed beyond the inspection phase without prior approval from the designated MSC Representative.

Section G - Contract Administration Data

INVOICE INFORMATION

1. DESIGNATED INVOICE OFFICE

The Contractor shall submit its invoice, as described in paragraph #2 below, and Material Inspection and Completion Report to the Receiving Officer, for certification as to inspection and acceptance. After certification, such an invoice will be forwarded to the NAVSUP FLC point of contacts listed in paragraph 3(d) below.

1. INVOICE INFORMATION

Pursuant to the requirement of FAR 52.232-25 Prompt Payment (OCT 2008) cited herein, a proper invoice must include the following information:

(a) Name and address of the Contractor;

(b) Invoice date;

(c) Invoice number;

(d) Contract number or other authorization for supplies delivered or services performed (including order number, contract line item number (CLIN) and, if applicable, the contract subline item number (SLIN);

(e) Description, quantity, unit of measure, unit price, and extended price of supplies delivered or services performed;

(f) Shipping and payment terms (e.g., shipment number and date of shipment, prompt payment discount terms) and the accounting classification reference number (ACRN) as identified on the financial accounting data sheets. The bill of lading number and weight of shipment will be shown for shipments on Government bills of lading;

(g) Name and address of Contractor official to whom payment is to be sent (must be the same as that in the contract or in a proper notice of assignment);

(h) Name (where practicable), title, phone number and mailing address of person to be notified in event of a defective invoice; and,

(i) Any other information or documentation required by other requirements of the contract (such as evidence of shipment).

Please refer to the payments clause at DFARS 252.217-7007 for more information. If any inconsistencies are found between the DFARS Clause and the information provided above, DFARS 252.217-7007 will prevail.

1. PAYMENT

1. The Contractor shall prepare invoices in accordance with the instructions as set forth in Section G. 2 entitled "INVOICE INFORMATION". Invoices shall be marked with the contract and delivery order numbers and submitted to address, which will be determined at time of contract award.

1. Payment will be made by the payment office, which will be determined at time of contact award.

1. Payment will be made after performance and acceptance of services. The Government will only pay for those services or portions thereof, which have been accepted in accordance with Section E "INSPECTION AND ACCEPTANCE", herein.

The Port Engineer

1. GROWTH WORK

(a) The government anticipates that any subsequent repairs identified as a result of work items associated with this requirement will be performed by the awardee in accordance with the applicable Changes clause. All growth work will be related to a work specification item in the awarded contract.

(b) The Contractor shall furnish a price breakdown directly to the Contracting Officer, itemized as required by the Contracting Officer, of any proposal submitted for a contract modification. Any amount claimed for subcontracts shall be supported by a separate, similar price breakdown. If the proposal includes a request for a time extension, justification shall be furnished with the proposal.

1. CONTRACT DEFICIENCY REPORT

The Contracting Officer or the Contracting Officer Representative (COR) or his designated surveyor for the project may issue a Contract Deficiency Report (CDR). The Contractor shall respond in writing within 72 hours of receipt, unless otherwise approved by the Contracting Officer or the Contracting Officer Representative (COR). The COR will comment on the Contractor's response and will forward the Deficiency Report and comments to the Contracting Officer, with a copy to the Contractor and COR.

In order to expedite administration of this contract/order, the following delineation of duties is provided. 3. CONTRACTING OFFICER'S REPRESENTATIVE (COR) is responsible for:

Interface with the contractor and performance of duties such as those set forth below. It is emphasized that only the Contracting Officer has the authority to modify the terms of the contract. In no event will any understanding, agreement, modification, change order, or other matter deviating from the terms of the basic contract between the contractor and any other person be effective or binding on the Government. If in the opinion of the contractor an effort outside the scope of the contract is requested, the contractor shall promptly notify the Contracting Officer in writing. No action may be taken by the contractor unless the Contracting Officer has issued a contractual change. The COR duties are as follows:

a. Technical Interface
(1) The COR is responsible for all Government technical interface concerning the contractor and furnishing technical instructions to the contractor. These instructions may include: technical advice/recommendations/clarifications of specific details relating to technical aspects of contract requirements; milestones to be met within the general terms of the contract or specific subtasks of the contract; or, any other interface of a technical nature necessary for the contractor to perform the work specified in the contract. The COR is the point of contact through whom the contractor can relay questions and problems of a technical nature to the PCO.

(2) The COR is prohibited from issuing any instruction which would constitute a contractual change. The COR shall not instruct the contractor how to perform. If there is any doubt whether technical instructions contemplated fall within the scope of work, contact the PCO for guidance before transmitting the instructions to the contractor.

b. Contract Surveillance

(1) The COR shall monitor the contractor's performance and progress under the contract. In performing contract surveillance duties, the COR should exercise extreme care to ensure that he/she does not cross the line of personal services. The COR must be able to distinguish between surveillance (which is proper and necessary) and supervision (which is not permitted). Surveillance becomes supervision when you go beyond enforcing the terms of the contract. If the contractor is directed to perform the contract services in a specific manner, the line is being crossed. In such a situation, the COR's actions would be equivalent to using the contractor's personnel as if they were government employees and would constitute transforming the contract into one for personal services.

(2) The COR shall monitor contractor performance to see that inefficient or wasteful methods are not being used. If such practices are observed, the COR is responsible for taking reasonable and timely action to alert the contractor and the PCO to the situation.

(3) The COR will take timely action to alert the PCO to any potential performance problems. If performance schedule slippage is detected, the COR should determine the factors causing the delay and report them to the PCO, along with the contractor's proposed actions to eliminate or overcome these factors and recover the slippage. Once a recovery plan has been put in place, the COR is responsible for monitoring the recovery and keeping the PCO advised of progress.

(4) If the Contractor Performance Assessment Reporting System (CPARS) is applicable to the contract you are responsible for completing a Contractor Performance Assessment Report (CPAR) in the CPARS Automated Information System (AIS). The initial CPAR, under an eligible contract, must reflect evaluation of at least 180 days of contractor performance. The completed CPAR, including contractor comments if any, (NOTE: contractors are allowed 30 days to input their comments) should be available in the CPARS AIS for reviewing official (PCO) review no later than 270 days after start of contract performance. Subsequent CPARs covering any contract option periods should be ready at 1-year intervals thereafter.

c. Invoice Review and Approval/Inspection and Acceptance

(1) The COR is responsible for quality assurance of services performed and acceptance of the services or deliverables. The COR shall expeditiously review copies of the contractor's invoices or vouchers, certificate of performance and all other supporting documentation to determine the reasonableness of the billing. In making this determination, the COR must take into consideration all documentary information available and any information developed from personal observations.

(2) The COR must indicate either complete or partial concurrence with the contractor's invoice/voucher by executing the applicable certificate of performance furnished by the contractor. The COR must be cognizant of the invoicing procedures and prompt payment due dates detailed elsewhere in the contract.

(3) The COR will provide the PCO and the CAO with copies of acceptance documents such as Certificates of Performance.

(4) The COR shall work with the Contractor to obtain and execute a final invoice no more than 60 days after completion of contract performance. The COR shall ensure that the invoice is clearly marked as a “Final Invoice.”

d. Contract Modifications. The COR is responsible for developing the statement of work for change orders or modifications and for preparing an independent government cost estimate of the effort described in the proposed statement of work.

e. Administrative Duties

(1) The COR shall take appropriate action on technical correspondence pertaining to the contract and for maintaining files on each contract. This includes all modifications, government cost estimates, contractor invoices/vouchers, certificates of performance, DD 250 forms and contractor's status reports.

(2) The COR shall maintain files on all correspondence relating to contractor performance, whether satisfactory or unsatisfactory, and on trip reports for all government personnel visiting the contractor's place of business for the purpose of discussing the contract.
