JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity:
Naval Air Warfare Center Aircraft Division (NAWC-AD), Patuxent River, MD
2. Description of the Action Being Approved:
This Justification and Approval (J&A) authorizes and approves the issuance of a sole source Cost-Plus- Fixed-Fee (CPFF) contract to Imagine One Technology and Management, LTD (Imagine One). The period of performance will begin 15 July 2015 and end on 14 January 2016. In addition, FAR clause 52.217-8 (Option to Extend Services) will be incorporated in Section I of the contract. This option clause will allow the Government to extend the total period of performance of the contract up to a maximum of six (6) months. The added cost for the potential extension pursuant to FAR 52.217-8 will be based on the contractor's proposed cost for the six (6) month base period. The total potential cost of the contract is identified in Appendix A. This J&A supports a bridge effort to Task Order M802 under Seaport-e contract N00178-05-D-4367 that was competitively awarded as a CPFF order to Imagine One for a base year plus four (4) one-year options. The follow-on contract is expected to be awarded in December 2015
3. Description of Supplies or Service:
The scope of this effort is to provide support services for the development, production, and post-production program management support for multiple Integrated Product Teams (IPTs), supporting Seahawk variants including the SH-60B/F, the HH-60H, MH-60S, and MH-60R. The Seahawk missions include ASW, Anti- Surface Warfare (ASUW), Search-And-Rescue (SAR), Medical Evacuation (MEDEVAC), Communications Relay (COMMREL), Vertical Replenishment (VERTREP) and Naval Gunfire Support (NGFS). The MH-60R and MH-60S are two distinct ACAT1C programs and an FMS active and proposed case load of over $5B, which include procurement and major upgrades to the H-60 aircraft and increased mission areas.
Specific events and milestones supported during this period of performance include the LCS Airborne Mine Counter Measures (AMCM) Mission Package, award of the Airborne Low Frequency Sonar (ALFS) Lot 12/13 production contract, and delivery of a major Software upgrade, SC-15, which delivers Data Link(Link16) & Data Fusion Enhancements, AMCM corrections, GPS Sonobuoy, and Advanced Precision Kill Weapons System (APKWS) for MH-60 R/S Mixed Loads to meet the CNO's Fast Attack Fast Inshore Attack Craft Urgent Operational Need, as well as other critical capabilities to the MH-60R/S Fleet via retrofit and forward fit production. In addition to the current $4B active FMS case load, the LOA and technical evaluation for procurement of 10 helicopters and associated support will be signed during this period, kicking off another major procurement.

4. Statute Authority Permitting other than Full and Open Competition:
10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority
Per FAR 6.302-1 (a)(2)(iii)(B), only imagine One can perform the required continuation of effort without unacceptable delays in fulfilling the agency's requirements. A gap in services will result in PMA-299 not achieving critical events and milestones which are urgently required in order to support and maintain operational readiness for the Warfighter and the FMS cases. A break in service will potentially delay all of the critical milestones and events referenced in section 3.
Specifically, a break in the program management support would result in a failure to meet inventory objectives for the Acoustics Low Frequency Sonar. This sonar system is the primary mission of the MH- 60R.. Additionally, the system accounting data base would not be properly managed which would result in an inaccurate representation of the current configuration of the H-60 aircraft. Without the configuration management support, PMA-299 will be unable to process deviations and engineering change proposals in a timely fashion. Lack of these software updates will delay the delivery of aircraft with the SC-15 software upgrade to the Fleet.
Additionally, a break in the program management support to the Saudi Arabia FMS case, development of integral documentation would be delayed which would possibly result in the failure to meet requirements pursuant to the LOA with Saudi Arabia.
5. Description of Efforts made to Solicit Offers from as Many Offerors as Practicable:
The proposed contract action was synopsized on the FEDBIZOPS website on 24 June 2015. To date, no responses have been received with regards to the sole-source requirement or the follow-on competition.
Any subsequent responses will be reviewed the Procuring Contracting Officer. As directed by the Class Waiver of DFARS PGI 206.302-1 "Request for information/sources sought (RFI/SS) requirement for bridge actions" signed by the Assistant Commander for Contracts, AIR 2.0 on 09 June 2015, no additional market research and/or a survey was conducted as this is a six (6) month bridge effort that is necessary to continue PMA-299 support services through the period required until the competitive follow-on requirement is awarded.
6. Determination of Fair and Reasonable Cost:
In accordance with FAR 15.402, the Contracting Officer shall ensure that all services and supplies provided under this contract are procured at a fair and reasonable price. If required, the contractor will submit a formal price proposal with certified cost and pricing data and sufficient information to support the accuracy and reliability of the cost estimate. The proposal will be reviewed by experienced technical analysts and contract specialists with the aid of field pricing support. The Contracting Officer will utilize cost realism and price analysis as the basis for negotiating a fair and reasonable price.
7. Actions to Remove Barriers to Future Competition:
PMA-299 Program Office and Air-2.5 Contracts are currently working on the follow-on consolidated contract, which is anticipated to be awarded by 18 December 2015 with a Task Order start date of 19 January 2016. In an effort to remove barriers to future competition, the Program Office will begin the acquisition planning process and contracting activities for follow-on full and open competitions within Option Year 111.
