The following have been added by full text:
COX TERMS AND CONDITIONS
Per FAR 52.212-4, "[t]he contracting officer may tailor this clause in accordance with 12.302." The following are commercially reasonable service-related terms to be incorporated in the contract:
ALL COX SERVICES. The Government must provide at least thirty (30) days’ written notice to Cox prior to termination for convenience. The Government shall provide Cox at least ten (10) days written notice and an opportunity to cure prior to any termination for default. For any service-related issues, the credits provided in the “Outage Credits” section of the Basic Agreement will be the sole and exclusive remedy. Outage Credits will be paid in the next billing cycle following the Government’s request for issuance of an authorized outage credit. Neither party will be liable for any indirect, incidental, special or consequential damages, arising from this agreement or provision of the services. Except as provided in the contract, there are no other agreements, warranties or representations, express or implied. Any audit rights are limited to reviewing documents related to billing and invoicing errors for contracted services and shall be at reasonable times and locations as mutually agreed by the parties. The patent indemnity section in FAR 52.212-4 shall not apply to any infringement action arising out of use of the services in combination with other products or services not furnished or approved by Cox, or unintended use, or to any patent, copyright or trademark in which the Government or affiliate thereof, has a direct or indirect interest, or if the Government has not provided Cox with prompt notice, thereby prejudicing Cox’s right or ability to defend against same, and reasonable assistance necessary to defend the action. The foregoing states the entire liability of Cox for patent, copyright and trademark infringements by the products and services.
INTERNET AND TRANSPORT SERVICES: Bandwidth speeds may vary and will be provided consistent with industry standards. The Government is responsible for providing VPN software, firewalls, and all other equipment beyond the demarcation point to use the Services. Service is subject to compliance with the Acceptable Use Policies which may be found at www.coxbusiness.com/acceptableusepolicy.pdf and the ‘Cox Internet Service Disclosures’ located at www.cox.com/internetdisclosures.
VOICE SERVICES: Voice Services are also subject to the ‘Terms and Conditions Applicable to Voice and Tariffed Services’ in Section C of the Cox Business General Terms located at coxbusiness.com/general terms.
VIDEO SERVICES: Video services will be provided to mutually agreed upon locations within Customer’s premises. Cox will deliver its standard channel lineup, video programming channels and video signals for the applicable service area (except as otherwise required by applicable law), and such lineups and signals are subject to change from time-to-time by Cox in its sole discretion. The Government shall be responsible for obtaining any public performing licenses at Customer’s expense.
