CLAUSES INCORPORATED BY FULL TEXT
52.204-18 COMMERCIAL AND GOVERNMENT ENTITY CODE MAINTENANCE (JUL 2016)
(a) Definition. As used in this clause--
Commercial and Government Entity (CAGE) code means--
(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity; or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
(b) Contractors shall ensure that the CAGE code is maintained throughout the life of the contract. For contractors registered in the System for Award Management (SAM), the DLA Commercial and Government Entity (CAGE) Branch shall only modify data received from SAM in the CAGE master file if the contractor initiates those changes via update of its SAM registration. Contractors undergoing a novation or change-of-name agreement shall notify the contracting officer in accordance with subpart 42.12. The contractor shall communicate any change to the CAGE code to the contracting officer within 30 days after the change, so that a modification can be issued to update the CAGE code on the contract.
(c) Contractors located in the United States or its outlying areas that are not registered in SAM shall submit written change requests to the DLA Commercial and Government Entity (CAGE) Branch. Requests for changes shall be provided at https://cage.dla.mil. Change requests to the CAGE master file are accepted from the entity identified by the code.
(d) Contractors located outside the United States and its outlying areas that are not registered in SAM shall contact the appropriate National Codification Bureau (points of contact available at http://www.nato.int/structur/AC/135/main/links/contacts.htm) or NSPA at https://eportal.nspa.nato.int/AC135Public/scage/CageList.aspx to request CAGE changes.
(e) Additional guidance for maintaining CAGE codes is available at https://cage.dla.mil.

52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A
FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or
(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.
(b) The Offeror represents that--
(1) It is [ ] is not [ ] a corporation that has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability; and
(2) It is [ ] is not [ ] a corporation that was convicted of a felony criminal violation under a Federal law within the preceding 24 months.
(End of provision)
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
The Government intends to award a Firm Fixed Price Task Order contract to the responsible quoter whose quote represents the best value after the evaluation in accordance with the factors in the solicitation.
Award will be made to that quoter whose quote is the most advantageous to the Government under the selection criteria set forth in this Section M. The Government intends to evaluate quotes and award the task order upon initial quotes. Therefore, the quoter’s initial quote should contain the quoter’s best terms from a non-price and price standpoint.
The Government will award a contract resulting from this solicitation to the responsible vendor whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The Government intends to select a "best value" submission utilizing a tradeoff considering non-price factors to be significantly more important than price.
Quotes will be ranked according to price, inclusive of all option pricing. An quoter’s proposed prices will be determined by adding all extended amounts for the CLINs/SLINs in Section B. If the lowest priced quote is evaluated to have an overall Past Performance Confidence Assessment rating of ‘Substantial Confidence’, that quote represents the best value for the Government and the evaluation process stops at this point. Award shall be made to that quoter without further consideration of any other quotes. However, if the lowest priced quoter is not evaluated to have a ‘Substantial Confidence’ Past Performance Confidence Assessment rating, the next-lowest priced quoter will be evaluated. The evaluation process will continue (in order of price from lowest to highest) until an quoter is evaluated to have a ‘Substantial Confidence’ Past Performance Confidence Assessment rating. At that time, the Contracting Officer shall make an integrated assessment best value award decision between the quote rated with ‘Substantial Confidence’ and all lower priced quoters. If no quoter is rated "Substantial Confidence" the Contracting Officer shall make an integrated assessment best value award decision among all quoters rated "Unknown Confidence" or "Satisfactory Confidence."
1. Non-Price Quote Evaluation Criteria
Factor I - Past Performance:
Past Performance will be evaluated based on recency, relevancy, and confidence.
For Past Performance, the rating tables identified in the table below, entitled “Past Performance Relevancy Ratings Table” and “Past Performance Confidence Assessment Ratings Table” will be utilized for the assignment of ratings for relevancy and confidence assessment.
Past Performance will be assessed as follows: Evaluation will focus only on work experience already performed. Work yet-to-be performed, and work prior to the last 5 years, will not be considered.
Past Performance Relevancy Ratings – Regarding relevancy, each past performance reference under each quoter’s Past Performance submission will be evaluated to determine its scope and magnitude relative to the instant requirement. The following definitions will apply to this evaluation:
· Scope: Experience providing instruction to Navy military and civilian leaders in the curriculum topics in the Performance Work Statement
· Magnitude: The measure of the similarity of the dollar value of actually performed work that exists between the quoter’s Past Performance submissions and the Independent Government Estimate (IGE) for the scope of work detailed in the PWS. Magnitude will be evaluated on the dollar amount of work actually performed under the contract. For the purposes of this acquisition, magnitude will be measured on a unit price, or class price, basis.
Quoters lacking relevant past performance history will not be evaluated favorably or unfavorably on past performance. However, the quote of an quoter with no relevant past performance history, while not rated favorably or unfavorably for past performance, may not represent the most advantageous quote to the Government. In this instance, the quoter will receive a rating of “Unknown Confidence (Neutral)” in the past performance sub-factor.
Past Performance Confidence Assessment Ratings – The overall assigned rating for Past Performance will be the Past Performance Confidence Assessment rating. The assignment of this rating will be based on the quality of the relevant past performance and will also consider the currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance. The quality of performance under a past performance reference that has no relevance to the instant requirement will not be considered in the overall assessment of Past Performance Confidence.
In order to verify past performance information and determine the quality of the past performance submission, the Government may contact some or all of the references provided, as appropriate, and may collect information through questionnaires (i.e. the Past Performance Report Form), telephone interviews and existing data sources to include but not limited to Contractor Performance Assessment Reporting (CPARS). The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. This past performance information will be used for the evaluation of past performance.
This evaluation and rating is separate and distinct from the Contracting Officer’s responsibility determination. The assessment of the quoter’s past performance will be used as a means of evaluating the relative capability of the quoter and other competitors to successfully meet the requirements of the RFP. In determining the rating for the past performance evaluation factor, the Government will give greater consideration to the contracts which the Government feels are most relevant to the RFP.
Factor II - Price:
For the purpose of preparing a price quote, the quoter shall assume that the basic period of performance shall be for a twelve (12) month base year and four (4) twelve (12) month option years as follows:
Period
Dates
Base Year
30 September 2018 through 29 September 2019
Option Year I
30 September 2019 through 29 September 2020
Option Year II
30 September 2020 through 29 September 2021
Option Year III
30 September 2021 through 29 September 2022
Option Year IV
30 September 2022 through 29 September 2023
Total price will be evaluated taking into account the total FFP for the base year and option periods. Price Analysis will be used to evaluate price reasonableness.
The Government may evaluate any and all information submitted by the vendor to support the reasonableness of prices proposed. The method of evaluation used by the Contracting Officer is solely within the discretion of the Contracting Officer.
The option, to include FAR 52.217-8, will be evaluated pursuant to solicitation provision FAR 52.217-5, Evaluation of Options. The Government will evaluate quotes for award purposes by adding the total price for the option to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced. Evaluation of the option shall not obligate the Government to exercise the option.
Although price is the not the most important evaluation factor, it has the potential to become more significant during the evaluation process. The degree of importance of price will increase with the degree of equality of the quotes in relation to the other factors on which selection is to be based. The importance of price will also increase when an quote’s price is so significantly high as to diminish the value to the Government that might be gained under the other aspects of the quote. If, at any stage of the evaluation, all quoters are determined to have submitted equal, or virtually equal, non-price quotes, price could become the factor in determining which quoters shall receive the award.
