PLEASE READ THIS NOTICE CAREFULLY AS IT CONSTITUTES THE ONLY NOTICE
THAT WILL BE PUBLISHED.
The Department of the Navy (DoN) intends to negotiate a one-time sole source contract with Philips Medical Systems North America, Inc., 22100 Bothell Everett Hwy., Bothell, WA 98021- 8431is the sole source provider for the Maintenance & Repair Services for the Patient Monitoring Equipment at Naval Medical Center Portsmouth that meets DON's requirements. The Government intends to negotiate with only one source under the authority of FAR 13.106 (b)(1)(i).
This notice will be distributed solely through the General Services Administration's Federal Business Opportunities (FBO) Website (www.fbo.gov). Interested parties are responsible for monitoring the FBO site to ensure they have the most up-to-date information about this acquisition. The North American Classification System Code is 811219, the size standard is 20.5 M.
Based on market research conducted and contacts made with knowledgeable individuals within the government it has been determined DON's requirement can only be provided by Philips Medical Systems North America, Inc. as they are the sole authority authorized to provide these services.
This notice of intent is not a request for competitive quotations; however, interested parties may identify their interests and capability to respond to this requirement to this office by 3:30 pm, EST, 20, Nov. 2019 by email to the attention of Paula Poe, Contract Specialist, at paula.m.poe.civ@mail.mil. Information received will be considered solely for the purpose of determining whether or not to conduct a competitive procurement. Telephone requests will not be considered. A determination by the Government not to compete this proposed contract based upon response to this notice is solely within the discretion of the Government.

Section C - Descriptions and Specifications
PWS
PERFORMANCE WORK STATEMENT (PWS)
Vendor shall provide full maintenance support for the items listed in Section 2.b and the attached Equipment list and all support items and components. Vendor will provide “first look’ maintenance service for items in Section 2.a.
Vendor must not compromise the manufacturer’s warranty. Full Maintenance services shall include on-site corrective repairs, normal working hour coverage (8:00 A.M. to 5:00 P.M. (EST) Monday through Friday excluding Federal holidays) and 24-hour emergency service and routine preventive maintenance services to Department of Defense owned equipment, as listed on the attached Equipment Listing. Full Service shall include all systems, subsystem components, and assemblies, (i.e.: Contractor is responsible for total maintenance of entire system). All maintenance requirements shall apply to hardware, firmware, and software, as appropriate, unless otherwise stated.
The aggregate number of equipment covered under the contract shall fluctuate throughout the term of the contract.
1. GENERAL
a. The Contractor shall comply with Federal, State, and Local Laws, plus any Federal Regulations as applicable to the performance of this contract.
b. The Contractor shall not accept any instructions issued by any person employed by the U. S. Government, other than: the Contracting Officer (KO), COR, or Biomedical Engineering Division (BME), all acting within the limits of their authority. Changes to the contract can be made only by a bilateral modification signed by the Contracting Officer and the Contractor.
c. The Contractor shall be authorized by the Original Equipment Manufacturer (OEM) in the repair of all equipment listed herein. Qualifications must be current (within 2-years) and Contractor Employees or subcontractors shall maintain current qualifications throughout entire contract period. Qualifications include the certification of all repair persons and repair facilities by the OEM as being trained and or qualified to perform required repairs. The Government shall maintain the right to seek proof of qualification prior to award and anytime during contract period of performance.
2. FIRST LOOK MAINTENANCE:
The vendor shall provide technical and material support for all items and systems listed in ZONEs 0001-0027, 0030 & 0037 in the Equipment List. Vendor support shall include the following:
a. Telephone technical support during the hours 8:00 A.M. – 5:00 P.M. (EST) Monday – Friday except federal holidays
b. Replacement parts for the repair and replacement of any item damaged as a result of normal wear & tear.
Vendor shall provide replacement part or a repair by exchange of entire component. Vendor will not be required to perform preventive maintenance on these systems or provide common consumable items such as common screws, bolts, washers, lubricants etc.
c. Training to Government personnel; training shall include training in the maintenance, repair and operation of all listed equipment at NMC Portsmouth (4) no cost lease of specialty test or repair equipment required for the maintenance or repair of listed equipment. Vendor shall supply all parts for repair of units.
3. FULL SERVICE MAINTENANCE:
a. The vendor shall provide full preventative and correct maintenance service and calibration of all equipment listed including connection cables for ZONEs 0028, 0029 and 0031 –0036, 0038, 0039.
b. The vendor shall provide for unlimited service calls.
c. This contract shall provide for maintenance services which include:
On-site corrective repairs, normal working hour coverage (8:00 A.M. to 5:00 P.M. (EST) Monday through Friday excluding Federal holidays) and 24-hour emergency (after hours) telephone service to Department of Defense owned equipment, as listed on the attached Equipment Listing.
It shall include all systems, subsystem components, and assemblies, (i.e. contractor is responsible for total maintenance of entire system).
All maintenance requirements shall apply to hardware, firmware, and software, as appropriate, unless otherwise stated. Vendor shall respond to all Service Calls and perform Preventive Maintenance.
4. AUTHORIZED CALLERS
a. Only persons authorized (Biomed Engineering Duty Tech) by the Biomedical Engineering Division (BMED), located in the Materiel Management Department, Naval Medical Center Portsmouth (757-953-5764) or the Contracting Officer or Contracting Officer’s Representative (COR) are allowed to place trouble or maintenance calls against this contract. Calls placed by unauthorized personnel may result in non-payment of services. It is the contractor’s responsibility to verify identification of all persons making service request.
5. SCOPE OF WORK
a. The Contractor shall provide trained, experienced, English speaking personnel, labor, tools, diagnostic equipment, software, test phantoms, material, supplies, transportation, parts and equipment necessary to perform Calibration (CAL), Safety testing (ST), preventive and corrective maintenance as specified in section 2
a. & b.
b. Any contract employee required to access military installations is required to have the ability to obtain a “visitor pass” or contractor pass. The issuance of passes may require a Background Check.
It is the contractor’s responsibility to ensure its employees performing under this contract undergo proper criminal history background checks by providing the Government support, cooperation, and active assistance throughout the process.
Within 30 days after contract award, the contractor and all contractor employees performing under this contract shall provide all reasonable and necessary assistance to the Government to facilitate and complete the background investigation.
To initiate the process for a background investigation, the Contractor shall ensure each worker reports to the COR/Alternate COR for specific MTF processing instructions, completes the appropriate portion of the SF 85 P, and obtains fingerprints for submittal to the Office of Personnel Management (OPM).
Contractor employees performing under this contract who have previously received a background check shall provide proof of the check or obtain a new one.
Contractor employees shall have the right to obtain a copy of any background check pertaining to them and to challenge the accuracy and completeness of the information contained in the report. With written recommendation from the Commander, Naval Medical Center, Portsmouth and the approval of the Contracting Officer, a contractor employee with a background investigation pending completion may be permitted to perform work under this contract prior to the completion of the background check, provided the employee is within sight and continuous supervision of an individual with a successful background check.
c. The Contractor shall provide telephonic communications with the Government to discuss technical matters relating to the performance of this contract. A Government systems operator will be made available to answer technical questions regarding system operations and applications.
d. Equipment listed in this contract will be maintained to meet the original equipment manufacturers (OEM’s) specifications.
e. Equipment and associated components shall be serviced as listed on the attached Equipment list.
f. The Contractor’s Point of Contact (POC).
The Contractor shall provide, in writing, the name and telephone number of a primary English-speaking individual to act as their representative for the scheduling and coordination of service calls, and to be responsible for the coordination of the contract with the Government.
All service requests should be routed to Philips Customer Care Solutions Center which is available 14 hours a day 7 days a week via toll free 800-934-7372. They will dispatch the primary Filed Service Engineer when required.
6. ACCESS TO INSTALLATIONS
a. Commander, Navy Installations Command (CNIC), has established the Navy Commercial Access Control System (NCACS), a standardized process for granting unescorted access privileges to vendors, contractors, suppliers and service providers not otherwise entitled to the issuance of a Common Access Card (CAC) who seek access to and can provide justification to enter Navy installations and facilities. Vendors visiting Naval
Medical Center Portsmouth (NMCP) may obtain daily passes directly from Naval Station Norfolk (NSN) Pass and ID office, located at NSN (Bldg CD-9), 9040 Hampton Blvd, Norfolk, Virginia, 23505, by submitting identification credentials for verification and undergoing a criminal screening/ background check.
Alternatively, if the vendor so chooses, it may voluntarily elect to obtain long-term credentials through enrollment, registration, background vetting, screening, issuance of credentials, and electronic validation of credentials at its own cost through one of the designated independent contractor NCACS service providers.
Credentials will be issued every five years and access privileges will be reviewed / renewed on an annual basis.
The costs incurred to obtain Navy installation access of any kind are not reimbursable, and the price(s) paid for obtaining long-term NCACS credentials will not be approved as a direct cost of this contract. Further information regarding NCACS can be found at http://cnic.navy.mil/CNIC_HQ_Site/index.htm.
7. GOVERNMENT FURNISHED PROPERTY, MATERIALS AND SERVICES.
a. All non-apparent or hidden discrepancies must be identified no later than 15 days after award of contract.
The government certifies that the equipment to be maintained under this contract will be in good operating condition on the effective date of this contract. For the purpose of this contract, the clause, “good operating condition” means the conditions necessary for the equipment to function as intended without corrective maintenance. The Contractor agrees to leave the equipment in good operating condition at the expiration of this contract. During the final week of this contract, the Government will make final inspection of the equipment.
Payment will not be made until after final acceptance. Any correction of deficiencies noted during this inspection shall be resolved prior to contract end.
b. The government will be responsible for maintaining the proper environment, including utilities and site requirements necessary for the systems to function properly as specified by the OEM.
c. The Government will operate the systems in accordance with the instruction manual provided by the OEM.
d. The Government will not be responsible for the damage or loss due to fire, theft, accident, or other disaster of Contractor supplies, materials, or for the personal belongings brought onto Government property by Contractor’s personnel.
8. CONTRACTOR FURNISHED PROPERTY AND MATERIAL.
a. The Contractor shall provide all service literature, reference publications, laptop computers and diagnostic software and repair parts and tools to be used by the contractor service technicians and as required for the completion of the services in accordance with this contract.
9. REPLACEMENT PARTS.
a. The Contractor shall have ready access to unique and/or high mortality replacement parts. All parts supplied shall be compatible with the existing system. In the event that replacements parts are required to be shipped; shipping shall be performed in the fastest reasonable means possible (i.e., next day air) at no additional cost to the Government.
b. The Contractor shall, at their expense, replace all worn or defective parts necessary to restore the equipment to 100% operational condition as specified by the OEM.
c. Contractor installed replacement parts shall become the property of the Government and the replaced malfunctioning part shall become the property of the Contractor. Replaced items shall be properly disposed of at no additional cost to the Government. Contractor shall pay all “environmental fees” where required.
d. Freight, postage, and storage charges associated with shipment and receipt of replacement parts, and the return of parts shall be the responsibility of the Contractor.
e. All replacement parts shall be new and certified as OEM replacement parts. In the event that new parts are not available, rebuilt parts and sub-assemblies are allowed provided that they are warranted to be free of defects for a period of time that meets or exceeds warranties of similar replacement parts. The contractor shall specifically annotate on the final Field Service report the use and identification of rebuilt parts and the period of warranty. When discrepancies occur, the Government will make the final determination on whether a replacement part is of equal or better quality.
f. The Contractor must include software revisions and upgrades (field service changes), which are required due to FDA, or manufacturer announced safety-hazard recall, to include FDA Year 2000 Compliance Directive, as part of the contract at no additional cost to the Government. Installation of upgrades will be left to the discretion of the Government. Upgrades shall be performed as soon as possible after release, but no later than the first scheduled Preventative Maintenance Inspection after release. For any updates that have been identified as critical, or required for the proper operation of equipment by the OEM, contractor shall provide installation within 30 days of release regardless of Preventative Maintenance Schedules.
10. CONTRACTOR REPORT REQUIREMENTS.
a. During normal duty hours, Contracted Field Service Engineer (FSE) personnel shall check-in with the Biomedical Engineering Division upon arrival at the Government site and again prior to departure. (Biomedical Engineering located in Build-250 1st floor; 757-953-5336). The Contractor FSEs shall personally notify Biomedical Engineering (BME) of problems that result in the equipment being left disabled upon their departure. After normal duty hours, Contractor FSE’s shall notify the Officer of the Day Desk (Bldg 2, 2nd Floor) and the systems operator designated by BME.
b. The Contractor shall provide to BME a full service report within two (2) business days after completion of all service performed. Contractor is to ensure that all service reports are signed by a BME Technician upon completion of work. Signature by a BME Technician shall be considered as notice of completion of work and not acceptance of work. The service report shall include, but not be limited to: contract number, equipment description (model, serial number, equipment control number) contractor’s log number, detailed description of the service(s) performed, replacement part(s) information (part number, part value, nomenclature, unit price, manufacturer, if not OEM, and whether the part is new/used/reconditioned), the completion date and time, man-hours expended and the hourly rate normally charged for the type of service performed, model and serial numbers, and the name of the FSE performing the service. In the event that agents or sub-contractors are used in the performance of repairs, said agent shall be identified on the service report by company name and contact information (i.e., telephone number).
11. CONTRACTOR RESPONSIBILITY.
a. The Contractor shall be responsible for the repair/replacement of damaged Government owned equipment and property due to the negligence of the Contractor or his representatives. All such replacement or repair shall be at the Contractor’s expense and shall be inspected to the satisfaction of the KO or appointed representative.
12. PREVENTIVE MAINTENANCE SERVICES.
a. For ZONE’s 0028, 0029, 0031-0036, 0038, 0039 (FULL SERVICE MAINTENANCE) preventive maintenance will be provided by the vendor. The vendor shall provide all required replacement parts. All maintenance shall be performed in accordance with OEM Standards.
b. For ZONESs 0001-0027, 0030 & 0037 (FIRST LOOK MAINTENANCE) preventive maintenance will be performed by the government. Vendor shall be required to provide technical phone support from 8:00 A.M. – 5:00 P.M. (ET). Support shall include: toll free telephone support and access to web based services. Vendor shall supply all required replacement parts. The Government will attempt to repair all discrepancies discovered during preventative maintenance inspections for ZONEs 001-0027, 0030 and 0037. In the event that corrective repairs cannot be made by a BME, vendor shall be issued a service call to provide corrective repairs. Repairs will be limited to complex problems which require OEM personnel to correct. Preventative maintenance inspections will be performed by the Government to reflect OEM and Government requirements. The Contractor, while not required to perform standard preventative maintenance inspections, will be required to provide preventative maintenance inspection and repair to any equipment reported for service repair (service call items).
c. All test equipment used in the performance of this contract must be calibrated if required, as required by manufacture of test equipment and shall be in compliance with the Original Equipment Manufacturer (OEM) recommendations.
13. CORRECTIVE MAINTENANCE
a. ZONE’s 0001-0027, 0030 & 0037 (FIRST LOOK MAINTENANCE): Normal Working Hour Maintenance Coverage Maintenance Coverage will be Monday through Friday, between 8:00 A.M. to 5:00 P.M (EST) except Federal Holidays. A contractor Service Tech shall respond via telephone within 2 hours after receipt of trouble call, and provide on-site service no later than the next business day. Vendor shall have all equipment operational within 48 hours. All “repair by exchange” shall be approved in advance. Repaired equipment shall be returned to the government.
b. ZONE’s 0028, 0029, 0031 –0036, 0038 and 0039(FULL SERVICE MAINTENANCE): 24-Hour Service – For FULL SERVICE items, Contractor shall respond to trouble calls 24 hours a day 7-days a week. Contractor shall provide a published telephone number that is active 24 hours a day 7-days a week. The contractor shall respond via telephone within 2 hours of receipt of call and respond on-site within 24 hours.
c. Government requests for corrective maintenance will be placed by the BME to the Contractor’s POC.
Corrective Maintenance shall be completed during the hours specified in the contract.
d. The Contractor shall assign a unique Log/Reference Number to each Government request for corrective Maintenance.
e. Contractor’s response to requests for service may include telephone consultation with the equipment user/operator and a Contractor FSE. Telephone consultation shall: 1) provide instruction in determining operator error; 2) determine the most likely cause of the problem; 3) determine if resolution of the problem requires the dispatch of a FSE; and 4) identify replacement parts likely to be required in order to return the equipment to 100% operational condition as specified by the OEM.
f. The Contractor shall have his/her own service manuals, specifications, schematic diagrams, and parts lists to assist in the evaluation/repair of all equipment included in this contract.
14. REMOVAL OF GOVERNMENT PROPERTY
a. Whenever the repair of equipment cannot be performed at the Government site as determined by the Contractor, the Contractor shall notify BME who will make arrangements for the Contractor to remove the item to the Contractor’s designated site. The Contractor may be required to sign a Government form accepting responsibility for the Government equipment. The Contractor shall provide a detailed description of removed items. For associated items / accessories, contractor shall provide a detailed description and quantities of items to be removed. The description shall include, as a minimum, manufacturer’s serial numbers and equipment control number (ECN) of all equipment / items removed. In the event that items / sub-assemblies / accessories are repaired via “Repair by Replacement” a detailed description of replaced items is to be included upon return of repaired components.
b. All charges resulting from a Contractor determined requirement to transport Government owned property, covered by this contract, to and from an alternate repair location shall be the responsibility of the Contractor.
15. EQUIPMENT MODIFICATION UPGRADES
a. The Contractor shall only incorporate OEM specified modifications, alterations and upgrades. Approval shall be obtained from the BME prior to the Contractor installation of any modification, alteration, or upgrades.
b. The Contractor shall maintain contact with the OEM to determine the requirement for field modifications and to ensure accomplishment of these modifications in accordance with the time schedule set forth by the
OEM.
c. The Government shall not alter the system without prior notification to the Contractor. The Government however reserves the right to perform inspection of contractor’s work which may include the partial disassembly of equipment. A trained BME technician will conduct all inspections.
d. The contractor, at no additional cost, shall provide software updates to the Government. Installation of updates will be left to the discretion of the Government. All supplied software is to be warranted current and free of defects such as viruses.
16. SERVICES BEYOND THE SCOPE OF THE CONTRACT
a. The Contractor shall immediately, but not later than 24 consecutive hours after discovery, notify the BME, in writing, of the existence or the development of any defects in, or repair required to the scheduled equipment, which the Contractor considers that they are not responsible for under the terms of this contract.
b. At the same time of the notification, the Contractor shall furnish BME with written estimate of the cost to make the necessary repairs. Repairs considered by the Contracting Officer to be outside the scope of this contract shall not be covered under this contract.
17. SERVICE VENDOR QUALIFICATION.
a. All work shall be performed by service personnel with original equipment Manufacturer service training on the products for which they will perform service. Service personnel shall have sufficient experience to demonstrate proficiency in maintenance of the products. Experience of less than 3 years working on a class of equipment or 1 year on the specific make and model may not be sufficient to indicate experience. Substantially more time may be required based upon the technology involved. Occasional experience with a limited set of equipment does not meet the requirements of this contract. Proof of current certifications may be required. The
Government shall maintain the right to seek proof of qualification prior to award and anytime during contract period of performance.
