PERFORMANCE WORK STATEMENT (PWS)

DirecTV Maintenance Support Services for Naval Medical Center Portsmouth @ Norfolk Naval Shipyard Dental Department, Norfolk Naval Shipyard Scott Center Pharmacy, Tricare Prime Clinic Chesapeake & Tricare Prime Clinic Suffolk

PART 1

SCOPE OF WORK

Vendor to provide DirecTV Maintenance Support Services at Norfolk Naval Shipyard, Dental Department and Norfolk Naval Shipyard, Scott Center Pharmacy, Tricare Prime Clinic Chesapeake & Tricare Prime Clinic Suffolk.

The Government reserves the right to review qualifications prior to award and at any time during the period of performance. Vendor will be required to provide services only to components that are associated with the DirecTV System (satellite dish to beginning of distribution system). Required services will include any repairs and / or adjustments required to make the system fully functional. Vendor will be required to respond 24 hours a day 7 days a week. Response time will be as follows: via telephone call back with 2 hours; On-site by 12 noon the next business day.

General: This is a non-personnel services contract to provide DirecTV maintenance. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform as defined in this Performance Work Statement except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.

1.2 Objectives: To provide DirecTV Maintenance Support Services to be provided to Naval Medical Center select clinics.

Scope: Provide DirecTV Maintenance Support Services at Norfolk Naval Shipyard, Dental Department and Norfolk Naval Shipyard, Scott Center Pharmacy, Tricare Prime Clinic Chesapeake & Tricare Prime Clinic Suffolk. Vendor to provide Maintenance and Support Service to the DirecTV System located at NNSY-Dental Clinic and NNSY- Scott Center Pharmacy, TPC Suffolk and TPC Chesapeake.

Selected vendor must be certified as a DirecTV Commercial Agent. The Government reserves the right to review qualifications prior to award and at any time during the period of performance.

Vendor will be required to provide services only to components that are associated with the DirecTV System (satellite dish to beginning of distribution system). Required services will include any repairs and / or adjustments required to make the system fully functional. Vendor will be required to respond 24 hours a day 7 days a week.

Response time will be as follows: via telephone call back with 2 hours; On-site by 12 noon the next business day.

Vendor to note that travel time shall be included in the bid price for service calls (no additional charges for travel will be allowed. For after-hours / Emergency Service vendor has the right to charge for after hour’s consultation / phone call service. Vendor shall bill on a per “Service Call” basis. On site Emergency service shall be performed as soon as possible after receipt of call. In the event that actual on-site service is not conducted till the next business day, the vendor shall charge for a routine call. The vendor is not required to respond during extreme weather conditions (ie: Hurricane, Tornado), but is expected to respond as soon as the extreme weather has passed.

As a minimum, vendor to warrant all labor repairs for a period of 30 days. All parts are to be warranted for a period of 1 year. All work to be accomplished in a professional manner that consistent with OEM and normally accepted practice.

1.3 Period of Performance: The period of performance shall be for one (1) Base Year of 12 months and two (2)

12-month option years. The Period of Performance reads as follows:

Base Year 01 Oct. 2018 to 30 Sept. 2019

Option Year I 01 Oct. 2019 to 30 Sept. 2020 Option Year II 01 Oct. 2020 to 30 Sept. 2021

GENERAL INFORMATION

1.4 Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract. After acceptance of the quality control plan the contractor shall receive the contracting officer’s acceptance in writing of any proposed change to his QC system.

1.5 Quality Assurance: The government shall evaluate the contractor’s performance under this contract. The

Government shall ensure that the contractor has performed in accordance with the performance standards.

1.6 Recognized Holidays: Services will be provided 24/7 including holidays.

1.7 Hours of Operation: The contractor is responsible for conducting business, between the hours of 0700 - 1700

Monday thru Friday except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. For other than firm fixed price contracts, the contractor will not be reimbursed when the government facility is closed for the above reasons. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.

1.8 Place of Performance: The work to be performed under this contract will be performed at Norfolk Naval

Shipyard, Dental and Scott Center Pharmacy, TPC Suffolk and TPC Chesapeake.

1.9 Type of Contract: The government will award a Firm Fixed Price Contract.

1.10 PHYSICAL Security: The contractor shall be responsible for safeguarding all government equipment, information and property provided for contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured

1.11 Special Qualifications: The contractor is responsible for ensuring all employees possess and maintain current

Information Assurance Technician (IAT) Level I professional certification during the execution of this contract.

1.12 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5.

1.13 Key Personnel: The follow personnel are considered key personnel by the government:

1.13.04 The contractor shall provide a contract manager who shall be responsible for the performance of the work.

The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer. The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract. The contract manager or alternate shall be available between 7:00 a.m. to 3:30p.m., Monday thru Friday except Federal holidays or when the government facility is closed for administrative reasons.

PART 2

DEFINITIONS & ACRONYMS

02.. Definitions and Acronyms:

02.1 DEFINITIONS:

02.1.01 CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

02.1.02 CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.

02.1.03 DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.

02.1.04 DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.

02.1.05 KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

02.1.06 PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.

02.1.07 SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

02.1.08 WORK DAY. The number of hours per day the Contractor provides services in accordance with the contract.

02.1.09 WORK WEEK. Monday through Friday, unless specified otherwise.

02.1.10 ROUTINE SERVICE CALL. Regular Service Call that are ordered between the hours 7:00 am - 5:00 pm

02.1.11 EMERGENCY SERVICE CALL (ON-SITE). Services call that are emergent and are ordered outside the hours 7:00 am - 5:00 pm (Mon-Fri except Federal Holidays)

PART 3

GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES

3 GOVERNMENT FURNISHED ITEMS AND SERVICES:

3.1 Services: The Government will designate a project manager for this task. The Project Manager will have full authority to act on behalf of the Communications Office, with respect to:

Management of and schedule for the project.

Accepting project deliverables.

Arranging interviews, facility and base access and escorts, if required.

Working with the Communications to insure there is an efficient exchange of information and that important and timely decisions are made.

Provide signature of approval and acceptance.

Other activities as specified in this PSOW.

The Project Manager cannot authorize any additional obligations of funds.

3.2 Facilities: The Communications Office is responsible for providing the contractor with facilities and system access. Communications will be responsible for handling any and all security-related issues pertained to this project, including providing escorted or unescorted access to the base/building where the team will be working.

The contractor is responsible for removing all contractor generated trash and debris from the installation.

Trash and debris is defined as boxes, packing, etc., from all new equipment purchased and installed under this

PSOW.

3.3 Utilities: The Contractor shall instruct employees in utilities conservation practices. The contractor shall be responsible for operating under conditions that preclude the waste of utilities, which include turning off the water faucets or valves after using the required amount to accomplish cleaning vehicles and equipment.

3.4 Materials. All on-site work for this project will be performed in the above mentioned areas. The Government

Project Manager is responsible for coordinating all network-related procurement and scheduling of the building for this project. The contractor will ensure timely delivery of all equipment ordered through this contract.

PART 4

CONTRACTOR FURNISHED ITEMS AND SERVICES

4 CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:

4.1 General: The Contractor shall furnish all supplies, equipment, facilities and services required to perform work under this contract that are not listed under Section 3 of this PWS.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

Award will be made using an “All or None” evaluation and/or based on the “Best Value” proposed for this requirement in terms of technical capabilities/approach, past performance, and price. Technical acceptability will be determined through an evaluation of the offeror’s technical proposal. In addition, offerors must possess a record of acceptable past performance. Vendors must provide all of the below to be considered a “responsive vendor. The solicitation and contract award is in accordance with FAR 52.211-6 Brand Name or Equal.

Except for communications conducted for the purpose of minor clarification, the Government intends to evaluate proposals and award a contract without discussions. Therefore, each initial offer should contain the offeror's best terms from a technical and price standpoint. However, the Government reserves the right to conduct discussions if it is later determined by the Contracting Officer to be necessary.

Evaluation Factors. The following factors will be evaluated:

Factor 1. Technical Criteria. All salient characteristics reflected in the solicitation must be met and stated in the offeror’s proposal. Failure to submit a technical proposal or clearly address the salient characteristics will result in an “Unacceptable” rating. To receive consideration for award, a rating of “Acceptable” must be achieved for all salient characteristics.

1. Technical Criteria shall be assessed based on the evaluation Factors:

a. The contractors quotation meets or exceeds the minimum requirements stated in the PWS.

b. The quote is for DirecTV Maintenance Support Services at Norfolk Naval Shipyard, Dental

Department and Norfolk Naval Shipyard, Scott Center Pharmacy, Tricare Prime Clinic Chesapeake & Tricare Prime Clinic Suffolk

c. Vendor must be certified as a DirecTV Commercial Agent as stated in the PWS

The following adjectival ratings will be used in evaluating each offeror’s technical proposal.

Technical Acceptable/Unacceptable Ratings Rating Description Acceptable Proposal clearly meets the technical criteria as defined in the solicitation.

Unacceptable Proposal does not clearly the technical criteria as defined in the solicitation.

FACTOR 2. Past Performance. The offeror’s performance will be rated in terms of acceptability. A performance rating of acceptable or unacceptable will be assigned dependent upon the evaluator’s assessment of the level of confidence in the offeror’s performance record. Past Performance will be evaluated based on assessments of the performance under current and prior contracts for the last five years.

The information which will be used for evaluation will be obtained from the Past Performance Information Retrieval System (PPIRS) www.ppirs.gov.

If adverse past and present performance information is obtained, the respective point of contact may be contacted to obtain additional information about the circumstances surrounding the situation. Offerors will be given an opportunity to address unfavorable reports of past and present performance to which the offeror has not had a previous opportunity to respond. The offeror's response, or lack thereof, will be taken into consideration.

The following adjectival ratings will be used in evaluating each offeror’s past performance proposal.

Past Performance Evaluation Ratings

Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Unknown The offeror’s performance record is unknown. (See note below.)

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

The purpose of the price factor is to determine if the proposed price is fair and reasonable. In no event will the Government make an award against an offer that the Government does not find to be fair and reasonably priced.

The pricing criteria used for evaluation are completeness, price reasonableness, and Total Evaluated Price (TEP).

Completeness - The Government will review the pricing submissions for completeness and compliance with FAR 52.212-1 of this solicitation. Incomplete price submissions may not be evaluated and the quotation may be eliminated from the competition.

Price Reasonableness - The offerors price proposal will be evaluated using one or more of the techniques defined in FAR 13.106-3(a). Generally, adequate price competition will satisfy the criteria of price reasonableness.

Total Evaluated Price (TEP) - The TEP will be calculated as the sum of the offeror's proposed prices, Price Exhibits 1-4, for the base year and all option years, and prices for the six month period covered by FAR clause 52.217-8, Option to Extend Services. All unit prices that comprise the TEP are contractually binding. An omitted price may result in proposal elimination.

The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. To account for the option period(s) possible under Clause 52.217-8 (maximum six months), Option to Extend Services, the Government will take the price for all CLINs of the final option period, prorate it to a six-month value, and add it to the sum of all CLINs (base plus all option periods). This amount will be the total evaluated price. Offerors shall not submit a price for the potential six (6) month extension of services period. The Government may choose to exercise the Extension of Services option at the end of any performance period (base or option periods), utilizing the rates of the current performance period. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the options.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Submit invoices to the Contracting Officer. If you cannot perform in exact accordance with this order, WITHHOLD PERFORMANCE and notify the Contracting Officer immediately, giving your quotation.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 Days.
