SALIENT CHARACTERISTICS

The editing software must be able to view, create, manipulate, print, and manage files in Portable

Document Format (.pdf).

Defined salient characteristics:

1. The software must:

a. Be 508 compliant to adhere to the government mandate and the current ISO standards

b. Create .pdf documents on a computer and mobile devices such as tablets using Windows and/or

MAC platforms/operation systems.

c. Convert a document or image to a .pdf file

d. Combine .pdf documents in a browser, merge and organize multiple documents, spreadsheets, and web pages into a single .pdf

e. Allow minor edits to text and images in the .pdf without requiring the original document or graphic

f. Fix a typo, change a font, or add a paragraph to a .pdf

g. Combine documents, spreadsheets, and emails into a single .pdf document

h. Turn a scanned document into a searchable .pdf document

i. Save web pages as a .pdf in order to archive web content, review the pages offline or print

j. Compile multiple returned signed forms into one .pdf document

k. Host forms using a network folder or Microsoft SharePoint server

l. Share work in a .pdf portfolio to include audio, video, and interactive media to .pdf documents

m. Assure document security and authenticity via password protection, encryption, watermarking and digital signatures.

n. Include hardware PKI integration for certificate-based document security

o. Allow for commenting, stamping, and collaborative review

p. Provide data security through redaction capabilities

2. The software must be completely compatible with Microsoft Office Suite applications and be able to:

a. Convert .pdf documents to Microsoft Office documents, thereby preventing retyping and reformatting

b. Convert .pdf documents to Microsoft Word, Microsoft Excel, or Microsoft PowerPoint using a computer and mobile devices such as tablets using Windows and/or MAC platforms/operation systems.

c. Resize, replace, and adjust images in a .pdf with no need to track down the original file or graphic

d. Export from .pdf documents and save a .pdf as a Microsoft Word document

e. Turn a .pdf, or just part of it, into an editable Microsoft Excel spreadsheet

f. Save a .pdf as a fully editable Microsoft PowerPoint presentation

g. Create a .pdf from Microsoft Office applications in Windows, start a shared review, and restrict

.pdf edits

h. Convert Microsoft Word or Microsoft Excel forms to fillable .pdf forms.

INSTRUCTIONS TO OFFERORS

This is a Combined Synopsis/Solicitation for commercial items prepared in accordance with the format in Subpart

12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a separate written solicitation will not be issued.

This is a Competitive Brand Name or Equal solicitation under FAR Part 12 for a firm-fixed price contract for the purchase of Adobe Creative Cloud restricted to Adobe Acrobat Professional Term License and Maintenance

Support.

The Basis for The 100% Small Business Set-Aside Determination: This requirement is set-aside for small business.

The applicable NAICS is 541519 and the size standard is $27.5M.

Market research conducted via SEWP and review of BPA holders on DoD ESI revealed that there is a reasonable expectation of obtaining two or more offers from small business concerns.

Marine Forces Reserve Small Business Program Deputy Director concurs with this action.

- All responsible sources may submit a quotation which, if received in a timely manner, shall be considered by the agency.

- Award will be made to the lowest-priced technically acceptable (LPTA) offer.

- The Government will accept GSA and SEWP offers.

- The Government will consider brand name or equal bids only. Descriptive literature/brochures required with all quotes bidding equal. Proof authorized to be on the following network is required:

- This solicitation will be awarded on an all-or-none basis.

- Method of Invoicing/Payment: Wide Area Workflow (WAWF) DFARS 252.232-7006 WAWF Instructions.

- Any direct customer contact by Bidders is not authorized during the solicitation phase or your bid may be at risk of being eliminated from consideration for this solicitation.

- In the event only one offer is received in response to this solicitation the Government may request a detailed cost break-out of your quote for the purposes of comparisons in determining fair and reasonability of your quoted prices in accordance with DFARS 252.215-7008 herein.

TO BE CONSIDERED RESPONSIVE TO THIS SOLICITATION, bidders shall provide all the following:

- CAGE code

- DUNS number

- Address

- Point of contact

- Delivery lead time after receipt of order for supplies and period of performance for services. List by line item if the delivery lead time differs from one line item to another. This shall be visible on the face of the quote and not incorporated as a link or other attachment.

- Prompt payment/discount terms (if offered). This will not be used to evaluate offers.

- Contract number and expiration date shall be included if bidding under a GSA, SEWP or other contract. This shall be listed per line item unless the contract vehicle is applicable to all line items.

- All responses to this solicitation shall indicate whether the firm is offering a ‘brand name manufacturer's products’ or ‘equal products.’ Firms offering equal products shall submit sufficient descriptive literature to permit the contracting agency to assess whether the equal product meets all the salient characteristics specified in the solicitation. Firms offering "equal" items shall provide the make, model, description of the items, and provide their own product literature/brochures (not the manufacturer’s product literature/brochures nor a reiteration of the salient characteristics provided in the solicitation). This agency will not be responsible for locating or obtaining any information not included on the face of the offer or a hardcopy attachment to the offer in a response to this solicitation. Network

- All Government software contracts are required to include warranty provisions from authorized sellers/resellers of all commercial and non-commercial publisher software products. The Government will not accept any seller/reseller disclaimers of implied publisher standard commercial warranty. As a minimum, software warranties shall cover the performance of all required product capabilities, free from defects/bugs, for all intended authorized users, process for reporting/fixing defects remedied at no charge to the Government, effective after

Government tests of delivered software product(s), and include the seller/reseller's return policy and procedures.

Bidders shall include End User Licensing Agreement (EULA)/ Warranty with all bids consistent with terms of the Federal Acquisition Regulation (FAR) 52.232.39 Unenforceability of Unauthorized Obligations clause herein to be considered responsive to this solicitation. If any of these conditions are not included in the

EULA/warranty provided by sellers/reseller in response to this solicitation, the Government shall not award until these terms have been incorporated and agreed.

- Bidders shall allow the Government a trial period to test new software not previously purchased by this customer prior to delivery and start of the software warranty support. Bids submitted in response to this solicitation shall specify length of test period before start of warranty support on the face of the quote.

- If option year pricing is not available from the manufacturer, the offeror shall so state on the face of the offer.

- Provide itemized pricing for Term Licenses and Maintenance & Support if separately priced.

52.204-17 OWNERSHIP OF CONTROL OF OFFEROR (NOV 2014)

(a) Definitions. As used in this provision--

Commercial and Government Entity (CAGE) code means—

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics

Agency (DLA) Contractor and Government Entity (CAGE) Branch to identify a commercial or government entity, or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support

Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Contractor and

Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as an NCAGE code.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Requirements for accessibility based on Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d) are determined to be relevant for the following program need: "Application/Operating System Software."

Section 508 Product Requirements

Technical standards from 36 CFR part 1194 Subpart B have been determined to apply to this acquisition. Solicitation respondents must describe how their proposed Electronic and Information Technology (EIT) deliverables meet at least those technical provisions identified as applicable in the attached Government Product/Service Accessibility

Template (GPAT).

Functional performance criteria from 36 CFR part 1194 Subpart C have been determined to apply to this acquisition.

(a) Telecommunications products or systems which provide a function allowing voice communication and which do not themselves provide a TTY functionality shall provide a standard non-acoustic connection point for

TTYs. Microphones shall be capable of being turned on and off to allow the user to intermix speech with TTY use.

(b) Telecommunications products which include voice communication functionality shall support all commonly used cross-manufacturer non-proprietary standard TTY signal protocols.

(c) Voice mail, auto-attendant, and interactive voice response telecommunications systems shall be usable by TTY users with their TTYs.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2015)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (p) of this provision.

(a) Definitions. As used in this provision --

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily http://www.acquisition.gov/ business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
