The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the [NAMED COMPONENT] via a secure data collection

The contractor is required to completely fill in all required data fields using the following web address https://doncmra.nmci.navy.mil.” Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year.

VEHICLE LEASE AGREEMENT

Period of Performance: 26 January 2016 – 24 May 2016 (119 days total)

Place of Performance: Camp Lejeune North Carolina

Request: Thirty-two (32) 12/15 Passenger Van, four (4) 20ft Box Trucks, ten (10) 4x4 Trucks, and five (5) sports utility vehicles

I. Performance Statement of Work (PSOW).

The purpose of this requirement is to obtain transportation services for 22 Marine Expeditionary Unit in preparation for their deployment.

II. Background

Transportation service is required to support 22 MEU personnel at Marine Corps Base Camp Lejeune. Base Motor

Transport did not have resources to support units from Camp Lejeune, NC. Please note that there are two period of performances within this contract. Please note the delivery schedule.

III. Definition of Terms

a. New Vehicles – New vehicles are defined as motor vehicles i.e. vans, cars, SUV and trucks that are sold or provided in the current model year and have not been previously used by another party. They should have less than

1000 miles on the odometer and be equipped with air conditioning, front and back seat belts (one for each passenger), a spare tire, a jock and a complete set of tools for changing a flat tire. All vehicles will have grade “A” tires at all times that will prevent bursting especially during the summer.

b. Ex-fleet or Used Vehicles – Vehicles must be no more than two years old, and have no more than 50,000 miles on the odometer, and be equipped with air conditioning, front and back seat belts (one set for each passenger), a spare tire, a jack and a complete set of tools for changing a flat tire. All vehicles will have grade ‘A’ tires at all times that will prevent bursting specially during summer.

c. Applicable Rates – Specific definitions are provided below. Daily rate shall apply for services less than one week.

Weekly rates apply to services that are less than one month but more than 6 days. Monthly rate shall apply for services that are at least 30 days and if customer has completed the minimum one -month, succeeding days will be on pro-rated monthly rate. If the service was initially planned for one month and the service is ceased prior to completion of one month, the daily rate (if service was kept less than one week) or weekly rate (service was kept for at least 7 days but not more than 29 days) will apply.

d. Weekly Rate – Covers 7 calendar days.

e. Monthly Rate – Covers 30 calendar days.

IV. GENERAL REQUIREMENTS

a. Vehicles:

1. It is the contractor’s responsibility to provide new or used vehicles when required by the Contracting Officer.

2. The contractor shall provide vehicles that are properly registered, licensed, and comply with all local safety laws ordinance rules and regulations.

3. Used vehicles must be no more than two years old, and have no more than 50,000 miles on the odometer, and be equipped with air conditioning, front and back seat belts (one set for each passenger), a spare tire, a jack and a complete set of tools for changing a flat tire. All vehicles will have grade ‘A’ tires at all times that will prevent bursting; especially during the summer.

4. The vehicles will contain a full tank of gas at the time of pick up.

b. Vehicle Accident/Breakdown Service: The contractor shall provide a reputable vehicle accident and breakdown response service 24 hours/day, seven (7) days/week in the event a vehicle becomes un-roadworthy due to mechanical breakdown and/or accidental damage. Within 2 hours of receiving a request, the contractor will provide a replacement vehicle (of the same or better vehicle class) for any vehicle that becomes un-roadworthy due to mechanical breakdown, accidental damage, or when servicing will take longer than four (4) hours. All pick up and removal of inoperable vehicles shall be the contractor’s responsibility and expense.

c. Pre-rental Inspection: The Government representative and the contractor representative will inspect the vehicle and complete a Pre-Rental Checklist acknowledging acceptability of the vehicle. Any dents, scratches or other discrepancies must be noted on the checklist. The Government representative will print his name and title, as well as, sign the contractor’s checklist, with any discrepancies noted. Only Officers or Staff Non-commissioned Officers

(SNCO’s) are authorized to inspect and sign the Pre-Rental Checklist and the Post Rental inspection sheet. Pre and post inspection will occur at the MCX parking lot to accommodate the large number of vehicles.

d. Government Responsibilities upon Return of Vehicles: Vehicles will be returned with a full tank of gas, will be free of any excess trash and will be returned in a clean condition. Vehicles not returned with a full tank of gas or in a clean condition will be subject to charges for gasoline re-fill and a cleaning fee.

e. Post-rental Inspection: Upon return of the vehicle, both the contractor representative and the Government representative shall conduct a joint inspection of the vehicle. No claim for damages will be allowed without signed evidence of this joint inspection. If the Government representative disputes a damage claim made by the contractor, this fact shall be recorded on the inspection sheet and signed by the Government representative.

f. Instructions for Damages Incurred: The contractor will notify the Contracting Officer within five (5) working days of any damages incurred during rental. Following this notification and within ten (10) working days, the contractor will submit two (2) written estimates for damages and a written statement, from all involved, to the Contracting

Officer. A police report and photographs of the damages are also required. Documentation shall include an estimate of repair costs and names and phone numbers of all involved. After a review of facts and circumstances, the

Contracting Officer will make a determination for equitable adjustment and a modification will be issued.

It is required that all estimates be turned in, with the claim, to the Contracting Office with the contract number annotated on all paperwork.

A claim shall have the following documentation in order to be considered a valid and complete package:

1. Pre-Rental Checklist signed by the Government Representative and the Contractor’s representative.

2. Post-Rental Inspection Report signed by the Government’s representative and the Contractor’s representative.

3. A minimum of two (2) estimates for the claim being submitted.

52.204-17 Ownership of Control of Offeror (Nov 2014)

(a) Definitions. As used in this provision—

Commercial and Government Entity (CAGE) code means—

(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics

Agency (DLA) Contractor and Government Entity (CAGE) Branch to identify a commercial or government entity, or

(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support

Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Contractor and

Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as an NCAGE code.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

52.209-2 PROHIBITION ON CONTRACTING WITH INVERTED DOMESTIC CORPORATIONS--

REPRESENTATION (NOV 2015)

(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).

(b) Government agencies are not permitted to use appropriated (or otherwise made available) funds for contracts with either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation, unless the exception at 9.108-2(b) applies or the requirement is waived in accordance with the procedures at 9.108-4.

(c) Representation. The Offeror represents that--

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014) TAILORED

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

LOWEST PRICE TECHNICALLY ACCEPTABLE EVALUATION

In order to be considered for award, the offer must be determined to be technically acceptable. Technical acceptability will be based on the demonstrated ability to meet the technical requirements, including the delivery requirement. A mere statement that the vendor “will meet the Government’s requirements” is insufficient; the vendor must demonstrate how it will meet the requirement. LPTA will be evaluated on: (1) price; (2) technical

(specifications as stated in the RFQ); and (3) delivery.

To ensure technical compliance with the requirements, the vendors quote shall include the following information:

Vendor Specifications. The vendor’s quote shall provide a description of how the vendor will meet the

Government’s requirements as stated in the Request for Quote (RFQ). Product literature, pictures, and description of all quoted items shall be included.

Vendor’s quote shall include an active Cage code and Federal Tax Identification Number. Vendors are required to be registered with the System for Award Management (SAM) database and have an active Cage code at the time of award.

Delivery Information. Clearly state if the quoter can meet the requested delivery as stated in each CLIN. If not, then state the best delivery date.

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2015)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (p) of this provision.

(a) Definitions. As used in this provision --

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the

Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment

Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

Small disadvantaged business concern, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

Subsidiary means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

Veteran-owned small business concern means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least

51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the

United States.

(i) Taxes are considered delinquent if both of the following criteria apply:

A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(i) Certification Regarding Knowledge of Child Labor for Listed End Products (Executive Order 13126). [The
