SUBJECT: Sole Source Justification for Serv M21-051 Jeol Service Contract
1. 76 MXSG requested annual Preventive Maintenance for Serv M21-051 JEOL Scanning Electron Microscope JSM-IT300LV (SN MP1372001250125). This contract is to establish a base plus 4 option year service contract for a yearly preventative maintenance visit (PM) on one (1) JEOL Scanning Electron Microscope. The microscope is used as a tool to help determine manufacturing quality of First Article qualification parts during the Air Force acquisition process. Additionally, Scanning Electron Microscopes are used to identify small features during failure analysis and mishap prevention investigations. Yearly preventative maintenance would ensure on-demand capability of the instrument. Performing scheduled maintenance on the unit will reduce downtime and touch time in the process qualifications and investigations.
2. JOEL USA, Inc. is the OEM for the one (1) JEOL Scanning Electron Microscope JSM-IT300LV (SN MP1372001250125). JOEL USA, Inc. offers services not otherwise available to the Government. The Government currently lacks the license rights to perform the PM services for the JEOL JSM-IT300LV SEM organically or to solicit the contemplated contract under full and open competition. Although the Government realizes that it has unlimited usage rights to form, fit, and function data as well as operation, maintenance, installation, and training data, such rights are insufficient for the government's needs as they are not detailed enough to accomplish the required service of this item. Access to level three drawings is required to accomplish these tasks and the OEM is unwilling to sell license rights to the government. It is not possible to draft adequate specifications for the PM services of this item or JEOL's unique and highly specialized capabilities without the data usage rights. It is not in the government's best interest to spend $250,000.00 or more to procure replacement systems. JOEL USA, Inc. owns all data rights to their technology.
The OEM is the only known source that can provide the required parts (software/hardware/electronic/electrical) and access to the proprietary data needed to perform the preventive maintenance and repairs on this equipment. Certified JOEL USA, Inc. service engineers are the only qualified contractors to perform service on their JEOL Scanning Electron Microscope

3. After market research was conducted, it was determined that there is only one company, the original equipment manufacturer (OEM) Struers Inc., that can satisfy the Government’s requirement.

4. Market research was performed reviewing Dynamic Small Business Search (DSBS) and System for Award Management (SAM) databases using North American Industry Classification System (NAICS) Code (811219) and Federal Service Code (FSC) J066, looking for any company that could provide this Service. A review of 8(a), HUBZone, Service Disabled Veteran Owned Business, and Women Owned Small Business was conducted in search of a company that could provide this Service. A review of past contracts was also conducted including FA8125-16-M- 0008. In review, it has been determined that there is only one source capable of providing the service for this acquisition.
5. In the future, the Government will continue to monitor JEOL to see if they implement distributorship's. We will also continue doing Independent Government Estimates to determine if a complete change out of all JEOL's equipment may be economically feasible in the future.
6. I have determined, in accordance with FAR 13, that the circumstances of this contract action deem only a single source is reasonably available.
