STATEMENT OF WORK
Marine Corps Installations-West
1. Background
Communication, Strategy and Operations (COMSTRAT) is the primary print facility for all high volume printing.
Marine Corps Installations-West Communication, Strategy and Operations units, comprised by Marine Corps Base, Camp Pendleton; Marine Corps Air Station Yuma, AZ; Marine Corps Air Station Miramar, CA; and Marine Corps Logistics Base Barstow, CA are task organized to provide all printing technology based on the High Volume Color Printers platform for all MCI-West organizations as well as tenant and visiting activities.
2. Objectives Create a foundation for a Regional high volume print maintenance contract.
Scope MCI-West Communication, Strategy and Operations (COMSTRAT) has a requirement to support School of Infantry (SOI), MCB Camp Pendleton, with high volume (HV) print. SOI requires 12-million impressions annually for curricula that train riflemen, infantrymen, and assault amphibian crewman and combat instructors in MOS skills across the infantry-training continuum to include Marine Corps Logistics Base Barstow.
3. Tasks
3.1 Service and Support:
Warranty and coverage information must be provided on quoted equipment for at least a period of one (1) year.
Maintenance contracts must be scalable to meet the changes of mission requirements. (Maintenance includes all parts, labor, toner and staples)
Service on the High Volume machines should include a quarterly pooled meter reads for all impression b/w and color separately for MCI-West Ricoh 9100 SN# 14062433, located at Building 2238, Camp Pendleton CA, 92055 and MLB Barstow Ricoh is 13893336 located in Bldg 204, MLB Barstow CA.
Must include an overage charge CLIN impression cost on a yearly volume print of 6 million (8.5” x 11”) size only.
(I.e. cost per copy b/w= $0.00 each cost per copy color = $0.00 each.
It is required that a response time of 2-4 business hours is provided for “mission critical” service calls. The government will determine if the trouble call is of mission critical or non-mission critical need at the time the service call is placed. If it is determined as non-mission critical, very effort will be made to respond within the same time frame, otherwise, response time of 4 to 6 business hours for normal response time will be required unless the telephone call resolves the matter. The service technician will contact the government key operator within one (1 -3) business hours to discuss service problem and time or arrival, regardless of mission critical or non-mission critical.
3.2 Respond to work stoppage situations within two (2) business hours of a service call. A telephone call (unless it results in solving the problem) shall not be deemed as an acceptable service response. The service technician shall call the key operator within 90 minutes to discuss service problem and time of arrival.
Respond to non-work stoppage situations within four (4) business hours of a service call. A telephone call (unless it results in solving the problem) shall not be deemed as an acceptable service response. The service technician shall call the key operator within an hour to discuss service problem and time of arrival.
Preventive Maintenance
The provider will be required to perform routine Preventive Maintenance (PM) for all equipment with a PM being defined as routine replacement of normal wear parts as recommended by the equipment manufacturer. Equipment manufacturers determine periodic maintenance on a model by model basis and the selected service provider will be required to adhere to manufacturer recommended PM.
The technician will generally clean the machine from top to bottom beginning with the feeder and continuing through the rest of the machine. Cleaning tools and techniques include vacuuming and using lint-free cloths, in addition to other methods. Moving from point to point, the technician will need to inspect and clean each area, replacing parts as needed: Optics and optics cavity transport, including fuser/fixing unit bearings, bushings, sensors, rollers, oils and web Processing unit: drum, cleaning units, blade, seals, spacers, bearings Cassettes and bypass unit Electrical/mechanical on interior of equipment. Following the cleaning and inspection, the service technician adjusts the corona assembly (corona wires, casings, and grids) to manufacture specifications; resets internal settings, as needed; and clears all jam counters, ensuring all activities have been recorded on the Machine History card. The technician will also need to review applicable technical publications and make any necessary adjustments, software/firmware upgrades, and parts replacements as required.
Technicians will also be required to check and clean accessories, replacing any parts as needed. This inspection includes the paper deck feed roller, document feed roller, separation belts, DF belt, sorter/finisher bins, proper shifting of bins, stapler, staples, and staple positioning. The service technician checks proper height adjustments, skew adjustments, and one- and two-sided operations.
Testing for Operations: After performing prescribed Preventive Maintenance activities, the technician will be required to produce test copies, checking for proper copy quality, even density, registration, lead edge, and side blanking. Where necessary, the technician will be required to make adjustments. In addition, the technician will be required to check the operation of all cassettes bypass trays, paper decks, and finishers; operations of the two-sided mode; and ensure all features are functional. The technician will then compare the original test copies with the final test copies, noting improvements. To conclude the PM work, the service technician will be required to clean all covers inside and out, removing any substances such as lubricants, smudges, toner, etc. and then thoroughly clean the area around the machine. These steps enable the customer to immediately resume use of the equipment in a clean, well-kept environment.
4. Preventive maintenance cost will include all supplies: toner, travel, and all parts.
Working Hours Required inspections and repairs will be scheduled at the customer’s convenience when possible. Onsite service will be provided Monday through Friday, during normal working hours, 8:00 am through 4:30 pm. excluding Federal Holidays.

5.0. Government Technical Point of Contact (TPOC).
6.1. The Contracting Officer shall designate a Government TPOC during the term of this contract. The TPOC will provide assistance in identification and resolution of problems, conflicts in priority, subtask requirement definitions, and other operations type problems within the scope of this SOW. The TPOC will provide technical clarification and assistance in support of the contract requirements. The TPOC DOES NOT have the authority to make changes and/or give direction under this contract. The only authority under this contract authorized to make changes, give direction, and/or provide monetary adjustments is the Contracting Officer from the Regional Contracting Office MCI-WEST, Camp Pendleton, CA.
6.0. Contracting Officer Authority.
6.1. The Contracting Officer is the only person authorized to direct changes to any of the requirements under this contract, and, notwithstanding any provisions contained elsewhere in this contract, said authority remains solely in the Contracting Officer (Reference Block 31 on the SF1449). In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and solely at the risk of the contractor.

SURVEILLANCE SERVICES OR EQUIPMENT (NOV 2021)
The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services-- Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications- Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.
(a) Definitions. As used in this provision-
Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
(b) Prohibition.
(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.
115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.
115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--
(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."
(d) Representations. The Offeror represents that--
(1) It [ ___ ] will, [ ___ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and
(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that--

(1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:
(i) For covered equipment--
(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);
(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and
(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(ii) For covered services--
(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or
(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.
(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:
(i) For covered equipment--

52.212-1 ADDENDUM
Instructions to Quoters
1. SUMMARY: This is a request for quotation. Responses to this solicitation are considered quotations and not offer. In those instances where the words offer, offeror, and proposal are used, the reader should understand that the use of such words does not change the nature of this request for quotation. The resulting award will be for a Firm Fixed-Priced contract for Marine Corps Installations-West (MCI-West) High Volume Production Level Printer Maintenance, for Marine Corps Base (MCB) Camp Pendleton, California and Marine Corps Logistics Base (MCLB) Barstow, CA.
2. SUBMISSION OF QUOTATIONS: Quotations must be returned to the address listed below no later than the date and time specified in block #8, page #1- Pacific Time (PT). Quotations may be hand carried, emailed, or submitted by way of commercial courier service (FedEx, UPS, etc.). Faxed quotations will not be accepted. Do not attempt to send the quotation via the US Postal Service since the US Postal Service does not deliver to the building.
When submitting via email, offerors should limit attachment size to 2MB. If necessary, multiple emails should be submitted. In all cases, quoters should obtain a proof of delivery/proof of receipt of submission. If the quoter does not receive a proof of receipt, the quoter should assume his/her submission did not reach the individual below. The Government reserves the right to make an award solely on initial quotes received. Quoter’s bear the burden of ensuring that all portions of the quote (and any authorized amendments) reach the designated office on or before the deadline specified in the solicitation. 3. CONTRACT AUTHORITY: The Government will solicit and award this contract using Simplified Acquisition Procedures, in accordance with FAR Part 12. As a result of this authority, certain requirements for soliciting, awarding, and notifying quoters are streamlined. In accordance with FAR 12.102(c), when a policy in another part is inconsistent with FAR Part 12, Part 12 shall take precedence.
4. SYSTEM FOR AWARD MANAGEMENT (SAM): The registration must be active. For information and registration go to http://www.sam.gov.
5. PERIOD OF ACCEPTANCE OF OFFERORS: The pricing terms and conditions of the quotations should be valid for 90 days unless stated otherwise in the quote.
6. 52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) technical capability of the item offered to meet the Government requirement;
(ii) price;
(iii) past performance
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

52.212-2 ADDENDUM
Evaluation Process:
Basis for contract award - This acquisition is being conducted under FAR Part 12. Offers will be evaluated using the factors identified in FAR 52.212-2, Evaluation – Commercial items. Noncompliance may be grounds to eliminate the proposal from consideration for contract award. Award will be made utilizing a Lowest Price Technically Acceptable (LPTA) source selection method. By submission of its quote in accordance with the instructions provided in clause FAR 52.212-1, Instructions To Offerors, the quoter agrees to the terms of this solicitation.
Specifically, the evaluation process shall proceed as follows:
First, the quotes will be ranked in order from lowest to highest based on the price. The lowest priced quotation will then be evaluated and receive a rating of Acceptable or Unacceptable based on the criteria below. In order to be rated as Acceptable, the Technical quote must meet the Government's minimum requirements as described in the schedule. Quotes deemed Unacceptable are those that fail to meet the Government's minimum requirements.
Past performance will then be evaluated and assigned a rating of Acceptable or Unacceptable. In order to be rated as Acceptable, the past performance must present a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.
If the lowest priced offeror’s Technical quote and past performance are rated acceptable, the Government will then evaluate pricing to determine fair and reasonableness.
If the lowest priced quotation is evaluated to have an acceptable technical quote, acceptable past performance, and fair and reasonable prices, per FAR 8.405-1(f), the Government will complete a responsibility determination IAW the criteria specified in FAR 9.104-1. If found responsible, the Government may stop the evaluation process at this point as that quote represents the best value to the Government. Award shall be made to that offeror without further consideration of any other offers.
If the lowest priced quotation is assigned an unacceptable rating, or if the price is determined not fair and reasonable or if the quoter is found to be non-responsible, the next lowest priced quote will be evaluated. This process will continue (in ascending order) until an offeror is evaluated to have an acceptable technical rating, fair and reasonable prices and the offeror is deemed responsible or until all offers have been evaluated.
The government reserves the right to evaluate all quotes. The award will be made to the offeror whose proposal represents the best value to the government on a LPTA basis, factoring in price and non-price factors – Technical Capability and Past Performance Evaluation Factors: The following factors shall be used to evaluate offers:

To be rated Technically Acceptable, the contractor must provide a technically acceptable quote which meets the requirements of the Statement of Work (SOW) objectives. When evaluating the contractor’s technical quote, the Government will determine if the contractor has met the following minimum requirements:
a) No more than six (6) page Technical execution (Times New Roman, 12, single spaced, double-sided) describing how the Contractor plans on executing the following:
- Preventative Maintenance Services comparable to those provided in 3.1 of the SOW.
- Support Services comparable to those provided in 3.2 of the SOW.
Factor 2: Price: The contractor’s price quote will be evaluated to determine price completeness and reasonableness. In order to be considered for award, price must be determined fair and reasonable and balanced (or if unbalanced pricing exists that it does not pose an unacceptable risk to the Government) using one or more techniques set forth in FAR 13.106-3.
Options. IAW the provision at FAR 52.217-5, the Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement.
Evaluation of options will not obligate the Government to exercise options. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced.
Factor 3. Past Performance: The Government will conduct a performance risk assessment the offeror’s record of past and current performance, as well as that of its proposed subcontractors and team member as it relates to the probability of successfully performing the requirements of the solicitation. The past performance evaluation will consider the offeror's demonstrated recent (within the past three years) and relevant (providing the items identified in the schedule) record of
Technical Acceptable/Unacceptable Ratings Rating Description
Acceptable Quote clearly meets the minimum requirements of the solicitation.
Unacceptable Quote does not clearly meet the minimum requirements of the solicitation performance in supplying supplies that meet the solicitation’s requirements. Offerors are advised that in conducting the past performance assessment, the government may use data provided in the Offeror’s proposal and data obtained from other sources.
NOTE: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or "neutral") past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered "acceptable."
PAST PERFORMANCE RATINGS
Aspects of quality include how well an offeror meets or exceeds contractual requirements, how problems encountered in the course of contract performance were addressed, and the effectiveness of corrective actions taken.
ACCEPTABLE
Based on the offeror’s performance record, the government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.
UNACCEPTABLE Based on the offeror’s performance record, the government has no reasonable expectation that the offeror will be able to successfully perform the required effort.
Provide a minimum of three (3) recent and relevant references. Recent is defined within the last 5 years. Relevant is defined as in Preventative Maintenance Services as provided in the Statement of Work. Each Reference should contain the following information:

Incomplete quotes may not be accepted
The government reserves the right to award no contract at all depending on the quality of the quotes submitted and availability of funds for the requirement. The government intends to evaluate proposals and award a single contract without requesting or accepting revised proposals. Therefore, the offerors will be advised that their initial offer should contain the most favorable terms and reflect its best possible performance potential. The Government does reserve the right to clarify aspects of the proposals and hold discussions.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND
COMMERCIAL SERVICES (DEC 2022)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;

(10) PSC 9630, Additive Metal Materials.
"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.
"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
"Sensitive technology"--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business concern"--
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
"Small business concern"--
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.
(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
"Small disadvantaged business concern, consistent with 13 CFR 124.1002", means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
"Subsidiary" means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
"Veteran-owned small business concern" means a small business concern--
(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
"Women-owned small business concern" means a small business concern--
(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.
