PERFORMANCE WORK STATEMENT
Performance Work Statement Camp Pendleton Base Brig
Marine Corps Installations West-Marine Corps Base Camp Pendleton, California
1. INTRODUCTION:
The Camp Pendleton Base Brig (CPBB) is a military confinement facility located aboard Marine Corps Installations West-Marine Corps Base, Camp Pendleton, California (MCIWEST-MCB CAMPEN). The CPBB was designated as the only level II confinement facility within the Marine Corps as of January of 2018 and is currently confining prisoners up to 10 years. Due to this re-designation, the mission requirements have vastly increased. SECNAVINST M-1640.1 mandates all level II and level III military confinement facilities to provide vocational program training, academic education, and functional skills training. Correctional programs are an essential tool that encourage and promote constructive change within the prisoner population.
Additionally, vocational programming provides an environment that fosters positive change through the implementation of goal orientated courses that not only provide tangible skills to assist prisoners in acquiring employment post incarceration, but is a key factor in reducing recidivism.
2. BACKGROUND:
CPBB is the only level II confinement facility for the United States Marine Corps. The goal of the facility and corrections is to restore the maximum number of prisoners to productive, offense-free civilian life as part of the naval service's obligation to the greater community-at-large or return the prisoner to duty better prepared to perform useful, offense-free service.
2.1 This contract shall support the CPBB in meeting mandated vocational / educational training requirements as set forth in SECNAVINST M-1640.1. Page 6-3 Section 2. Minimum Acceptable Program Requirements, 6201.
2.1.1 Policy Section 3, paragraphs 3 and 4 state levels II and III Military Confinement Facilities (MCF) must provide core and level I programs plus drug and alcohol treatment, stress and anger management, vocational training, functional skills testing, academic education, remedial education, high school level education classes or general equivalency diploma, sex offender education or treatment access, and violent offender education or treatment access. Programs at level II and III MCFs shall be based on a needs assessment of the prisoner population.
2.1.2 Commands operating MCFs will establish and conduct the minimum acceptable programs for the level of their MCF. Commands are encouraged to exceed these requirements to the maximum practical extent of the resources available or which can be made available from the surrounding military or civilian communities.
3. SCOPE:
The purpose of the work is to provide periods of instruction for up to 20 selected prisoners from within the CPBB prisoner population with the vocational skills in the areas of welding, basic construction skills, and small business / entrepreneurship development. All training shall be conducted aboard CPBB’s training and vocational facilities.
4. REQUIREMENTS:
The contractor shall provide the following minimum training functions:
4.1 General Requirements:
4.1.1 The contractor shall have the knowledge and ability to communicate well, orally and in writing, in order to convey proper and thorough instruction.
4.1.2 The contractor shall be required to provide updates on prisoner course performance to
Technical Point of Contact (TPOC). (Deliverable 10.2)
4.1.3 The contractor shall report all violations of rules and regulations and or misconduct to the nearest staff member.
4.1.4 The contractor shall comply with confinement facility rules and regulations, exercise proper occupational safety, and possess the ability to interact with all prisoners and staff members in a fair and equitable manner without regard to race, color, sex, religion, national origin, age, or physical handicap.
4.1.4.1 Training on the areas listed in Para. 4.1.3. shall be provided by MCF personnel, at CPBB, and is at no cost to the contractor. This training shall be completed prior to the start of instruction.
4.1.5 The contractor personnel performing must pass all background checks and be able to acquire access aboard the installation prior to performing on the contract.
4.1.5.1 CPBB personnel will coordinate the conduct of background checks at no cost to the contractor.
4.1.6 The contractor shall not inquire as to the charges and or reason(s) for confinement about any of the prisoners.
4.1.7 The contractor shall be an institution of higher learning accredited by an Accrediting Organization, such as the Western Association of Schools and Colleges, or possess an equivalent accreditation. (Deliverable 10.3)
4.1.8 The contractor shall provide recognized certificates of apprenticeship, certificates of completion, or equivalent to all prisoners demonstrating satisfactory completion and or competency within the completed course(s). (Deliverable 10.4)
4.1.9 The contractor shall provide periods of instruction on Welding, Construction, Small Business / Entrepreneurship development in accordance with, and train up to OSHA, HAZWOPPER, or equivalent standards within the specific course subject. Additionally, and only after successful completion, prisoners will be provided OSHA, HAZWOPPER, and or equivalent training completion certificates that coincide with the corresponding course. (Deliverables 10.4)
4.1.10 The contractor shall provide instruction in accordance with the CPBB training schedule to be determined by CPBB. Exact schedule is to be determined but will between the hours of 6am- 3pm Monday-Friday.
4.1.11 The contractor shall facilitate all training aboard CPBB’s training and vocational facilities.
4.1.12 The contractor shall provide a period of instruction to a class of 20 prisoners (minimum) at one time per course.
4.1.13 The contractor shall provide handouts and/or workbooks, training tools, simulators, textbooks, course assessments, post assessment of participants, curriculum development, and most consumables associated with the corresponding course. The course instructor must be a professor / instructor working for and assigned by an accredited institution of higher learning or equivalent. CPBB will retain possession of all aforementioned course training materials.
4.1.14 The contractor shall provide all necessary personal protective equipment (PPE) for contractor personnel in performance of the contract. CPBB shall provide PPE for all prisoners and CPBB staff
4.1.15 The contractor shall provide course curriculums and syllabus in accordance with all requirements in paragraph 4 of this PWS to the TPOC no later than (NLT) 10 days prior to the start of instruction. (Deliverable 10.5)
4.1.16 The contract shall provide contact information for all instructors to the TPOC NLT 10 days prior to the start of each course and upon changes of instructors. (Deliverable 10.6)
4.2 In reference to Welding, the contractor shall facilitate a comprehensive 300 + hour course designed to teach practical applications, written and oral communication skills, and cover the following areas:
4.2.1 Introduce the principles and practices of the shielded metal arc welding process in accordance with industry standards
4.2.2 Provide the student with instruction and practical experience necessary to safely perform shielded metal arc welding on projects utilizing a steel plate and shapes.
4.2.3 Introduce Shielded Metal Arc Welding (SMAW) techniques and practices to assist in welding a steel plate and shape projects and repairs utilizing fillet welds to American Welding Society acceptable standards.
4.2.4 Enhance the student's workplace skills including soft skills such as math, communications, business ethics, etc., necessary to succeed in the welding industry.
4.2.5 Prepare for a simulated fillet weld test using the SMAW in the 3-F and 4-F positions in conformance with approved procedures in D1.1 American Welding Society (AWS) Structural Welding Code - Steel.
4.2.6 Prisoners shall be capable of demonstrating knowledge and skills related to safety requirements and practices utilized in the shielded metal arc welding process aligning with industry standards.
4.2.7 Prisoners shall be able to utilize correct terminology of current shielded metal arc welding process when communicating with instructors, staff and fellow students.
4.2.8 Prisoners shall demonstrate ability to set up, troubleshoot and safely operate various shielded metal arc welding equipment found in welding industry today.
4.2.9 Prisoners shall demonstrate appropriate shielded metal arc welding techniques and practices to assist in welding a steel plate, shape projects, and make repairs utilizing fillet welds in accordance to the American Welding Society or equivalent acceptable standards.
4.3 In reference to Small Business Development / Entrepreneurship, the contractor must be able to facilitate a 100+ hour course designed to teach practical applications, written and oral communication skills, and cover the following areas:
4.3.1 Understand the principles, practices and strategies necessary to start an online, home-based, mobile or commercially zoned small business.
4.3.2 Identify and analyze business and personal skills essential to start and manage a successful small business.
4.3.3 Understand the financial, governmental and legal requirements and regulations to run a small business.
4.3.4 Understand employee recruitment, hiring and best practices.
4.3.5 Understand how to develop sales and marketing strategies.
4.3.6 Understand how to develop a networking strategy.
4.3.7 Understand accounting, recordkeeping and asset management.
4.3.8 Learn strategies for starting, managing and exiting a small business.
4.3.9 Differentiate and describe legal forms of ownership.

5. PERIOD OF PERFORMANCE:
The Contractor shall complete the performance requirements within 12 months after the date of award.
Training shall occur between the hours of 6am through 3pm Monday thru Friday. Exact training dates shall be coordinated between the Contractor and the Government after contract award.
6. GUIDELINES:
Various civilian instructions and publications provide a course curriculum that are associated with the vocational programming required within this contract. Relative and accredited course curriculum will provide guidance on the planning, conduct, and evaluation methods necessary to meet all required course criteria. The contractor must provide instructors that possess and demonstrate a high-level of instructional and technical expertise to facilitate the courses required within the contract. The guidelines, while specific in desired results, require a high degree of experience, resources, accreditation, and evaluation methods of the courses to achieve the desired goal. When met with unusual course topics and or instructional shortcomings and or difficulties, the contractor shall use independent research, technical experience, resources, and analysis to determine proper procedures needed to proceed and properly conduct the remainder of the course efficiently as required.
7. AUTHORITY OF GOVERNMENT PERSONNEL:
7.1 The Contracting Officer is the only person who can legally modify a resulting contract or obligate the
Government for expenditure of funds. Costs shall not be incurred by recipients of the solicitation in anticipation of receiving direct reimbursement from the Government.
7.2 Only the Contracting Officer has the authority to authorize deviation from the terms and conditions of any resulting contract, including deviations from specifications and requirements. In the event the Contractor does deviate, without written approval of the Contracting Officer, such deviations shall be at the risk of, and any cost related thereto, shall be borne by the Contractor. Any matter concerning a change to the scope, prices/costs, terms, or conditions of this contract shall be referred to the Contracting Officer.
8. GOVERNMENT TECHNICAL POINT OF CONTACT: The Contracting Officer shall designate a Government Technical Point of Contact (TPOC) during the term of this contract. The TPOC will provide assistance in the identification and resolution of problems, conflicts in priority, subtask requirement definitions, and other operations type problems within the scope of this Performance Work Statement. The TPOC will provide technical clarification and assistance in support of the contract requirements. The TPOC DOES NOT have the authority to make changes and/or give direction under this contract. The only authority under this contract authorized to make changes, give direction, and/or provide monetary adjustments is the Contracting Officer from the Regional Contracting Office MCI-WEST, Camp Pendleton CA.
8.1 TPOC Contact information: TPOC information shall be provided upon contract award.
9. COORDINATION:
The contractor shall work closely with uniformed service personnel from the CPBB staff. Coordination is required with the facility’s Programs Department and Command via the TPOC. These individuals include but may not be limited to:

11. QUALITY ASSURANCE SURVEILLANCE PLAN:
The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan (QASP). This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

12. SECURITY AND SAFETY:
Contractor personnel performing under this contract shall be U.S. Citizens and shall pass a background check.
Work performed by the contractor requires access to Camp Pendleton.
13. WORK ENVIRONMENT
All periods of instruction and evaluation will be performed solely aboard Camp Pendleton and within the CPBB training classroom / vocational training site. Instruction will be performed in a well-lit, temperate office space or equivalent. Occasional training may be conducted outdoors within the confinement facility and or vocational training site to reduce exposure to harmful fumes and or increase safety as required. Occasional instruction maybe performed in a training area that involves exposure to harsh elements and environments, wind, heat, exhaust, dust, and noise. Personal protection equipment will be worn at all times whenever required. Where the use of computers with MS Office applications or equivalent maybe required within the confinement facility, prior authorization must be provided by CPBB staff prior to the training day. Cell phone use within the confinement facility or when in direct contact with, or instructing prisoners is not authorized.

RAPIDGate/MCESS card holders will be required to transition to the Defense Biometric Identification System (DBIDS) credential in order to access MCB Camp Pendleton, MCAS Miramar, MCAS Yuma, MCRD San Diego, MCMWTC Bridgeport, MCAGCC 29 Palms and other controlled areas within the MCIWEST Region.
DBIDS credentials will be valid for the duration of your contract, not to exceed five years; however, re-vetting of individuals’ information will occur each year.
Contractors will be required to bring the following items:

Second form of government-issued photo identification (Real ID Act Compliant, driver license, passport, etc.)
Company Contract/Letter of Authorization (this should come from the COR or the Contracting Officer)
SECNAV form 5512/1 (the sponsoring organization should complete block 28 of the SECNAV form).
New DBIDS credentials will be valid for the remainder of the contract (not to exceed 5 years), but individuals will be re-vetted each year.
Effective 1 October 2018, all contractors and venders must be in possession of a DBIDS credential that is authenticated for all MCIWEST and west coast Service-Level Training Installations (SLTI).
Access to MCB Camp Pendleton through Naval Weapon’s Station Seal Beach, Detachment Fallbrook is prohibited unless DBIDS credential is authenticated (I.E., work is also performed there).

New contractors requiring access to MCIWEST installations will be issued temporary passes for up to 60 days.
If you are a new contractor seeking enrollment into DBIDS, please contact the Contracting Officer and/or Contract Specialist managing the contract awarded to your respective company.
COMMON ACCESS CARD (CAC)
(a) The Contractor shall provide proof that a National Agency Check with Inquiries (NACI) has been submitted to the Office of Personnel Management (OPM) for each employee requiring a CAC Card.
During the period between the time that the request is submitted and the time that the investigation is returned, the Government may grant temporary access to the Contractor employee. Whether to grant temporary access is within the sole discretion of the Government, and a decision not to grant access shall not be grounds for a claim, request for an equitable adjustment or other contract modification, and shall not constitute an excuse for Contractor failure to perform. Such temporary access will not exceed 90 days.
(b) Upon the return of the Investigation Schedule Notice and Certificate of Investigation from OPM, the Contractor shall provide a copy to the security manager that has overall responsibility for the customer supported by the Contractor’s employees.
(c) "Report of Agency Adjudication Action" (form 79A) is sent when there are potential actionable issue(s) at the minor, moderate, or substantial level which may be disqualifying under suitability/security considerations. If the contractor receives an Agency Adjudication Action from OPM, the security manager shall be consulted before such adjudicative action is determined and returned to OPM.
(d) The Government will use the Adjudicative Guidelines (CNO ltr 5520 Ser 09N2/6U871220 of Sept 06) to guide determinations on whether access will be granted.
(e) The Contractor will be notified in writing if there is a disqualifying event that prevents the Contractor’s employee from obtaining a CAC. If temporary access was granted, it will immediately be revoked.

Base access requirements and procedures may change during the term of a contract. The contractor shall comply with all changes, and such compliance shall not be grounds for a request for an equitable adjustment or other contract modification.
ADDITIONAL REQUIREMENTS
(a) Photography is restricted on the Base. Clearance for photography shall be obtained in advance from appropriate Base personnel. When requested, all film or storage media must be turned over for processing and security inspection.
(b) Some areas of the Base may be inaccessible due to road conditions following heavy and/or prolonged rainfall. Adjustments to work schedules due to road/weather conditions shall be coordinated with the Contracting Officer. If your vehicles gets stuck or breaks down, military personnel cannot pull or tow your vehicle. Call MCRD San Diego PMO ((619)524-4202) who will refer you to a civilian wrecker service or information (411) for assistance.

eCMRA. The contractor shall report contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for training via a secure data collection site. Contracted services excluded from reporting are based on Product Service Codes (PSCs). The excluded PSCs are:

(2) X, Lease/Rental of Facilities;

1. SUBMISSION OF QUOTATIONS: Quotations must be received no later than the date and time specified in block #8, page #1 – Pacific Daylight Time (PDT). Proposal shall be submitted via email. Please respond to EMAIL directly with quotation.
2. QUESTIONS: Questions shall be submitted by email no later than 2 days after issuance of the solicitation to the email address listed below. No phone questions will be accepted. The deadline is necessary to ensure timely award and the Government may, in its sole discretion, choose not to respond to questions received after the deadline. 3. PERIOD OF ACCEPTANCE OF OFFERORS: The pricing terms and conditions of the proposal shall be valid for 90 days unless a longer time is stated otherwise in the quote.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
As prescribed in 12.301(c), the Contracting Officer may insert a provision substantially as follows:
Evaluation-Commercial Items (Oct 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) technical capability of the item offered to meet the Government requirement;
(ii) price;and
(iii) delivery.
Technical and delivery, when combined, are less important than price.
(b)A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-2 ADDENDUM
Regional Contracting Office, Camp Pendleton, CA, is issuing Request For Quotation (RFQ) to procure vocational training. This procurement is conducted in accordance with FAR Part 12 (Acquisition of Commercial Items) utilizing FAR Part 13 (Simplified Acquisition Procedures).
BASIS FOR AWARD. Award will be made on the Best Value approach Trade-off – when combined technical and delivery are less important than price. The resulting award will be a Firm-Fixed Priced purchase order, all or none, to provide vocational training.
EVALUATION. The Government intends to make a single Firm Fixed Price award to satisfy this requirement.
Award will be made on the initial evaluation of quotes received in response to this RFQ. Therefore, quoters are cautioned to ensure that initial quotes contain your best terms from a technical and price standpoint. The following factors will be used to evaluate quotes:
1. TECHNICAL: The contractor shall provide the minimum documents and demonstrate an ability to provide the following minimum support:
General Requirements:
o The quoter shall be an institution of higher learning accredited by an Accrediting
Organization, such as the Western Association of Schools and Colleges, or posses an equivalent accreditation.
o The quoter shall provide recognized certificates of apprenticeship, certificates of completion, or equivalent to all prisoners demonstrating satisfactory completion and or competency within the completed course(s) o The quoter shall provide periods of instruction on Welding, Construction, Small Business /
Entrepreneurship development in accordance with, and train up to OSHA, HAZWOPPER, or equivalent standards within the specific course subject. Additionally, and only after successful completion, prisoners will be provided OSHA, HAZWOPPER, and or equivalent training completion certificates that coincide with the corresponding course.
In reference to Welding, the contractor shall facilitate a comprehensive 300 + hour course designed to teach practical applications, written and oral communication skills, and cover the following areas.
o Introduce the principles and practices of the shielded metal arc welding process in accordance with industry standards o Provide the student with instruction and practical experience necessary to safely perform shielded metal arc welding on projects utilizing a steel plate and shapes.
o Introduce Shielded Metal Arc Welding (SMAW) techniques and practices to assist in welding a steel plate and shape projects and repairs utilizing fillet welds to American Welding Society acceptable standards.
o Enhance the student's workplace skills including soft skills such as math, communications, business ethics, etc., necessary to succeed in the welding industry.
o Prepare for a simulated fillet weld test using the SMAW in the 3-F and 4-F positions in conformance with approved procedures in D1.1 American Welding Society (AWS) Structural Welding Code - Steel.
o Prisoners shall be capable of demonstrating knowledge and skills related to safety requirements and practices utilized in the shielded metal arc welding process aligning with industry standards.
o Prisoners shall be able to utilize correct terminology of current shielded metal arc welding process when communicating with instructors, staff and fellow students.
o Prisoners shall demonstrate ability to set up, troubleshoot and safely operate various shielded metal arc welding equipment found in welding industry today.
o Prisoners shall demonstrate appropriate shielded metal arc welding techniques and practices to assist in welding a steel plate, shape projects, and make repairs utilizing fillet welds in accordance to the American Welding Society or equivalent acceptable standards.
In reference to Small Business Development / Entrepreneurship, the contractor must be able to facilitate a 100+ hour course designed to teach practical applications, written and oral communication skills, and cover the following areas.
o Understand the principles, practices and strategies necessary to start an online, home-based, mobile or commercially zoned small business.
o Identify and analyze business and personal skills essential to start and manage a successful small business.
o Understand the financial, governmental and legal requirements and regulations to run a small business.
o Understand employee recruitment, hiring and best practices.
o Understand how to develop sales and marketing strategies.
o Understand how to develop a networking strategy.
o Understand accounting, recordkeeping and asset management.
o Learn strategies for starting, managing and exiting a small business.
o Differentiate and describe legal forms of ownership.
o Describe business and personal skills necessary to starting a small business.
o Identify and describe legal issues and requirements of federal, state, county and city governments.
o Identify and describe best practices for hiring and recruitment of employees.
o Describe various sales and marketing strategies.
o Explain and develop a networking strategy, outlining target customers, mentors, industry peers, advisory groups and government.
o Describe the accounting equation and explain how financial statements are used in business.
In reference to the Construction course, the contractor must be able to facilitate a 150+ hour course designed to teach practical applications, written and oral communication skills, and cover the following areas.
o Multi-Craft Core curriculum or equivalent o Construction Industry Orientation o Tolls and Materials o Construction Health and Safety o Blueprint Reading o Basic Math required for the Construction trade o Green Construction o Diversity in the Construction Industry o The Contractor shall provide an accredited construction trade course.
o The contractor shall facilitate a course accredited or recognized by the North America
Builder’s Trade Union or equivalent national organization.

DESCRIPTION
ACCEPTABLE Quotation meets the requirements of the solicitation.
UNACCEPTABLE Quotation does not meet the requirements of the solicitation.
(Sufficient information shall be provided to support capability to meet the required services requested, to include but not limited to, product literature, product number, authorized service provider letter, etc…)
2. DELIVERY: The Contractor shall complete the performance requirements within 12 months after the date of award.
3. PRICE: All quotes must be the Contractor’s Best Pricing. Price analysis shall be used to verify that the overall price offered is fair and reasonable. The Offeror shall input the unit price and total in all the line items present in the SF1449. The total evaluated price is calculated using the prices proposed for all line items.
4. EVALUATION PROCESS: The evaluation will proceed as follows:
Step 1 – The Contracting Officer will review offers to determine if each offeror has submitted a responsive quote. To be responsive, quoters must submit all the documentation identified above, by the RFQ close date/time shown in block 8 of the SF1449. A quote may be eliminated from the competition without further consideration if it does not meet the responsiveness requirements.
Step 2 – Quotes that have been determined responsive will then be evaluated and receive a rating of
Acceptable or Unacceptable based on the technical acceptability criteria above. Offerors must receive an “Acceptable” rating on each technical element to be determined technically “Acceptable”.
Step 3 – Remaining technically acceptable quotes will be ranked in in order from lowest to highest based on submitted CLIN prices. All CLIN prices will be evaluated and determined to be fair and reasonable using one or more of the techniques set forth in FAR 15.404-1(b)(2). The assessment of price will consider the overall quoted price. Quotes containing only partial pricing will not be evaluated.
Step 4 – The three lowest price, technically acceptable quotes will be reviewed for delivery acceptability in accordance with terms specified above. Those Offerors that do quote delivery or period of performance as requested will not be evaluated.
Step 5 – If the three lowest price, technically acceptable quotes are judged to have an “acceptable” delivery, those quotes represent the best value for the government and the evaluation process stops at this point. Award shall be made to the lowest quoter without further consideration of any other quotes.
If the Government cannot assess acceptable delivery among the initial three lowest price, technically acceptable quotes, it may (at the Contracting Officer’s discretion) conduct an assessment on the next higher priced quotes until one or more selections can be made.
The Government reserves the right to award no contract, depending on the quality of the quotes submitted and availability of funds for the requirement. The Government intends to evaluate quotes and award a single contract without requesting or accepting revised quotes. Therefore, the Offerors will be advised that their initial quote should contain the most favorable terms and reflect it’s best possible performance potential. The Government does reserve the right to clarify aspects of the quotes and hold discussions.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JUN 2020)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”--
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
